WHEREAS, THE CITY COUNCIL HAS HERETOFORE ADOPTED SPECIFICATIONS AND DULY MADE PUBLICATION AS REQUIRED BY CHARTER AND RECEIVED BIDS ON MARCH 9, 1966; AND WHEREAS, THE BID MOST ADVANTAGEOUS TO THE CITY AFTER CONSIDER- ATION OF ALL BIDS SUBMITTED, AND DETERMINED AS THE HIGHEST AND BEST BIDDER SUBMITTING A BID ON THE BASIS PRESCRIBED IN THE NOTICE FOR BIOS, IS THE BID OF COASTAL STATES GAS PRODUCING COMPANY FOR A PRIMARY TERM OF FIVE (5) YEARS: NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. Lessor, in consideration of TWO THOUSAND ONE HUNDRED SIXTY AND NO/100 r . ($2,160.00) DOLLARS (there shall be a Cash Bonus Minimum of • Fifty Dollars ($50.00) per acre) in cash in hand: paid and other good and valuable consideration of the royalties herein provided, and the agreements of Lessee herein contained, hereby GRANTS, LEASES and LETS exclusively unto Lessee for the purpose of investigating, exploring, prospecting, drilling and mining for and producing oil and gas, subject to the limitations contained herein, the following described land in Nueces County, Texas, to -wit: 18.876 acres of land, in thirteen (13) tracts, described as follows: TRACT I: A tract of land 8' in width and 225' in length out of Block 20 of the J. C. Russell Farm Blocks, as shown by map or plat of record in Volume;,3 at Page 53, Map Records of Nueces County, Texas, being the, same land described in a Warranty Deed dated August 29, 1962,_from A. L.'Cox and wife, Blanche Cox, and Golda Cox Arseneau� and husband, RoSert J. f Arseneau, to the City of Corpus Christi, a Municipal ` Corporation, which Deed appears of record in Volume 973 at Page 377 of the Deed Records of Nueces County, Texas, to which deed and the record thereof reference is here made for a more particular description. TRACT II: A tract of land 210' in width and 200' in length ` �a adjoining Navigation Boulevard (Savage Lane) being a portion y of Share E allotted to Julia McBride Robinson in the partition of the Mary McBride Estate of Record in Volume 94 at Page 540 of the Deed Records of Nueces County, Texas, which 210' by 200' tract is more particularly described in a Warranty Deed dated September 25, 1964, executed by Phillip J. D. Powell tract, the same being also in the East line of McBride Lane (sometimes known as Lawrence Lane) which bears along said line S. 170 16' W. a distance of 300 feet from the Northwest corner of the said B. TRACT XI: A tract of land 290.55' in width and 203' in length out of the Mary McBride 93.9 acre tract out of Share B and C of the Mrs. Mary McBride Parti- tion described in Volume 94, Page 54, Deed Records, Nueces County, Texas, described by metes and bounds as follows: BEGINNING at a point for the Southeast corner of this tract, said point being at the intersection of the East line of Mary McBride 93.9 acre tract and the North right of way line of State.Highway No. 9; THENCE N. 880 41' West with said North right of way line 300 feet to a point for Southwest corner of this tract; THENCE N. 290.55 feet to a point for the Northwest corner of this tract; THENCE S. 880 41' East 300 feet to a point in the East line of the aforesaid Mary McBride 93.9 acre tract for the Northeast corner of this tract; THENCE South with the above mentioned East line 290.55 ". feet to PLACE OF.BEGINNING, containing exactly 2 acres of land, SAVE and EXCEPT, however, the West 125 feet of said land which was conveyed by deed recorded in Volume 269, Page 525. .TRACT XII: A tract of land commonly called Tom Graham Park, being Lots 1 - 6, inclusive, Block 1, Oak Park Addition, according to the map or plat of said addi- tion appearing of record in Volume 5 at Pages 9 and 10 of the Plat Records of Nueces Bounty, Texas, to which plat and the record thereof reference is here made for all purposes; -5- _ I TRACT XIII: That certain tract of land called Oak Park and being all of Block 3, Oak Park Addi- tion, according to the map or plat of said addi- tion appearing of record in Volume 5 at Pages 9 and 10 of the Plat Records of Nueces County, Texas, l to which map or plat and the record thereof reference is'.here made for all purposes. i t Notwithstanding any other provisions in this lease, no drilling opera- tions or other operations by Lessee, or his assigns, under authority of this lease shall be conducted on the surface of the land hereby leased. 2. Subject to the other provisions herein contained, this ` lease shall be for a term of five (5) years from this date (called "primary term ") and for as long thereafter as oil, -gas or other mineral is produced from said land hereunder. A 3.. The royalties to be paid Lessor are (a) on oil, no less than three - sixteenths (3 /16ths) of that produced and saved from said land, the same to be delivered at the, wells or to'the credit of- Lessor -6- �I into the pipeline to which the wells may be connected; Lessee may from time to time purchase any royalty oil in its possession, pay- c; ing the market price therefor prevailing for the field where pro- ducea on the date of purchase; (b) on gas, including casinghead gas' C� or other gaseous substance,'produced from said land and sold or E' used off the premises or in the manufacture of gasoline or other p product therefrom, the market'value�at the well of no less than V• three - sixteenths (3 /16ths) of the gas so sold or used, provided that t on gas sold at the wells the royalty shall be no less than three - sixteenths (3 /16ths) of the amount realized from such sale; where gas r' from a well producing gas only is not sold or used, Lessee may, for a maximum of two (2) years beyond the primary term pay as royalty ( ) per well per year,,and'upon such payment it will be considered that gas is being produced within the meaning of Paragraph 2 hereof for such period, not exceeding two (2) years beyond the primary term. Lessee shall have i free use of oil and gas from said land, for all operations hereunder, and the royalty on oil and gas shall be computed after deducting any so used. Lessor is exempt as a matter of law from any and all State of Texas severance taxes on oil and gas, and no deductions shallkber made for severance taxes in royalty settlements. G 4 4. Lessee is hereby given the right and power to pool or - } combine the land covered by this lease or any portion thereof for gas or oil with any other land, lease or leases located adjacent to or contiguous with, when in Lessee's judgment it is necessary or advisable 4 to do so in order to properly develop and operate said premises, and. upon notifying Lessor, provided that no unit for gas so created shall t + exceed 320 acres plus a tolerance of ten percent (10%) in area and no 4 unit for oil shall exceed 40 acres in area.. If production is found on the pooled acreage, it shall be treated as if production is-had from A TO TW LAND tO WLE + this lease, /rhether the well 01P wells be located on the premises covered by this lease or not. In lieu of the royalties elsewhere herein specified, Lessor shall receive on production from a unit so • ijil % k i -7- . • ' + x w pooled only such portion of the royalty stipulated herein as the I amount of his acreage placed in the unit or his royalty interest E' therein bears to the -total acreage so pooled in the particular unit involved, but in no event less than - r R ) Dollars in any one year. If'operations for drilling are not commenced on said land or lands pooled herewith on or before six (6) months from this date the lease shall terminate as to both parties unless on or before such K R anniversary date Lessee shall pay or tender to Lessor or to 'the credit of Lessor in Corpus Christi State National Bank at Corpus Christi, Texas,*(which Bank and its successors are Lessor's agent and shall ` continue as the depository for all rentals payable hereunder regardless of changes in ownership of said land or the rentals) the sum of ( ) Dollars, (herein ! called rental), which shall cover the privilege of deferring commence- ' � ment of drilling operations for a period of six (6) months. In like manner and upon like payments or tenders annually the commencement of drilling operations may be further deferred for successive periods of six (6) months each during the primary term. The payment or tender of t rental may be made by the check or draft of Lessee mailed or delivered ? to said Bank on or before such date of payment. If such Bank (or any successor Bank) should fail, liquidate or be succeeded-by another Bank, or for any reason fail or refuse to accept rental, Lessee shall not be held in default for failure to make such payment or tender of R rental until thirty (30) days after Lessor shall deliver to Lessee y a proper recordable instrument, naming another Bank as Agent to re- ceive such payments or tenders. The.down cash payment is considera- tion for this lease according to its terms and shall not-be allocated f Ss mere rental for a period. By the term "operations for drilling" 1 and "drilling operations" is meant the actual drilling into the earth +' in a bonafide attempt to discover oil, gas or other minerals and not merely the placing of materials and /or equipment on the land. 6. If prior to discovery of oil or gas.on said-land Lessee j should drill a dry hole or holes on lands pooled herewith or if after tC discovery of oil or gas the.production thereof should cease from any cause, this lease shall not terminate if Lessee commences additional drilling or re- working operations within sixty (60) days thereafter or (if it be within the primary term) commences or resumes the pay- ment or tender of rentals on or before the rental paying date next ensuing after the expiration of three (3) months from date of com- pletion of dry hole or cessation of production. If at the expira- tion of the primary term oil, gas or other mineral is not being pro- duced on lands pooled herewith but Lessee is then engaged in drilling or re- working operations thereon, the lease shall remain in force so long as operations are prosecuted with no cessation of more than thirty (30) consecutive days, and if they result in the production of oil or gas so long thereafter as oil or gas is produced from said land. In the event a well or wells producing 611 or gas in paying quantities "should be brought in on adjacent land not pooled with the lands cover- ed by this lease and within 467 feet of or draining the leased premises, Lessee agrees to drill such offset wells as a reasonably prudent opera- tor would drill under the same or similar circumstances. 7.• The rights of either party hereunder may be assigned in whole or in part and the provisions hereof shall extend to the heirs, successors and assigns, but no change or divisions in ownership of the land, rentals, or royalties, however accomplished, shall operate to enlarge the obligations or diminish the rights of Lessee. No sale or assignment by Lessor shall be binding on Lessee until Lessee shall be furnished with a certified copy of recorded instrument evidencing same. In event of assignment of this lease as to a segregated portion of said land, the rentals payable hereunder shall be apportionable as be- tween the several leasehold owners ratably according to the surface area of each, and default in rental payment by one shall not affect the rights of other leasehold owners hereunder. If six or more parties become entitled to royalty hereunder, Lessee may withhold payment thereof unless and until furnished with a recordable instrument exe- cuted by all such parties designating an agent to receive payment for all. M f - 8.. Lessor hereby warrants and agrees to defend the- title a to said land and agrees that Lessee at its option may discharge any l tax, mortgage or other lien upon said land and in event Lessee does ; f so, it shall be subrogated to such lien with the right to enforce same and apply rentals and royalties :.accruing hereunder toward satisfying same. Without impairment of Lessee's rights under the warranty in event of failure of title, it is agreed that if Lessor 4. owns an interest in said land less than the entire fee simple estate, then the royalties and rentals to be paid Lessor shall be reduced proportionately. i f 9. Should Lessee be prevented from complying with any ex- press or implied covenant of this lease, from conducting drilling or re- working operations thereon or from producing oil or gas therefrom . f by reason of scarcity of or inability to obtain or to use equipment I or material, or by operation of force majeure, any Federal or State law j or any order, rule or regulation of governmental authority, then ! r while so prevented through no fault of Lessee, Lessee's obligation to �4 f comply with such covenant shall be suspended, and Lessee shall not be liable in damages for failure to comply therewith; and this lease shall be extended while and so long as Lessee is prevented by any f -such cause from conducting drilling or re- working operations on or I from producing oil or gas from the leased premises and the time while r Lessee is so prevented shall not be counted against Lessee, anything in this lease to the contrary notwithstanding.
