HomeMy WebLinkAbout08904 ORD - 06/19/1968Baw:5/6/68 AN ORDINANCE AUTHORIZING AND DIRECTING THE CITY MANAGER, FOR AND ON BEHALF OF THE CITY OF CORPUS CHRISTI, TO EXECUTE A LEASE BETWEEN THE CITY AND THE CORPUS CHRISTI YACHT CLUB FOR A TERM OF FIVE (5) YEARS CONCERNING A CERTAIN PORTION OF THE BAYFRONT, FOR MAINTENANCE OF THE EXIST- ING YACHT CLUB PIER, T -HEAD AND RELATED PILINGS AND FOR CONSTRUCTION OF AN EXTENSION OF THE EXISTING YACHT CLUB PIER, T -HEAD AND RELATED PILINGS, ALL AS MORE FULLY DESCRIBED IN THE LEASE AGREEMENT, A COPY OF WHICH IS ATTACHED HERETO AND MADE A PART HEREOF. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. THE CITY MANAGER BE, AND HE IS HEREBY, AUTHORIZED AND DIRECTED, FOR AND ON BEHALF OF THE CITY OF CORPUS CHRISTI, TO EXECUTE A LEASE AGREEMENT BETWEEN THE CITY AND THE CORPUS CHRISTI YACHT CLUB CONCERN- ING A CERTAIN PORTION OF THE BAYFRONT FOR A TERM OF FIVE YEARS, FOR MAINTE- NANCE OF THE EXISTING YACHT CLUB PIER, T -HEAD AND RELATED PILINGS AND FOR CONSTRUCTION OF AN EXTENSION TO THE EXISTING YACHT CLUB PIER, T -HEAD AND RELATED PILINGS, ALL AS MORE FULLY DESCRIBED IN THE LEASE AGREEMENT, A COPY OF WHICH IS ATTACHED HERETO AND MADE A PART HEREOF. PIER LEASE BETWEEN THE CITY OF CORPUS CHRISTI AND CORPUS CHRISTI YACHT CLUB THE STATE OF TEXAS Q COUNTY OF NUECES FOR AND IN CONSIDERATION OF THE UNDERTAKINGS OF THE CORPUS CHRISTI YACHT CLUBI A NONPROFIT TEXAS CORPORATION, HEREINAFTER CONTAINED, THE CITY OF CORPUS CHRISTI, A MUNICIPAL CORPORATION (THE "CITY "), ACTING BY AND THROUGH ITS DULY AUTHORIZED CITY MANAGERS HEREBY LEASES AND LETS TO THE CORPUS CHRISTI YACHT CLUB ( "LESSEE ") THE FOLLOWING DESCRIBED PROPERTY: , THAT CERTAIN PORTION OF THE BAYFRONT OF THE CITY OF CORPUS CHRISTI, TEXAS, FURTHER DESCRIBED BY METES AND BOUNDS AS FOLLOWS: BEGINNING AT A POINT] THE NE CORNER OF THE CORPUS CHRISTI YACHT CLUB TRACT AS DESCRIBED IN DEED RECORDED IN VOL. 887, PAGES 358 -364, DEED RECORDS OF NUECES COUNTY, TEXAS; THENCE S. 73° 441 40" E., A DISTANCE OF 5.0 FEET TO A POINT FOR CORNER; THENCE N. 26° 15' 20" E., A DISTANCE OF 218.3 FEET TO A POINT FOR THE NW CORNER; THENCE N. 63° 441 40" W., A DISTANCE OF 3.25 FEET; THENCE N. 26° 15' 20" E., A DISTANCE OF 155 FEET FOR A CORNER; THENCE S. 63° 441 40" E., A DISTANCE OF 121.5 FEET; THENCE S. 26° 151 20" W., A DISTANCE OF 155 FEET; THENCE N. 63° 44, 40 "W.A DISTANCE OF 3.25 FEET; THENCE S. 26° 151 20" W., A DISTANCE OF 212 FEET; TIIENCE N. 63° 44, 40" W., A DISTANCE OF 45.0 FEET TO A POINT FOR CORNER; THENCE N. 73° 44, 40" W., A DISTANCE OF 75.0 FEET TO A POINT WHERE THIS LINE INTERSECTS THE EAST BOUNDARY OF SAID CORPUS CHRISTI YACHT CLUB TRACT, FOR A CORNER OF THIS TRACT; THENCE N. 16° 15' 20" E., ALONG THE EAST BOUNDARY OF SAID CORPUS CHRISTI YACHT CLUB TRACT TO THE PLACE OF BEGINNING; AND BEING THE AREA COVERED BY THE EXISTING PIER KNOWN AS "CORPUS CHRISTI YACHT CLUB" PIER AND THE PROPOSED PIER EXTENSION AND T -HEAD BOTH AS SHOWN ON THE PLAT ATTACHED AS EXHIBIT "A ", INCLUDING THE SPACE ADJACENT TO SUCH PIER AND T -HEAD INTENDED FOR USE FOR THE MOORING OF BOATS, SAVE AND EXCEPT THE PORTION OF SUCH AREA AS NOW BELONGS TO THE YACHT CLUB; FOR A TERM OF FIVE YEARS, UNDER THE FOLLOWING TERMS AND CONDITIONS: 1. CORPUS CHRISTI YACHT CLUB SHALL PAY TO THE CITY OF CORPUS CHRISTI AS RENTAL FOR THE PIER EACH MONTH DURING THE TERM OF THIS LEASE THE AGGREGATE OF THE SUMS WHICH SHALL BE DETERMINED BY APPLYING THE THEN STANDARD PIER SLIP RENTAL RATE GENERALLY APPLICABLE AND IN FORCE IN CORPUS CHRISTI MARINA FOR LONG TERM BERTHING OF PLEASURE CRAFT FURNISHED SIMILAR SERVICE AND FACILITIES TO EACH OF THE 34 SLIPS DETERMINED SEPARATELY FOR EACH SLIP, (WHETHER DETERMINED ON THE BASIS OF THE SIZE OF SLIP, OR THE SIZE OF VESSEL BERTHED IN THE SLIP, OR OTHER BASIS); BUT IN NO EVENT SHALL THE MONTHLY RENTAL TO BE PAID HEREUNDER BE LESS THAN THE MINIMUM RENTAL OF EIGHT HUNDRED FIFTY COLLARS ($850.00) PER MONTH. 2. LESSEE HAS SUBMITTED TO THE MARINA BOARD OF THE CITY OF CORPUS CHRISTI FOR ITS APPROVAL AND-WILL SUBMIT TO THE DIRECTOR OF PUBLIC WORKS FOR HIS APPROVAL, PLANS FOR THE CONSTRUCTION OF AN EXTENSION TO THE EXISTING YACHT CLUB PIERS T -HEAD AND RELATED PILINGS. (SUCH PROPOSED NEW CONSTRUC- TION IS REFERRED TO HEREIN AS THE "PIER EXTENSION" AND THE EXISTING PIER AND PIER EXTENSION ARE HEREINAFTER REFERRED TO COLLECTIVELY AS THE "PI£R"). SUCH PIER EXTENSION SHALL BE CONSTRUCTED AT THE LOCATION WITHIN THE BAYFRONT OF THE CITY OF CORPUS CHRISTI SHOWN ON EXHIBIT B ATTACHED, AND CONFORMING IN LAYOUT WITH SUCH EXHIBIT. LESSEE FURTHER AGREES THAT WITHIN SIXTY DAYS AFTER THE APPROVAL OF THIS LEASE AND OF PLANS AND SPECIFICATIONS FOR SUCH PIER EXTENSION BY THE CITY OF CORPUS CHRISTI IT WILL COMMENCE CONSTRUCTION THEREOF AND WILL CONTINUE CONSTRUCTION WITH REASONABLE DILIGENCE UNTIL COM- PLETION. IN CONSIDERATION OF THIS LEASE AND OF THE COVENANTS ON THE PART OF THE CITY HEREIN LESSEE HEREBY AGREES THAT SUCH PIER EXTENSION SHALL BE THE PROPERTY OF THE CITY, SUBJECT TO THE TERMS OF THIS LEASE. SUCH PIER EXTENSION SHALL BE CONSTRUCTED ACCORDING TO SPECIFICATIONS APPROVED BY THE CITY. 3. THE TERM OF THIS LEASE SHALL COMMENCE ON THE DATE SUCH PIER EXTENSION HAS BEEN COMPLETED AND IS SUITABLE FOR USE FOR THE PURPOSE FOR WHICH CONSTRUCTED OR ON AUGUST 1, 1968, WHICHEVER DATE IS LATER, SAID LEASE SHALL CONTINUE FOR A TERM OF FIVE YEARS COMMENCING ON SUCH DATE. DURING THE TERM OF SUCH LEASE, LESSEE SHALL BE ENTITLED TO SUBLEASE THE SLIPS -2- AND DOCKAGE FACILITIES AFFORDED BY SUCH PIER TO ITS MEMBERS AND GUESTS AND TO RETAIN THE RENTALS COLLECTED FOR SUCH USE FOR THE PURPOSE OF REIMBURSING ITSELF FOR COSTS INCURRED IN THE CONSTRUCTION OF THE PIERS AND RENTALS PAID BY IT HEREUNDER AND SERVICES FURNISHED. 4. IT IS CONTEMPLATED THAT PRIOR TO THE END OF THIS LEASES THE CITY MAY ENTER INTO A CONTRACT WITH-LESSEE GOVERNING TERMS UPON WHICH SLIPS AND DOCKAGE FACILITIES AFFORDED BY THE PIER WILL BE LEASED FOR THE FIVE - YEAR PERIOD BEGINNING AT THE TERMINATION OF THIS LEASE, AND THAT SUCH CON- TRACT MAY CONTAIN THE FOLLOWING PROVISIONS: A. THE SLIPS AND DOCKAGE FACILITIES AFFORDED BY THE PIER WILL BE LEASED BY LESSEE TO ITS MEMBERS AND GUESTS OF THE CLUB EXCLUSIVELY. B. THAT IT IS CONTEMPLATED UPON THE END OF THE FIVE -YEAR TERM OF SUCH CONTRACT THAT THE CITY MAY AGAIN ENTER INTO AN IDENTICAL CONTRACT FOR AN ADDITIONAL FIVE -YEAR PERIOD. IF THE CITY AND LESSEE FAIL TO ENTER INTO SUCH A CONTRACT GOVERNING THE TERMS UPON WHICH SUCH SLIPS AND DOCKAGE FACILITIES SHALL BE USED EFFECTIVE AS OF THE END OF THIS LEASE AND CONTAINING THE PROVISIONS STATED ABOVE OR CONTAINING OTHER MUTUALLY ACCEPTABLE PROVISIONS, OR IF ANY TIME THEREAFTER, THE USE OF SUCH SLIPS AND DOCKAGE FACILITIES IS NOT CONTROLLED BY A CONTRACT BETWEEN THE CITY AND LESSEE ON MUTUALLY ACCEPTABLE TERMS THE CITY AGREES THAT IT WILL EXTEND THE PIER FROM POINT "A" TO POINT "U' AS SHOWN ON THE ATTACHED PLATS FOR THE PURPOSE OF PROVIDING AN ACCESS TO THE PIER WITHOUT CROSSING CORPUS CHRISTI YACHT CLUB PROPERTY. IN SUCH EVENT, THE CITY FURTHER AGREES, IF REQUESTED BY LESSEES TO REMOVE THE PORTION OF SUCH PIER EXTENDING FROM POINT "C" TO POINT "U', AS SHOWN ON THE ATTACHED PLATS OR SUCH PORTION THEREOF AS LESSEE MAY REQUEST] AND TO REMOVE THE PILINGS DESIGNATED AS "E" AND ON THE ATTACHED PLAT, TO THE EXTENT REQUESTED BY LESSEE, IN ORDER TO PROVIDE ACCESS TO THE EASTERLY SIDE OF THE PROPERTY OWNED BY LESSEE, 5. IN FURTHER CONSIDERATION OF LESSEES COVENANTS HEREIN CON- TAINED,-THE CITY AGREES TO MAINTAIN THE PIER IN A REASONABLE CONDITION AND STATE OF REPAIR AS DETERMINED BY THE CITY (BUT NOT LOWER. THAN THE -3- STANDARD OF MAINTENANCE BY THE CITY FOR COMPARABLE SLIPS ELSEWHERE IN THE MARINA) AND SO AS TO BE USABLE FOR THE PURPOSES FOR WHICH LEASED, AND TO PROVIDE THE SAME TYPE OF UTILITY AND OTHER SERVICES AS THE CITY PROVIDES TO YACHTS OF COMPARABLE SIZE AT OTHER SLIPS AND DOCKS LEASED BY THE CITY WITH- IN THE CORPUS CHRISTI MARINA. E). NOTWITHSTANDING PARAGRAPH 5 ABOVE, ELECTRICAL UTILITY SER- VICE TO THE PIER SHALL BE GOVERNED BY THE FOLLOWING: SO LONG AS THE CITY SHALL FURNISH ELECTRICAL UTILITY SERVICE WITHOUT SEPARATE OR ADDITIONAL CHARGE TO OTHER PIER SLIPS IN CORPUS CHRISTI MARINA OCCUPIED BY PLEASURE CRAFT, THE CITY SHALL LIKEWISE PROVIDE ELECTRICAL UTILITY SERVICE TO THE PIER AND OCCUPANTS OF SLIPS THEREON WITHOUT ADDITIONAL CHARGE. IF THE CITY SHALL MAKE SEPARATE CHARGES FOR ELECTRIC UTILITY SERVICE TO PLEASURE CRAFT OCCUPYING OTHER SLIPS IN CORPUS CHRISTI MARINA THEN THE CITY MAY MAKE SEPARATE CHARGES ON THE SANE BASIS TO OCCUPANTS OF SLIPS AT THE PIER. IF THE CITY CEASES ITSELF TO FURNISH ELECTRIC SERVICE TO THE PIER, THE CITY WILL EITHER CAUSE ELECTRICAL UTILITY SERVICE TO BE PROVIDED TO THE PIER AND USERS THEREOF UPON THE SAME TERMS AND CONDITIONS AS SHALL BE APPLICABLE ELSEWHERE IN THE MARINA; OR LESSEE MAY, IF IT WISHES ASSUME RESPONSIBILITY FOR ARRANGING FOR FURNISHING OF ELECTRICAL UTILITY SERVICE TO THE PIER FOR THE REMAINING TERM HEREOF. 7. THE CITY SHALL MAKE AVAILABLE TO OCCUPANTS OF SLIPS AT THE PIER ALL SERVICES,PRIVILEGES, FACILITIES AND BENEFITS THAT SHALL BE MADE AVAILABLE OR EXTENDED TO USERS OR OWNERS OF OTHER PLEASURE CRAFT BERTHED IN THE CORPUS CHRISTI MARINA DURING THE TERM OF THIS LEASE UPON SIMILAR TERMS CONDITIONS AND RATES. THIS SHALL INCLUDE BUT NOT BE LIMITED TO UTILITY SERVICES, GEAR BOX RENTAL AND OTHER BENEFITS. 8. LESSEE SHALL RECEIVE CREDIT ON THE RENTAL AGREED TO BE PAID BUT NOT EXCEEDING EIGHT HUNDRED AND FIFTY DOLLARS ($850.00) PER MONTH FOR SUMS DUE TO THE FOLLOWING: A. THAT SUM WHICH SHALL BE REQUIRED TO BE PAID BY LESSEE EACH MONTH TO AMORTIZE ALL COSTS OF CONSTRUCTING SUCH PIER EXTENSIONS PLUS SUCH INTEREST ACCURING ON SUCH Els COST AS LESSEE SHALL PAY UPON LOANS OBTAINED FOR CON- STRUCTION OF SUCH PIER EXTENSION, IN SIXTY (60) EQUAL MONTHLY INSTALLMENTS OF PRINCIPAL OVER THE FIVE YEAR TERM OF THIS LEASE; AND B. SUCH SUMS, IF ANY AS SHALL BE NECESSARILY EXPENDED FROM TIME TO TIME BY LESSEE FOR REPAIR, REPLACEMENT RECONSTRUCTION OR RESTORATION OF THE PIER OR PORTIONS THEREOF REASONABLY REQUIRED BY MAINTAINING THE PIER IN A REASONABLE STATE OF REPAIR AND SERVICEABLE CONDITION DURING THE FIVE -YEAR TERM OF THIS LEASE, IF LESSEE SHALL ELECT TO MAKE SUCH EXPENDITURES FOR SUCH PURPOSES AFTER THE CITY SHALL HAVE FAILED TO BEGIN TO CORRECT SUCH DEFECTS WITHIN A PERIOD OF THIRTY (30) DAYS AFTER WRITTEN NOTICE OF SUCH DEFECTS FROM LESSEE AND SHALL HAVE FAILED TO PURSUE SUCH CORRECTIVE EFFORTS DILIGENTLY TO COMPLETION. IN NO EVENT, HOWEVER, SHALL LESSEE UNDERTAKE TO REPAIR, REPLACE, RECONSTRUCT OR RESTORE SAID PIER OR ANY PORTION THEREOF PURSUANT TO THIS SUBSECTION, WITHOUT FIRST HAVING OBTAINED THE APPROVAL OF THE CITY'S DIRECTOR OF PUBLIC WORKS OF THE WORK TO BE DONE AND THE ESTIMATED COST. FOR SUCH PURPOSES THE REVIEW AND APPROVAL OF THE DIRECTOR OF PUBLIC WORKS SHALL BE LIMITED TO DETERMINATION THAT THE PROPOSED WORK COMPLIES WITH APPLICABLE CITY BUILD- ING STANDARDS, GOOD ENGINEERING PRACTICE AND THE TZRMS OF THIS LEASE AND THAT THE COST IS NOT IN EXCESS OF THE REASONABLE AND NECESSARY COST OF SUCH WORK AT THE TIME IN THE COMMUNITY. RENTAL DUE WITH RESPECT TO ANY SLIP OR SLIPS ON THE PIER SHALL ABATE IN FULL FOR ANY PERIOD FOR WHICH SUCH SLIP OR SLIPS SHALL NOT BE AVAILABLE AND SUITABLE FOR USE AND OCCUPANCY FOR THE PURPOSE FOR WHICH LEASED, FROM THE BEGINNING OF SUCH NON - AVAILABILITY UNTIL SUCH SLIP SHALL HAVE BEEN AGAIN RESTORED BY THE CITY A14D MADE AVAILABLE FOR USE BY LESSEE OR ITS -5- SUB - TENANTS. LESSEE SHALL MAKE AVAILABLE TO THE CITY REASONABLE EVIDENCE SUBSTANTIATING THE AMOUNTS OF SUMS REFERRED TO IN SUB - PARAGRAPHS 11A � B 11 AND C "ABOVE, AND UPON REQUEST OF THE CITY MANAGER, SHALL PERMIT INSPECTION BY CITY EMPLOYEES OF LESSEES BOOKS AND RECORDS RELATED TO SUCH ITEMS, 9. THE CITY AND LESSEE HAVE HERETOFORE ENTERED INTO A LEASE DATED FEBRUARY 51 1963, PURSUANT TO THE TERMS OF WHICH CORPUS CHRISTI YACHT CLUB CONSTRUCTED AT ITS EXPENSE A PIER CONTAINING TWENTY (20) SLIPS IN ACCORDANCE WITH THE PROVISIONS OF SUCH LEASE. THE PIER SO CONSTRUCTED PURSUANT TO SUCH LEASE WAS SUBSTANTIALLY COMPLETED AND SUITABLE FOR USE FOR THE PURPOSE FOR WHICH CONSTRUCTED ON AUGUST 1, 1963, FROM WHICH DATE THE BEGINNING OF A FIVE YEAR TERM OF SUCH LEASE SHALL EXPIRE ON JULY 31, 1968. 10. IF SUCH PIER EXTENSION SHALL NOT HAVE BEEN COMPLETED AND BE UNSUITABLE FOR THE PURPOSE FOR WHICH CONSTRUCTED AT OR BEFORE THE EXPIRA- TION FOR THE TERM OF THE EXISTING LEASE BETWEEN THE CITY AND LESSEES DURING SUCH INTERIM PERIOD FOLLOWING THE EXPIRATION OF SUCH EXISTING LEASE AND THE BEGINNING OF THE TERM OF THIS NEW LEASES CORPUS CHRISTI YACHT CLUB SHALL BE DEEMED TO BE HOLDING OVER AS A TENANT FROM DAY TO DAY AND SHALL PAY TO THE CITY OF CORPUS CHRISTI THE SUM OF NINE DOLLARS ($9.00) PER DAY FOR THE TWENTY SLIPS ON THE EXISTING PIER DURING THE CONTINUATION OF ANY SUCH PERIOD OF HOLDING OVERT AND ANY SUCH HOLDING OVER SHALL OTHERWISE BE GOVERNED BY THE TERMS OF SUCH EXISTING LEASE. 11. PRIOR TO ENTERING INTO A CONTRACT FOR CONSTRUCTION OF THE ' PIER EXTENSION LESSEE SHALL GIVE WRITTEN NOTICE TO THE CITY OF THE PROPOSED CONSTRUCTION CONTRACT PRICE, INTEREST RATE TO BE APPLIED TO THE AMORTIZATION OF THE CONSTRUCTION COST AND MONTHLY CREDIT WHICH SHALL BE APPLICABLE UNDER PARAGRAPH 8 (A) ABOVE. THE CITY SHALL HAVE THE OPTION AT ITS ELECTION WITH- IN TEN (10) DAYS AFTER RECEIPT OF SUCH NOTICE (WHICH OPTION SHALL BE EXERCISED BY DELIVERY OF WRITTEN NOTICE FROM THE CITY MANAGER TO LESSEE) EITHER (A) TO ELECT TO BUILD THE PIER EXTENSION ITSELF AT ITS OWN COST OF (B) TO TERMINATE THIS CONTRACT AT SUCH TIME. -6- EXECUTED AND DELIVERED ON THIS DAY OF , 1968.
