HomeMy WebLinkAbout09086 ORD - 10/23/196810- 22- 68:FMB AN ORDINANCE AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE, FOR AND ON BEHALF OF THE CITY OF CORPUS CHRISTI, W- AGREEMENT WITH THE CORPUS CHRISTI CHAMBER OF COMMERCE FOR THE PURPOSE OF PROMOTING ADDITIONAL CONVENTIONS AND TO BETTER SERVE THE CONVENTIONS WHICH ARE AND WILL BE SCHEDULED FOR CORPUS CHRISTI, ALL AS MORE FULLY SET FORTH IN THE AGREEMENT, A COPY OF WHICH IS ATTACHED HERETO AND MADE A PART HEREOF; AND DECLARING AN EMER- GENCY. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. THAT THE CITY MANAGER BE, AND HE IS HEREBY, AUTHORIZED AND DIRECTED TO EXECUTE, FOR AND ON BEHALF OF THE CITY OF CORPUS CHRISTI, AN AGREEMENT WITH THE CORPUS CHRISTI CHAMBER OF COMMERCE FOR THE PURPOSE OF PROMOTING ADDITIONAL CONVENTIONS AND TO BETTER SERVE THE CONVENTIONS WHICH ARE AND WILL BE SCHEDULED FOR CORPUS CHRISTI, ALL AS MORE FULLY SET FORTH IN THE AGREEMENT, A COPY OF WHICH IS ATTACHED HERETO AND MADE A PART HEREOF. SECTION 2. THE NECESSITY TO ENTER INTO THE AFORESAID AGREEMENT AT THE EARLIEST PRACTICABLE DATE IN ORDER TO CARRY OUT THE INTENTIONS OF THE PARTIES IN THE PROMOTING OF CONVENTIONS FOR THE CITY OF CORPUS CHRISTI CREATES A PUBLIC EMERGENCY AND IMPERATIVE PUBLIC NECESSITY REQUIRING THE SUSPENSION OF THE CHARTER RULE THAT NO ORDINANCE OR RESOLUTION SHALL BE PASSED FINALLY ON THE DATE OF ITS INTRODUCTION AND THAT SUCH ORDINANCE OR RESOLUTION SHALL BE READ AT THREE SEVERAL MEETINGS OF THE CITY COUNCIL, AND THE MAYOR HAVING DECLARED SUCH EMERGENCY AND NECESSITY TO EXIST, AND HAVING REQUESTED THE SUSPENSION OF THE CHARTER RULE AND THAT THIS ORDINANCE BE PASSED FINALLY ON THE DATE OF ITS INTRODUCTION AND TAKE EFFECT AND BE IN FULL FORCE AND EFFECT FROM AND AFTER ITS PASSAGE, IT IS ACCORDINGLY SO ORDAINED, THIS THE l�jj DAY OF OCTOBER, 1968. ATTEST: APPROVED: - (/ e9-*7— DAY OF OCTOBER, 1968: S4��. - CITY ATTORNEY 9086 ) / THE CITY OF CORPUS CHRISTI, TEXAS THE STATE OF TEXAS Y COUNTY OF NUECES WHEREAS, THE CITY OF CORPUS CHRISTI, HEREINAFTER CALLED CITY, DESIRES TO ATTRACT MORE CONVENTIONS TO CORPUS CHRISTI; AND WHEREAS, THE CITY BENEFITS BOTH INDIRECTLY THROUGH MORE ECONOMIC ACTIVITY AND DIRECTLY BY INCREASED SALES TAX AND HOTEL AND MOTEL OCCUPANCY TAX INCOME DEVELOPED BY SUCH CONVENTIONS; AND WHEREAS, THE CORPUS CHRISTI CHAMBER OF COMMERCE, HEREINAFTER CALLED CHAMBER, HAS AN EXISTING CONVENTION PROMOTION PROGRAM AND HAS EXISTING PER- SONNEL WHO ARE TRAINED AND EXPERIENCED IN THE FIELD OF CONVENTION PROMOTION, AND HAS BEEN CARRYING OUT A PROGRAM TO HELP INSURE THE RETURN OF CONVENTIONS; AND WHEREAS, THE CITY ALSO DESIRES TO CARRY OUT ACTIVITIES WHICH WILL HELP PROMOTE ADDITIONAL CONVENTIONS AND WILL HELP INSURE THAT CONVENTIONS WILL RETURN TO CORPUS CHRISTI AFTER THEIR INITIAL CONVENTION: NOW, THEREFORE, THE FOLLOWING AGREEMENT IS ENTERED INTO BY AND BETWEEN THE PARTIES HERETO: A. THE CHAMBER AGREES: 1. TO PROVIDE PROFESSIONAL SERVICES TO THE CITY TO PROMOTE ADDITIONAL CONVENTIONS AND TO BETTER SERVE THE CONVENTIONS WHICH ARE AND WILL BE SCHEDULED FOR CORPUS CHRISTI. PROFESSIONAL SERVICES, TO BE PERFORMED BY THE CHAMBER, SHALL INCLUDE (A) DIRECT, TELEPHONE, AND MAIL CONTACTS WITH EMPLOYEES OR OFFICERS OF GROUPS WHICH MAY DESIRE TO BRING A CONVENTION TO CORPUS CHRISTI; (B) DEVEL- OPMENT OF A BROCHURE DESCRIBING CORPUS CHRISTI CONVENTION FACILITIES; (C) DISTRIBUTION OF SUCH CONVENTION BROCHURE THROUGH DIRECT MAILINGS; (D) DEVELOPMENT OF A PROMOTIONAL ITEM TO BE USED AT VARIOUS MEETINGS THROUGHOUT THE COUNTRY ' TO PROMOTE CONVENTIONS COMING TO CORPUS CHRISTI; (E) DEVEL- OPMENT OF A VISUAL PRESENTATION FOR USE AT CONVENTIONS; (F) DEVELOPMENT OF A CONVENTION BID FOLDER; (G) TAKING AND DEVELOPMENT CF PICTURES FOR ASSOCIATION PUBLICATIONS AND CONVENTION PROGRAMS; (H) IMPROVEMENT IN SUPPORTING SERVICES TO CONVENTIONS WHILE IN CORPUS CHRISTI; (I) DEVELOPMENT OF PROMOTIONAL ADVERTISING IN CONVENTION TRADE PUBLICATIONS; (J) DIRECT CONTACTS AT CONVENTIONS ELSEWHERE THROUGHOUT THE STATE AND COUNTRY TO ATTRACT CONVENTIONS TO CORPUS CHRISTI. 2. THAT THE CONVENTION PROMOTION AND SERVICE ACTIVITIES PRESENTLY BEING CARRIED OUT BY THE CHAMBER WILL CONTINUE AT APPROXIMATELY THEIR PRESENT LEVEL. 3. THAT THE PROFESSIONAL SERVICES PROVIDED UNDER THIS CONTRACT WILL BE SUPERVISED BY THE EXECUTIVE VICE PRESIDENT OF THE CHAMBERS AND THE CONVENTION MANAGER OF THE CHAMBER. 4. THAT THE CHAMBER WILL EMPLOY A FULLTIME CONVENTION DEPARTMENT ASSISTANT MANAGER WHO WILL PROVIDE THE PROFESSIONAL SERVICES CONTEMPLATED UNDER THIS CONTRACT. B. THE CITY AGREES: 1. THAT IT WILL COMPENSATE CHAMBER FOR PROFESSIONAL SERVICES IN AN AMOUNT NOT TO EXCEED $36,000.00. THE CHAMBER AGREES THAT IT WILL RECORD EXPENDITURES INVOLVED IN THIS PROGRAM IN A SEPARATE ACCOUNT AND PROVIDE A REPORT OF THE ACTIVITIES OF THAT ACCOUNT WITHIN TWENTY DAYS OF THE LAST DAY OF THE MONTH OF THE REPORTING PERIOD INVOLVED. REQUESTS FOR PAYMENT TO CHAMBER BY CITY CAN BE MADE EITHER MONTHLY OR QUARTERLY, AS CITY AND CHAMBER SHALL AGREE. EXPENDITURES OR CHARGES PRIOR TO DATE OF EXECUTION OF THIS AGREEMENT SHALL NOT BE TAKEN INTO ACCOUNT. C. THE CITY PAYMENTS TO CHAMBER SHALL, FOR ANY ONE MONTH, NOT EXCEED AN AMOUNT EQUAL TO EXPENSES RELATING TO SUCH PROFESSIONAL SERVICES INCLUDING (A) FULLTIME CONVENTION DEPARTMENT EXPANDED PERSONNEL; (B) STENO- GRAPHIC COSTS, (C) SOCIAL SECURITY, HOSPITALIZATIONS AND OTHER RELATED -2- EMPLOYEE COSTS; (D) PRINTING OF THE VARIOUS BROCHURES AFTER APPROVAL BY CITY; (E) POSTAGE COSTS RELATED TO ANY ASPECT OF THE PROGRAM; (F) PRINTING AND PUBLICATION COSTS FOR PROMOTIONAL ITEMS, VISUAL PRESENTATIONS, CONVEN- TION BID FOLDERS, PICTURES, AND OTHER PRINTED MATTER; (G) DIRECT ADVERTISING IN CONVENTION TRADE PUBLICATIONS AFTER APPROVAL BY CITY; (H) TRAVEL DIRECTLY RELATED TO CONTACTS BY THE CONVENTION DEPARTMENT ASSISTANT MANAGER, AND OTHER RELATED COSTS. D. THE CHAMBER AND CITY AGREE THAT CHAMBER WILL REQUEST PURCHASE BY CITY OF EQUIPMENT, PRINTING SERVICES OR OTHER ITEMS OR SERVICES WHEN, IN THE OPINION OF CITY OR CHAMBER, SUCH PURCHASES CAN BE MADE BY CITY,AT LESS COST THAN THE SAME PURCHASES CAN BE MADE BY CHAMBER. WHEN CITY MAKES SUCH DIRECT PURCHASES AT THE REQUEST OF CHAMBER, CHAMBER AGREES THAT THE COST OF SUCH PURCHASES OF SUCH GOODS OR SERVICES WILL REDUCE THE CONTRACT MAXIMUM OF $36,000.00 AND WILL BE DELETED FROM THE MAXIMUM AMOUNT AVAILABLE IN THE MONTH OF PURCHASE OR FROM THE ANNUAL MAXIMUM AS CITY AND CHAMBER MAY AGREE. IN ANY EVENT, THE TOTAL AMOUNT TO BE EXPENDED FOR PROFESSIONAL SERVICES UNDER THIS CONTRACT CANNOT EXCEED THE AMOUNT OF $36,000.00 1 LESS DIRECT EXPENDITURES BY CITY AT THE REQUEST OF THE CHAMBER FOR THE PURPOSES SET FORTH IN THIS CONTRACT. CITY AGREES THAT SOME OF THESE SUPPORTING SERVICES CAN-BE PROVIDED PRIOR. TO THE EMPLOYMENT OF THE CONVENTION DEPARTMENT ASSISTANT MANAGER BY CHAMBER UNDER THE PROFESSIONAL GUIDANCE OF THE EXECUTIVE VICE PRESIDENT AND/OR CONVENTION MANAGER OF THE CHAMBER, AND THEREFORE, CITY WILL HONOR EXPENDITURES FOR SUPPORTING SERVICES BY CHAMBER PRIOR TO THE DATE OF EMPLOY- MENT OF THE CONVENTION DEPARTMENT ASSISTANT MANAGER WHEN SUCH EXPENDITURES ARE CERTIFIED BY THE EXECUTIVE VICE PRESIDENT AND CONVENTION MANAGER OF CHAMBER AS BEING RELATED TO THIS CONTRACT AND NOT TO OTHER PROGRAMS OF CHAMBER. E. THIS CONTRACT SHALL BE COME EFFECTIVE AS OF OCTOBER 23, 1968, AND TERMINATE AS OF SEPTEMBER 30, 1969, UNLESS EXTENDED BY BOTH CHAMBER AND CITY. EITHER PARTY CAN TERMINATE THIS CONTRACT WITH THIRTY (30) DAYS WRITTEN NOTICE TO THE OTHER PARTY. -3- WITNESS OUT HANDS IN DUPLICATE, EACH OF WHICH SHALL BE CONSIDERED AN ORIGINAL, THIS THE DAY OF OCTOBER, 1968.
