AN ORDINANCE
AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE
A GENERAL WARRANTY DEED AS SHOWN ON EXHIBIT "A ",
ATTACHED HERETO, CONVEYING TO THE U. S. ARMY CORPS OF
ENGINEERS AN AREA CONTAINING APPROXIMATELY ,528 ACRES ON
AND ALONG A PORTION OF DAN REID AND RINCON STREETS IN
EXCHANGE FOR QUITCLAIM DEED, SUBSTANTIALLY IN THE FORM
OF EXHIBIT "B" ATTACHED HERETO, FROid THE U. S. ARMY CORPS
OF ENGINEERS, QUITCLAIMING APPROXIMATELY .572 ACRES ON
AND ALONG A PORTION OF DAN REID AND RINCON STREETS, AS
MORE FULLY DESCRIBED HEREINAFTER; APPROVING EXECUTION BY
THE CITY MANAGER OF THE EXCHANGE OF LANDS CONTRACT,
MARKED EXHIBIT "C ", ANNEXED HERETO; AND DECLARING AN
EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
SECTION 1. THAT THE CITY MANAGER IS HEREBY AUTHORIZED AND DIRECTED
TO EXECUTE, FOR AND ON BEHALF OF THE CITY OF CORPUS CHRISTI, A GENERAL
WARRANTY DEED, AS.SHOWN IN EXHIBIT "A ", ATTACHED HERETO, TO THE U. S.
ARMY CORPS OF ENGINEERS DEEDING THE FOLLOWING DESCRIBED TRACT:
BEGINNING at a point which is the intersection of the centerlines of
Dan Reid Street and Rincon Street;
THENCE S. 78 deg. 43 min, west, 64.87 feet to a point along the
centerline of Dan Reid Street;
THENCE N. 65 deg. 17 min. west, 142.31 feet to a point which is
the southwest corner of thi's property;
THENCE N. 11 deg. 17 min. west, 100.00 feet to a point which is
the northwest corner of this property;
THENCE N. 78 deg. 43 min. east, 75.00 feet to a point along the
Corps of Engineers property line;
THENCE S. 11 deg. 17 min. east, 50.00 feet to a point which is
a corner of the Corps of Engineers property line;
THENCE N. 78 deg. 43 min. east, 105.00 feet along the Corps of
Engineers property line on the centerline of Rincon Street;

SUBJECT TO existing easements for public roads and highways, public utili-
ties, railroads and pipelines. Grantor agrees and covenants that it will con-
struct and maintain paved access streets to the property line of the United
States of America land as shown on attached E :chibit ^A ". Such streets when so
constructed, shall allow the grantor to close those portions of Dan Reid and
Rincon Streets which now provide means of ingress and egress to the United
States of America land.

hereditam nts and appurtenances thereto belonging or in any wise appertaining
forever. And said grantor, its successors and assigns, does hereby covenant-,

KNOWN ALL MEN BY THESE PRESENTS:
That the United States of America, acting by and through the Secretary of
the Army, under and by virtue of the authority vested in him by Section 2 of the
Act of Congress approved June 20, 1938 (52 Stat. 804; 33 U. S. C. 558b), as
amended by Section 3 of the Act of Congress approved August 11, 1939 (53 Stat.
1414; 33 U.S.C. 558b -1), generally known as the Exchange of Lands Act, for and
in consideration of the exchange of land does hereby REMISE, RELEASE AND FOREVER
QUITCLAPI, without warranty, express or implied, unto the City of Corpus Christi,
a municipality and political subdivision of the State of Texas, and to its
successors and assigns, FOREVER, all its right, title and interest, with the ex-
ceptions as set out below in, on, over and across the following lands lying in
the County of Nueces, State of Texas, to -wit;
A tract of land situated in the City of Corpus Christi, County of Nueces,

and Rincon Street in the Beach Portion of the City of Corpus Christi;

bulkhead;

point which is the southeast corner of property.

between the UNITED STATES OF AMERICA, hereinafter called the "Government,"
represented by the Contracting Officer exLcuting this contract, and the City
of Corpus Cbri.sti, Texas, a municipality and political subdivision of the

State of Texas, hereinafter called the "City,"
WiTNESSETH, THAT:

WHEREAS, the Government acquired six (6) lots or parcels of land in the
Beach. Portion of the City of Carpus Cluisti, Faeces County, Texas, from the
Naeces County Navigation District No. 1, said parcels included a 0.572 acre

tract of land, by deed dated the loth. day.of June, 1927, of record in volmse
183, pages 1 -2, Deed Records, Nueces County, 'Texas, and,
I- MRF:AS, the Goverment has located and maintains an Area Office of the
Galveston District, United States Army Corps of Engineers, on the above des-
. I
cribed parcels of land and desires to exchange this 0.572 acre tract for a
0.528 acre tract of land now owned by the said City so that an authorized
improvement my be erected upon such 0.528 acre tract of land; and,
WHEREAS, it is in the best interest of the Government and of the City
that arrangements be made on an equitable basis for an exchange of these lands
as authorized by Section 2 of the Act of Congress approved June 20, 1938:(52
Stat. 804; 33 U.S.C. 558b) and by Section 3 of the Act of Congress approved
Ingust 11, 1938 (53 Stat. 143)4; 33 U.S.C. 558b -1), generally knTan as the
Exchange of Lands Act.
NOW, THEREFORE, in* consideration of the faithful performance of each
Party of the mutual covenants and agreements hereinafter set forth, it is
mutually agreed as follohss
Article 1: Obligations of the City
a. The City shall convey to the Government by good and sufficient
Warranty Deed substantially in the form of Exhibit "A" attached hereto and
made a part hereof, the land shown in red on ]4hibit "C", said land is more
particularly described as follows, to -snit: All that certain tract or parcel
of land lying in the County of Nueces, State of Texas, situated in the Beach.
Portion of the City of Corpus Christi, Texas, and being further described as

THENCE S. 78 deg. 43 min. west, 611.87 feet to a point along the
centerline of Dan Reid Street;
THENCE N. 65 deg.'17 min. west, 142.31 feet to a point which is the
southwest corner of this property;
THENCE N. 11 deg. 17 min. west, 100.00 feet to a point which is the
northwest corner of this property;

b. The City, at its own expense, will procure from a commercial title
company acceptable tp the Government, the necessary title evidence pertaining
to the land to be conveyed by the City to the Government.
C." The City shall grant to the Government, upon approval of this Contract
as hereinafter provided, the right of immediate occupancy and use of said land
shorn in paragraph a. above until such time as said land is conveyed to the
Government.
d. The City will construct and maintain paved access streets to the
property line of the Government as shmin on attached Exhibit TIC" in blue which
when so constructed shall allow the City to close those portions of Dan Reid
and Hiincon Streets which now provide a means of ingress and egress to the
Government property.
Article 2: obligations of the Government
a. The Government shall, subject to the approval of the Secretary_of the
Army, convey to the City by Quitclaim Deed substantially in the form of Exhibit
"B" the land shown in yellow on .Yhibit "C", said land is more particularly
described as follows, to -wit: All that certain tract or parcel of land lying
in the County of Nueces, State of Texas, situated.in the Beach Portion of the
City of Corpus Onristi, Texas, and being further described as
BEGINNING at a point in centerline of Dan Reid Street which is 180 feet
N. 78 deg. U min. east fram the intersection of centerlines of Dan Reid
and Rincon Street in Beach Portion of the City of Corpus Christi;

THENCE N. 33 deg. 43 min. east, 95.40 feet to a point on the concrete
bulkhead;
THENCE 5. 62 deg. 43 min. 51 sec., east, 111.59 feet along the concrete
bulkhead to a point along the East property line;
MaINCE So 9 deg. 10 min. east, 128.00 feet along East bulkhead to a
point which is the southeast corner of this property;
THENCE S. 78 deg. 43 min. west, 150.00 feet along property line to a
point which is the southwest corner of this property;
THENCE 11 deg. 17 min. west, 130.00 feet to the centerline of Dan
Reid Street which is the point of BEGINNING and containing 0.572 acre
of land and being a part of the land conveyed to the'United States of
America by deed dated 10th. day of June, 1927, by Nueces A;ounty Navi-
gation District No. 1, of record in volume 183, pages 1 -2, Deed Records,
Nueces County, Texas.
Reserving therefrom the continuing right to retain in place the existing
radio tower, guys and anchors, such right however shall automatically
terminate upon the Government's removal of said improvements from the
premises.
b. The Government will defray all expenses incident to the recordation
of the Warranty Deed to the Government from the City and will furnish the City
a copy of the United States Attorney General's opinion finding a valid title
of record in the Government of the land to be conveyed by the Government to
the City.
Article 3s Loss
Any loss or damage to the property to be convg7ed by the City by Acts
of God shall be at the risk of the City until title to the land and deed to
the Government have been accepted by the Government through its duly authorized
representative or until the right of occupancy as provided in Article l.c hereof
shall have been exercised by the Government; and.in the event that such lose or
damage occurs, the Government may, without liability, refuse to accept convey-
ance of the title.
Article 4: Covenant Against Contingent Fees
The City warrants that no person or selling agency has been employed or
.. retained to solicit or secure this contract:upon.an agreement or understanding
for a commission, percentage, brokerage, or contingent fee, excepting bona fide
established commercial or selling agencies maintained by the City for the purpose
of securing business. For breach or violation of this warranty the Government
shall have the right to annul this contract without liability or in its discre-
tion to require the City to pay, in addition to the consideration herein set
forth, the full amount of such commission, percentage, brokerage or contingent
fee.
Article 5: Officials Not to Benefit
No member of or delegate to Congress, or Resident Commissioner, shall
be admitted to'arjy share or part of this 'contract, or to any benefit that may
arise therefrom; but thins provisions shall not be construed to extend to this
contract if made with a corporation for its general benefit.
Article 6: Gratuities
a. The Government map, by written notice to the City, terminate this
contract if it is found, after notice and hearing, by the Secretary of the
Armylor his duly authorized representative, that gratuities (in the form of
entertainment, gifts, or otherwise) were offered or given by the City, or any
agent or representative of the City to any officer or employee of the Govern-
ment with a view toward securing favorable treatment with respect to the award-
ing of amending, or the making of any determinations with respect to the perfo --m-
ing of this contract; provided, that the existence of.the facts upon which the
Secretary of the Army or his duly authorized representative makes such findings
shal]a be an issue and may be reviewed in any competent court.
b. In the event this contract is terminated as provided in paragraph a
of this'Article, the Government shall be entitled (1) to pursue the same reme-
dies against the City as it could pursue in the event of breach of contract by
the City, and (2) as a penalty in addition to any other damages to which it may
be entitled by law, to exemplary damages in an amount (as determined by the
Secretary of the:Azmy or his duly authorized representative) which shall be not
less than three aor more than ten times the costs incurred by the City in pro-
viding any such gratuities to any such officer or employee.
c. The rights and remedies of the Government provided in this Article
shall not be exclusive and are in addition to any other rights and remedies
provided by law or under this contract.
Article 7: Representations
All terms and conditions with respect to this contract are expressly
contained herein and the City agrees that no representative or agent of the
Government has made arty representations or piomise'vith respect to this con-
tract not expressly contained herein.

Article 8: Ap roval
This contract shall be subject to the written approval of the Chief
of Engineers or his duly authorized representative, and shall not be binding
until so approved, and shall be null and void unless so approved within 90

day's of the date hereof. It is agreed that this contract shall be closed
within one year from the date hereof; however, no liability shall be attached
i t
for',the exercise of the discretion reserved to the Secretary of the Arqr in
paragraph a of Article 2, hereof.

FOR THE REASONS SET FORTH IN THE EMERGENCY CLAUSE OF THE FOREGOING
ORDINANCE, A PUBLIC EMERGENCY AND IMPERATIVE NECESSITY EXIST FOR THE SUSPEN-
SION OF THE CHARTER RULE OR REQUIREMENT THAT NO ORDINANCE OR RESOLUTION SHALL
BE PASSED FINALLY ON THE DATE IT IS INTRODUCED AND THAT SUCH ORDINANCE OR
RESOLUTION SHALL BE READ AT THREE MEETINGS OF THE CITY COUNCIL; I, THEREFORE
