AN ORDINANCE
AUTHORIZING AND DIRECTING THE CITY MANAGER TO ENTER
INTO A CONTRACT WITH THE NUECES COUNTY CONIlNUNITY
ACTION AGENCY TO ASSUME RESPONSIBILITY FOR PREPARATION
AND DELIVERY OF MEALS TO THE ELDERLY IN ACCORDANCE
WITH THE PROVISIONS OF TITLE VII OF THE OLDER AMERICANS
ACT, A COPY OF WHICH IS ATTACHED HERETO AS EXHIBIT "A"
AND INCORPORATED HEREIN FOR ALL PURPOSES; AND DECLARING
AN EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,

SECTION 1. That the City Manager be, and he is hereby, authorized
and directed to enter into a contract with the Nueces County Community Action
Agency to assume responsibility for preparation and delivery of meals to the
elderly in accordance with the provisions of Title VII of the Older Americans
Act, a copy of which contract is attached hereto as Exhibit "A ", and incor-
porated herein for all purposes.
SECTION 2. The necessity to immediately enter into the aforesaid
contract in order that plane and preparations may be commenced without delay
in order that the meals for the elderly may be provided as soon as practicable
creates a public emergency and an imperative public necessity requiring the
suspension of the Charter role that no ordinance or resolution shall be read
at three several meetings of the City Council, and the Mayor having declared
that such emergency and necessity exist, and having requested the suspension
of the Charter rule and that this ordinance be passed finally on the date of
its introduction and take effect and be in full force and effect from and
after its passage, IT IS ACCORDINGLY SO ORDAINED, this the V day of

CONTRACT
THE STATE OF TEXAS
COUNTY OF NUECES
THIS CONTRACT, by and between the Nueces County Community Action
Agency, hereinafter referred to as "Agency ", and the City of Corpus Christi,
Texas, a municipal corporation and body politic, operating under the home
rule statutes of the State of Texas, hereinafter referred to as "City ",
WITNESSETH:
WHEiXAS, the City desires to assume responsibility for preparation
and delivery of meals to the elderly in accordance with Title VII of the
Older Americans Act; and
WEEREAS, Agency is presently providing said services under the
Nutritional Incentive Program and desires to convey its responsibility to
City; and
WHEREAS, federal funds have been made available to the City for
this purpose through a Title VII grant of The Older Americans Act:
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS, that City and
Agency do enter into the following agreement:
I
Agency agrees to transfer to City the following staff:
A. Four (4) Cooke
B. Four (4) Cooks' Aides
C. Four (4) Driver Aides
It is mutually agreed between City and Agency that these employees shell
become City employees upon the effective date of this agreement and that
their employment will be controlled by appropriate City Charter and ordi-
nance provisions.

Agency agrees to transfer ownership and does hereby so transfer
to City of various kitchen equipment listed in detail in Exhibit "A ",
attached hereto and made a part hereof.

Agency agrees that the assumption of this Program by City will
require use by City of at least five (5) of the eight (8) vans now operated

by Agency. Agency agrees to either loan, lease, or transfer said vehicles
to City. It is agreed that the negotiation relating to the loan, lease,
or transfer of said vehicles will be consummated in a separate instrument
between the parties.
IV
Agency agrees to provide a list of names and addresses ofpersons
presently served by the subject program.

Agency agrees to guarantee program expenses until physical transfer
of equipment and personnel is complete but in no case more than sixty (60)
days after the effective date of this Agreement.

City agrees to operate the three (3) kitchen substantially or 2 -z7_7y
equivalent services as to general location and delivery of services listed 9 464.

C. Robstown Kitchen.
City agrees to assume the obligations contained in the rental agree-
ments for the kitchens and Agency agrees to assign its rights under said
leases to City; provided, however, upon actual termination of Title VII funding
to the City the City shall endeavor to obtain an agreement with some governmental
body or political subdivision including Robstown and other areas outside of City
of Corpus Christi corporate limits in order to lawfully continue such out -of-
City services.
VII
Agency agrees to indemnify and hold harmless City from any liability
and /or claims arising out of the execution of this Contract.
Executed in duplicate, each of which shall be considered an original,

For the reasons set forth in the emergency clause of the foregoing
ordinance, a public emergency and imperative necessity exist for the suspen-
sion of the Charter rule or requirement that no ordinance or resolution shall
be passed finally on the date it is introduced, and that such ordinance or
resolution shall be read at three meetings of the City Council; I, therefore,
request that you suspend said Charter rule or requirement and pass this ordi-
nance finally on the date it is introduced, or at the present meeting of the
City Council.
