TEXAS:
AN ORDINANCE
AUTHORIZING THE CITY MANAGER TO EXECUTE A CONTRACT
TERMINATING THE PRIMARY AGREEMENT WITH THE NAVIGATION
DISTRICT AND NUECES COUNTY OVER THE BASCULE BRIDGE
REMOVAL AND RELOCATION PROJECT, AND CONVEYING SURPLUS
LANDS NORTH OF UpRIVER ROAD TO THE NAVIGATION DISTRICT
AND MAINTAINING OWNERSHIP OF ALL SURPLUS LANDS SOUTH
OF UpRIVER ROAD, ALL AS MORE FULLY SET FORTH IN
THE CONTRACT, A SUBSTANTIAL COPY OF WHICH IS ATTACHED
HERETO AND MADE A PART HEREOF, MARKED EXHIBIT "A "; AND
DECLARING AN EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
SECTION 1. That the City Manager be and he is hereby authorized
to execute a contract terminating the Primary Agreement with the Nueces
County Navigation District and Nueces County over the Bascule Bridge
Removal and Relocation Project, and conveying surplus lands North of UpRiver
Road to the said Navigation District and maintaining ownership of all
surplus lands South of UpRiver Road, all as more fully set forth in the
contract, a substantial copy of which is attached hereto and made a part
hereof, marked Exhibit "A ".
SECTION 2. The necessity to authorize the aforesaid contract
in order to accomplish the purposes contemplated in terminating the Primary
Agreement creates a public emergency and an imperative public necessity
requiring the suspension of the Charter rule that no ordinance or resolu-
tion shall be passed finally on the date of its introduction but that
such ordinance or resolution shall be read at three several meetings of
the City Council, and the Mayor having declared that such emergency and
necessity exist, and having requested the suspension of the Charter rule
and that this ordinance be passed finally on the date of its introduction
and take effect and be in full forece and effect from and after its
passage, IT IS ACCORDINGLY SO ORDAINED, this the IzAay of April,

CONTRACT

COUNTY OF NUECES )
The parties to this contract are the City of Corpus
Christi, Texas, hereinafter referred to as "City"; the County
of Nueces, Texas, hereinafter referred to as "County "; and
the Nueces County Navigation District No. 1, hereinafter re-
ferred to as "District";
WHEREAS, the parties to this contract entered Into
a contract titled "Primary Agreement Corpus Christi Railroad
Relocation Project % executed on the 27th day of May, 1960,
to which contract the Missouri Pacific Railroad Company, the
Texas Mexican Railway Company, and the Texas and New Orleans
Railroad Company were also parties, and
WHEREAS, the right -of -way acquisition phase of said
Primary Agreement has been accomplished and the obligations
of the City, County, and District have been performed inso-
far as the Primary Agreement relates to and binds the parties
to this contract; and
WHEREAS, pursuant to the Primary Agreement City and
District acquired or provided land or easements for rights -
of -way for certain roads, railroad tracks, connections, yards
and communications facilities; and portions of such land or
easements are now unnecessary for such rights -of -way;
THEREFORE, City, County and District contract with
each other as follows:
(1) The above described Primary Agreement is hereby
terminated to the extent that it imposes any unsatisfied obli-
gations on, or grants any unexercised rights to, City and
County, except only that City shall retain all responsibility
and be solely liable for all costs and obligations, remaining

unpaid and unperformed, if any there be, in any condemnation
proceedings filed by City in acquisitions under the Primary
Agreement:
(2) Simultaneously with the delivery of this Agree -
went, City will convey'to District all of its interest in
those parcels of real property which are described as Tracts
One, Two and Three in Exhibit A and which were acquired pur-
suant to the Primary Agreement and are now unnecessary for the'
right -of -way purposes set out in the Primary Agreement. Such
conveyance shall be in the form attached hereto as Exhibit A.
(3) Simultaneously with the delivery of this Agree-
ment, District and County will release and quitclaim to City
all of their interests, if any, joint or separate, in that
parcel of real property which is described as Tract Eight in
Exhibit A and which was acquired pursuant to the Primary Agree-
ment and is now unnecessary for the right -of -way purposes set
out in the Primary Agreement. Such quitclaim shall be in the*
foria which is attached hereto as Exhibit A.
(4) The parties to this contract agree that, from
the unexpended monies in the joint fund)created by the parties
hereto for the accomplishment of the purposes set out in the
Primary Agreement, $57,000.00 shall be paid toward the cost
of removing the abandoned railroad trestle and pilings which
cross Nueces Bay from Rincon Point, on the south, to Indian
Point, on the north; and the City, as agent with control of.
said monies, is hereby authorized to make whatever transfers
and execute whatever documents are necessary to effectuate
such expenditure.
(5) The remainder of the unexpended monies in the
joint fund created by the parties hereto for the accomplish-
ment of the purposes set out in the Primary Agreement, ex-
clusive of the $57,000.00 appropriated in paragraph (4) hereof,
which remainder is approximately $47,200.00, more or less,

shall be transferred by the City, as agent with control of
said monigs, to a trust account to be spent on clean -up,
parking, beautification and other improvements on property
which is located on the north side of the ship channel and
which is within or adjacent to the right -of -way for the Harbor
Bridge (State Highway 181), which transfer shall exhaust and
terminate said joint fund.

CROSS - CONVEYANCE
WHEREAS, pursuant to the provisions of a certain agree-
ment entitled "Primary Agreement -- Corpus Christi Railroad
Relocation Project" dated May 27, 1960, between the City of
Corpus Christi, the County of Nueces, Nueces County Navi-
gation District No. 1, and the three railroads serving the
Corpus Christi area, the City of Corpus Christi acquired
various lands and easements for roads, railroad tracks,
communication facilities and other uses related -to the
relocation of road and rail facilities required by the
removal of the Bascule Bridge.at the entrance to the Port of
Corpus Christi, using for such acquisitions funds jointly
provided by the said three political bodies; and
WHEREAS, some portions of the lands which were so
acquired have not been utilized for such purposes and it is
the desire of the parties to this Cross - Conveyance to settle
and adjust their respective rights and ownerships in such
lands;

NOW, THEREFORE, KNOW ALL MEN BY TAESE.PRESENTS:
That the City of Corpus Christi, acting herein by its
City Manager hereunto 'duly authorized by action of its City
Council., for and in consideration of the premises and the
sum of Ten Dollars ($10:00) and other valuable considera-
tions to it paid by Nueces County Navigation District No. 1,
the receipt of which is hereby acknowledged, has'GRANTED,
SOLD AND CONVEYED, and by these presents does GRANT, SELL
AND CONVEY. subject to the reservations, conditions and
exceptions hereinafter set out, unto the said Nueces County
Navigation District No. 1 all of the following described
tracts or parcels of land lying and being situated in Nueces
County, Texas, to -wit:
TRACT ONE
1.992 acres of land, more or less, out of
that certain tract containing 2.8 acres,
more qr less, which was acquired by the
City of Corpus Christi by Judgment in Con-
demnation entered June 23, 1958, in Cause
No. 113 in the County Court of Nueces County,
Texas, styled "In the Matter of Proceedings
by the City of Corpus Christi, Texas, for
Condemnation of Certain Property of L. L.
Woodman, Sr., Trustee, and Frank Evans ",
the said tract therein condemned being that
tract conveyed by B. B. Lacey to L. L.
Woodman, Sr., Trustee, and Frank Evans by
deed dated December 16, 1954, recorded in
Volume 678, page 161, Deed Records, Nueces
County, Texas.
The said 1.992 acre Tract One is described
by metes and bounds'in Exhibit A -1 and by
map Exhibit A -2, each of which is attached
hereto and incorporated herein by reference
for all purposes.
TRACT TWO
0.119 acres of land, more or less, being
a part of that tract of 2.8 acres, more or
less, which was acquired by the City of
Corpus Christi by Judgment-in Condemnation
entered June 23, 1958, in Cause No..113 in
the County Court of :Nueces County, Texas,
styled "In the Matter of Proceedings by the
City of Corpus Christi, Texas, for Con-
demnation of Certain Property of L. L.
Woodman, Sr., Trustee, and Frank Evans' °,
the said tract therein condemned being that
tract conveyed by B. B. Lacey to L. L.
Woodman, Sr., Trustee, and Frank Evans by
deed dated December 16, 1954, recorded in
Volume 678, page 161, Deed Records, Nueces
County, Texas.
The said 0.119 acre Tract Two is described
by metes and bounds in Exhibit B -1 and by
plat Exhibit B -2, each of which is
attached hereto and incorporated herein
by reference for all purposes.
TRACT THREE
1.224 acres of land, more or less, being a portion
of that tract of 2.471 acres acquired by the City
of Corpus Christi by Judgment in Condemnation
entered -June 6, 1960, in Cause No. 198 in the
County Court of Nueces County, Texas, styled "In
the Matter of Proceedings by the City of Corpus
Christi for the Condemnation of Certain Property
of Robert E. Brennan, et ux ", which condemned
2.471 acre tract was a portion of a 4.534 acre

tract belonging to Robert E. Brennan and wife,
Marion Brennan, described in deed dated September
12, 1950, recorded in Volume 488, page 52, Deed
Records of Nueces County, Texas.
The said 1.224 acre Tract Three is more particularly
described by metes and bounds in Exhibit C-1 and
by plat Exhibit C -2, each of which is attached
hereto and incorporated herein by reference for
all purposes.
TO HAVE AND TO HOLD the above described lands and
premises, together with all and singular the rights and
appurtenances thereto in anywise belonging, subject to the
reservations, exceptions and conditions hereinafter contained,
unto the said Nueces County Navigation District No. 1, its
successors and assigns forever; and the City of Corpus
Christi -does hereby bind itself, its successors and legal
representatives, to warrant and forever defend all and
singular the said lands and premises unto the said Nueces
County Navigation District No. 1, its successors and assigns,
against every person whomsoever lawfully claiming or to
claim the same or any part thereof by, through or under it
only, subject to the covenant and condition•running with the
land hereinafter set out.
'The conveyance herein made of the above described
Tracts One, Two, and Three is subject to all exceptions
and reservations of interests in oil, gas and other minerals,
and to all easements and oil, gas and mineral leases, if
any, which are outstanding and of record in Nueces County,
Texas, and affect the said lands.
There is excepted from this conveyance and reserved to
the City of Corpus Christi, its successors and assigns, an
easement across Tract One on an easement area, fifteen (15')
in width, described by. metes and bounds as follows:

Beginning at a point in the most Northerly -
South boundary line of that 2.8 acre tract
acquired by the City of Corpus Christi in
Judgment in Condemnation entered June 23,
1958, in Cause No. 113 in County Court of
Nueces County, Texas, said 2.8 acre tract
also being that conveyed by B. B. Lacey to
L. L. Woodman, Sr., Trustee, et al, by deed
dated December 16, 1954, recorded in Vol. 678,
page 161, Deed Records, Nueces County, Texas,
said point bears S. 83° 01' W. 222.5 feet
from the most Easterly Southeast corner of
said 2.8 acre tract;
Thence S_ 83° 01' W. with the most Northerly
South boundary line of said 2.8 acre tract a
distance of 15 feet to a point for a corner
of this tract;
Thence N. 4° 44' W. a distance of 50.25 feet
to a point, said point being the point of
curve of a circular curve to the left.having
a radius of 177.30 feet and central angle of
40° 27';
Thence in a Northerly direction with the are
of said circular curve a distance of 125.17
feet to a point in the most Northerly boundary
line of said 2.8 acre tract for a corner of
this tract;
Thence S. 78° 32' E. with the most Northerly
boundary line of said 2.8 acre tract a dis-
tance of 25.18 feet to a point for a'corner
of this tract;
Thence in a Southerly direction with the are of a
circular curve to the right whose radius is 192.30
and a central angle of 34° 10', parallel to and 15
feet East of the above described curve a distance
of 114.67 feet to a point, said point being the
point of tangent to said curve; -
Thence S. 4° 44' E. a distance of 49.67 feet to
the place of beginning.
for use only for'_the construction, operation, maintenance,
repair, reconstruction and removal of drainage structures
(not open ditches) for so long as the said easement area is
used for such purposes. Upon the cessation of such use this
-reservation shall cease and terminate and the easement shall
revert to Nueces County Navigation District No. 1, its
successors and assigns. It is agreed that Nueces County
Navigation District No. 1 shall have full use and occupancy

of all of the land covered by the said drainage easement
area, subject only to the rights reserved to City of Corpus
Christi therein, provided that such use by Nueces County
Navigation District No. 1 does not unduly interfere with the
use of the said easement area for drainage purposes.

In consideration of the premises and the receipt of Ten
Dollars ($10.00) and other valuable considerations to Nueces
County paid by Nueces County Navigation District No. 1, the
receipt of which is hereby acknowledged, Nueces'County,
acting herein by -the County Judge hereunto duly. authorized.
by -order of the Commissioners Court, has QUITCLAIMED, and by
these presents does QUITCLAIM, unto Nueces County Navigation
District No. -1 all of its right, title and interest in and
to the lands herein described as Tract One, Tract Two, and
Tract Three, together with all and singular its right, title
and interest in and to the hereditaments and 'appurtenances
thereto belonging or in anywise appertaining.
TO HAVE AND TO HOLD all of the said rights, titles and
interests in and to the said property and premises unto the
said Nueces County Navigation District No. 1, its successors
and assigns forever, subject to the covenant and condition
running with the land hereinafter set out.

COVENANT AND CONDITION APPLI-
CABLE TO TRACTS ONE, TWO, AND THREE
The conveyances and quitclaims herein made as to tracts
hereinabove described as Tracts One, Two, and Three are made
subject to the following covenant and condition: Until
released by writing from the other parties hereto, the owner
and holder of each respective tract shall hold the same

subject to the right of the other parties hereto to require
that all or part of each tract may be used for the construc-
tion, maintenance and operation of grade separation structures,
such as overpasses or underpasses, in connection with road
and highway crossings of railroad tracks, and the holder of
each of said tracts covenants and agrees, as a covenant
running with the land, that when called upon by the other
parties hereto, their successors and assigns, all or such
portions of each of said tracts will be made available for
such use as may be required and all improvements. which
interfere with the proposed use will be removed. It is
understood that-this covenant and condition shall not pro-
hibit the erection of improvements on 'the said lands but the
.owner and holder of such lands covenants and agrees that
when called upon to do so it will, at its costs, remove all
such improvements which interfere with the proposed use.
NO FAILURE OF TITLE
Nueces Corty Navigation District No. 1, on the one
hand, and City of Corpus Christi, on the other hand, each
agree that they take the lands and titles conveyed to them
herein without claim against any of the other parties hereto
in the event there should be any loss or failure of title as
to airy of such lands, ••

For the reasons set forth in the emergency clause of the foregoing
ordinance, a public emergency and imperative necessity exist for the suspen-
sion of the Charter rule or requirement that no ordinance or resolution shall
be passed finally on the date it is introduced, and that such ordinance or
resolution shall be read at three meetings of the City Council; I, therefore,
request that you suspend said Charter rule or requirement and pass this ordi-
nance finally on the date it is introduced, or at the present meeting of the
City Council.
