AN ORDINANCE
AUTHORIZING THE CITY MANAGER TO EXECUTE A GRANT
AGREEMENT WITH THE ENVIRONMENTAL PROTECTION AGENCY,
SAID AGREEMENT PROVIDING FOR 75% OF COSTS RELATING
TO THE DESIGN OF IMPROVEMENTS TO THE OSO WASTEWATER
SYSTEM FOR A TOTAL FEDERAL PARTICIPATION OF $721,050
AND THE CITY PROVIDING FOR 25% OF THE COSTS FOR
DESIGN, OR $240,351, ALL AS MORE FULLY SET FORTH IN
THE GRANT AGREEMENT, A SUBSTANTIAL COPY OF WHICH IS
ATTACHED HERETO, MARRED EXHIBIT "A ", AND MADE A PART
HEREOF; AMENDING ORDINANCE NO. 13256, AUTHORIZING THE
ENGINEERING CONTRACT WITH URBAN ENGINEERING AND PRO-
VIDING FOR APPROPRIATIONS TO COVER THE VARIOUS PRO-
JECTS IN THE CONTRACT, BY DELETING THE CONDITION FOR
AUTHORITY TO EXECUTE THE CONTRACT AND APPROPRIATION
OF FUNDS TO BE IN CONCURRENCE WITH THE APPROVAL OF
THE TEXAS WATER QUALITY BOARD THE(ENVIRONMENTAL
PROTECTION AGENCY ON ALL PROJECTS LISTED AND IDENTIFIED
AS NOS. 250- 70 -81, 250 -70 -104 AND 250 -72 -2, AND RETAIN-
ING THE CONDITIONAL APPROVAL OF TEXAS WATER QUALITY
BOARD AND THE ENVIRONMENTAL PROTECTION AGENCY ON THE
McARDLE TRUNK AND OSO TRUNK REHABILITATION, IDENTIFIED
BY SAID ORDINANCE NO. 13256 AS PROJECT NO. 250- 72 -18,
ALL IN CONNECTION WITH THE OSO WASTEWATER SYSTEM; EPA
PROJECT NO. C -48- 1214 -01 -0; AND DECLARING AN EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
SECTION 1. That the City Manager be and he is hereby authorized
to execute a Grant Agreement with the Environmental Protection Agency, said
agreement providing for 75% of costs relating to the design of improvements
to the Oso Wastewater System for a total Federal participation of $721,050
and the City providing for 25% of costs for design, or $240,351, all as
more fully set forth in the Grant Agreement, a substantial copy of which is
attached hereto, marked Exhibit "A ", and made a part hereof.
SECTION 2. That Ordinance No. 13256, passed and approved by
the City Council on June 23, 1976, authorizing the engineering contract
with Urban Engineering and providing for appropriations to cover the
various projects in the contract, be and the same is hereby amended by
deleting the condition for authority to execute the contract and appropri-
ation of funds to be in concurrence with the approval of the Texas Water
Quality Board and the Environmental Protection Agency on all projects
listed and identified as Project Nos. 250- 70 -81, 250 -70 -104, and 250 -72 -2,
and retaining the conditional approval of Texas Water Quality Board and
the Environmental Protection Agency on the McArdle Trunk and Osp /Trunk

Rehabilitation, identified by said Ordinance No. 13256 as Project No.
250- 72 -18, all in connection with the Oso Wastewater System, EPA Project
No. C -48- 1214 -01 -0.
SECTION 3. The necessity to authorize execution of the afore-
said Grant Agreement and to amend Ordinance No. 13256 as more fully set
forth hereinabove in order that the Oso Wastewater System Project continue
without delay creates a public emergency and an imperative public necessity
requiring the suspension of the Charter rule that no ordinance or resolution
shall be passed finally on the date of its introduction but that such
ordinance or resolution shall be read at three several meetings of the City
Council, and the Mayor having declared such emergency and necessity to
exist, having requested the suspension of the Charter rule and that this
ordinance take effect and be in full force and effect from and after its
passage, IT IS ACCORDINGLY SO ORDAINED this the .'% '(day of October, 1976.

(a) The grantee agrees that the grant award official nay, at any time, after written. notice and
after opportun.i t for consultation has been attorded to the grantee, terminate the grant, in whole or in part,
with the concurrence of apFroFraa to EPA officials, th rough iwrie ten termination notice specifying the
effective dace of the termination action_
(i) Cause for termination shall include, but not. be limited to; default by the grantee or
failure by the grantee to comply vita ;rant conditions or terms.
(2) The grantee agrees chat, u,,oe. such termination, it will return or credit to the United

except such portion as may be required by the grantee to meet commitments which had become firm prior to the

(3) Whenever feasible, the grant award official and the grantee shall enter into a termination
agreement as soon as possible after any such termination action to establish the basis Far settlement of grant
termination costs and the amount and date of payment of any sums due to either party.
(b) Upon request of the grantee, and if the Project Officer determines with the concurrence of

work for which d?A grant assistance has been awarded, the grant award official and the grantee may enter_,. to

(c) The grantee agrees that it will not unilaterally terminate work on the project ter which EPA
grant assistance has been awarded, except for good cause. The grantee further agrees:
(1) That it will promptly give written notice to the Project officer of any complete or partial

{2) That, if the Project Officer deternines with the concurrence of appropriate EPA officials
that the grantee has terminated the project work without good cause, the grant award Ott trial may annul the
grant and all EPA qra nt funds previously paid or owing to the grantee shall he promptly returned Or credited
to the United states.
a. Disputes.
(a) 'xrcpt as otherwise prov...d by law or regulations, any dispute arising under this grant
agreement shall be dectded by the Project Officer, who, after concurrence by appropriate EPA officials, sha l:
reduce his decision to writing and mail or otherwise. furnish a copy thereot to the grantee. such a decision
at the Project of Firer sha 11 be Final and conclusive unless, within thirty (30) days from the date of receipt
of sacte copy, the .7rantee mails Or otherwise delivers to the Project Officer a written appeal addressed to the
Administra ter.
(b) The decision of the Administrator o his duly authorized representative Eor the determination of
Bach appeal shall be final and conclusive unless determined by a court of campotent jurisdiction to have been
fraudulent or capricious, or arbitrary, or so grossly erroneous as to imply had faith, or not supported by
substantial evidence.
(c) In connection with an appeal proceeding under this article, the grantee shall he afforded an
opportunity to be heard, to be represented by legal counsel, to offer evidence and testimony in support of any
appeal, and to cross - examine Government witnesses and to examine documentation o exhibits oFfe red in evidence
ny the Government or admitted to the appeal record (subject to the Government's right to offer its own
evidence and testimony, to cross - examine the appellant's witnesses, and to examine documentation or exhibits
oftered in evidence by the appellant or admitted to the appeal record)_ The appeal s1w11 be determined solely
upon the appeal record, in accordance with the applicable provisions of Subpart J of Part 30 of Title u0 CFR.
(d) This "Disputes- article shall not preclude consideration of any question of law in connection
with decisions provided for by this article; provided, that nothing in this grant or related regulations sball
be conutruea as 'a.cinq final the decision of any administrative official, representative, or board, on a
guestaon of law_
3. Notice and Assistance Regarding Patent arc) Copyrig ht In [t M me nt.
(a) The grantee agrees to report to the Project Officer, promptly and in reasonable written detail,
each notice or claim of patent or copyright infringement based on the performance of this grant of which the
grantee has knowledge_
(b) In the event of any claim or suit against the Government, on account of any alleged patent or
copyright infringement arising out of the performance of this grant or out of the u s e of any supplies
furnished or war, or s rvices performed hereunder, the grantee agrees to to to Government, when
requested I,y the Project Officer, all evidence and infor ation in possession of the grantee pertaining to sucl
suit or claim. Such evidence and information shall be furnished at the expense of the Government except where
the )rantee has ajreed to indemnify the Government.

PART ill -GRANT CONDITIONS
a, GENERAL CONDITIONS
The grantee covenants and agreea that it will expeditiously initiate and timely complete the project worx
for which assistance has been awarded under this grant, in accordance with the applicable grant provisions of
40 CFR Subchapter D. Specifically, the grantee warrants and represents that it, and i[a contractors,
subcontractors, employees and representatives, will comply with the tollowinq General Conditions, the
applicable supplemental conditions of 40 CFR Subchapter B, as amended, and any Special Conditions set forth in
this grant agreement or any grant amendment -
1. Access. The grantee agrees Ghat it will provide access to the to cilities, premises and records
related to the project as provided in 6630.605 and 30.805 of 40 CFx Subchapter B.
2. nudyj and Records_ The grantee agrees that it will maintain an adequate system for financial
management, property management and grantee audit in accordance with 6630.800 and 30.010 -3, and that it will
maintain, preserve and make available to the Government .11 project records for the purposr of inspection,
interim and final audit, and copying as required by 6630.605, 30.805, and 30.d20 or 40 CFR Subchapter B.
3, keoorts. The grantee agrees to timely file with SPA such reI)orts as are specitically required by the
grant agreement or pursuant to 40 CFR Subchapter B, including progress reports (630.635 -1), financial reports
1630.635-3), invention reports (630.635 -4), property reports (630.635 -5), relocation and acquisition reports
(630.635 -6) and a final report 630.635 -2, and that failure to timely file a report may cause EPA to invoke the
remedies provided in 40 CFR 30.430.
4. Grant Chand_; Nodifications. The grantee agrees that all grant modifications will be accomplished
through the provisions of 40 CFR 30.900 through 30.900 -4.
5. Requirements Pert " j,niM Sg Fe e a Assisted Construction. The grantee agrees that during the
Performance of the project work it will comply, and that its contractors, subcontractors, employees and
representatives will comply, with the requirements pertaining to tederally assisted construction identified in
40 CER 30.415.

(a) The grantee agrees that the grant official may, at any time, require the grantee to stop all, or
any part, of the work within the scope of the project for which EPA grant assistance was awarded, by a written
stop -work order, for a period of not more than forty -five (45) days after the order is delivered to the
grantee, and for any further period to wnich the parties may agree. Any such order shall be specifically _
identified as a stop -work order issued pursuant to this clause.. Upon receipt at such an order, the grantee
agrees to forthwith comply with its terms and take all reasonable steps to minimize the incurrence of casts
allocable to the work covered by the order during the period of work stoppage.)i mThis suspension article shall
not be applicable to educational institutions or nonprofit research institutions.
(b) The grantee agrees that within any such suspension period, EPA may either (1) cancel the stoP-
work order, in fa 11 or in part, or (2) initiate action to terminate the grant, in part or in tull, as provided
in Article 7, below. ,
(c) If a stop -work order is canceled or if the su pension period or any extension thereof expires,
the grantee agrees to promptly resume the previously suspended project work.
(d) An equitable adjustment shall be made in the pro3ect period, budget period, or the grant amount,
or all of these as appropriate, if:
(1) the stop -work order results in an increase in the time required for, or in the grantees
casts properly allocable to, the performance of any part of the project, and
(2) the grantee asserts a written claim for such adjustment within sixty (60) days after the
end of the period of work stoppage, pZ2vvjded that if the Project Ofticer determines that the circumstances
justify such action( for example, if the impact of cost or time factors resulting yrom a stop -worx order could
not have been ascertained prior to written submission of the claim), he may receave and act upon any such
claim asserted at any time prior to final payment under this grant.
(e7 If a stop -work order is/not canceled and grant- related project work covered by such order is
within the scope of a subsequently - issued termination order, the reasonable costs resulting from the stop -work
order shall be allowed in arriving at the termination settlement.
(f) The grantee agrees that costs incurred by the grantee or it. contractors, subcontractors or
representatives, after a stop -work order is delivered, or within any extension of the suspension period to
which the parties may have agreed, with respect to the projeet work suseend ea by such order or agreement,
which are not authorized by this article or specifically authorized in writing by the Project Officer shall
not be allowable costs.

Receipt of a written refusal or failure to return the properly executed document within the prescribed time, will result
in the automatic withdrawal of the grant offer by the Agency. Any amendment to the Grant Agreement by the grantee
subsequent to the document being signed by the Award Official shall void the Grant Agreement.

2. ALL (GRANT PAYMENTS ARE SUBJECT TO CONGRESSIONAL APPROPRIATION AND AVAIL-
ABILITY OF FUNDS.
3, All costs incurred in this project must be substantiated with written
verification at the time of Federal audit. All projects will be audited
when completed.
4, Grantee's records, and his contractors' and subcontractors' records,
are subject to audit and inspection by the Comptroller General of the
United States and by representatives of the Environmental Protection
Agency. Any contract for Step 1, Step ,2 or Step 3 work must provide
that representatives of the Environmental Protection Agency and the
State will have access to the work whenever it is in preparation or
progress and that the contractor will provide proper facilities for such
access and inspection. Such contract must also provide that the Regional
Administrator, the Cwptroiler General of the United States, or any
authorized representative shall have access to any books, documants,
pacers, and records of the contractor which are pertinent to the project
for the purpose of making audit, examin:4tion, excerpts, and transcrip-
tions thereof.

REQUEST THAT YOU SUSPEND SAID CHARTER RULE OR REQUIREMENT AND PASS THIS ORDI-
