BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. That the City Manager be and he is hereby authorized to execute agreements with Thomas F. Dorsey and Sidney H. Smith III for the appraisal of 27 parcels in connection with the International Airport Land Acquisition Project, as more fully set forth in said agreements, a copy of each being attached hereto and made a part hereof, marked Exhibits "A" and "B". SECTION 2. That there is hereby appropriated the sum of $40,449 out of the 245 Airport Bond Fund for appraisal services for 27 parcels in connection with the International Airport Land Acquisition Project, all applicable to Project No. 245 -72 -1. SECTION 3. The necessity to authorize execution of the afore- said agreements and appropriation of the sums necessary in connection with the project outlined above, at the earliest practicable date, creates a public emergency and an imperative public necessity requiring the suspension of the Charter rule that no ordinance or resolution shall be passed finally on the date of its introduction but that such ordinance or resolution shall be read at three several meetings of the City Council, and the Mayor having declared such emergency and necessity to exist, and having requested the suspension of the Charter rule and that this ordinance take effect and be in full force and effect from and after its passage, IT IS ACCORDINGLY SO ORDAINED, this the aRfi day of March, 1977. Dorsey ( "Party of the Second Part ") being referred to as "Appraiser ", and pertains to the prepara- tion of Real Estate Appraisals of 27 parcels subject to possible Eminent Domain action, said properties are to be acquired by the City in connection with the International Airport Land Acquisition Project. NOW `BEREFORE, the City and the Appraiser agrees as follows: A. The Appraiser will provide the following: (1) Prepare appraisal reports for 27 parcels as per attached legal descriptions. The City reserves the right to amend the legal descriptions of the parcels if necessary. (2) Submit one appraisal package consisting of three (3) bound copies covering 27 parcels showing comparable and approach data, maps, discussion of present use and highest and best use as well as photographs and appraised value. The report should show the approaches used in determining the appraised value for each parcel. (3) The Appraiser will provide appraisals of said parcels as assigned within 60 days after the City bas furnished all necessary data to complete each assignment. Completion of the initial assignment of parcels will include all the general information relating to the area and City, definitions, trends, etc. along with value infor- mation for the parcels assigned. Each assignment thereafter will be considered supplemental to the original assignment and as such -1- R will exclude the general information and focus discussion upon value of the parcels assigned. (4) The Appraiser agrees to share.information on comparable sales in the area in a cooperative manner with other appraisers appraising in the area for the City. (5) The Appraiser agrees to coordinate all work with the City Property and Land Acquisition Division and shall submit all reports to Property and Land Acquisition Division, 1801 North Chaparral, Corpus Christi, Texas 78401 upon completion. (6) The Appraiser agrees that he will make a personal inspection of each parcel to be appraised and discuss with the owner or owners where possible in order to get his (her) (their) assistance in providing information on subject property. The Appraiser will verify that the owner or owners or his (her) (their) designated representative has been given an opportunity, by reasonable ad- vance notice in writing or otherwise, to accompany the Appraiser during his inspection of the property. It is further agreed that appraisal information concerning the property assigned for ap- praisal services, whether contained within the appraisal report to the City or not, is to be treated as confidential and a breach of such confidence by the Appraiser, except on written authorization by the City or upon proper order of the Court, sball be considered a material breach of this contract. (7) The Appraiser agrees, upon the City's request, to make preparations for Court testimony and appear in Court to testify, in support of his appraisal, for a fee of 50.00 per day. (8) If there are separately held interests in the real property to be acquired (such as easements, leaseholds, tenant -owned improvements, life estates, etc.), the appraisal shall include an apportionment of the total just compensation to each separately held interest to be acquired. Acquisition will not include mineral rights. (9) The Appraiser will comply with all Federal, State and Local laws and ordinances applicable to the work. (10) The Appraiser agrees to hold the City of Corpus Christi harmless -2- from any claims and liability due to activities of himself, his agents, or employees. (11) The Appraiser shall provide a signed statement setting forth his technical qualifications, general appraisal experience, specific experience in appraising properties of the type involved in this project, the courts in which he has testified as an expert wit- ness and any other information relating to professional qualifi- cations. (12) In agreeing to the terms of this contract the appraiser hereby certifies that he (she) does not have any interest (including that of real estate broker or agent), direct or indirect, present or prospective, in any property described in this agreement here- of or in the sale thereof, or any other interest, whether or not in connection with said property, which would conflict in any manner or degree with the performance of the services and sub- mission of impartial reports, and has not employed and will not employ, in connection with the services to be furnished hereunder, any person having any such interest, and until such property is acquired by the City or excluded from its project, the Appraiser and any employees of the Appraiser, so long as they are employed by the Appraiser, will not acquire any such interests and will not, for their own account or for other than the City, negotiate for any of said property, perform services in connection with said property, or testify voluntarily as a witness in a condemnation or other proceeding with respect to such property. B. The City agrees to provide the following to the Appraiser: (1) Furnish 4 copies of title reports and legal descriptions of each parcel. (2) Furnish 4 copies of drawings of each parcel to be taken and 4 copies of a map embracing the project area. (3) Provide information on comparables if any available to the City. C. Payment: For and in consideration of the work to be performed by the Appraiser as discussed in Paragraphs 2 and 3 herein, the City -3- t agrees to pay the Appraiser the sum of TWENTY THOUSAND THREE HUNDRED DOLLARS AND No CENTS ($20,300.00). • • . .for the total assignment with payment to be made upon completion of each assignment. D. Termination: The City reserves the right to terminate this contract with cause at anytime. Termination may include the entire contract or may include only selected pareels which the City desires to delete. In either case the City agrees to pay the Appraiser only for the work where completed appraisals have been submitted at the time of termination. E. Assignability: The Appraiser shall not assign, transfer or delegate any of his obligations or duties of this contract to any other person with- out prior written consent of the City except for routine duties delegated to personnel of the Appraiser's staff. Smith III ( "Party of the Second Part ") being referred to as "Appraiser ", and pertains to the prepara- tion of Real Estate Appraisals of 27 parcels subject to possible Eminent Domain action, said properties are to be acquired by the City in connection with the International Airport Land Acquisition Project. NOW THEREFORE, the City and the Appraiser agrees as follows: A. The Appraiser will provide the following: (1) Prepare appraisal reports for 27 parcels as per attached legal descriptions. The City reserves the right to amend the legal descriptions of the parcels if necessary. (2) Submit one appraisal package consisting of three (3) bound copies covering 27 parcels showing comparable and approach data, maps, discussion of present use and highest and best use as well as photographs and appraised value. The report should show the approaches used in determining the appraised value for each parcel. (3) The Appraiser will provide appraisals of said parcels as assigned within 60 days after the City has furnished all necessary data to complete each assignment. Completion of the initial assignment of parcels will include all the general information relating to the area and City, definitions, trends, etc. along with value infor- mation for the parcels assigned. Each assignment thereafter will be considered supplemental to the original assignment and as such -1- will exclude the general information and focus discussion upon value of the parcels assigned. (4) The Appraiser agrees to share information on comparable sales in the area in a cooperative manner with other appraisers appraising in the area for the City. (5) The Appraiser agrees to coordinate all work with the City Property and Land Acquisition Division and shall submit all reports to Property and Land Acquisition Division, 1801 North Chaparral, Corpus Christi, Texas 78401 upon completion. (6) The Appraiser agrees that he will make a personal inspection of each parcel to be appraised and discuss with the owner or owners where possible in order to get his (her) (their) assistance in providing information on subject property. The Appraiser will verify that the owner or owners or his (her) (their) designated representative has been given an opportunity, by reasonable ad- vanes notice in writing or otherwise, to accompany the Appraiser during his inspection of the property. It is further agreed that appraisal information concerning the property assigned for ap- praisal services, whether contained within the appraisal report to the City or not, is to be-treated as confidential and a breach of such confidence by the Appraiser, except on written authorization by the City or upon proper order of the Court, shall be considered a material breach of this contract. (7) The Appraiser agrees, upon the City's request, to make preparations for Court testimony and appear in Court to testify, in support of his appraisal, for a fee of $240.00 per day. (8) If there are separately held interests in the real property to be acquired (such as easements, leaseholds, tenant -owned improvements, life estates, etc.), the appraisal shall include an apportionment of the total just compensation to each separately held interest to be acquired. Acquisition will not include mineral rights. (9) The Appraiser will comply with all Federal, state and Local laws and ordinances applicable to the work. (10) The Appraiser agrees to hold the City of Corpus Christi harmless -2- from any claims and liability due to activities of himself, his agents, or employees. (11) The Appraiser shall provide a signed statement setting forth his technical qualifications, general appraisal experience, specific experience in appraising properties of the type involved in this project, the courts in which he has testified as an expert wit- ness and any other information relating to professional qualifi- cations. (12) In agreeing to the terms of this contract the appraiser hereby certifies that he (she) does not have any interest (including that of real estate broker or agent), direct or indirect, present or prospective, in any property described in this agreement here- of or in the sale thereof, or any other interest, whether or not in connection with said property, which would conflict in any manner or degree with the performance of the services and sub- mission of impartial reports, and has not employed and will not employ, in connection with the services to be furnished hereunder, any person having any such interest, and until such property is acquired by the City or excluded from its project, the Appraiser and any employees of the.Appraiser, so long as they are employed by the Appraiser, will not acquire any such interests and will not, for their own account or for other than-,the City, negotiate for any of said property, perform services in connection with said property, or testify voluntarily as a witness in a condemnation or other proceeding with respect to such property. B. The City agrees to provide the following to the Appraiser: (1) Furnish 4 copies of title reports and legal descriptions of each parcel. (2) Furnish 4 copies of drawings of each parcel to be taken and 4 copies of a map embracing the project area. (3) Provide information on comparables if any available to the City. C. Payment: For and in consideration of the work to be performed by the Appraiser as discussed in Paragraphs 2 and 3 herein, the City -3- or. agrees to pay the Appraiser the sum of TWENTY THOUSAND ONE HUNDRED FORTY NINE DOLLARS AND NO CE'NTS($20,149.00) for the total assignment with payment to be made upon completion of each assignment. My fee for court work is $240.00 per day including preparation time. In the preparation of this proposal I have consulted with expert members of the legal and appraisal professions in the field of eminent domain from Corpus Christi, and other nearby cities, as well as the Property & Land Acquisition Department, and the City Attorney's office of the City of Corpus Christi. My research analysis of the appraisal problems has led me to the following tentative conclusions: The complexities involved are numerous and significant as compared to the typical partial takings involved with street improvements. In particular, a landlocked remainder presents an extreme situation as does the taking of a whole property that provides the livlihood for an owner. City of Corpus Christi February 3, 1977 Page -2- If a remainder of farmland is less than an economic unit for farming purposes then once again the consequences can be severe. Also, the configuration of farm sites is quite important and an irregularly shaped remainder could pose considerable problems. The valuation of a special purpose property such as a cotton gin will require the assistance of an outside expert who specializes in this unique property, working in conjunction with the appraiser. More discussion on this can be found in the Improvements section of this proposal. Because this proposal must be valid through 7- 31 -79, there is the distinct probability that continuous updating of comparable data will be required. This is time consuming and adds to the cost of the services. This proposal was developed as recorded on the attachments following this narrative. The BASIS FOR FEE exhibit shows the estimate of time required item by item for one "typical" parcel out of all those proposed for the Airport Expansion ($603.45). From this total is deducted a credit for the use of data common to all- Mireports ($202.50). The result is a base fee applicable to all the parcels involved ($400.00). Adjustments are then in order for the consideration of the individual IMPROVEMENTS found on the various parcels. In addition, adjustments are necessary for the consideration of the damages applicable to each parcel. A summation of all the above is recorded in the FEE PROPOSAL sheet attached.
