The reporting of work completed under this agreement . -to parties other than the CITY must have adL'ance, written approval.of the CITY_+ ARTICLE V COMPENSATION FOUNDATION shall be reimbursed for the direct and indirect costs as ' determined in accordance with Federal Procurement Regulations Subpart 1 -15.3 provided, however, that the maximum compensation payable hereunder shall be 19,873 dollars which shall be paid on a cost reimbursable plus no fee basis. ' The indirect cost portion of the sums to be reimbursed to FOUNDATION hereunder shall be the Federally approved 497 of Salaries and Wages-on a predetermined basis. : The budget which is attached as "Exhibit B" is an estimate of the anti- cipated costs and is not to be'construed as restricting expenditure within any particular line item except as provided in Federal Procurement s _ Regulations Subpart 1 -15.3 for travel or equipment costs. Y ARTICLE VI METHOD AND SCHEDULE OF PAYMENT FOUNDATION shall submit monthly billings to-the CITY and each billing shall reflect expenditures on the project for the prior month. Such ^F + invoices shall indicate the amounts expended by maj6r budget category *k•;„ with personnel costs and indirect cost amounts separately identified. CITY shall reimburse FOUNDATION for such billings within sixty (60) - days subsequent to receipt of such billings. Up to 90% of the compensation due as specified in ARTICLE V shall be ' invoiced and paid on a monthly basis,,as described-in this Article. The remaining 10% shall be paid upon completion of the SCOPE OF SERVICES, described in "Exhibit A ", and the approval of said work by the CITY, with such approval and p?yment not being unreasonably withheld. 3 ARTICLE VII JOINT FUNDING The monies will be provided pursuant to this AGREEMENT as they are approved , by the URBAN MASS TRANSPORTATION ADMINISTRATION, Washington, D.C., and the l CITY OF CORPUS CHRISTI as part of the ongoing Regional Transportation Planning Process. t _ ARTICLE VIII TERMINATION 1. CONVENIENCE It is agreed that the CITY may cancel or terminate this contract.at any time by written notice by certified mail to"the FOUNDATION, with the understanding that, upon receipt of written notice of termination, all- work hereunder of the FOUNDATION and its employees shall cease. In the event of such termination prior to completion of the SCOPE OF SERVICES provided for herein, the CITY agrees to pay FOUNDATION -£or work actually - performed and invoices in accordance with the terms of this contract•, ' less payment of any compensation previously paid. ' 2. DEFAULT Y,,Y A. The CITY ma b- written notice of default to the FOUNDATION, ; • terminate the whole or any part of this contract in'any one of the. - following circumstances: (1) If the FOUNDATION fails to perform the work called for ti by this contract within the time specified herein or any extension thereof; or (2) If the FOUNDATION fails to perform any of the other pro - visions of this contract, or so fails to prosecute the work as to endanger performance of this contract in accordance with its terms, and in either of these two circumstances does not cure such failure within a period of ten days (or such extension as # authorized by the CITY in writing) after receiving notice of default. B. Upon such termination of the contract by the CITY, the CITY may procure, upon such terms as appropriate, work similar to the work so terminated, and the FOUNDATION shall be liable to the CITY 4 for any excess costs for such similar work: Provided that the . FOUNDATION shall continue the performance of this contract to the extent not terminated under this clause. 3. CANCELLATION OF GRANT Should this _contract be terminated as,a result of� cancellation of the s UMTA Project Grant covering this project, then the CITY will promptly notify FOUNDATION of the cancellation by certified mail; whereupon FOUNDATION will immediately, on receipt of the letter, cease and desist _ from performing any other work or services hereunder. In such event, FOUNDATION will be paid for professional services and other costs obli gated prior to -said date upon furnishing CITY progress report and invoice to such date. ARTICLE IX VENUE Venue and jurisdiction of any suit, right, or cause of action arising under or in connection with the contract shall'lie exclusively in Nueces County, Texas. ARTICLE X TIME EXTENSIONS The FOUNDATION may request in writing an extension of the time of com- pletion beyond the time of performance specified in ARTICLE II, and the CITY may extend the contract period if it so warrants. The CITY shall - promptly process all such time extension requests and advise the FOUNDATION within fifteen (15) days of its decision. •- ARTICLE XI CHANGES The CITY, from time to time, may require changes in the scope of the services and personnel of the FOUNDATION to be performed hereunder, provided the FOUNDATION agrees in writing. Changes including any increase or decrease in the amount of the FOUNDATION's compensation, which are- -, mutually agreed upon by and between the CITY and the FOUNDATION shall be incorporated in written amendments to the AGREEMENT- 5 ARTICLE XII AUDIT AND INSPECTION OF RECORDS The FOUNDATION shall permit the authorized representatives of the CITY, the U.S. Department of Transportation and the Comptroller General of the United States to inspect and audit all data and records of the - FOUNDATION relating to its performance under` the contract. It is agreed, however, that CITY as well as the U:S. Department of Transportation shall accept the audits and indirect cost negotiation of the FOUNDATION's cognizant federal audit agency (DREW) and shall not duplicate any such audit endeavor. ARTICLE XIII DISPUTES Any and all disputes concerning a question of fact arising under this contract which is not disposed of by agreement shall be decided by the Manager of the City of Corpus Christi, who shall reduce his decision to writing and mail on otherwise furnish a copy thereof to the FOUNDATION. The decision of the City Manager shall be final and conclusive unless; within thirty (30) days from the date of receipt of such copy, the FOUNDATION mails or otherwise furnishes to the City Manager a written appeal addressed to the CITY. In connection with any appeal under this Article, the FOUNDATION shall be afforded an opportunity to be heard and offer evidence in support of the appeal. .Pending final decision of a dispute hereunder, the FOUNDATION shall proceed diligently with the performance of this contract and in accordance with the CITY's final decision. ARTICLE XIV OWNERSHIP OF MATERIALS Copies of all maps, data, reports, research; graphic presentation materials, etc. developed by the FOUNDATION as a part- of its work under this contract shall become the property of the CITY upon completion of this contract, or in the event of termination or cancellation hereof at the time of payment under ARTICLE VI for work performed. Copies of all such data and material shall be furnished to the CITY on request. COMPLIANCE WITH REGULATIONS The FOUNDATION shall comply with the Regulations relative to nondiscri- mination in federally - assisted programs of the Department of Transportation (hereinafter, "DOT ") Title 40, Code of Federal Regulations, Part 21, as they may be amended from time to time (hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of the AGREEMENT. 2. NONDISCRIMINATION The FOUNDATION, with regard to the work, performed by it under this AGREEMENT, shall not discriminate on the ground of race, color, sex or national origin in the selection and retention of subcontractors, including procurements of materials and leases of equipment. The FOUNDATION shall not participate either directly or indirectly in the discrimination prohibited by section 21.5 of the Regulations, including employment prac- tices when the AGREEMENT coveis a program set forth in Appendix B of the Regulations. 3. SOLICITATIONS FOR SUBCONTRACTS, INCLUDING PROCUREMENTS OF MATERIALS AND EQUIPMENT In all solicitations either by competitive bidding or negotiation made by the FOUNDATION for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential sub- contractor or supplier shall be-notified by the FOUNDATION of the FOUNDATION's obligations under this AGREEMENT and the Regulations relative to nondis- crimination on the grounds of race, color, sex or national origin. 4. ' INFORMATION AND REPORTS The FOUNDATION shall provide all information and reports required by the Regulations or directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information, and its facilities as may be determined by the CITY or the URBAN MASS TRANS- PORTATION ADMINISTRATION (UMTA) to be pertinent to ascertain compliance with such Regulations, orders, and instructions. Where any information required of FOUNDATION is in the exclusive possession of another who 7 a o fails or refuses to furnish this information, the FOUNDATION shall so certify to the CITY, or the URBAN MASS TRANSPORTATION ADMINISTRATION, as appropriate, and shall set forth what efforts it has made to obtain the information. - 5. SANCTIONS FOR NONCOMPLIANCE In the event of the FOUNDATION's noncompliance with the nondiscrimination provisions of the AGREEMENT, the CITY shall impose such contract sanctions as it or the URBAN MASS TRANSPORTATION ADMINISTRATION may determine to be appropriate, including, but not limited to: (a) Withholding of payments to the FOUNDATION under the AGREEMENT until the FOUNDATION complies, and /or (b) Cancellation, termination or suspension of this AGREEMENT, in whole or in part. 6. INCORPORATION OF PROVISIONS ' The FOUNDATION shall include the provisions of paragraph 1 through.6 in every subcontract, including procurements of materials and leases of !-: equipment, unless exempt by the Regulations or directives issued pursuant thereto. The FOUNDATION shall take such action with respect to any subcontract or procurement as the CITY or the URBAN MASS TRANSPORTATION ADMINISTRATION may direct as a means of enforcing such provision including sanctions for noncompliance: Provided, however, that in the event the FOUNDATION becomes involved in, or '_s threatened with, litigation with a subcontractor or supplier as a result -of such direction, the FOUNDATION may request the CITY to enter into such litigation to protect the interests of the CITY, and, in addition, the FOUNDATION may request the United States to enter into such litigation to protect the interests of the United States. ARTICLE XVI MINORITY BUSINESS ENTERPRISE PROGRAM Consistent with Federal policy expressed in Executive Order 11625, FOUNDATION assures that minority business enterprises have the maximum practical opportunity to participate in all contracting activities pursuant to this project. In providing this opportunity, the FOUNDATION must use its best efforts. 8 ARTICLE XVII COPYRIGHT No report, maps or other documents produced in whole or in part under this AGREEMENT shall be the subject of an application for copyright by or on behalf of the FOUNDATION. I€ any contract or subcontract involves the development of patents, a Patent Rights Clause will be required for inclusion in the contract and will be obtained from URBAN MASS TRANSPORTATION ADMINISTRATION. ARTICLE XVIII INTEREST OF MEMBERS OF CONGRESS No member of or delegate of the Congress of the United States shall be admitted to any share or part of this AGREEMENT or to any benefit arising therefrom. ARTICLE XIX INTEREST OF PUBLIC OFFICIALS No member, officer, or employee of the public body or of a local public body during his tenure or for one year thereafter shall have any interest, direct or indirect, in this AGREEMENT or the proceeds thereof. ARTICLE XX CLEAN AIR ACT OF 1970 FOUNDATION hereby agrees to comply with all orders, applicable standards, or regulations issued pursuant to the Clean Air Act of 1970. ARTICLE XXI CITY PROVIDED SERVICES The CITY hereby agrees to provide local telephone service and limited office space for employees of Texas Transportation Institute, acting for FOUNDATION, as required by said employees within the City of Corpus Christi. 9 IN WITNESS HEREOF, the parties hereto have executed this AGREEMENT in duplicate originals at Corpus Christi, Nueces County, Texas the day and year hereinabove written. O SCOPE OF SERVICES The following is a description of the scope of services to be provided by Texas Transportation Institute personnel. Task I - Review Existing Services The first task is to identify the nature and extent of existing transportation service, both public and private, presently being provided to the elderly and the handicapped in the Corpus Christi area. Each agency so identified will be interviewed to determine the availability and usage of transportation to the elderly and the handicapped. Data to be collected will include qualifications to use service, hours of operation, nature of service provided, number and description of vehicles available, socioeconomic characteristics of users if available, number of users, and operating costs. Task II - Estimate Service Needs Two generally independent approaches will be taken to estimate the location and transportation needs of the elderly and the handicapped in Corpus Christi. The reason that two separate estimates will be developed is that demand estimation for the elderly and the handicapped is in its infancy and a range of values would be more appropriate than a single estimate of demand. The first method utilizes the agency survey data developed in Task 1. These data will be combined to indicate both a level of demand and an origin and destination pattern(desire lines). It is likely that an estimate of latent demand for transportation for the handicapped will have to be made from tte agency survey. This approach should produce a minimum baseline estimate of demand based largely on existing demand. .The second method used to estimate demand will be based on the recent experiences in other cities in Texasrand the-U =S. Due to the increased interest in public transportation for the elderly and the handicapped, the data base is expanding daily. In addition to a survey and an analysis of.the most recent literature on the demand for such transportation, a minimum of five cities with population between 100,000 and 500,000, including Austin, Texas and Ann Arbor, Michigan, (which has a city -wide demand- responsive system for the handicapped), will be contacted to obtain unpublished data. Demand will also be correlated with the qualifications established for riding the specialized transportation in these cities. This second approach is intended to,provide a high estimate of demand for public transportation for the elderly and the f, handicapped. Task III - Develop System Alternatives The alternatives for public transportation for the elderly and the handicapped range from an exclusively fixed -route system to a totally A -1 C) :o demand - responsive system. Three alternatives will be developed initially- - a totally fixed -route alternative, a totally demand - responsive alternative, and a combination of fixed -route and demand - responsive service which maximizes the fixed -route component, yet provides the necessary service - Concepts to be considered include modified fixed routes during the off- _ peak and coordination of fixed routes with demand - responsive service. Consideration will be given to various methods of fare collection for each alternative. Task IV - Evaluate Alternatives For each alternative, and any sub - altern atives, an estimate will be made of the equipment requirements, usage, operating costs (using other than City personnel where appropriate), capital costs, revenue, and expected levels of funding. The various federal programs available to carry out the alternative will be listed and described. Also quantitative measures of the mobility provided by each alternative will be developed. As the result of consultation with City staff and local officials, a fourth alternative, or more likely a refinement of one of the original alternatives, will be defined and evaluated. At the request of the City, public presentations will be made by TTI of these alternatives to appro- priate audiences in order to gain input to the final recommendations. Task V - Prepare Final Report A final technical report will be prepared outlining the work done, summarizing the data collected and analyzed, describing the alternatives and their evaluation, and detailing the study's conclusions and recommen- dations. A program for the implementation of the recommendations will be detailed.- The final report will be typed manuscript, and a total of 200 bound copies will be provided to the City. At the option of the City, a presentation of'the final report will be made to the staff and to the City Council.
