RESOLUTION
APPROVING THE AGREEMENT OF PARTIES DATED AS OF
DECEMBER 26, 1977, AND SUPPORTING DOCUMENTS AND
EXHIBITS FOR SETTLEMENT OF LITIGATION WITH COASTAL
STATES GAS CORPORATION AND ITS SUBSIDIARIES AND
STOCKHOLDERS BY THE CITY OF CORPUS CHRISTI AND
OTHER CUSTOMERS OF LO -VACA GATHERING COMPANY AS
THE BASIS FOR SUCH SETTLEMENT; AND DECLARING AN
EMERGENCY.
WHEREAS, the Council has had before it for consideration for
over one year the certain Plan of Settlement and Reorganization with
Coastal States Gas Corporation dated January 24, 1977; and
WHEREAS, the City Council on July 6, 1977, passed its resolu-
tion authorizing and directing the City Manager to work with other
Interested customers of Lo -Vaca in the general implementation and con -
sumation of the Plan of January 24, 1977, including preparation and
execution of all documents ancillary to said Settlement Plan as being
in the best interest of the City of Corpus Christi and its gas rate payers
as well as in the public interest of the citizens of Corpus Christi; and
WHEREAS, said documents have now been prepared and filed with
the Council and are in keeping with the benefits and provisions of the
Settlement of January 24, 1977; and
WHEREAS, due notice of this meeting having been given, and after
this matter has been considered at various meetings of the Council for over
eighteen months:
NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
SECTION 1. That the agreement of parties containing the final
closing papers dated as of December 26, 1977, is in the best interest of the
City of Corpus Christi and its gas rate payers and in the public interest of
the citizens of Corpus Christi, generally, and is hereby approved.:

SECTION 2. That the City Manager is hereby authorized and
directed to execute the agreement of the parties dated as of December 26, 1977,
and to carry out said agreement and if necessary implementation activities
for a final closing of said agreement, including dismissal of litigation
pending in this matter in the Courts of Harris, Travis, and Nueces Counties,
on sufficient approval being given by State and Federal Regulatory agencies
and a sufficient number of customers as set out in Agreement of December 26,
1977.
SECTION 3. The necessity to preserve public property, to insure
stable gas supply at reasonable rates and to conclude extensive and costly
litigation creates a public emergency and an imperative public necessity
requiring the suspension of the Charter rule that no ordinance or resolution
shall be passed finally on the date of its introduction but that such
ordinance or resolution shall be read at three several meetings of the City
Council, and the Mayor having declared such emergency and necessity to exist,
and having requested the suspension of the Charter rule and that this
resolution be passed finally on the date of its introduction and take effect
and be in full force and effect •rroma�nd after its passage, IT IS ACCORDINGLY

For the reasons set forth in the emergency clause of the foregoing ordinance,
a public emergency and imperative necessity exist for the suspension of the
Charter rule or requirement that no ordinance or resolution shall be passed
finally on the date it is introduced, and that such ordinance or resolution
shall be read at three meetings of the City Council; I, therefore, request
that you suspend said Charter rule or requirement and pass this ordinance
finally on the date it is introduced, or at the present meeting of the City
Council.
