AN ORDINANCE
AUTHORIZING THE CITY MANAGER TO EXECUTE INSTALLMENT
PURCHASE CONTRACTS WITH IBM CORPORATION FOR THE PURCHASE
OF TWO CARD PUNCH MACHINES, NINE CARD DATA RECORDERS AND
THREE DISPLAY TERMINALS; AND DECLARING AN EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
SECTION 1. That the City Manager be and he is hereby authorized
to execute installment purchase contracts with IBM Corporation for the
purchase of two (2) card punch machines, nine (9) card data recorders and
three (3) display terminals, all as more fully set out in the contract, in
substantially the form attached hereto, marked Exhibit "A", and made a part
hereof.
SECTION 2. The necessity to immediately authorize execution of
the aforesaid contract creates a public emergency and an imperative public
necessity requiring the suspension of the Charter rule that no ordinance
or resolution shall be passed finally on the date of its introduction but
that such ordinance or resolution shall be read at three several meetings
of the City Council, and the Mayor having declared such emergency and neces-
sity to exist, and having requested the suspension of the Charter rule and
that this ordinance be passed finally on the date of its introduction and
take effect and be in full force and effect from and after its passage, IT
IS ACCORDINGLY SO ORDAINED, this the 43 day of June, 1979.

The Customer agrees to purchase and International Business Machines Corporation (IBM) by its acceptance of this Agreement agrees 10 sell, in accordance
with the following terms and conditions, the machines listed below which are now installed under an IBM lease or rental agreement and in the possession of
the Customer. Under these terms and conditions, IBM will 1) sell machines to the Customer, 2) provide warranty service, as applicable, for machines and 3)
as available, furnish programming and programming services, all as described herein. The Customer agree 10 accept the machines, warranty service,
programming and programming services under the terms and conditions of this Agreement. The Customer further agrees with respect to the machines and
programming to accept the responsibility for 1) their selection to achieve the Customers intended results, 2) their use and 3) the results obtained therefrom.
The Customer also has the responsibility for the selection and use of, and results obtained from, any other equipment, programs or services used with the
machines and programming.
The term "machines" as used in This Agreement refers to machines and their features.
The prices slated herein are exclusive of any charges which are due or may become due from the Customer under any IBM lease or rental agreement relating
to the machines.
In addition to the prices shown below, the Customer agrees to pay amounts equal to any taxes resulting from this Agreement, or any activities hereunder,
exclusive of taxes based on net income. Any personal property taxes assessable on the machines on or after the Effective Date of Purchase shall be home by
the Customer.

The above prices are not valid after the Quotation Expiration Date shown above. These prices are subject to change up to and including the Effective Date
of Purchase, within the limits set forth in the provisions of any applicable IBM lease agreement. Thereafter, these prices are subject to verification and
correction by IBM, if necessary, prior to acceptance. The Effective Date of Purchase shall be the later of the Effective Date of Quotation or the date on which
this Agreement, signed by the Customer and the payment required under the Section entitled "Payment" are received by IBM at its Branch Office address
shown above. provided that such receipt is not later than the Quotation Expiration Dale. The machines will be terminated under the applicable IBM lease or
rental agreement between IBM and the Customer as of the day immediately preceding the Effective Date of Purchase.
The Customer agrees that IBM may remove features or downgrade models, at its own expense, to the above machines after the Effective Date of Purchase in
order to make the machines conform to the machine descriptions set forth above. Such removals or downgrades will be performed on a mutually agreed to
schedule during IBM's normal working hours.

exclusive of taxes based on net income. Any personal property taxes assessable on the machines on or after the Effective Dale of Purchase shall be borne by
the Customer.

The Customer agrees to purchase and International Business 1Maehines Corporation (IBM) by its acceptance of this Agreement agrees to sell, in accordance
with the following terms and conditions, the machines listed below which are now installed under an IBM lease or rental agreement and in the possession of
the Customer. Under these terms and conditions, IBM will 1) sell machines to the Customer. 2) provide warranty service, as applicable, for machines and 3)
as available, famish programming and programming services, all as described herein. The Customer agrees to accept the machines, warranty service.
programming and programming services under the terms and conditions of this Agreement. The Customer further agrees with respect to the machines and
programming to accept the responsibility for 1) their selection to achieve the Customer's intended results, 2) their use and 3) the results obtained therefrom.
The Customer also has the responsibility for the selection and use of, and results obtained from, any other equipment, programs or services used with the
machines and programming.
The tens "machines" as used in this Agreement refers to machines and their features.
The prices stated herein are exclusive of any charges which are due or may become due from the Customer under any IBM lease or rental agreement relating
to the machines.
In addition to the prices shown below, the Customer agrees to pay amounts equal to any taxes resulting from this Agreement, or any activities hereunder,
exclusive of taxes based on net income. Any personal property taxes assessable on the machines on or after the Effective Date of Purchase shall be borne by
the Customer.

The above prices are not valid after the Quotation Expiration Dale shown above. These prices are subject to change up to and including the Effective Date
of Purchase, within the limits set forth in the provisions of any applicable IBM lease agreement. Thereafter, these prices are subject to verification and
correction by IBM, if necessary, prior to acceptance. The Effective Date of Purchase shall be the later of the Effective Date of Quotation or the date on which
this Agreement. signed by the Customer and the paymentuired under the Section entitled "Payment" are received by IBM at its Branch Office address
shown above, provided that such receipt is not later than thereq
Quotation Expiration Date. The machines will be lemlinnled under the applicable IBM lease or
rental agreement between IBM and the Customer as of the day immediately preceding the Effective Date of Purchase.
The Customer agrees that IBM may remove features or downgrade models, at its own expense, to the above machines alter the Effective Date of Purchase in
order to make the machines conform to the machine descriptions set forth above. Such removals or downgrades will be performed on a mutually agreed to
schedule during tiers normal working hours.
