HomeMy WebLinkAbout020978 RES - 09/06/1990A RESOLUTION AUTHORIZING THE EXECUTION OF AN AGREEMENT ACCEPTING ADDITIONAL GRANTS FROM THE MEADOWS FOUNDATION OF $25,000 PAYABLE SEPTEMBER 10, 1990, AND UP TO AN ADDITIONAL $18,600 SUBJECT TO APPROVAL BY THE MEADOWS FOUNDATION, FOR CONTINUATION OF THE SEARCH FOR THE CHRISTOPHER COLUMBUS SHIP "CALLEGA"; AUTHORIZING A CONTRACT WITH SHIPS OF DISCOVERY FOR CARRYING OUT THE ARCHEOLOGICAL EXPEDITION; AND APPROPRIATING $25,000, AND UP TO AN ADDITIONAL $18,600 IF GRANTED BY THE MEADOWS FOUNDATION. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. That the City Manager is hereby authorized to execute an agreement with the Meadows Foundation accepting grants of $25,000 payable September 10, 1990, and up to an additional $18,600 subject to approval by the Meadows Foundation, for continuation of the search for the Christopher Columbus ship "Gallega," all as more fully set forth in the agreement, a substantial copy of which is attached hereto and made a part hereof, marked Exhibit A. SECTION 2. That the City Manager is hereby authorized to execute a contract with Ships of Discovery amending the contract dated September 11, 1989, and extending said contract through December 31, 1990, all as more fully set forth in the contract, a substantial copy of which is attached hereto and made a part hereof, marked Exhibit B. SECTION 3. That there is hereby appropriated $25,000, and up to an additional $18,600 if granted by the Meadows Foundation, from the state and federal grants fund. ATTEST: City Secretary MAYOR THE CITY OF CORPUS CHRISTI APPROVED: DAY OF /(,a,�7µJ 191 HAL GEORGE, CITY ATTORNEY BY /“4-ga City Attorney ORD-RES\90129 THE MEADOWS FOUNDATION GRANT CONTRACT MEETING DATE: GRANT NO.: AMOUNT: August 22, 1990 90080125 Up to $43,600 GRANTEE: City of Corpus Christi, Texas for the Corpus Christi Museum PURPOSE: Continuing support for project to locate Columbus' caravel GALLEGA TERMS AND CONDITIONS: Up to $43,600, payable as follows: $25,000 on September 10, 1990; and up to $18,600 on or before December 10, 1990, contingent upon the approval of items in Part II of the project budget by the Foundation's executive staff Note: If by December 1, 1990, the contingency has not been met, any unpaid obligations of the Meadows Foundation under this contract will terminate. 1. This grant is for the specific purposes set forth herein, as derived from the attached exhibit budget(s), and monies received under this agreement should be expended for no other purpose without the express, written approval of the Meadows Foundation. 2. Grantee specifically agrees that no part of the funds received from this grant will be used to carry on propaganda, influence legislation, influence the outcome of any specific public election, or carry on, directly or indirectly, any voter registration drive. 3. Grantee understands that under the terms of the charter of the Meadows Foundation, grant monies are awarded for the use of grant recipients within the State of Texas for the benefit of the people of Texas. 4. Grantee agrees immediately to notify the Meadows Foundation, in writing, if (i) Grantee's federal tax status is revoked or altered; (ii) Grantee has reasonable grounds to believe that its tax exempt status may be revoked or altered; or, (iii) Grantee has reason to believe that these grant monies cannot be or continue to be expended for the specified purpose. In the event that Grantee loses its tax exempt status before all funds under this grant are dispensed, this grant contract will be considered null and void and all obligations of the Meadows Foundation hereunder will terminate. 5. Grantee certifies that the instant grant will not jeopardize Grantee's status as not a private foundation under Section 509 of the Internal Revenue Code. 6. Grantee will cooperate with the Meadows Foundation in supplying additional information or in complying with any procedures which might be required by any governmental agency in order for the Meadows Foundation to establish the fact that it has observed all requirements of the law with respect to this grant. 7. The Meadows Foundation retains the right to release information regarding this grant to any public media. Permission is hereby given for Grantee to use any wording contained in this contract, the accompanying letter, and the attached information sheet in press releases. Only proposed releases for publication or broadcast containing additional information need be submitted to the Foundation for approval. Grantee agrees to forward to the Meadows Foundation copies of any news releases, published materials, or media articles mentioning this grant which come to Grantee's notice or attention. 8. Grantee agrees to submit a report to the Meadows Foundation on the expenditure of Foundation funds no later than March 10, 1991. The report should summarize in narrative form what goals the grant has helped to accomplish and should include relevant financial information. Reporting forms are enclosed. 9. This grant is conditional upon Grantee's acceptance of the terms and conditions set forth herein and in the accompanying letter of notification of award. The signature on this document of the persons authorized to make legal contracts for Grantee will represent Grantee's acceptance of this award and agreement to comply with the stated terms and conditions of this grant. The undersigned representatives of the City of Corpus Christi, Texas, and the Corpus Christi Museum have carefully read this contract and agree to the terms and conditions stated herein. Lancaster Juan Garza, City Manager Executive Vice President Approved as to legal form..; CORPUS CHRISTI MUSEUM ?._l e , a: r Attorney By By Rick Stryker Executive Director uona GALLEGA Project Director CONTRACT WHEREAS, the City of Corpus Christi and Ships of Exploration and Discovery Research (Ships of Discovery) entered into a contract September 11, 1989; and WHEREAS, said contract provided for the continued search for the caravel Gallega; and WHEREAS, the expedition was to take place approximately September 6, 1989, to November of 1989, but was postponed due to the political situation in Panama; and WHEREAS, The Meadows Foundation has authorized an additional grant of Twenty-five ($25,000.00) Dollars and up to an additional Eighteen Thousand Six Hundred ($18,600.00) Dollars to cover costs incurred because of the postponement; and WHEREAS, the parties hereto wish to proceed with the expedition; NOW THEREFORE, the City of Corpus Christi ("City") and Ships of Discovery ("Archeologist") agree as follows: I. That the contract entered into between the parties dated September 11, 1989, is hereby extended under the same terms and conditions, except as modified herein. The terms shall extend through December 31, 1990, although it is expected that the expedition will finish its work by the end of October, 1990. City agrees to pay Archaeologist the additional sum of Twenty-five Thousand ($25,000.00) Dollars, and an additional amount of up to Eighteen Thousand Six Hundred ($18,600.00) Dollars, should that amount be released by the Foundation, which represents the additional sums advanced from the Meadows Foundation for this expedition. II. In performing this contract, Archeologist is not an employee of the City, nor are the parties partners, but rather Archeologist is an independent contractor. Archeologist will hold the City harmless for any and all claims, demands, and suits of any kind whatsoever arising out of the performance of this contract and will bear the expense of investigating and defending any such claim, demands, or suit. Archeologist will comply with any and all applicable laws relevant to this expedition in performing this project. wherefore, witness our hands, binding the respective parties this the day of , 1990.
