Economic Development Agreement between the City of Corpus
Christi, Texas and Corpus Christi Liquefaction, LLC, relating to the
development of property in the City's extraterritorial jurisdiction
WHEREAS, the City of Corpus Christi ("City") entered into a Chapter 380 agreement with
Corpus Christi Liquefaction, LLC ("Cheniere") on January 25, 2015;
WHEREAS, Cheniere and its affiliates have purchased certain additional property within
the extra-territorial jurisdiction of the City of Corpus Christi, which it intends to develop for
industrial purposes;
WHEREAS, Cheniere and its affiliates have agreed to include the additional property
within the terms of the Chapter 380 agreement;
WHEREAS, Cheniere's affiliates, Cheniere Land Holdings, LLC, Corpus Christi
Liquefaction Stage Ill, LLC, Corpus Christi Liquefaction Stage IV, LLC, and Cheniere
Corpus Christi Pipeline, LP, have agreed to join the Chapter 380 agreement and be
included in the agreement's definition of"Company" for all purposes;
WHEREAS, the City and the Company wish to add additional terms to the Chapter 380
agreement under Chapter 212 of the Texas Local Government Code and wish to make
additional changes to the agreement related to changes in state law; and
WHEREAS, the City finds that it is in the best interest of the City to enter into the
amendment with Cheniere and its affiliates to make these necessary changes to the
Chapter 380 agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
CORPUS CHRISTI, TEXAS:
SECTION 1. That the findings of the City Council and its actions approving this
Resolution taken at the council meeting are hereby approved and adopted.
SECTION 2. That the City Manager, or designee, is authorized to execute Amendment
No. 1 and Joinder to Chapter 380 Economic Development Agreement between the
City of Corpus Christi, Texas and Corpus Christi Liquefaction, LLC. A copy of said
agreement is attached hereto.

AMENDMENT NO. 1 AND JOINDER TO CHAPTER 380 ECONOMIC
DEVELOPMENT INCENTIVE AGREEMENT BETWEEN THE CITY OF
CORPUS CHRISTI, TEXAS AND CORPUS CHRISTI LIQUEFACTION, LLC
Whereas, on January 27, 2015, the City of Corpus Christi (the "City") and Corpus
Christi Liquefaction, LLC entered into an agreement under Chapter 380 and
Section 212.172 of the Texas Local Government Code (the "Agreement");
Whereas, by signing this Amendment No. 1 and Joinder, Cheniere Land Holdings,
LLC, Corpus Christi Liquefaction Stage III, LLC, Corpus Christi Liquefaction Stage
IV, LLC, each a Delaware limited liability company, and Cheniere Corpus Christi
Pipeline, LP, a Delaware limited partnership, hereby join the Agreement for all
purposes and are each added individually to the definition of the term "Company",
with each bearing responsibility for its respective obligations hereunder;"
Whereas, the Agreement is governed by both Chapter 380 of the Texas Local
Government Code and Section 212.172 of the Texas Local Government Code;
Whereas, the Company has acquired additional property within the City's
extraterritorial jurisdiction and would like to have that property included within the
definition of "ETJ Land" in the Agreement, in exchange for the agreement of the
City to keep such land in the extraterritorial jurisdiction of the City for the term of
the Agreement; and
Whereas, the City and the Company agree that additional changes are needed to
the Agreement due to changes in the state law.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1) A new section 4.35 is added to the agreement between Section 4.3 and
Section 4.4 as follows:
"4.35 Requirement for Subsequent Agreement Upon Expiration of Term or Early
Termination by Company.
(A) Upon expiration of the Term or earlier termination of this
Agreement, if City and Company have not previously entered into an Industrial
District Agreement pursuant to Section 4.3(B) with respect to any portion of the
ETJ Land then owned by Company, Company shall, prior to the effective date of
the expiration or earlier termination of this Agreement, enter into an Industrial
District Agreement with City to include all of the ETJ Land then owned by
Company and not covered by an Industrial District Agreement entered into
pursuant to Section 4.3(B). Any Industrial District Agreement entered into
pursuant to this Section 4.35(A) shall contain terms and provisions comparable in
all material respects to the most favorable terms and provisions contained in any
Industrial District Agreement then in effect to which City is a party, and will be
effective on the earlier of(i) the termination of this Agreement, or(ii) January 1,
2034.
(B) Notwithstanding the foregoing provisions of this Section 4.35, City
and Company may, in lieu of entering into an Industrial District Agreement under
Section 4.35(A), enter into another type of agreement (including, but not limited
to, an agreement under Section 212.172 or an agreement under Chapter 380 of
the Texas Local Government Code) containing such terms and provisions as are
mutually agreed upon by City and Company, so long as such agreement is
approved and executed prior to the effective date of the expiration of the Term or
earlier termination of this Agreement.
(C) Any payments due under an Industrial District Agreement or
another type of agreement entered into upon the expiration of the Term or
Company's early termination shall be imposed individually on each Company as
defined under this Agreement, with respect to each Company's respective
ownership of ETJ Land and/or Facilities.
2) A new paragraph (C) is added to Section 5.1 of the Agreement as follows:
" (C) If upon the effective date of the expiration of the Term or Company's
earlier termination of this Agreement Company and City have not entered into an
Industrial District Agreement or another type of agreement in accordance with
Section 4.35(B), Company will, within 120 days following the expiration of the Term
or earlier termination of this Agreement (except as otherwise provided in Section
5.1(C)(ii)), make an additional payment to City in an amount equal to the following,
whichever is applicable:
(i) if the expiration of the Term or earlier termination of this Agreement
occurs on or after January 1, 2029, an aggregate amount equal to the
sum of one hundred percent (100%) of the Base Payment for each of
the ten (10) calendar tax years immediately preceding the calendar tax
year that includes the date of the expiration of the Term or earlier
termination of this Agreement; or
(ii) if the expiration or earlier termination of this Agreement occurs
before January 1, 2029, an aggregate amount equal to the sum of one
hundred percent (100%) of the Base Payment for each calendar tax
year from and including the calendar tax year 2020 through and
including the calendar tax year that includes the date of the expiration
of the Term or earlier termination of this Agreement(it being understood
and agreed that if the taxable value of the ETJ Land and/or the portion
of the Facilities (excluding personal property and inventory) located on
the ETJ Land for the calendar tax year that includes the date of the
expiration of the Term or earlier termination of this Agreement has not
been determined by the relevant appraisal district within 90 days
following the expiration of the Term or earlier termination of this
Agreement, the amount due under this Section 5.1(C)(ii) for the
calendar tax year that includes the date of the expiration of the Term or
earlier termination of this Agreement shall be due within 90 days after
such taxable values of the ETJ Land and/or the portion of the Facilities
(excluding personal property and inventory) located on the ETJ Land
have been finally determined by the relevant appraisal district, with all
Company appeals exhausted)."
3) A new paragraph (D) is added to Section 5.1 of the Agreement as follows:
"(D) The obligations contained in this Section 5.1 shall be imposed
individually on each Company as defined under this Agreement, with respect to
each Company's respective ownership of ETJ Land and/or Facilities.
4) A new paragraph (E) is added to Section 5.1 of the Agreement as follows:
"(E) The obligations contained in this Section 5.1 shall survive the
expiration of the Term or earlier termination of this Agreement until paid in full."
5) Exhibit B "Description of Land" attached to the Agreement is amended to
include the additional land described in the attached Amendment No. 1 —Exhibit
B.
6) The City will file a copy of this Amendment No. 1 with San Patricio County
in accordance with section 212.172.
7) All other terms and conditions of the previously executed Agreement
between the parties which are not inconsistent herewith shall continue in full force
and effect.
