AUDIT PRESENTATION FOR 2002-2003: Lupe Valdez presented the results of the 2002-2003 year end audit to the Board. He stated that there is also a letter of recommendation of improvements/policies that the auditors felt needed to be implemented. He stated that they do not guarantee the audit nor do they ensure that there is no fraud. Lupe reported that they have issued an unqualified, clean opinion; which means everything looks good going forward according to what they have examined. He stated that they have only recommended 4 adjusting journal entries;which is very good for a non-profit organization. Recommendations include: 1) Have someone other than Connie review and approve month end bank reconciliation; 2) Develop a fixed asset policy and 3) implement an accounts receivable collection policy. Joey stated that they would be reviewing the policies that he put together regarding the recommendations later in the Board meeting. Bill Goin made a motion to approve the audit as presented, Bill Morgan seconded, motion passed. Joey briefly went over each of the written policies, as recommended by the auditors, with the Board and stated that the new policies will be in force immediately. Dave Prewitt asked for a motion to accept the Fixed Asset, Accounts Receivable Collection and Bank Reconciliation Procedure policies as presented, Bill Goin made the motion, Linda Routh seconded, motion passed. Bill Goin reported on the issue with corporate credit cards and stated that they are pursuing other avenues for resolution. He also reported on the problems with having a quorum at the Finance Committee meetings due to losing a couple of members and not being able to approve policies/procedures/recommendations. He asked for Board volunteers to join the committee to fill vacated positions. Curt Broomfield volunteered to join the committee. Linda Routh thanked the Finance Committee for their hard work and recognized Connie Cardamone for her great work in the accounting dept. III. APPROVAL OF MINUTES: At last month's meeting, Kevin Latone noted that he had been left off of the July 17, 2003 attendance list for the meeting. Joey stated that Kevin's Board appointment was not official until August 1s`therefore was not listed for the July meeting. Dave asked for a motion to approve the CVB Board of Directors August 21, 2003 meeting minutes. Motion made, seconded; motion passed. SCANNED Page 2 Board of Directors Mtg. September 25,2003 IV. PUBLIC COMMENT: None V. FINANCIAL REPORT: Connie reviewed the month end financials with the Board for August 31, 2003. She noted that the A/R account was reduced $15,550.00 for the month of August. Available cash is at $48,683.68. She also reviewed the executive summary and reported that we were projected to be, expenses over income, of$59,818.00; actuals were expenses over income of $39,070.00 with a variance of$20,748.00 under budget for the month. Advertising expenses are 25.5%; which is 9.6% higher than last year and 9%higher than the IACVB survey. Connie briefly went over the variance report. Dave asked for a motion to approve the fmancials as presented, Bill Goin made the motion, Linda Routh seconded, motion passed. VI. COMMITTEE REPORTS: • Sales & Marketing—Kevin Latone reported that they discussed the billboard campaign. They had the option of leasing a billboard in San Antonio or going with the Lamar Outdoor Advertising offer. The committee decided to do both contingent on the fact that Joey could find the extra$13,000.00 to be able to do both projects. These projects will be posted in November. The media value for the billboards is $113,000.00. Kevin also reported that Joe Cisneros gave them an update on their aggressive marketing efforts in Mexico. Bill Pettus reported on the importance of our continued presence in the TTIA insert due to the large circulation and the number of direct inquiries received as a result. Kevin suggested dropping the "sales" from the Sales&Marketing meeting due to overlap in objectives with the Convention Sales Committee and activity reports will now be reported at the Convention Sales meeting only. Bill Pettus reported that this year they have set an advertising co-op participation goal of over$250,000.00. Bill also reported that they have prepared a list of approximately 16 co-op opportunities for industry partners to be able to plan out their budget for advertising. Bill Pettus passed out some sample campaigns for the Board to review. Dave Prewitt thanked Kevin Latone for generously hosting this month's Board meeting. He also noted that lunches will be provided at each Board meeting and Board members will be billed for such on a quarterly basis. Tom Schmid went over the Hispanic Chamber's financial report. Carol reported on the database software recently purchased that has the capability to capture email addresses from website hits/inquiries. The goal is to track all inquiries whether via Internet, telephone or walk-ins at the visitor centers. Dave Prewitt reported that hotel/motel tax receipts are down for the month of July by 8.1% from the previous year. He also reported that occupancy was up 5.4% for August and average rate was down 3/10 of a percentage point; collectively, revenues for available rooms were up by 5.1%; for the year 6/10 of a percent point down from the previous year. • Convention Sales—Bill Morgan reported that they reviewed the activity report and noted that August was down month for them due to the sales staff traveling quite a bit that month. They also reviewed the lost business report and discussed ideas to Page 3 Board of Directors Mtg. September 25,2003 regain or attract more business. They reviewed the new cover that outlines the rendering of the renovated convention center/arena. • Finance Committee—Covered above • Governmental Affairs—No report • Selection Committee—Tom Schmid reported that they received several resumes in over the past weeks. All committee members have reviewed them and are trying to narrow it down to 10 top candidates; and will now go back and narrow it down further. They should have this accomplished by the end of this week. The cutoff date for resumes was September 15t. He stated that they have sent out pre-screening questionnaires that includes about 30 questions. They will meet next week to review the questionnaires and narrow the candidates to about 3 or 4. He noted that they have received several really good resumes. • HR Committee—Tomas Duran reported that they have met to review the draft employee policy handbook and the final copy should be ready by the end of the week for them to review and bring to the Board. • Nominating Committee—Linda Routh reported that due to Dave Prewitt's change in employment, he is no longer qualified to be a representative of the hotel industry. She is requesting the Board's approval for the following realignment: Move Dave Prewitt into the At Large position currently held by Kevin Latone and move Kevin into the Hotel Category being vacated by Dave Prewitt. Linda made this in the form of a motion, Tom Schmid seconded, motion passed. Joey reported that he has received notification that the Regional Tourism Council has appointed Ann Vaughn, President of the Port Aransas Chamber of Commerce, (with Jenna Nelson as an alternate) as an Ex-Officio member of the Board. The Board along with adding a representative from the Corpus Christi International Airport approved this. The airport Board will appoint someone at a later date. Joey asked for ratification from the Board to submit to the City. Linda made the motion to ratify their recommendation of Ann Vaughn to fill the position, Bill Goin seconded, motion passed. VII. PRESIDENT'S REPORT: Joey presented some backup documents for his report. Joey reported that the city is still researching areas of the CVB that they can encompass into the city to save the CVB money. Any recommendations he deems necessary will be brought to the Finance Committee before any agreements/changes are made with the city. He will also provide a financial analysis of any recommended changes for the Board to review. Joey reported that a client-centered sales training class has been scheduled for the CVB staff on October 8th & 9th from 8:00— 5:00 p.m. and invited Board members to attend if they would like. Joey reported that they received 680 labels (requests for information) from the Texas Fall Vacation Guide published on September 7th and received the labels as of September 18`h. VIII. NEW BUSINESS: Joey reported that he received a request from Tom Niskala from the Chamber of Commerce to appoint a Board member to their Building Task Force. The building that the CVB/Chamber are housed in is a federal building which we do not pay any rent to. We have an 8-year lease left, with possible requested evacuation sooner than that. The task force will Page 4 Board of Directors Mtg. September 25,2003 look at other options after the 8-year lease is up and if the CVB/Chamber should remain together after the move. Govind Nadkarni volunteered to serve on that committee. Joey also reported that the Downtown Management district is looking to replace the banners downtown with banners that reflect the All America City award and are looking for donations. The Board agreed that this does not meet with our mission and declined the request. IX. OLD BUSINESS: Joey presented a report of goals outlined at the Board retreat. Goals were assigned to committees instead of individual Board members. Dave and Joey will be working on a bullet point presentation of 8-10 monthly CVB performance items that had a significant impact of which the Board can speak about within the community. Joey also noted that we would be working on the Adopt A Council Member program once again. Joey also stated the importance of getting a jump-start on the budget process for next year. Kevin Latone commented that Dave Prewitt did a great job of facilitating this year's Board retreat. X. EXECUTIVE SESSION: Dave Prewitt asked for a motion to go into Executive Session, motion made, motion passed. The Corpus Christi Convention&Visitors Bureau Board of Directors went into closed session at 1:28 p.m., closed session ended at 1:47p.m. XI.
