Whereas, on October 16, 2019, the City of Corpus Christi (the "City") and the
Corpus Christi Area Convention and Visitors' Bureau (the "CCCVB") entered into
an Management Services Agreement (the "Agreement");
Whereas, Article 10 of the Agreement laid out the requirements of the Board of
Directors of the CCCVB; •
Whereas,the CCCVB has requested a change to the composition of the Board of
Directors and the City agrees that such change is appropriate;
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:

1) Section 10.1 of the Agreement is hereby deleted in its entirety and replaced
with the following language:
"10.1. The affairs of the CCCVB shall be governed by a board of
-`° directors ("Board"), which must be composed of 17 voting
members, 13 of which are selected directly by the City Council of
the City. Those members must be representatives of the following
groups:
3 members from the lodging industry;
3 members from the attraction industry;
2 members from the restaurant industry;
5 members from the community at large;
The Mayor, or his designee;
The City Manager, or his designee;
The General Manager of the Corpus Christi Hooks; and
The Director of the Corpus Christi International Airport."
2) Section 10.2 is hereby amended to delete "a representative from Corpus
Christi International Airport."
3) All other terms and conditions of the previously executed Agreement
between the parties which are not inconsistent herewith shall continue in full force
and effect. This Amendment becomes effective upon execution by all parties.
