THIS Cisco Phone System License Renewal Co-operative Purchase Agreement
("Agreement") is entered into by and between the City of Corpus Christi, a Texas home-
rule municipal corporation ("City") and Great South Texas Corp dba Computer
Solutions ("Contractor'), effective upon execution by the City Manager or the City
Manager's designee ("City Manager").
1. Co-operative Agreement. Contractor has agreed to provide Cisco Phone System
License Renewal in accordance with its agreement with DIR-TSO-4167 (the "Co-
operative Agreement"), which is incorporated by reference herein as if set out
here in its entirety. In the event of a conflict between this Agreement and the Co-
operative Agreement, this Agreement shall govern to the extent allowed by the
Co-operative Agreement.
2. Scope. Contractor will provide Cisco Phone System License Renewal in
accordance with the attached Statement of Work, as shown in Attachment A,
the content of which is incorporated by reference into this Agreement as if fully
set out here in its entirety.
3. Term. The Term of this Agreement is three years beginning on the date provided
in the Notice to Proceed from the City's Procurement Division. The parties may
mutually extend the term of this Agreement for up to zero additional zero-year
periods ("Option Period(s)"), provided, the parties do so in writing prior to the
expiration of the original term or the then-current Option Period. The continuation
of this Agreement after the close of any fiscal year of the City, which fiscal year
ends on September 30th annually, is subject to appropriations and budget
approval specifically covering this Agreement as an expenditure in said budget,
and it is within the sole discretion of the City's City Council to determine whether
or not to fund this Agreement. The City does not represent that this budget item
will be adopted, as said determination is within the City Council's sole discretion
when adopting each budget.
4. Compensation and Payment. This Agreement is for an amount not to exceed
$448,194.60, subject to approved amendments and changes. All pricing must be
in accordance with the attached Quote, as shown in Attachment B, the content
of which is incorporated by reference into this Agreement as if fully set out here in
its entirety.

5. Notice. Any notice required under this Agreement must be given by fax, hand
delivery, or certified mail, postage prepaid, and is deemed received on the day
faxed or hand-delivered or on the third day after postmark if sent by certified mail.

6. Entire Agreement. This Agreement, along with the Co-operative Agreement,
constitutes the entire agreement between the parties concerning the subject
matter of this Agreement and supersedes all prior negotiations, arrangements,
agreements and understandings, either oral or written, between the parties.

suspend Your access tothe EAWorkspace,until Your breach has bee ncured.

will refUnd to the Approved Source(orYou,if You purchased directIy from Cisco)any fees You paid

iv. Other than as provided in this section 4 and to the extent permitted by law,the EA Program Ferms,
and any orde rs placed there unde r are non--cancel laUe and may not be terminated.
d. Effect ofTeirmnUmatUom;End of SuUte'Teirmn. Upon termination orotthe end ofthe 8uiteTenn:
i. Fhe fol lowing rights wil I terminate with respect to the P urchased SU ites: (1)Your right to ConSUme
Cloud Services and Software; (2)Your right toaccess the EAWorkspace; (3)You rright toreceive
8upportServices;and
ii. You must destroy the product activation keys(P4Ks) provided in connection with the Purchased
Suites.
5. UmkUaUGroexth Calp. If You exceed the Initial Growth Cap during the first six months of the SUite Ferm,the
Approved Source may chargeYou for such Consumption above the Initial Growth Cap.If the Purchased SUite
includes oGrowth Allowance(described inthe applicable Enrol|mentDeschption),the Growth Allowance
cannot beused tooffset fees forexceedingtheInitial Growth Cap.
* TirueForexard.
o. Cisco performs a Frue Forward for the PUrchased SUites on each anniversary of the SUite Start Date. On
the first anniversary ofthe 8uiteStart Date, ifYou have exceeded the Initial Entit|ement,the Approved
Source will charge You for the ConSUmption above the Initial Entiflement through the remainder of the
8uiteTerm.On each subseq uent anniversary of the SUite Start Date,the Approved SOUrce will chargeYOU
for any ConSUmption above the previOUS yea�s li::.'int�tUeinneinttlhirotjglhtlhe rennaindeirof the Suite Term.
b. YourTrue Forward payment obligation for each Purchosed8uite will be calculated by comparing Your
Consumptionof8oftworeondC|oud8ervicestoYourEntit|ementforthepreviousyeor.4nypoynent
owed to the Approved Source will be determined as follows and reflected in the price quote from the
Approved source: the unit price less any applicable discount or incentive MUltiplied by the quantity by
which You exceeded Your then--CUrrent Entiflement. Fhe price used to calcuIate any Frue Forward fees
will beestablished when You p|ocetheorder-for each Purchased 8uite.
c. For some SUites,a portion ofYour Frue Forward payment obligation may be offsetbythe residual vaIUe
remaining in Software or Cloud Services in the some 8uite.This process is called value shift,and the
applicable Enrollment Descri ption in d icates whether and tothe extent val ue shift applies to a given Suite.
d. Thereisnofee for exceedingtheEntit|ementinthe final yeorofthe8uiteTenn.

& End of LIfe. Notwithstanding anything in the EA Program Ferms to the contrary,Cisco reserves the rightto
discontinue Suite with atleast t1hireeyears' piricir notice. If a Puirchased Suite i�sdiscontinued,Ci�soovv0
either: (a)provide You a substantially similar repIacementSUite forthe remainder of the SUite Ferm;or(b)
issueocredittothe4pproved8ource(orYou,ifYoupurchoseddireot|yfromCisco)foronyfeesYoupoid��
the Purchosed8uite covering the period after the last date such Purchosed8uite is available for You to
Consume.8uchcreditconbeopp|iedtovvordsthefutunepurchoseofCisooproductsondsemices.
9. PuirdhasIngAddItIonall SuItes.You may purchase additional SUites by submitting a newEUIF and orderto the
Approved SOUrce.Additional SUites may co--termi n ate with a pre--existing Purchased SUite provided there are
at least 12 months remaining in the SUite Ferm of such pre--existing Purchased SUite.Otherwise,additional
Purchased SUites will be given a newSUite Ferm and will be SUbjectto the then--current EA Program Ferms
inaccordance with section 1O,be|ovv.
�O� ModUfUcatUoms. As our business evo|ves,Cisco may modify the EA ProgromTerms. Updated EA Program
Ferms do not applyto pre--existing Purchased SUitesorto fUtUre orders that co--te rmin ate to a pre--existing
Purchased 8uite,which will begoverned bythe version ofthe EA Program Tennsalready ineffect for the
pre'existingPurchased 8uite.

red uired to payan Importation Fee,Your.jurisdiction may use the val ue of both the hardware and Embedded
Software to calcuIate the Importation Fee.AccordingIy,the Importation Fee on the value of the combined
products may be higher-than if calculated soVy usingthe priceof the hardware.

address provided on the purchase order for the Cisco hardware.Your use of the smart licensing aCCOUnt
Cisco designatesfor the Embedded Software will ensure aCCUrate pricing of the Embedded Software.

1.90 Order of Precedence. T documents comprising the EA Program Terms are complimentary,and to the
extent possible, conStP_Ued and interpreted consistentIy. In the event of an inconsistency, conflict, or
ambigUity between the EA Program Terms,the order-of precedence forany Purchased SUite is firstthe EUIF,
then the Enrollment Description, and then these terms and conditions. Fhe EA Program Terms take
precedentover the applicaUe LicensingDocurnents.
