(FNI) is pleased to provide our Seawater Desalination Owner's Representative Phase 1 Pre-Construction professional service proposal for your consideration. The City of Corpus Christi is currently working to deliver the Corpus Christi Inner Harbor Desalination Treatment Plant through the progressive design build (PDB) collaborative delivery method. The City will ultimately contract with a single Design-Builder for all the aspects of the Design-Build Contract Services, which are divided into three sections: 1. Phase 1, or Pre-Construction Phase Services, will provide final facility planning, design and other preconstruction phase services necessary to finalize a guaranteed maximum price (GMP) proposal for Phase 2 services. 2. Phase 2, or Construction Phase Services, will provide the construction necessary to achieve final completion of the facility to transition into Phase 3 services. 3. Phase 3, or Interim Operations and Maintenance (O&M) and Handover Servies will operate the facility for approximately one year and transition the facility over to City staff operations. The Pre-Construction Phase Services of Phase 1 are broken into two parts, Part 1A and Phase 1B. Phase 1A includes finalizing the pilot protocol, procuring the pilot equipment, and providing a detailed facility plan and treatment approach that establishes the Project's full-scale design requirements. This phase will also include the development of the Project's detailed Cost Model. Phase 1B includes the services the Design-Builder will perform to develop the facility design to the point where GMP for construction of the facility can be negotiated and will include necessary pre-purchase of equipment to facilitate the design and on-schedule delivery of the Project. In serving as the City's Owner's Representative, we would assist the city with facilitating, monitoring and reporting the following Design Build Team Phase 1 activities: Specifically, Phase 1A will include the following efforts: Mr.Jeff Edmonds, P.E. i October 23, 2024 Page 2 of 4 1. Pilot Study: A pilot study will be required to comply with the Texas Commission on Environmental Quality 2. Evaluation: The Design-Builder, as part of their Phase 1A responsibilities, will prepare the following deliverables that will be used to inform and guide the design of the Project: a. Preliminary Facility Plan b. General Form and Function of the Plant c. General Form/Architectural Concept of the Plant Buildings/Facility Features d. Process Flow Diagrams e. Clear Design Concept f. Preliminary Control Narrative g. Philosophy of the Plant Operations h. Preliminary Process and Instrumentation Diagram (P&ID) for Treatment Components i. Process Design of the Facility j. Electrical One-Line of the Facility and Associated Power Requirements k. Baseline Project Cost Model and Project Schedule 3. Environmental protection/Enhancement: The Design-Builder will perform evaluations necessary to define project requirements to protect and enhance the marine and terrestrial environments associated with the Project for incorporation into Phase 1B, Phase 2 and Phase 3 services. 4. Basis of Design Report: The Design-Builder will prepare a Basis of Design report summarizing the evaluations, reviewed water quality and flow data, and defining the basis of design for each of the major project units. 5. Survey: The Design-Builder will evaluate available survey data and determine whether and when additional survey information will be required. Design-Builder will subcontract the services of a licensed surveyor to complete requisite survey of the selected project site, including a complete boundary and topographic survey. 6. Geotechnical: The Design-Builder will evaluate the geotechnical baseline report and determine whether and when additional geotechnical information is required. Design- Builder will provide additional geotechnical services that include the development of a geotechnical report or memorandum to support the design for new structures associated with the Project 7. Cost Modeling: The Design-Builder shall perform cost modeling to develop the Opinion of Probable Construction Cost for the Basis of Design Report, and to support alternative evaluation processes during detailed design. 8. Safety by Design Planning: Design-Builder shall develop an initial health & safety plan submission defining how safety will be incorporated into the design and approaches that will be used to ensure public safety through design and construction services. 9. Project Management: The Design-Builder shall provide project management of all Phase 1A services as well as preparation of project management and coordination recommendations for Phase 1B. Items include, but are not limited to, document EESE Mr.Jeff Edmonds, P.E. t + f �- October 23, 2024 Page 3 of 4 management, BIM/CAD requirements, risk development/modeling, schedule development, procurement plan development, Early Works Packages recommendations, and submission requirements for Phase 1B. Phase 1B services will include design development of the project to what is known in the industry as a 60%to 70% level of design development suitable for negotiation of a GMP proposal for finalization of the design and construction of the Project, and will generally address detailed design and planning for the following: • Onsite improvements including site roadways, parking, lighting, wayfinding, sidewalks, landscaping, site security, site access control features, and facilities needed to supply the site utilities required for the operation of the Plant, including construction of a step- down substation to provide electrical power to the Plant. • Offsite improvements including access easement roadways; an offsite Product Water transmission line up to the POC; and two 10 MG ground storage tanks. • Coordination with AEP on substation design and construction schedule to provide electrical power to the Plant. AEP will be responsible for designing and building their 138kV substation adjacent to the Plant Site. The Design-Builder shall be required to coordinate the design of the City's step down substation with AEP's design of their 138kV substation. • Prepurchase of long lead time items such as electrical equipment and process equipment to facilitate the Project's schedule • Plant commissioning planning indicating the steps required to demonstrate that the Plant can reliably produce Product Water and has all relevant Governmental Approvals and that will additionally indicate what coordination steps will be required to prepare the new source of supply to be safely integrated into the City's system. • Permitting and other Governmental Approvals necessary for the performance of the Contract Services on behalf of the City with the exception of permits the City will retain the responsibility for obtaining such as: the water right (diversion) authorization for raw water, the Texas Pollutant Discharge Elimination System (TPDES) permit for the discharge into the ship channel, and the US Army Corps of Engineers (USACE permit(s). • Stakeholder outreach and public information services to support the City's ongoing outreach efforts. The Design-Builder shall be responsible, at a minimum, for ensuring project activities are managed in a manner that maintains a positive and safe environment for the community, as well as providing routine updates on the Project's progress to local community groups, maintaining the Project schedule and activities on the Project website, and attending/participating in other functions held by the City to promote the Project and to maintain community support. • Project management/coordination of all Phase 1B services as well as preparation of project management and coordination recommendations for Phase 2. Note that Amendment No. 3 also refers to Phase 2 (Construction Phase) and Phase 3 (O&M and Handover), but this proposal does not include OR services for those phases. The following is only Scope of Services for Phase 1 and is intended to be performed underthe contractual agreement(and subsequent Amendment No.3)executed as Task Order No. 7 in accordance with the Terms and Conditions of the associated Master Services Agreement (MSA) approved by City Council on November 7, 2017. Previous task orders have provided for the completion of the plant siting evaluations, raw water quality characterization, the submittal of administratively complete Texas Pollutant Discharge Elimination System (TPDES)and Water Rights Authorization applications to the Texas Commission on Environmental Quality (TCEQ), public outreach and communications, project development and procurement strategy, the United States Army Corps of Engineers (USACE) permit application, specific funding tasks related to the Texas Water Development Board's(TWDB)requirements, and the development and implementation of a two-step Progressive Design Build (P-DB) procurement process resulting in the recommendation of a P-DB Vendor suitable for City approval for the delivery of the referenced seawater desalination project. The City, as the regional water provider, is focused on continuing along the critical path for implementation of the seawater desalination project on the Inner Harbor Ship Channel. To achieve this objective for the City, Freese and Nichols, Inc. (Consultant) will provide the following services for the seawater desalination plant located on the Inner Harbor Ship Channel, unless otherwise expressed for specific tasks. SCOPE OF SERVICES ARTICLE I—BASIC SERVICES GENERAL TASK 1: Project Administration, Meetings, Management 1. Project Kick-off Meeting with P-DB Team, City and other key team members to establish Project goals; review Project scope, schedule and budget; introduce team members; discuss Phase 1 scope and deliverables,schedule,and cost;address project team logistics;outline communication procedures; exchange all necessary information between parties; and address any Project related issues or concerns. 1 2. Coordinate execution of Project Work Plan and update monthly. 3. Coordinate Master Project Schedule and update monthly. 4. Participate in a voluntary partnering kickoff meeting and regular (estimated at quarterly) partnering update meetings. 5. Attend weekly Project status "Look Ahead" meeting with the City. These will typically be by video or teleconference and include discussion of project status and upcoming project activities, action items in City's court, and any other Project related items/issues. 6. Schedule, prepare for, facilitate, and document weekly meetings for the Project Lead Team, OR Pre-Construction Team, Engineering & Operations Team, and P-DB Team. 7. Provide timely identification, discussion, and resolution of change issues. 8. Participation in meetings with City Senior Management or City Council as needed. 9. Presentations or reports to the City Council, City Senior Management, and other stakeholders as needed. 10. Consultation with regulatory agencies on time-critical permit applications as needed. 11. Prepare and submit monthly invoices. TASK 2:Communication 1. Establish communication procedures for all parties involved in the Project. The communication procedures shall detail the amount of time all parties have to respond to questions, submittals, or other documents, and the most efficient transmission of communication. 2. Submit monthly reports of the design and pre-construction activity progress describing progress; and summarizing Project costs, cash flow, Project schedule, and any other outstanding issues. TASK 3: Project Controls 1. Document Management a. Support implementation and maintenance of the Project Management Information System (PMIS) for use by all parties throughout the Project. b. Audit that documentation produced to the PMIS by all parties is applicable to the contract requirements. 2. Schedule Management a. Review baseline schedule prepared by P-DB Team and review monthly schedule updates. Provide feedback regarding questions, concerns, critical path, discrepancies, slippage, recovery, and overall compliance of the schedule with the Contract Documents and with the actual progress of the work. b. Sync Master Project Schedule with P-DB Team schedule and include with monthly reports to City. 3. Cost/Change Management a. Monitor development of preliminary and final GMPs by P-DB Team. Provide feedback regarding questions,concerns,discrepancies,and overall compliance of the GMP with the Contract Documents and the Project budget. Facilitate P-DB Team's development of final GMP for approval by City prior to progressing to Phase 2 of the Project. 2 b. In the event the proposed changes by the P-DB Team impact the budget, manage the review process of these changes and their resulting budget impacts by all parties. c. Review preliminary schedule of values and payment requests submitted by P-DB Team. Confirm requests accurately reflect work completed and make recommendation to the City for payment. d. Review the P-DB Team's Master Cash Flow curve to maintain a programmatic capital expenditure cash flow that can be used for coordination with TWDB on release of funds, and provide monthly reports to City. TASK 4: Risk Evaluation and Mitigation 1. Prepare for and facilitate three Risk Workshops with the P-DB Team and the City at the following Project milestones: a. Commencement of Phase 1A activities b. Commencement of Phase 1B activities c. Completion of Phase 1 activities and coordinated with development of the final GMP 2. Maintain risk register and risk matrix developed previously on the Project. Collaborate with the P-DB Team and the City to determine allocation of these risks to the appropriate stakeholders. TASK 5: Quality Control 1. Oversee development of Design and Construction Quality Control Plans by the P-DB and verify compliance with the Contract Documents. 2. Review submittals, design deliverables and other documentation prepared by the P-DB Team during Pre-Construction phase for compliance with the Contract Documents and provide review feedback of any items that need to be addressed. PHASE 1A—PILOT, TREATMENT APPROACH, BASIS OF DESIGN Phase 1A Coordination to Facilitate Project Delivery TASK 1: Notice to Proceed (NTP)and Schedule Management 1. Coordinate all contractual submissions and documentation by P-DB Team to allow execution of P-DB Agreement by the City. 2. Issue NTP to P-DB Team. 3. Coordinate with P-DB Team in its preparation and submission of a preliminary project schedule. Review schedule for compliance with contractual requirements and regulatory constraints. TASK 2: Proiect Management Plan (PMP) 1. Coordinate with P-DB Team in its preparation and submission of a PMP summary. 2. Coordinate with P-DB Team in its preparation and submission final PMP. Review and verify content of plan complies with contractual requirements. TASK 3: Proiect Coordination Meetings 1. Schedule and facilitate project kickoff meeting with P-DB, City and other applicable stakeholders. 2. Coordinate with the P-DB Team related to its development of a partnering plan and participate in 3 partnering workshops. 3. Attend project coordination and facilitation meetings conducted by P-DB Team. Attend all site visits conducted by P-DB Team. Coordinate with City and P-DB regarding site visit schedules, travel and other related accommodations. TASK 4: Project Budget and Invoicing 1. Coordinate with P-DB Team in its budget and invoice development for compliance with contract documents. 2. Review monthly invoices and make recommendations to City for payment. 3. Coordinate with P-DB Team in its development of a cost model for Phase 2 (construction) of the project. Review and comment on model adherence to contract documents and overall project plan and goals. TASK 5: Phase 1B Price Negotiations 1. Facilitate Phase 1B price negotiations with P-DB Team and City. 2. Conduct a meeting with all parties to negotiate the Phase 1B Contract Amendment. Phase 1A Analyses, Studies, and Preliminary Design Development TASK 1: Pilot Execution and Evaluation 1. Facilitate review of the City's Pilot requirements with the P-DB Team to verify understanding of requirements along with possible changes to TCEQ's piloting protocol. 2. Coordinate with the P-DB Team in its development of the Pilot Study protocol. Review and comment on protocol adherence to Project requirements and TCEQ requirements 3. Facilitate meetings with all parties to review Pilot requirements and considering any proposed modifications or enhancements. 4. Review purchase order for Piloting equipment prepared and submitted by P-DB Team. 5. Coordinate with P-DB Team as it develops detailed design of the Pilot and provide review for compliance with Project requirements. 6. Coordinate with P-DB Team as it develops procurement documents to select a Pilot vendor. (Note that Pilot Construction and Execution is not included in Phase 1A). 7. Coordinate with P-DB Team as it constructs and operates the Pilot facility. 8. Observe operations by Pilot vendor for conformance with the contract documents and the Design Criteria Package. 9. Review reports developed based on Pilot operation for conformance with the contract documents and regulatory requirements. TASK 2: Engineering and Architectural Studies 1. Coordinate with P-DB Team as it conducts engineering and design studies as part of its preliminary engineering efforts including but not limited to the evaluation of plant hydraulics, plant process capacity, residuals management, electrical service, and plant electrical facilities. 2. Review technical memorandums prepared for all evaluations performed by the P-DB. 4 TASK 3:Geotechnical, Survey and Utility Investigations 1. Coordinate with the P-DB Team as it conducts geotechnical investigations, boundary and topographic surveys, and subsurface utility investigations of the project site. 2. Review P-DB Team reports, surveys and other information documenting these efforts and recommendations made. TASK 4: Preliminary Design and Basis of Design Report 1. Coordinate with P-DB Team as it develops its preliminary design of the plant and prepares a Basis of Design Report. 2. Review design documents, reports and other documents submitted by the P-DB Team for compliance with the contract documents, the Design Criteria Package, and results of previously prepared data and reports. TASK 5:Workshop Requirements 1. Coordinate with P-DB Team as it prepares for multiple design workshops and meetings to verify that agendas include the proper information and that they are submitted in a timely fashion to allow other parties the opportunity to prepare for productive participation. 2. Participate in P-DB Team conducted design review workshops and other meetings related to the Pilot Facility, plant design studies and reports, and all other aspects of the facility. 3. Provide feedback during following the meetings as warranted. PHASE 1B—DESIGN DEVELOPMENT TASK 1: Facility Design Development(60%) Phase 1. Coordinate with P-DB Team as it develops the design of the facility to the 60%-70% level suitable for negotiation of a GMP proposal for final design and construction of the Project. Major items will generally include: a. Onsite improvements (sitework, utilities, support facilities, etc.) b. Offsite improvements (access road, water transmission line, ground storage tanks, etc.) c. Coordination with AEP related to substation design power to the site. d. Prepurchase of long lead time items such as electrical and process equipment. e. Plant commissioning plan development. f. Permitting and other Governmental approvals. g. Stakeholder outreach and public information services. TASK 2:Geotechnical, Survey and Utility Investigations 1. Coordinate with the P-DB Team as it conducts final geotechnical investigations, boundary and topographic surveys, and subsurface utility investigations of the project site. 2. Review P-DB Team reports, surveys and other information documenting these efforts and recommendations made for coordination during construction phase. 5 TASK 3: Development of project management plan and preliminary schedule for Phase 2 (implementation/construction). 1. Coordinate with P-DB Team on completion of the Phase 2 project management plan in accordance with the contract requirements. 2. Review development of the project's schedule model and detailed schedule for construction and commissioning phases. 3. Establish construction phase coordination practices for implementation under Phase 2 services. TASK 4:Workshop Requirements 1. Coordinate with P-DB Team as it prepares for multiple design workshops and meetings to verify that agendas include the proper information and that they are submitted in a timely fashion to allow other parties the opportunity to prepare for productive participation. 2. Participate in P-DB Team conducted design review workshops and other meetings related to the Pilot Facility, plant design studies and reports, and all other aspects of the facility. 3. Provide feedback during following the meetings as warranted. ARTICLE II—ADDITIONAL SERVICES This section defines the scope of additional services which are not included in Article I—Basic Services and may only be included as part of this Task Order if authorized by the City. The Consultant will not begin work on any services under this section without specific written authorization by the City. Final compensation for additional services tasks will be negotiated with the City as required. The Consultant will, with written authorization by the City, perform the following: 1. Field layouts or the furnishing of construction line and grade surveys. 2. GIS mapping services or assistance with these services. 3. Making property, boundary and right of way surveys, preparation of easement and deed descriptions, including title search and examination of deed records. 4. Providing services to investigate existing conditions or facilities, or to make measured drawings thereof, or to verify the accuracy of drawings or other information furnished by City. 5. Preparing applications and supporting documents for government grants, loans, or planning advances and providing data for detailed applications. 6. Conducting pilot plant studies or tests. 7. Conducting or coordinating modeling activities and technical expert advisory committees for the development of Bay System protection measures for final permitting and operation of the proposed project or to establish parameters for future projects. 8. Preparing data and reports for assistance to the City in preparation for hearings before regulatory agencies, courts, arbitration panels or any mediator, giving testimony, personally or by deposition, and preparations therefore before any regulatory agency, court, arbitration panel or mediator. 9. Assisting City in preparing for, or appearing at litigation, mediation, arbitration, dispute review boards, or other legal and/or administrative proceedings in the defense or prosecution of claims disputes with Contractor(s). 6 10. Assisting the City in the defense or prosecution of litigation in connection with or in addition to those services contemplated by this Agreement. Such services, if any, shall be furnished by FNI on a fee basis negotiated by the respective parties outside of and in addition to this Agreement. 11. Providing environmental support services including the design and implementation of ecological baseline studies, environmental monitoring, impact assessment and analyses, permitting assistance, and other assistance required to address environmental issues. 12. Design changes up to the engagement of the P-DB Vendor, contract modifications, studies or analysis required to comply with local, State, Federal or other regulatory agencies that become effective after the date of this agreement. 13. Providing services made necessary because of unforeseen, concealed, or differing site conditions or due to the presence of hazardous substances in any form. 14. Preparation of a Stormwater Pollution Prevention Plan (SWPPP) or Traffic Control Plans for the project. 15. Phase 2 and Phase 3 Owner's Representative Services ARTICLE III -TIME OF COMPLETION FNI is authorized to commence work on the Project upon execution of this Task Authorization and agrees to complete the services in accordance with the following schedule: Phase 1A Week Ending June 30, 2025 Phase 113 Week Ending February 27, 2026 If FNI's services are delayed through no fault of FNI, FNI shall be entitled to adjust contract schedule consistent with the number of days of delay. These delays may include but are not limited to delays in the City's reviews or regulatory reviews, delays on the flow of information to be provided to FNI, governmental approvals, etc. These delays may result in an adjustment to compensation. ARTICLE IV-RESPONSIBILITIES OF CITY The City shall perform the following in a timely manner so as not to impact the services of FNI: 1. City will designate in writing a person to act as City's representative with respect to the services to be rendered under this Agreement. Such person shall have contract authority to transmit instructions, receive information, interpret, and define City's policies and decisions with respect to FNI's services for the Project. 2. City will provide all criteria and full information as to City's requirements for the Project, including design objectives and constraints, space, capacity and performance requirements, flexibility and expandability, and any budgetary limitations; and furnish copies of all design and construction standards which City will require. 3. City will assist FNI by placing at FNI's disposal all available information pertinent to the Project including previous reports and any other data relative to design or construction of the Project. 4. City will arrange for access to and make all provisions for FNI to enter upon public and private property as required for FNI to perform services under this Agreement. 7 5.
