MOTIONS - 3/09/99
Motion authorizing the appointment of underwriters, Morgan Stanley Dean Witter,
as Senior Managers and Merrill Lynch, A.G. Edwards and Estrada/Hinojosa & Co.,
as Co-managers, for issuance of Utility System Bonds which will fund new projects,
refund outstanding Commercial Paper and Advance Refunding of certain maturities
of outstanding Series 1994 and 1995 Utility Systems Revenue Bonds.
