("Agreement")is made by Groomer's Seafood of San Antonio,Inc.("Owner"),a co •oration of Texas,9801 McCullough,San Antonio,Texas 78216,to the City of Corpus « risti("City"),a Texas home-rule municipal corporation,P.O. Box 9277,Corpus Christi,Te as 78469. Project Scope: The project is identified as Brooklyn Addition BI•ck 78,Lot 2R—Groomer's Seafood(Project No. E12213)("Project"). The Project was required to provide water se e to 4002 East Causeway Boulevard:Corpus Christi,Texas 78402. This Project was requir:•to be constructed in accordance with the Unified Development Code,the Infrastructure resign Manual(the City's Design Standards published by the City Engineer),and in compli nce with the City's Water Standard Detail Sheets C-1,C-2,C-3,and C-4(Exhibit A). The Project consisted of installation of 560 lin==r feet of 8"PVC water line with tie-ins to the existing water line in the street;installation of fire hydrant;and 4'—6'deep open cut of road that required asphalt pavement repair("Infrast cture"). Detail is shown in Exhibit B-Offsite Utility Plan. FOR GOOD AND VALUABLE CONSIDERAT-6N,THE CONTRACTOR WARRANTS AND PROMISES THE FOLLOWING: I. WARRANTY A. ONE-YEAR WARRANTY OF INFRAS RUCTURE For a period ending 1 year from the date • this agreement("Warranty Period"),the Owner warrants that the Infrastructure is not de tive and that the material furnished and used and the workmanship employed in the constr ion are of such character and quality as to insure the Infrastructure is in reasonably continuus good order and condition,and guarantees that within the Warranty Period,the Owner sh=II,at the City's request,repair any and all defects in the Infrastructure. B. DUTY TO REPAIR INFRASTRUCTU'E AT CITY'S REQUEST During the Warranty Period,within five(5 working days of the City's written request,at the Owner's sole cost,the Owner shall repair any defective portions of the Infrastructure. Owner shall perform all repairs by entire) removing the defective portion and replacing it in accordance with the instructions of the C" Engineer or designee and in accordance with Special Warranty: Release of Claims—Groomer's Seafood of San Antonio 1 of 9 the City's Design Standards in the Infrastru.ure Design Manual issued by the City Engineer. C. OWNER IS RESPONSIBLE FOR ALL •STS The Owner shall pay claims,costs,losses a d damages arising out of or relating to this repair of the Infrastructure,including(a)cos.for correction,removal and replacement of the Infrastructure,or any portion thereof;and(b cost of the inspection and testing related to the Infrastructure,or any portion thereof. After 5 days'notice to Owner,if Owner fails to repair the Infrastructure as required by City,the Ci may file a claim on the Maintenance Bond required under this Warranty. All costs incu red or sustained by City in exercising or enforcing the rights and remedies under thi-Warranty shall be paid by Owner. D. MAINTENANCE BOND Owner shall furnish a Maintenance Bond -. eptable to the City in an amount equal to $49,995.25 as security for the faithful perfo ance of Owner's obligations under this Warranty. The Bond is to remain in effect u til the end of the Warranty Period. Owner must furnish a Maintenance Bond that meets the equirements of Texas Insurance Code Chapter 3503,Texas Government Code Chapter 22-3 and any other applicable Laws and Regulations. II, RELEASE OF ALL CLAIMS KNOWN AND NKNOWN Owner,including all officers,agents,employee-,directors,shareholders,successors and all other persons in privity with Owner,does here. release,discharge,acquit,settle and compromise any and all claims,causes of acti. ,lawsuits,counter-claims,administrative proceedings and enforcement actions,whether n law or equity against City;which claims arise out of or in connection to the Project;or the fa al basis of which arose prior to the execution of this Agreement. This release applies to all clai s of whatsoever type whether said claims are known or unknown for equitable,injunctive or onetary relief. In making this Release,Owner agrees that it has not relied upon any stateme s or representations pertaining to this matter made by any other party or persons. III. Other Provisions A. Venue:The Agreement shall be govern:. by and construed under and in accordance with the laws of the State of Texas. Ve ue shall lie exclusively in Nueces County. B. Severance: If any provision of this Agr:-ment is held by a court of competent jurisdiction to be invalid,void or unenfo -able,that provision will be severed and the remaining provisions shall survive and ••ntinue in full force and effect without being impaired or invalidated in any way Special Warranty& -lease of Claims—Groomer's Seafood of San Antonio 2 of 9 C.
