EXECUTE A WARRANTY CONVEYANCE FOR AND ON BEHALF
OF THE CITY TO HOUSTON NATURAL GAS CORPORATION
CONVEYING A PORTION OF ITS GAS DISTRIBUTION SYSTEM
IN EXCHANGE FOR A PORTION OF THE GAS DISTRIBUTION
SYSTEM OWNED BY HOUSTON NATURAL GAS CORPORATION,
SAID PORTIONS BEING MORE FULLY DESCRIBED HEREIN;
FURTHER AUTHORIZING THE CITY MANAGER FOR AND ON
BEHALF OF THE CITY TO ACCEPT A CONVEYANCE FROM THE
HOUSTON NATURAL GAS CORPORATION TO THE CITY; AP-
PROPRIATING OUT OF NO. 106 GAS FUND 'TWENTY-NINE

GAS DISTRIBUTION SYSTEM; AND EXECUTING PROPER IN-
STRUMENTS AND DOING ALL THINGS REQUISITE TO CARRY
OUT THE EXCHANGE AGREEMENT OF A PORTION OF THE
CITY'S GAS DISTRIBUTION SYSTEM IN EXCHANGE FOR A
PORTION OF THE GAS DISTRIBUTION SYSTEM OWNED BY
HOUSTON NATURAL GAS CORPORATION.
WHEREAS, the City of Corpus Christi, Texas, hereinafter called "City",
and the Houston Natural Gas Corporation, hereinafter called "Corporation", have
recognized that there are certain areas Within the corporate limits of the City
of Corpus Christi, Texas, that can be more advantageously and economically served
by Houston Natural Gas Corporation than by the City; while on the other hand,
there are certain areas now being served by Houston Natural Gas Corporation, which,
from an operating point 6f view, should be incorporated in the as distribution
system of the City, and such parties have agreed to define and to allocate respec-
tive areas in which each shad operate its gas distribution system so that there
will be no paralleling of lines or overlapping of systems and thus afford such
parties the opportunity to better serve the inhabitants of the City; and
WHEREAS, in order to accomplish such purpose, the City desires to obtain
from Houston Natural Gas Corporation a portion of its gas distribution system now
located in certain areas now being served by Houston Natural Gas Corporation and
to transfer and assign to Houston Natural Gas Corporation a portion of its gas
distribution system now located, owned and being operated by the City in certain
other areas, which sale, purchase and transfer such parties are willing to make
for the consideration and subject to the terms and conditions hereinafter referYed
to.
J NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF. CORPUS
CHRISTI, TEXAS: •
SECTION 1. That the City Manager is hereby authorized and directed for
and on behalf of the City to execute a Warranty Conveyance to Houston Natural Gas

....„,..,,,,,..Corporation wherein the City agrees to convey -to said Corporation a portion of its
gas distribution system, a copy of said instrument of conveyance being attached
hereto and marked Exhibit "A", and made a part of this Ordinance for all intents
and purposes.
SECTION 2. That the City Manager is hereby authorized and directed for
and on behalf of the City to accept a conveyance from the Houston Natural Gas
Corporation to the City, a copy of said conveyance instrument being attached here-
to and marked Exhibit "B", and made a part of this Ordinance for all intents and
purposes.
SECTION 3. The sum of Twenty-nine Thousand Five Hundred Four And 73/100
Dollars ($29,504.73), or so much thereof as is determined to be correct by the
Director of Public Utilities and the City Manager, which is the amount of the cash
consideration necessary to be paid by the City for the purchase of said property
to be conveyed by the Houston Natural Gas Corporation over and above the property
to be transferred to said Corporation, is hereby appropriated out of No. 106 Gas
Fund not otherwise appropriated.
SECTION 4. That City Manager is further authorized and directed to
execute any and all instruments necessary and do all things requisite for the con-
summation of the exchange of the properties sought to be exchanged in the convey-
ance instruments hereto attached and identified as Exhibits "A" and "B"; further,
the City Secretary ie directed to affix the corporate seal and attest all of said
instrumento aforesaid.

COUNTY OF NUECES
KNOW ALL MEN BY THESE PRESENTS THAT, for and in consideration of
the sum of Ten Dollars ($10.00) and other valuable consideration, paid to
it by Houston Natural Gas Corporation in an exchange of an equal portion
of its natural gas distribution system as set forth in conveyance
of even date herewith, the receipt of which is hereby acknowledged,
the City of Corpus Christi, Texas, being duly authorized by Ordinance No.
has granted, bargained, sold and conveyed, and by these presents
does grant, bargain, sell and convey to the Houston Natural Gas Corporation
the following property, to -wit:
That portion of the natural gas distribution system of the City
of Corpus Christi, Texas, Nueces County, Texas, within its corporate limits,
consisting of pipe in the ground, meters, regulators, valves, fittings and
other equipment necessary for the operation of such system, located within
the following areas:
AREA 1. Gollihar Park Unit 2, being a subdivision of 27.99 acres
out of Lot 11, Section "D" of Paisley's Subdivision of the Hoffman
Tract, Nueces County, Texas, plat of said Gollihar Park Unit 2
being filed for record November 25, 1953, in Vol. 16, Page 1, of
the Map Records of Nueces County, Texas. Also included is a 10-3/4"
O. D. pipe line now being used by the City in serving this subdivi-
sion, extending from Ayers Street along Gollihar Road in a north-
westerly direction to said subdivision.
AREA 2. Oso Place Unit 4, being a subdivision out of Lots "23, 424
and '#25, Section 14 of Flour Bluff Encinal Farm and Garden Tracts,
Nueces County, Texas, plat of said Oso Place Unit 4 being filed for
record July 12, 1954, in Vol. 16, Page 42, of the Map Records of
Nueces County, Texas. Also included is a 10-3/4" 0. D. pipe line
now being used by the City in serving this subdivision, extending
from a point near the intersection of Lum Avenue and Gollihar Road
along Gollihar Road.
And for the same consideration, the City here now assigns and conveys
to Houston Natural Gas Corporation, without recourse on it all existing contracts,
applications for service, accounts of every kind and character with consumers in
said areas connected to said systems, effective as of the close of business on
December 31, 1954.
TO HAVE AND TO HOLD the above described properties, together with all
and singular the rights and appurtenances thereto in anywise belonging unto said
Corporation, its successors or assigns, forever, and the City does hereby bind
itself, its successors and assigns to warrant and forever defend all and
singular the title to said properties unto said Corporation, its successors
and assigns, against every person whomsoever lawfully claiming the
same or any part thereof.

(1) The sum of Ten Dollars ($10.00) and other valuable
consideration, being the agreed value of that
portion of City's natural gas distribution system
conveyed to Corporation of even date herewith,

consideration, paid to Corporation in cash,
the receipt of which is hereby acknowledged, Houston
Natural Gas Corporation bas granted, bargained,

Natural Gas Corporation within the corporate limits of the City of Corpus

regulators, valves, fittings and other equipment necessary for the operation
of such system, located within the following areas, to -wit:
AREA 1. An area inclusive of the following subdi-

being a subdivision of the west one-half 1/2) of the
east one-half (1/2) of the east one-half 1/2) of Lot
4/6 of the S. C. Russell Farm Blocks, Nueces County,
Texas, plat of said Abbott Addition being filed for
record August 15, 1946, in Volume 10, Page 45, of the
Map Records of Nueces County, Texas. Also included
in this area shall be the tracts or parcels of land
