AUTHORIZING THE CITY MANAGER TO EXECUTE A CONTRACT WITH
THE COMMUNITY ACTION CORPORATION OF SOUTH TEXAS FOR THE
PREPARATION AND DELIVERY OF FIFTY (50) MEALS FOR THE
CITY'S ELDERLY NUTRITION PROGRAM IN BISHOP, TEXAS, AND
BANQUETE, TEXAS, FOR A PERIOD NOT TO EXCEED SIX (6)
MONTHS, ALL AS MORE FULLY SET FORTH IN THE CONTRACT IN
SUBSTANTIALLY THE SAME FORM ATTACHED HERETO, MARKED
EXHIBIT "A" AND MADE A PART HEREOF FOR ALL PERTINENT
PURPOSES; AND AUTHORIZING THE EXECUTION OF ALL DOCUMENTS
AS MAY BE NECESSARY IN THE CONTINUATION OF THIS PROGRAM;
AND DECLARING AN EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
SECTION 1. That the City Manager be and he is hereby authorized
to execute a contract and all related documents with the Community Action
Corporation of South Texas, for the preparation and delivery of fifty (50)
meals for the Elderly Nutrition Program in Bishop and Banquete for a period
not to exceed six (6) months, all as more fully set forth in the contract,
a substantial copy of which is attached hereto and made a part hereof,
marked Exhibit "A".
SECTION 2. The necessity to authorize execution of the aforesaid
contract and all related documents in order to continue the administration of
an elderly nutrition program creates a public emergency and an imperative
public necessity requiring the suspension of the Charter rule that no -
ordinance or resolution shall be passed finally on the date of its introduc-
tion but that such ordinance or resolution shall be read at three several
meetings of the City Council, and the Mayor having declared such emergency
and necessity to exist, having requested the suspension of the Charter rule
and that this ordinance take effect and be in full force and effect from and

Section I. Parties to Contract
This contract and agreement is made and entered into by and between
Community Action Corporation of South Texas, a private non-profit corpora-
tion, hereinafter referred to as the "Contractor" and the City of Corpus
Christi, hereinafter referred to as the "City". The parties hereto have
severally and collectively agreed and by execution hereof are bound to
the mutual obligations and to performance and accomplishments of the
tasks hereinafter described.
Section II. Contract Period
All services to be performed by the Contractor shall commence
January 15, 1980, and shall terminate June 15, 1980, such period referred
to herein as "Contract period".
Section III. Definitions
For purposes of this contract, the following definitions are effective:
1. "Serving day" is defined as a day on which the Contractor conducts
its normal business.
2. "Unit of service" is defined as one meal prepared and delivered
by the Contractor to the City as stipulated below.

'3. "Reimbursement voucher" is defined as the Contractor's invoice
specifying the total number of units of service provided during
the month and requesting payment for goods and services in ac-
cordance with the terms and agreements of this contract.
Section IV. Contractor Performance
The Contractor shall provide, in a satisfactory manner and in accor-
dance with the stipulations listed below, assistance to the City in the
operation of a Nutrition Program for the Elderly in rural Nueces County.
Satisfactory provision of assistance to the City shall be defined to include
the following:
1. Contractor shall prepare and deliver luncheon meals for congregate
meal sites located in Banquete, Texas, and Bishop, Texas, designated
by the City.
2. Quantity of meals prepared and delivered shall conform to that
specified for each serving day by the City, provided that such
specification is received by the Contractor from the City no
later than 2 p.m. of the preceding serving day and the total
number of daily meals shall not exceed 50 meals.
3. Contractor will complete meal preparation and delivery by 11:30 a.m.
of each serving day.
4. Meals shall be prepared and delivered in accordance with Contractor
policies and procedures developed to implement 45 CFR Part ' 1321".
Section V. City Performance•
The City shall perform, in a satisfactory manner and in accordance with
the stipulations listed below, functions to effect the operation of a Nutrition
Program for the Elderly in rural Nueces County. Satisfactory performance shall be
defined to include the following:
1. The City shall specify the number of meals to be prepared and delivered
by the Contractor for each serving day at each congregate meal
site; such specification is to be received by the Contractor
from the City no later than 2 p.m. of the preceding day.
2. In order to initiate service under the terms and agreements of
this contract, the City shall provide the Contractor with a
service remuneration advance of $ 2,262.50for the first month of
service.
3. After the first month of operation, the Contractor shall submit,
at intervals specified below, reimbursement vouchers for the pur-
chase of goods and services. In consideration of the Contractor's
full and satisfactory performance, the City will provide remunera-
. tion calculated per unit of service and day of delivery. Remunera-
tion shall be calculated as the sum of $1.50 per meal prepared and
$15.50 per service day for delivery. To initiate payment, the
Contractor will submit to the City, no later than ten working days
subsequent to the close of each month, a reimburse ent voucher for
the purchase of goods and services. The City shall render payment
to the Contractor no later -than fifteen days subsequent to the
receipt of reimbursement voucher.
Section VI. Termination
Termination of this contract may take place upon mutual agreement by.
both parties. In the absence of mutual agreement, either party may effect
the termination of this contract by rendering thirty day notice of such to
the other party. Such notification shall be in writing and provide for
certification of receipt.

For the reasons set forth in the emergency clause of the foregoing ordinance, a
public emergency and imperative necessity exist for the suspension of the Charter
rule or requirement that no ordinance or resolution shall be passed finally on
the date it is introduced, and that such ordinance or resolution shall be read
at three meetings of the City Council; I, therefore, request that you suspend
said Charter rule or requirement and pass this ordinance finally,on the date it
is introduced, or at the present meeting of,the City Council.
