HomeMy WebLinkAbout15471 ORD - 04/16/1980• AN ORDINANCE AUTHORIZING THE CITY MANAGER TO EXECurn AN EXTENSION AND MODIFICATION OF THE ASSIGNMENT OF LEASE BETWEEN THE CORPUS CHRISTI BANK & TRUST COMPANY, TRUSTEE, AND CARRIE SPARKS, COVERING THE AIRLINE CATERING KITCHEN FACILITIES AT CORPUS CHRISTI INTERNATIONAL AIRPORT, A SUBSTANTIAL COPY OF SAID AGREEMENT BEING ATTACHED HERETO AS EXHIBIT "A" AND MADE A PART HEREOF. WHEREAS, Ordinance No. 5790, passed and approved on the 15th day of June, 1960, authorized the acceptance and approval of an Assignment of lease between the Corpus Christi Bank & Trust Company, Trustee, and James D. Sparks and Carrie Sparks, covering the airline catering kitchen facilities at Corpus Christi International Airport, which lease was for a period of fifteen (15) years, beginning on the lst day of August, 1960, and terminating fifteen years from that date; and WHEREAS, Ordinance No. 12699, passed and approved on the 16th day of July, 1975, authorized a five (5) year extension of said original Assign- ment, terminating on July 31, 1980; and WHEREAS, James D. Sparks is deceased and Carrie Sparks has performed and desires to continue to perform said catering services and desires an extension of said original Assignment until July 13, 1990: NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. That the City Manager be and he is hereby authorized to execute, for and on behalf of the City of Corpus Christi, an extension and modification of the Assignment of Lease between the Corpus Christi Bank & Trust Company, Trustee, and Carrie Sparks, covering the airline catering kitchen facilities at Corpus Christi International Airport, all as is more fully set forth in said Agreement, a copy of which is attached hereto, marked Exhibit "A", and made a part hereof for all pertinent purposes. t 15471 THE STATE OF TEXAS COUNTY OF NUECES I X EXTENSION AND MODIFICATION' OF ASSIGNMENT'OF LEASE • The parties to this contract are Corpus Christi Bank & Trust Company, Trustee, hereinafter referred to as Assignor, and Carrie Sparks, hereinafter referred to as Assignee. The parties hereby mutually covenant and agree to extend for a period of approximately ten (10) years, from the 1st day of Aagust, 1980 and ending on the 13th day of July, 1990, an assignment of lease between the parties hereto executed on the 14th day of July, 1960, which Assignment the City Manager of the City of Corpus Christi was authorized to accept and approve by Ordinance No. 5790, all the terms, conditions, covenants and agreements of said Assignment of Lease to continue to inure to and to bind the respective parties hereto for such extended term in all respects, except as modified as follows: 1. Delete the name of James D. Sparks wherever appearing in said Assignment of Lease. 2. Amend Article VIII, Section 1, to read: "NOTICES. A11 notices to Assignor and the City of Corpus Christi shall be deemed sufficient if in writing and mailed, postage prepaid, addressed to the following: Airport Manager Route 2, Box 902 Corpus Christi, Texas 78410 Notices to Assignee shall be deemed sufficient if in writing and mailed, postage prepaid, addressed to the following: Carrie Sparks 5922 Del Starr Corpus Christi, Texas 78413 or to such other address as may be designated in writing by Assignee." 3. Amend Article VIII, Section 2, by deleting lines 11 through 17 of said Section 2, and inserting the following: "Assignee further agrees to carry comprehensive general liability insurance, which includes coverage for food EXHIBIT "A" • • poisoning and food preparation in the amount of at least three hundred thousand dollars ($300,000.00) for each person per occurrence for bodily injury or death, and one hundred thousand dollars ($100,000.00) for each occurrence for property damage. All insurance shall be carried in a responsible and reputable company. All policies shall contain the following clause: "It is understood and agreed that the Airport Manager of the City of Corpus Christi, Texas, will be notified in the event of any renewal or cancellation of this policy and that this policy will remain in full force and effect until thirty (30) days after such notice is given." 4. Amend Article IX by adding a new Section 6, to read as follows: "6. In the event of Airport terminal building renovation, remodeling, or redesign which would substantially preclude Assignee from carrying on the food catering business, City shall provide an adequate alternate space from which such business can be effectively conducted." 5. Amend Article IR by adding a new Section 7, to read as follows: "This assignment shall terminate in the event of Assignee's death or disability which would render her incapable of continuing to operate said business." 6. Add new Article R to read as follows: "CIVIL RIGHTS. In exercising any of the leased rights or privileges, Assignee shall not on the grounds of race, sex, creed or national origin discriminate or permit discrimination against any person or group of persons in any manner pro- hibited by Part 21 of the Regulations of the Secretary of Transportation. City hereby expressly retains the right to take such action as the United States may direct to enforce this nondiscrimination covenant. Assignee further assures that it will undertake an affirmative action program as required by 14 CFR Part 152, Subpart E, to insure that no person shall on • • fhe grounds of race, creed, color, national origin, or sex be excluded from participating in any employmentactivities covered in 14 CFR Part 152, Subpart E. The Assignee assures that no person shall be excluded on these grounds from participating inor receiving the services or benefits of any program or activity covered by this subpart. The Assignee assures that it will require that its covered sub - organizations provide assurances to the Assignee that they similarly will undertake affirmative action programs and that they will require assurances from their suborganizations, as required by 14 CFR Part 152, Subpart E, to the same effect."
