AUTHORIZING THE CITY MANAGER TO ACCEPT A PROPOSAL
FROM THE CABLE TELEVISION INFORMATION CENTER FOR
CONSULTING SERVICE IN CONNECTION WITH THE RENEGO-
TIATION OF A CABLE TELEVISION FRANCHISE WITH
ATHENA CABLEVISION OF CORPUS CHRISTI, INC., ALL
AS MORE FULLY SET FORTH IN THE PROPOSAL, A SUB-
STANTIAL COPY OF WHICH IS ATTACHED HERETO AND
MADE A PART HEREOF, MARKED EXHIBIT "A"; REAPPRO-
PRIATING $20,000 OUT OF THE GENERAL FUND RESERVE,
ACTIVITY 4299, CODE 490 TO ACTIVITY 4283, CATV
REGULATION, CODE 301; AND DECLARING AN EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
SECTION 1. That the City Manager be authorized to accept a
proposal from the Cable Television Information Center for consulting
services in connection with the renegotiation of a cable television
franchise with Athena Cablevision of Corpus Christi, Inc., all as more
fully set forth in the proposal, a substantial copy of which is attached
hereto and made part hereof, marked Exhibit -"A".
SECTION 2. That there is hereby reappropriated ,out of the
General Fund Reserve, Activity 4299, Code 490, the sum of $20,000
applicable to Activity 4283, CATV Regulation, Code 301.
SECTION 3. The necessity to authorize acceptance of the
aforesaid proposal and the appropriation of the sums necessary to
effect the proposal at the earliest practicable date creates a public
emergency and an imperative public necessity requiring the suspension of
the Charter rule that no ordinance or resolution shall be passed finally
on the date of its introduction but that such ordinance or resolution
shall be read at three several meetings of the City Council, and the
Mayor, having declared that such emergency and necessity exist, having
requested the suspension of the Charter rule and that this ordinance
be passed finally on the date of its introduction and take effect and
be in full force and effect from and after its passage, IT IS ACCORDINGLY
SO ORDAINED, this the 10 day of December, 1980.

Dear Mr. Mertz:
Following up on our recent telephone conversations and having now had
the opportunity to read the additional background information supplied in
your letter of November 13, 1980, I wish to offer the following proposal for
your consideration.
The basis of this proposal has been derived from our October 6, 1980
report of a suggested process presented to you by our Regional Director, Sue
Smoller.
TASK 1: Limited Technical Evaluation of Existing and Proposed System
We propose to have Mr. John W. Bowman visit Corpus Christi for an on—site
_examination of the nature and quality of the system as constructed to date
and evaluate the proposed changes to the system. Mr. Bowman is the engineer
we used (under Atlantic Research Corporation direction) in Austin and Santa
Barbara. We would not propose to do any extensive testing on this visit.
Our purpose would be to provide the city with an independent engineering ap—
praisal of the present and proposed system.
We estimate this limited evaluation would require three days on—site
and five days evaluation and report writing.
We estimate travel, three days lodgings and meals, car rental and our
19 percent overhead to amount to $1,000. Professional and secretarial time
including all overheads we estimate at $5,000.
TASK 2: Financial Review of Existing and Proposed System
Upon receipt of the city's request for financial information from the
company, the Center will examine the historical and pro forma information in
order to determine the extent of existing and potential viability of the com—
pany's operations. We will compare this information with industry norms and
examine the profitability of the proposal.
We anticipate a level of effort of 10 days of professional time by our
chief economist and rate specialist, Henry del Castillo, secretarial and re—
port writing would bring this task estimate to $4,500.

TASK 3: Proposal Review, Report Presentation and Negotiation Assistance
The company's final and "best" offer will be evaluated by Harold Horn,
President of CTIC, and compared with both current offerings being made across
the country in both new markets and other renegotiations with which we are
familiar. As a part of this task, Mr. Horn will visit Corpus Christi city
officials for two days to become more directly familiar with the city's re-
quirements and community and educational interests in possible use of the
cable system. Mr. Horn will also visit with company officials to become
familiarized with present and proposed operations.
The proposal review, on-site visit and report writing are estimated at
$4,500.
The technical, financial and proposal evaluation will be consolidated
into one overall report and presented.by Mr. Horn to the city. Report pre-
paration and presentation including travel is estimated to cost $3,000.
Negotiation assistance would be provided by Mr. Horn to assist the city
in discussions with company officials. This would, by its nature, be open-
ended. Rates to be charged would be at $60 per hour plus travel and direct
expenses with a 19 percent overhead rate. Assuming two days time and travel
this would be estimated at $2,000. Depending upon the city's requirements
this task may need to be expanded beyond the two days.

I would anticipate that we can begin much of our review here in Washing-
ton just as soon as the company has responded to your request for information.
I will try to develop our schedule for the on-site visit for both Mr. Bowman
and myself to visit Corpus Christi by mid-January at the latest. There is a
possibility I can make my first visit in December, but my schedule is already
quite crowded through early January. We should be able to complete our re-
ports and start our serious discussions by mid-February.
If this brief outline of our scope of services and estimated costs meets
with your approval, please advise and we will arrange our schedule accordingly.
