WITNESSETH, That: WHEREAS, Concessionaire presented the best proposal in competition with others for the operation of concessions in the Bayfront Plaza Convention Center: NOW, THEREFORE, for and in consideration of the premises, and of the mutual cove- nants and agreements herein contained, and other valuable considerations, the City and Concessionare agree as follows: Definitions For the purpose of this Agreement, the following words and phrases are defined and shall be construed as hereinafter set out unless it shall be apparent from the context that a different meaning is intended: Com: The City of Corpus Christi, Texas Convention Center: The entire facility, which includes the Exhibit Hall, Banquet Hall, Meeting Rooms, Auditorium and Plaza. Exhibit Hall: The 76,500 square foot room on the first level of the facility. Banquet Hall: The 27,000 square foot room on the second level of the facility. Meeting Rooms: The eight rooms located on the second level of the facility. Auditorium The 2,526 seat Theatre, the Rehearsal Hall and Lounge. Plaza: The covered area directly under the Banquet Hall Convention Center Manager: The manager of the Bayfront Plaza Convention Center. Concession: The total operation described in this agreement. Concessionaire: The individual, partnership or corporation awarded the concession for the Facilities by this agreement. Lessee: The person or organization renting a part or all of the facility. Caterer: The person, firm, or organization that contracts with the City to provide food and beverages function. at a catered. -- Concession Premises and Rights' Section 101. Concession Premises. The City hereby leases to the Concessionaire space in the Facilities, as follows: - Auditorium Bar and Storage Room: The Auditorium Bar is a permanent circular bar located in the Lounge of the Auditorium. It contains a four -station post -mix drink system, four self -leveling ice bins, bottle cooler, three -compartment pot sink, and bar sink. The adjacent storage room contains a 600 lh. per day (rated) ice maker mounted on a bin. All other equipment must be furnished by the Concessionaire. Build- ing staff must have access to the circuit breaker panels located in the front part of the storage room. On occasion, caterers will need to use the circular bar for serving food and washing dishes. The Concessionaire will allow this at no charge; however, the bar will be cleaned by the caterer and returned to the Concessionaire at the con- clusion of the event. Central Concession Area: This is a self-contained unit, which includes two offices, a concession stand, a commissary, and a storage area. This unit is located at the south end of the facility, and accessible to both the Exhibit Hall and the dock area. A floor plan of this area, along with the list of City -owned equipment it will contain is attached. Kitchen: The Kitchen is located adjacent to the Banquet Hall on the second level. It is serviced by a freight elevator to three truck loading docks. A floor plan of this area, along with a list of the equipment the City will provide is attached. Al- though the City desires that the Concessionaire maintain and make use of this area, the Kitchen will also be used by other caterers. Whenever an outside caterer uses the kitchen, the City will prepare a lease agreement requiring that the caterer clean up the kitchen at the termination of the event. If this has not been done, the City will have this area cleaned up, and bill the caterer. Otherwise, the Concessionaire is expected to keep this area clean at all times. A catered function in the Banquet Hall will have top priority for the use of the kitchen, unless other arrangements have been made in advance by the Convention Center Manager. Portable Locations: From time to time, the City will permit portable concession stands or bars to be located variously throughout the building. The number and loca- tions of these temporary areas will be agreed upon by the Convention Center Manager and the Concessionaire for each event. Excluding the sales of walking vendors, the Concessionaire agrees to make sales only at such booths, stands, or other location or locations as specifically indicated or otherwise assigned from time to time by the Convention Center Manager, and not elsewhere. Section 102. Concession Rights. City hereby grants to Concessionaire operating from the Concession premises described above and by means of walking vendors, subject to all the terms, covenants and conditions of this Agreement, the exclusive concession rights for the following: (a) The sale of refreshments (other than catering) in the Facilities. Refresh- ments include food, confectionery, drinks, cigars, cigarettes and such like consumable articles. (b) The sale of novelties, souvenirs and programs. In exceptional cases, at the discretion of the Convention Center Manager, trade, fraternal, civic, educational, charitable and religious institutions, associations and organizations may be permitted to sell during their events, programs used for their events in the facility. In addi- tion, when approved by the Convention Center Manager, the concessionaire may negotiate with the lessee a flat fee in lieu of the standard percentage when it is apparent that it would be difficult to properly audit the sale. The Concessionaire will not collect a fee from the lessee on tapes made of the meeting being held in the facility. (c) The operation of a wardrobe checking service in the facilities at any event when reasonably requested by the Convention Center Manager. (d) Alcoholic -beverages. The Concessionaire is required, at the Concessionaire's own expense, to obtain and maintain for the term of the agreement a mixed beverage permit for the Exhibit Hall and Auditorium portions of the Convention Center facility, and a caterer's permit to sell alcoholic beverages in the remainder of the facilities. Although the Banquet Hall, Meeting Rooms and Plaza will be left unlicensed, the Con- cessionaire will have the exclusive right to individual cash sales of alcoholic beverages in or within these facilities, subject to the following catering exemptions: (1) A catered function shall be defined as any function that employs the services of a caterer to provide food and/or beverages to its attendees at no additional charge other than the price of admission, providing that a specific contract be executed be.- tween the caterer and the Convention Center Manager. The organization leasing the facility for a catered function and desiring to pro- vide alcoholic beverages to its patrons may accept bids from appropriately.licensed suppliers of alcoholic beverages. Where the organization intends to provide alcoholic beverages on an individual cash sale basis, the City will require that the sales be made by a person or company holding a valid caterer's permit who has entered into a catering agreement with the City, that the sales may only be made in conjunction with a catered meal function, and that the City will receive a ten percent share of the after-tax gross receipts from such sales. ti -4- Where an organization leasing the facility intends to provide alcoholic beverages at no cost to its patrons, the City will require that the organization submit to the Convention Center Manager the name of its supplier, so that the City can enter into a catering agreement with the supplier. The City shall re- ceive a ten percent share of the after-tax gross receipts paid by the organiza- tion to the supplier for the alcoholic beverages. The City authorizes the Concessionaire to participate in any bidding pro- ceedings described in this section, and if successful, the percentage share paid to the City by the Concessionaire is fixed at 15 percent. (2) The City may grant permission to allow individuals attending an event in the unlicensed portions of the Convention Center to bring in their own alcoholic beverages. This permission will be granted only to organizations holding bona fide conventions and only as a tens or condition of a contract for rental of the facility. (3) If the Concessionaire's mixed beverage permit has not been approved in time to be able to provide individual sales of alcoholic beverages at events during the early part of the term of this agreement, the City may make a temporary arrange- ment with a local holder of a valid caterer's permit to provide this service. The Concessionaire would not share in the receipts of any such revenues. Except as provided for in Section 404 hereof, the sale of alcoholic beverages will be permitted from locations approved by the Convention Center Manager and will be conducted in accordance with regulations established by the Convention Center Manager. - The Concessionaire will exercise good judgment when dispensing alcoholic beverages to the public. If requested to do so by the Convention Center Manager or his authorized representative, the Concessionaire will promptly cease selling any such beverages. If any service or commodity, other than that, specifically named above, is offered for sale by Concessionaire, Concessionaire will cease and desist from any further sale thereof upon recaipt of written notice from the Convention Center Manager. If the Con:essionaire engages in, or attempts to engage in, any activity other than the sale of refreshments, novelties, souvenirs or programs, or the operation of a -wardrobe checking service, in any area leased to him under this Agreement, Concessionaire will cease and desist from such activity upon receipt of written notice from the Con- vention Center Manager. Should the Concessionaire's method of operation, or manner of exercising the exclusive rights granted herein, interfere with or disrupt any performance or event scheduled or in progress, Concessionaire will modify its method of operation or manner of exercising its exclusive rights hereunder to meet with the approval and satisfaction of the Convention Center Manager. The exclusive rights granted shall not be construed to prevent or prohibit either the City or any of its lessees from engaging the services of a caterer of its own choosing to stage banquets or other events involving catered food or catered beverages. The Concessionaire will have the right to bid for these services as an independent caterer.* The exclusive rights granted herein shall not be construed so as to prevent or prohibit an exhibitor from distributing without charge a sample portion of the type of food or merchandise which is manufactured and distributed in the normal course of the exhibitor's business or from selling food items for consumption off the premises. Section 103. Vending Machines. The establishment of vending machines for candies, tobacco products and some foods and beverages at various locations is anti- cipated. The locations, type and number of vending machines, as well as the merchandise to be offered for sale will be decided by the Concessionaire and the Convention Center Manager. The same percentage of gross receipts that is received by the City for over- the-counter sales will apply. The,City reserves the right to arrange for its own vending machines in non-public areas. Lease Tenn Section 201. Term, For the Exhibit Hall, Banquet Hall, Meeting Rooms and Plaza, the term of this agreement shall begin at 12:01 a.m., April 1, 1981, and run until 11:59 p.m., March 31, 1986. For the Auditorium, the term of this agreement shall begin 12:01 a.m. October 12, 1981 and end at 11:59 p.m. March 31, 1986. Section 202. Delays or Causes Beyond Control. The concession granted is subject to failure or delay caused by strikes, riots, civil commotion, acts of God, or other causes beyond the control of the City, including orders, regulations, or instructions of the United States or any other governing agency having a juris- diction over the subject matter of this concession. Section 203. Surrender of Possession. No notice to quit possession at the expiration date of the term of this Agreement shall be necessary. Concessionaire covenants and agrees that at the expiration date of the term of this Agreement, or at the earlier termination hereof, it will peaceably surrender possession of the Concession Premises in good condition,reasonable wear and tear, and acts of God excepted, and the City shall have the right to take possession of the Concession Premises with or without due process of law. Rental Section 301. Concession Rental. For the rights and privileges herein granted, the Concessionaire shall pay the City, through its Convention Center Manager, each year during the term hereof, as hereinafter provided, the following amounts: (a) A percentage of gross receipts derived from the sale of: Food and beverage, liquors, wines, beers 3/6X% of gross receipts cigarette`s, candy, etc. Programs, novelties 50 % of net receipts All catering 15 % of gross receipts Section 302. Gross Receipts. For the purposes of this Agreement, Gross Receipts shall mean the aggregate amount of the gross selling price of all goods and merchandise sold by the Concessionaire in the operation of the concession and of all services ren- dered in and about the Facilities, whether by the Concessionaire or any of its sub- lessees, less those sales and excise taxes charged to the purchaser at the time of sale. Concessionaire's failure to collect payment on the accounts of patrons to whom Concessionaire has extended credit purchase privileges shall not be allowed as a cause to reduce the Gross Receipts on which Concession Rental payments are based. Section 303. Payments. All payments due the City shall be due and payable without demand at the office of the Convention Center Manager. Payments from any calendar month shall be due on the 20th day of the following month. This day shall be considered the due date for all intents and purposes. Any payment which is not made by this date shall bear a service charge of two percent (2%) per month from the date it became due until the date it is,paid. Concessionaire agrees that it shall pay and discharge all costs and expenses including attorneys' fees incurred or expended by the City in collection of said delinquent amounts due including service charges. Within sixty (60) days after the close of each year of the term hereof, Con- cessionaire shall furnish to City an analysis of Gross Receipts derived from its operation of the concessions at the Facilities, as certified by an independent Certified Public Accountant. The Concessionaire shall simultaneously pay to the City the balance of any payments due to the City hereunder. Whenever, hereunder, the statement of a Certi- fied Public Accountant is required, it is agreed that said Accountant shall not be in any way a member of the Concessionaire's staff or firm. Section 304. Notice, Place and Manner of Payments. Payments shall he made by check at the office of the City's Convention Center Manager, or at such other place in the City of Corpus Christi, Texas, as the City may hereafter notify Concessionaire and shall be made in legal tender of the United States. Section 305. Bank Account. The Concessionaire shall establish a separate conmtercial account at a bank in Corpus Christi, Texas, diverse from any other accounts, which shall be exclusively used for all receipts involved in the Concessionaire's Facilities operations. Section 306. Accounting Records, Equipment and Reports. The Concessionaire shall at all times during the term hereof keep true, accurate, complete and auditable records, in a form satisfactory to the Director of Finance of the City of Corpus Christi, Texas, all business conducted by it at the Facilities and the Concessionaire further agrees that the Convention Center Manager or his duly authorized agents or representative shall have the right to examine all pertinent books and records at any and all reasonable times for the purpose of determining the accuracy thereof and of the provisions hereof. The making of any willfully false report of revenue by the Concessionaire shall be grounds for the immediate cancellation and termination of this Agreement at the option of the City. Any such report which shall understate the gross by as much as 10% of the true amount thereof shall be conclusively deemed to have been knowingly and falsely furnished by Concessionaire. The City, in order to exercise its option of termination, shall only be required to establish such falsity and shall not be required to establish actual knowledge on the part of the Concessionaire. The Concessionaire shall retain the original invoices for all materials and supplies brought into the Facilities for its operations and must submit analyses showing settlement of all amounts due. No materials or supplies shall be brought into, or caused to be brought into, the Facilities by the Concessionaire without such invoices. Concessionaire shall use on the Concession Premises accounting equipment or devices as necessary or required to properly and accurately record the value of all sales of goods and services and other business transactions byConcessionaire under this Agreement. Inventory Control methods in accordance with generally accepted methods in similar facilities in the United States may be approved by the Convention Center Manager for determining retail sales. All sales slips, cash register tapes and machine recordings ::hall be subject to inspection by the City, its officers, employees and representatives provided, however, that such inspections will be made at tines not interfering with Con- cessionaire's business; amid provided further that aside from permanent books, ledgers, journal accounts and records, Concessionaire will not be required to retain beyond twelve (12) months following the completion of any year of the term hereof collateral papers and forms such as: original invoices, sales checks or slips, cash register and adding machine tapes and analogous supporting data. Concessionaire shall, upon the receipt of written request from the Convention Center Manager, prepare and submit such reports and analyses of the operation of the Concessionaire under this Agreement in such form and content as the City may reasonably require in the administration of this Agreement, including detailed daily reports of sales. Upon written request made within one (1) year after the end of each year of the term of this Agreement, the City may cause an inspection and audit to be made of the books and records of Concessionaire, and of its sub-lessees, sub-concessionaires, and sub-licensees relating to its operations in the Concession Premises. Such audit shall be made to determine the correctness of the computation of the Concession Rental paid by the Concessionaire for the preceding year. If, as a result of such inspection and audit, it is established that additional Concession Rental payments are due, Concessionaire shall pay such additional rent to the City upon written de- mand made by the City not later than thirty (30) days after completion of such audit and inspection. If the results of such audit reveal a difference of more than two percent (2%) between Gross Receipts reported by Concessionaire and Gross Receipts as determined by the audit, the cost of the audit shall be paid by the Concessionaire. Section 307. Additional Fees, Charges and Rentals. Concessionaire shall pay additional fees, charges and rentals under the following conditions. (a) If the City has paid any sum or sums or has incurred any obligations or expense for which Concessionaire has agreed to reimburse the City, including any advertising costs necessary to meet the requirements of the City Charter. (b) If the City is required or elects to pay any sum or sums or incur any obligations-or expense because of the failure, neglect or refusal of Concessionaire to perform or. fulfill any of the conditions of this Agreement. :1 Such payments shall include all interest, costs, damages and penalties in conjunction with such sums so paid or expenses so incurred and may be added to any installment of the fees, charges and rental thereafter due hereunder. Each and every part of such payment shall be recoverable by the City in the same manner and with like remedies as if it were originally a part of the basic fee charges and rental, as set forth herein. Concessionaire's Operations Section 401. Occupancy of Premises. The Concessionaire agrees to improve, equip and maintain the Concession Premises as provided in Article V hereof. The Concessionaire agrees that it will not permit any act of omission or commission or any condition to exist on the Concession Premises which would increase the premium rate or insurance thereon or on the building or invalidate any such insurance. Section 402. Hours of Operation. Except as otherwise provided in this Agreement, the Concessionaire agrees to operate the concessions granted herein when any event or attraction is scheduled in the Facilities, unless approval not to operate is granted by the Convention Center Manager. The Concessionaire shall have the concession open and in operation a reasonable time before, during and after all events as determined by the Convention Center Manager. In addition, at the direction of the Convention Center Manager, the Concessionaire will opt --rate a tand, stands or vending machines for the benefit of workmen and others preparing some part of the Facilities for an event or for performing groups. The concession shall not be in operation when there are no events in the Facilities except as may be directed or approved by the Convention Center Manager. The Concessionaire will observe reasonable hours for preparation before an event and for cleaning afterward. Section 403. Personnel. The Concessionaire shall be entitled to a reasonable number of employees on the premises who shall be permitted free admission to the Facilities provided that the number of such employees is approved by the Convention Center Manager. Concession employees shall be admitted in accordance with the regulations established by the Convention Center Manager. The City reserves the right, through the Convention Center Manager to deny entry to the Facilities to any unsuitable person employed by the Con- cessionaire in the exercise of the concession contract. The Concessionaire agrees to employ, train and supervise personnel with appropriate qualifications and experience and in sufficient number to provide all the services appro- priate for the concessions granted herein with a minimum of delay for the patrons. The Concessionaire shall not employ anyone under the age of sixteen (16) years. The Concessionaire shall abide by all federal, state and local laws, rules and regulations concerning the hiring and employment of its employees. Employees shall be clean, neat, courteous, efficient, properly trained and attendant to patrons of the Facilities. Employees shall be attired in clean uniforms at all times when the facility is open to patrons and shall wear a badge with the employee name or'° number legibly imprinted. The type and design of the uniforms and identification badges are subject to the approval of the Convention Center Manager. The Concessionaire understands that during formal and semi-formal events, bartenders and other concession workers may be required to dress in a manner appropriate to the occasion. When any employee of the Concessionaire conducts himself or herself in an improper, offensive or disrespectful manner or fails to observe the established standards of cleanli- ness, neatness and attire or acts in a manner considered by the Convention Center Manager detrimental to the hest interests of the Facilities or the public using the building, upon the written request of the Convention Center Manager, he or she shall be dismissed or transferred to other premises at once, and not again be employed in the concession granted by this Agreement. If, in the opinion of the Convention Center Manager, insufficient personnel are assigned to any event, he may require the Concessionaire to add sufficient personnel to service the patrons adequately and the Concessionaire shall promptly do so. Section 404. Solicitation of Business. The Concessionaire's solicitation of business shall be confined to the stands, booths or other locations specifically indicated in the Exhibits hereto or otherwise assigned to the Concessionaire by the Convention Center Manager and to the walking vendor program specifically approved by the Convention Center Manager for each event or attraction as to merchandise offered, periods of sale, and number of walking vendors. The Concessionaire agrees that the Convention Center Manager may be the sole judge of whether or not walking vendors, portable stands or permanent stands shall be permitted to sell their wares during any performance or meeting held in any part of the Facilities. For concerts, the City agrees to use reasonable efforts to arrange for a fifteen-minute intermission during which time the Concessionaire may vend merchandise. The manner of callers, criers, hawkers, or the use of signs or other means of calling attention to or selling Concessionaire's merchandise shall be subject to approval of the Convention Center Manager. Walking vendors will not be allowed in the Theatre portion of the • Auditorium. The Concessionaire agrees that alcoholic beverages will not be sold or exhibited for sale at its stands or bars when a lessee has made his lease with the understanding that alcoholic beverages will not be sold or exhibited for all or for specified periods within his lease term of the facility. The City will give timely notice to the Con- cessionaire of any such restrictions in a lease of the Facilities. Section 405. Storage Prohibition. In the Exhibit Hall and Auditorium, concession stands' space shall be used exclusively for display of merchandise for sale and under- counter or adjacent storage room storage for replenishment of displayed merchandise.::- Storage or merchandise and/or supplies shall be prohibited outside the'areas designated -•.,,•asp ifi�'j: :.i;N7csi s":"?'ni'Js'3Y:..`-_;67+x.' Section 406. Deliveries. Deliveries of all supplies, goods, wares, merchandise, and equipment to the Concessionaire shall be made as designated by the Convention Center Manager. The Concessionaire is responsible for accepting all deliveries to his operation and shall schedule deliveries outside event hours in the Facilities, whenever possible. Section 407. Restrictions on Sales by Others. The City will use all legal means at its disposal to prevent vendors and peddlers not employed by the Concessionaire from vending or distributing their wares upon the premises under the control of the City and surrounding the Facilities. Section 408. Conduct of Other Business. The Concession Premises used by the Concessionaire in the Facilities shall be used solely for the transaction of business directly related to the obligations of this Agreement. Foods and beverages prepared or stored at the Facilities, or novelties or other merchandise for sale stored at the Facilities, may not be sold for consumption off premises, without the written approval of the Convention Center Manager. It is the intent that relief may be granted from the restrictions of this section in instances of inventory problems arising from conditions beyond the control of the Concessionaire. Section 409. Price and Quality of Merchandise. As a general policy, prices or merchandise for sale -shall not be higher than those charged for the same quality merchandise at comparable facilities elsewhere. Prices must be posted by the Concessionaire on display at all stands and on vendor's equipment. Permanent display signs shall not be gaudy or offensive and the final design and location of all posted prices signs shall be subject to the approval of the Convention Center Manager. The prices, quality and unit quantity of all consumable merchandise offered for sale shall be as approved in advance by the Convention Center Manager Within 15 days of the execution of this Agreement, the Concessionaire shall submit a detailed "Price Schedule" . for all items he proposed to sell for consideration by the City. With the "Price Schedule", the Concessionaire shall list the proposed weight and content of each item offered for - sale. Weights of sandwiches, hamburgers, frankfurters, etc., shall exclude the bread, rolls or other envelop materials. The Concessionaire and the Convention Center Manager shall periodically review the general price structure of all commodities sold and niay, by agreement in writing, for good cause shown, increase or decrease the price of any article to be offered for sale. If the Concessionaire desires to offer for sale any article not included in an approved "Price Schedule", it may be allowed to do so after first obtaining written approval of the Convention Center Manager of the article and the sales price. If Concessionaire desire, to tiubstitute any article for an article listed in the approved "Price Schedule", written approval of the Convention Center Manager must be obtained for such substitution. Section 410. Consumable Mercluuulise. Concessionaire will offer customers food, drink, and other consumable merchandise of first quality and standard quantity. Con- sumables shall be wholesome and pure and shall conform in all respects to federal, state and local food laws, ordinances and regulations. All merchandise kept for sale shall be subject to inspections and approval or rejection by the Convention Center Manager or duly authorized representatives of appropriate governmental agencies. Unless otherwise approved by the Convention Center Manager, all beverages shall be sold in paper or plastic cups. If plastic cup., are used, the cup material selected must be approved by the Convention Center Manager. Walking vendors shall use leak-proof baskets, or containers and exercise caution to prevent the scattering of bottle caps, wrappers, napkins or other items on the floor. Section 411. Non-consumable Merchandise. Non-consumable merchandise to be offered for sale shall be approved, together with prices, by the Convention Center Manager. Non- consumable merchandise shall be sold only at such times and in such locations as approved by the Convention Center Manager. Novelties or souvenirs offered for sale shall be„con- sonant with generally acceptable social standards in the arca and shall not be hazardous or dangerous when used in their normal manner. Section 412. Advertising. Concessionaire agrees that al] merchandise offered for sale shall be handled without the use of special advertising, signs, displays or oral trade names. Concessionaire further agrees not to cause, suffer or permit the advertising of any merchandise, products or equipment on or within the Facilities and its adjacent grounds, whether for display, advertising or other allowances or otherwise, without the prior written approval of the Convention Center Manager. Section 413. Wardrobe Checking Service. When operating a wardrobe checking service, the Concessionaire, at his own expense, shall provide all hangers and related equipment essential to the performance of the service. Clothes racks, as available, will be pro- vided by the facility. The Convention Center Manager will designate the areas to be used for checking. Section 414. Temporary or Portable Concession Stands. The Concessionaire shall acquire no rights to locations of temporary or portable concession stands as may be approved from time to time by the Convention Center Manager. The City reserves the right to require the Concessionaire to move temporary or portable stands and equipment when the needs of events in the Facilities so require. Unless approved in advance by the Convention Center Manager, all portable stands will be returned to the storage areas immediately upon the conclusion of the event being served. The Concessionaire shall furnish at its own expense all labor, equipment and supplies for the moving and setting up or dismantling of temporary or portable stands in such locations as approved by the Convention Center Manager. The Con- cessionaire may use at no additional ch_rge, available tables and chairs belonging to the City for the purpose of providing seating adjacent to concession or cafeteria locations. The Concessionaire is respe:rsible for setting up, maintaining and taking down any such tables and chairs. Section 415. Operating &)bde.tiv.•s. rir (braces -ionic.• s.hali endeavor constantly to improve the operations with the objectives of developing maximum gross receipts potential and service to the patrons. Improvement of the Premises. Section 501. Construction and Installation by the Concessionaire. In addition to the equipment provided by the City (as shown on attachment "A"), the Concessionaire agrees, at its own expense, to improve and equip the Concession Premises sufficient to provide proper service to the patrons of the Convention Center, subject to the terms and conditions hereinafter set out. Concessionaire shall purchase .id install only new fixtures, furnishings, and trade equipment on the Concession Premises, throughuut the tens of this agreement; however, portable equipment to be used in the facilities need not be new, if acceptable to the Convention Center M<nager. All facilities and equipment necessary to prepare and handle the merchandise offered for sale will be of the best and most modern type. Any and all temporary or portable concession stands-, mobile cafeteria lines or bars will be of a quality comparable to the permanent equipment installed by the City. It is the intent of the City to be able to provide not only traditional concession items, but also cafeteria service for breakfast and lunch when requested by a convention. The Concessionaire must be able to provide such service for a minimum of 500 people during a one-hour period. If such service has been requested and the Concessionaire does not feel that it would be profitable, the matter shall be brought to the attention of the Convention Center Manager, who will make the final determination. Occasionally, the City has the oppoftunity to rent the facilities to a religious convention that, in the past, has supplied its own food and beverage service to its members for a fee. These proceeds are ted to defray the costs of the convention. Traditionally, this convention has negotiated a flat fee with the Concessionaire for the privilege of foregoing its concession rights during this period and allowing the convention to use the concession and kitchen facilities. It is the intent of the City to pursue this policy in the future. Whenever this occasion arises, the convention and the con- cessionaire shall negotiate a fair and equitable fee, subject to the approval of the. Convention Center Manager. The City shall receive the same percentage of this fee as is received in normal concession opdrations, as outlined in this agreement. _ Section 502. Building Services. The City will furnish building services as set forth in this section, but will not supply the labor or materials for the Concessionaire's equipment installations: (1) Utilities: The City will furnish standard outlets and connections; as have been installed, for hot and cold water and electricity in the concession stand and Auditorium bar; and gas, water and electricity in the Kitchen. Monthly utility bills will be p.ud by City. (2) Equipment: The City will furnish the equipment listed in Attachment "A"; all other permanent and portable equipment will be furnished by the concessionaire. Section S03. Preparation of Specifications. Within fifteen (15) days after signing this agreement, the Concessionaire shall submit plans for equipping the concession premises, and said premises shall be completely equipped no later than June 1, 1981 Section 504. Design Control. Any construction and improvement plans, proposals, materials, colors and designs shall be submitted to the Convention Center Manager for approval, and the Concessionaire shall not commence the construction or installation of any improvements on the Concession Premie= without the prior written approval of the Convention Center Manager. All proposed future changes of the improvements and equipment shall be submitted and approved in the same manner for the full term of this Agreement. Section 505. Maintenance, Repair and Replacement. Maintenance, repair and replace- ment of all concession equipment installed by the City, and improvements furnished by the Concessionaire during the terns of the Agreement shall be at the expense of the Concessionaire. The Concessionaire agrees to keep in good repair and to maintain in clean and good appear- ance all equipment and improvements. Section S06. Signs. Concessionaire agrees that no signs or advertising displays shall be placed on, painted on or erected in any manner upon the areas of the Concession Premises without prior written approval of the Convention Center Manager with respect to wording, type, size, design, color and location. Section 507. Title to Improvements. All permanent improvements installed by the Concessionaire shall become the property of the City upon termination of this Agreement, except that the City reserves the right, and the Concessionaire agrees, that the Conven- tion Center Manager may require the Concessionaire to remove any or all such external improvements and structures, and the Concessionaire agrees to bear all costs of such removals. Use and Maintenance of Leased Property Section 601. Compliance with Laws and Regulations. The Concessionaire shall comply with all federal, state and city statutes, laws and ordinances and all such rules and regulations now or hereafter applicable to the Concession Premises or to any adjoining public ways, or as to the manner of use or the conduct of the Concessionaire's business hereunder. Section 602. Utilities. The City shall furnish reasonable heating and air-conditioning, and the building services set forth in Section 502 to the permanent Concession Premises. The City will at its own expense provide all electricity and water and sanitary drainage required for the concession operations under this Agreement. Where gas service is already available in the Facilities, the City will also at its own expense provide gas for the concession operations. The City shall not be :Mable for interruption of any service when such interruption is caused by required maintenance work, or when the interruption is not due to negligence on its part. The Concessionaire agrees that all other utility services required by it during the lease term for the Concession Premises must be obtained by direct connection to the dis- tribution system of the utility company and paid for by the Concessionaire. Section 603. Repairs and Maintenance. The cost of maintenance and repair of the permanent Concession Premises shall be borne by the Concessionaire, except that the City shall maintain the structure and the mechanical plumbing and electrical systems of the buildings containing the Concession Premises, After occupancy of the permanent Concession Premises, the Concessionaire covenants and agrees at its expense and without cost or expense to the City during the term hereof: (1) Good Condition. To keep the designated Concession Premises in good order and safe condition. (2) Housekeeping of Premises. To keep neat, clean and in a sanitary condition all the permanent Concession Premises and the nearby areas used by him. This also includes the Kitchen and Concession office area. The Concessionaire shall keep the public area within a ten foot radius of any portion or the permanent concession stands and any temporary stands or portable stand locations that may be operated clean and free of all refuse, rubbish - , .. s or other nuisances. Concessionaire sh b-ge and refuse receiver numbers satisfactory to the Convention Center Manager, within the stands described above and shall "police" these areas after intermissions, or more frequently as required to keep the areas neat. Concessionaire shall sweep or mop the floors in these areas as necessary to maintain neatness. A11 transportation of ice to temporary stands shall be done in drip -proof containers. At the end of the term of the lease agreement, Concessionaire will thoroughly clean all permanent con- cession locations, including the stands, kitchen, storage rooms and offices. Concessionaire shall provide for complete sanitary handling, transportation and T disposal away from the Concession premises of all trash, garbage and refuse (liquid or solid) in accordance with standards established by the Convention Center Manager. Concessionaire shall remove the refuse containers from the refreshment stands area and deposit them in an approved collection area for trash and refuse. When using a portable location, additional care must be taken to insure any carpeted areas are protected from spills. This includes the area under and adjacent to the stand, table or bar. In addition, all unsightly equipment such as premix tanks and buckets must either be enclosed within the stand itself or screened from public view. Although the Concessionaire is required to provide the protective floor covering, the facility will make available whatever coverings that are excess to its needs. Upon the termination of The Concessionaire will desi n end lem.e extermination program for insects and rodents in all areas under the control of the Concessionaire. This plan shall be submitted to the Convention Center Manager for approval by June 1, 1981. (3) Area of Operations. To confine all handling and holding of the Concessionaire's property to the areas assigned to the Concessionaire's operations. - (4) Environmental Considerations. To comply with criteria for noise and atmospheric contaminants established by the Convention Center Manager. Section 604. Right to Enter, Inspect and Make Repairs. The City and its authorized officers, employees, agents, contractors, subcontractors and other representatives shall have the right (at such_times as may be reasonable under the circumstances and with as little interruption of the Concessionaire's operations as is reasonably practicable) to enter upon and in the Concession Premises for the following purposes: (1) Inspection. To inspect such premises to determine whether the Concessionaire has complied and is complying with the terms and conditions of this Agreement. (2) Maintenance. To perform maintenance and make repairs in any case where the Concessionaire is obligated, but has failed to do so, after the City has given the Con- cessionaire reasonable notice to do so, in which event the Concessionaire shall reimburse the City for the reasonable cost thereof promptly upon demand. (3) Access. To gain access to the mechanical, electrical, utility and structural systems of the Facilities for the purpose of maintaining and repairing such systems. Section 605. When acting as a Caterer. When acting as a caterer, the Concessionaire will provide the Convention Center Manager with a list of set-up requirements at least ten days prior to the date of the function. The Concessionaire (caterer) will avoid creating any unnecessary mess and endeavor to protect the carpet in serving areas from spills. Upon termination of the function, the • aro Concessionaire (caterer) will clean all tables, clean the kitchen (if used), and bring all trash to the designated location in containers furnished by the City. A catering fee of 15°, of the gross receipts will he charged to the Concessionaire whenever the Concessionaire serves as a caterer. There will be no minimum fee,except for banquets and receptions in the Banquet Hall or Exhibit Hall, where the City has agreed to provide tables and chairs free of charge to the Lessee. In such cases, there will be a minimum catering fee of $200.00. Insurance and Indemnification Section 701. Liability Insurance. The Concessionaire, at its expense, at all times during the term hereof, shall cause the City, its Facilities tenants and the Concessionaire to be insured on an occurrence basis, under policies no more restrictive than the standard form of comprehensive general liability policy, including products liability, against the claims of any and all persons for personal or bodily injury (including wrongful death) in a sum of not less than $100,000.00 for any one person, and not less than $1,000,000.00 for any one occurrence, arising from, but not limited to work, acts, operations or omissions incidental to the operations of the Concessionaire, its officers, agents, employees, sub - concessionaires and independent contractors, hereunder, and not less than $50,000.00 each occurrence for damage to property of others. Such insurance shall specifically insure the obligations of the Concessionaire to indemnify the City and its tenants under Section 708 hereof. Insofar as said insurance provides protection against liability for damages to third parties for personal or bodily injury, death and property damage, the.City and its tenants shall be included as a named insured; provided, however, such liability insurance coverage shall also extend to damage, destruction, and injury, to City -owned or leased property and City personnel, and caused by, or resulting from, but not limited to, work, acts, - operations or omissions of the Concessionaire, its officers, agents, employees and inde- pendent contractors in the Facilities. The City or its tenants shall have no liability - for any premiums charged for such coverage, and the inclusion of the City or any tenant or joint venturer with the Concessionaire in its operations in the Facilities. The Concessionaire and the City understand and agree that the minimum limits of the insurance herein required may become inadequate, and the Concessionaire agrees that it will increase such minimum limits upon receipt of notice in writing from the Convention Center Manager. Such notices to change shall, in general, be issued with no more frequency than every fifth year of the lease term; however,the Convention Center Manager may, at any time, take note of indemnification awards being granted by the courts and direct an increase in the minimum limits of the insurance requirements at any time during the term hereof. Section 702. Limitation as to Policies. All policies of insurance required herein• shall be in a form and content and with a company or companies approved by the City, and qualified to do insurance business in the State of Texas. Each such policy shall prcvide that the policy may not be materially changed, altered or cancelled by the insurer during its term without first giving thirty (30) days prior written notice to the parties insured. Section 703. Evidence of Insurance. Certificates, or other evidence of insurance coverage required of the Concessionaire in this Article, shall he delivered to the Con- vention Center Manager in form and content satisfactory to the City prior to the execution of this Agreement. At least thirty (30) days prior to the expiration of any such policy, the Concessionaire shall submit to the Convention Cerner Manager a certificate showing that such insurance • coverage has been renewed. If such coverage is cancelled or reduced, the Concessionaire shall, within fifteen (15) days after the date of such written notice from the insurer of such cancellation or reduction in coverage, file with the Convention Center Manager a certificate showing that the required insurance has been reinstated or provided through another insurance company or companies. Section 704. Worker's Compensation Insurance. The Concessionaire shall, at its own cost and expense,.secure Worker's, Compensation Insurance to an extent sufficient to meet all workmen's compensation payments required by law for the benefit of, and keep insured during the term of this Agreement each of the persons employed by it in the operations of the concession rights in this Agreement. Section 705. Adjustment of Claims. Concessionaire shall provide for the prompt and efficient handling of all claims for bodily injury, property damage or theft arising out of the activities of Concessionaire under this Agreement. Section 706. Conditions of Default. If, at any time, the Concessionaire shall fail to obtain the insurance as required herein, the City may effect such insurance by taking out policies in companies satisfactory to the City. The amount of the premium or premiums paid for such insurance by the City shall be payable by the Concessionaire to the City with the installment of rent thereafter next due under the terms of this Agreement. Section 707. Cancellation, Termination or Interruption of Event. Concessionaire understands that the City reserves the right in its sole discretion to cancel, interrupt or terminate any performance, lecture, event, public or private gathering, whether or not admission has been charged, upon its premises, and to dismiss the audience, or cause the same to be dismissed; and the Concessionaire hereby agrees that it will not make or allow to be made against the City, any claim for damages to the Concessionaire or other party arising out of any act of the City, its officers, agents or employees, in the exercise . of the City's discretions as aforesaid. 1 Section 708. Indemnification. The Concessionaire agrees to indemnify and save harmless the City, its City Council, and its officers, agents and employees, and all Facilities tenants, their officers, agents and employees from and against any and all - loss of or damage to property of third persons, or injuries to, or death of, any person or persons, and from any and all claims, damages, suits, costs, expense, liability, actions or proceedings of any kind whatsoever, in any way resulting from, or arising out of the acts and omissions of officers and employees of the Concessionaire arising out of this Agreement or the Concessionaire's use and occupancy of the Concession Premises. At its own cost and expense, Concessionaire will defend and protect the City and its tenants from any and all such claims or demands and will defend al] suits arising therefrom. Assignment Section 801. Assignment. The Concessionaire agrees not to assign, transfer, convey, sublet or otherwise dispose of this Agreement or any rights or responsibilities thereunder, or of its right, title or interest in, or its power to execute such Agreement to any other persons, firm, corporation, sublessee or subconcessionaire without the written consent of the City Council. Liens and Claims Section 901. Prompt Payment of Taxes and Fees. The Concessionaire covenants and - agrees to pay promptly all lawful general taxes, special assessments, excises, license fees, permit fees and utlity service charges of whatever nature, applicable to its operations in the Facilities, and to take out and keep current all licenses, municipal, state or federal, required for the conduct of its business at and upon the Facilities, and further covenants and agrees not to permit any of said taxes, assessments, excises, fees or charges to become delinquent. Section 902. Mechanics' and Materialmen's Liens. The Concessionaire agrees not to permit any mechanics' or materialmen's or any other lien to become attached upon the Concession Premises or any part or parcel thereof, by reason of any work or labor performed or materials furnished by any mechanic or materialman or for any other reason. _ Termination of Agreement in Entirety Section 1001. City's Right to Terminate. The City, acting by and through its Convention Center Manager, may declare this Agreement terminated in its entirety, in the manner provided in Section 1003 hereof, upon the happening of any one or more of the following events and may exercise all rights of entry and re-entry with or without process of law, upon the premises leased hereby: (1) Nonpayment. If the rentals, fees, charges or other ncn;•y payments which the Concessionaire herein agrees to pay, or any part thereof, shalt be• unpaid after the date the same shall become due. (2) Default. If the Concessionaire shall have failed in the performance of any covenant or condition herein required to be performed by the Concessionaire. On the date set forth in the Notice of Termination, all right, title and interest of the Concessionaire shall expire, except as otherwise provided in Section 1003 hereof. Failure by the City to take any authorized action upon default by Concessionaire of any of the terms, covenants or conditions required to be performed, kept and observed by the Concessionaire shall not be construed to be or act as a waiver of default or in any subsequent default of any of the terns, covenants and conditions herein contained to be performed, kept and observed by the Concessionaire. (3) The happening of any act or omission which results in the suspension or revocation of any act, power, license, permit or authority that terminates the conduct and operation of the Concession in any of the facilities of the Convention Center by the Concessionaire, or suspends it for any time in excess of thirty (30) days. (4) The interest or estate of the Concessionaire under this Agreement is transferred to, passes to or devolves upon, by operation of law or otherwise, any other person, firm or corporation without the written consent of City a successor or merged corporation in a merger or a (5) The levy of any attachment or execution, the execution of any other process of any court of other than the result of becoming constituent corporation in a consolidation. or the appointment of any receiver, or competent jurisdiction which does, or as a direct consequence of such process, will interfere with Concessionaire's occupancy of the Concession Premises and will interfere with its operations under this Agreement, and which attachment, execution, receivership, or other process or such court is not enjoined, vacated, dismissed, or set aside within a period of thirty (30) days. (6) A petition under any part of the Federal bankruptcy laws, or an action under any present or future solvency law or statute is filed against Concessionaire and Concessionaire's operations hereunder are interfered with or adversely affected, thereby, or Concessionaire is adjudicated a bankrupt. (7) Concessionaire shall voluntarily abandon, desert, vacate or discontinue all or part of its operation of the 'Concession, or the Concession Premises, or any other action that results in a failure by Concessionaire to provide the public and others with the service contemplated hereunder. Section 1002. The Concessionaire's Right to Terminate. The Concessionaire, at its option, may declaire this Agreement terminated in its entirety, in the manner provided in Section 1003 hereof, if the City shall have failed in the performance of any covenant or condition within the control of the City and herein required to be performed by. the City. Section 1003. Procedure for Termination or Repossession. No termination declared by either party shall be effective and the City shall not take possession of the Concession Premises unless and until not less than forty-five (45) days have elapsed after notice by either party to the other specifying the date upon which such termination will take effect and the cause for which this Agreement is being terminated or for which the Concession Premises are being repossessed to provide for the cure of any such default; and no such termination shall be effective nor shall the City retake possession of the Concession Premises: (a) if such default is cured within the forty-five (45) day period; or (b) in the event that such default by its nature cannot be cured within such forty-five (45) day period, if the party in default promptly commences to correct such default within said forty-five (45) days and corrects the same as promptly as is reasonably practicable. In the event that suit shall be instituted by the City upon the default of payment of rent, charges and fees as provided herein, then Concessionaire agrees also to pay a reasonable attorney's fee. Section 1004. Rights Cumulative. It is understood and agreed that the rights and remedies of the City and Concessionaire specified in this Article are not.intended to be, and shall not be, exclusive of -one another or exclusive of any common law right of either of the parties hereto. Miscellaneous Provisions Section 1101. Quiet Enjoyment. Subject to the provisions of the Agreement, the City covenants that Concessionaire on paying the rentals and otherwise performing its covenants and other obligations hereunder, shall have quiet and peaceable possession of the Concession Premises. Section 1102. No personal Liability. No councilmember, director, officer, employee or other agent of either party shall be personally liable under or in connection with this Agreement. Section 1103. Governing Law. This Agreement shall be deemed to have been made in, and be construed in accordance with the laws of the State of Texas. Section 1104. Notices. Except as herein otherwise expressly provided, all notices required to be given to the City hereunder shall be in writing and shall be sent by • certified mail, return receipt requested, to the Convention Center Manager, P. 0. Box 9277, Corpus Christi, Texas 78408; all notices, demands and request by the City to Concessionaire shall be sent by certified mail, return receipt requested, addressed to: Jack T. Carden 6218 Brewton Corpus Christi, Tx 78415 The parties, or either of them, may designate in writing from time to time any changes in addresses or any addresses of substitute or supplementary persons in connection with said notices. The effective date of service of any such notice shall be the date such notice is mailed to Concessionaire or said Director. i Section 1105. Amendments. This Agreement may be amended from time to time by written agreement, duly authorized and executed by representatives of all the parties hereto. Section 1106. ForceMajeure. Neither the City nor Concessionaire shall be deemed in violation of this Agreement if it is prevented from performing any of the obligations hereunder by reason of strikes, boycotts, labor disputes, embargoes, shortage of material, acts of God, acts of the public enemy, act of superior governmental authority, weather conditions, riots, rebellion, sabotage, or any other circumstances for which it is not responsible or which is not within its control. Section 1107. Invalid Provisions. In the event any covenant, condition or provision herein contained is held to be invalid by a court of competent jurisdiction, the invalidity of any such covenant, condition or pvovision shall in no way affect any other covenant, condition or provision herein contained, provided the invalidity of any such covenant, condition or provision does not materially prejudice either the City or Concessionaire in its respective rights and obligations contained in the valid covenants, conditions and provisions of this Agreement. Section 1108. Headings. The headings of the several Articles and Sections of this Agreement are inserted only as a matter of convenience and for reference and in no way define, limit or describe the scope or intent of any provisions of this Agreement and shall not be construed to affect in any manner the terms and provisions hereof or the interpre- tation or construction thereof. Section 1109. Withholding Required Approvals. Whenever the approval of the City, or of the Convention Center Manager or of Concessionaire is required herein, no such approval shall be unreasonably requested or withheld. Section 1110. Successors and Assigns. All of the terms, provisions, covenants, stipulations, conditions and considerations of this Agreement shall extend to and bind the legal representatives, successors, sublessees and assigns of the respective parties hereto. Section 1111. Waivers. No waiver of default by either party of any of the terms, covenants and conditions hereof to be performed, kept and observed by the other party shall be construed as, or operate as, a waiver of any subsequent default of any of the terms, covenants or conditions herein contained, to be performed, kept and observed by the other party. Concessionaire will not on the grounds of race, color or national origin, discriminate or permit discrimination against any person or group of persons in any manner. The City hereby reserves the right to take such action as the United States Government may direct to enforce this covenant. The Concessionaire agrees to refrain from any unlawful employment practice as to comply with all lawfully adopted regulations relating thereto. Concessionaire agrees to furnish service on a fair, equal and nondiscriminatory basis, to all users thereof, and to charge fair, reasonable and nondiscriminatory prices for each unit or service. Section 1114. Entire Agreement. This Agreement constitutes the entire Agreement between the parties hereto and all other representations of statement heretofore made, verbal or written, are merged herein and this Agreement may be amended only in writing, and executed by duly authorized representatives or the parties hereto. Specifications for Food Service Equipment It is important to understand that the food service equipment which will be provided by the City has not yet been installed - rather, it is presently out for bid to be installed. The estimated completion date for the installation is May 1, 1981. However, the City will not accept any liability if this date is delayed. The equipment was specified by the architect. The City, however, will accept sub- stitutions if, in the opinion of the architect, they are equal in quality to those specified.
