AUTHORIZING EXECUTION OF A LEASE AGREEMENT WITH HARBOR
PLAYHOUSE, INC., FOR A 20 YEAR LEASE OF THE COMMUNITY
THEATRE BUILDING.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
. SECTION 1. That the City Manager be and he is hereby authorized
to execute a'20 year lease agreement with Harbor Playhouse, Inc., for lease
of the Community Theatre Building in the Bayfront Science Park, all as more
fully set forth in the lease agreement, a substantial copy of which is
attached hereto and made a part hereof marked Exhibit A.

KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF NUECES
WHEREAS, Harbor Playhouse, Inc., formerly known as Little
Theatre Corpus Christi, Inc., a nonprofit Texas Corporation, hereinafter
called "Harbor Playhouse" and the City of Corpus Christi, Texas., hereinafter
called "City" did enter into an agreement on April 16, 1973, for the
construction of a community theatre facility in the Bayfront Science Park;
and
WHEREAS, a condition of said agreement was that The Sams Foundation
and Harbor Playhouse would donate such community theatre to the City of
Corpus Christi, after completion of construction, and
WHEREAS, Harbor Playhouse accepted the new community theatre
Ruilding as complete and in compliance with the plans and specifications
and conveyed the community theatre unto the City, and City accepted conveyance
of the community theatre; and
WHEREAS, after acceptance of the community theatre, City entered
into a five year lease with Harbor Playhouse regarding the management,
operation and maintenance of the community theatre, said lease having been
approved by Ordtnance No. 13132 passed by the City Council on April 14, 1976;
and
WHEREAS, the useful life of the community theatre building exceeds
the term of the Original Lease plus the term of the lease hereinafter set
forth; and
WHEREAS, City and Harbor Playhouse have agreed that the Original
Lease shall terminate on the effective date of this Lease 'Agreement; and
WHEREAS, Harbor Playhouse has agreed to use its best efforts to
generate funds in excess of $100,000 for constructing an addition to the
community theatre building:
NOW, THEREFORE, City does hereby lease and let said community
theatre unto Harbor Playhouse for the period of time and under the terms
hereinafter set forth, to -wit:
1. This lease covers the community theatre building located in
the Bayfront Science Park on Block 90, Beach Portion of the City of Corpus
Christi, Texas, according to the map or plat thereof, recorded in Volume.
A, Page 3, Map Records, Nueces County, Texas, together with the fixtures
therein.

2. The term of this lease shall be for twenty (20) continuous
years, beginning on the 12th day of May, 1982, subject to the provisions
concerning termination as stated herein, provided that Harbor Playhouse
actually constructs the planned addition to the building referred to
herein during the first five years of this lease. If Harbor Playhouse
fails to construct the planned addition during the first five years of
this lease, this lease shall then terminate. Upon completion of construction
Harbor Playhouse may send a written notice to City informing City of
completion; if City does not object in writing within sixty (60) days to
Harbor Playhouse's assertion of completion, this lease shall automatically
be continued for the remainder of such twenty (20) year term.
3. It is understood that Harbor Playhouse will be responsible for
furnishing and equipping the building and that City has no obligation to
furnish any equipment or furnishings for the community theatre. Equipment,
including fixtures, furnished by Hrbor Playhouse or donated by others in
behalf of Harbor Playhouse, will remain the property of Harbor Playhouse
unless specifically donated to City.
4. The responsibility for the maintenance and operation of the
community theatre will be and remain with Harbor Playhouse, and Harbor
Playhouse will have priority in scheduling of its productions and rehearsals.
City, public groups and others shall enjoy the use of said community
theatre on a reasonable time basis and Harbor Playhouse agrees to make
the _same readily available for such use, subject only to prohibition of
laws of the United States or State of Texas and such City ordinances and
regulations which may govern or control the same and Harbor Playhouse
agrees to schedule such use or uses upon a reasonable time basis and within
the general outlines provided by the attached Exhibit A. In this connection,
Harbor Playhouse agrees to maintain a firm schedule at least six months in
advance, showing its productions and rehearsals and other firm commitments, and
to provide City an updated copy on a quarterly basis. Harbor PlayhouSe shall
provide City an annual report indicating actual use by Harbor Playhouse and
by others.
A. Harbor Playhouse shall have the right to charge rental fees
for the use of the community theatre, and in addition thereto, to charge
actual unusual out-of-pocket costs incurred by Harbor Playhouse through the

use by others. Such rental fee and such additional operating costs shall
be as shown on Exhibit "A", attached hereto, which is incorporated and
made a part of this agreement. It is agreed by and between City and Harbor
Playhouse that Exhibit "A" may be reviewed annually and such changes
made as may be or become necessary based upon operating experience.
B. Harbor Playhouse shall pay all operating expenses in connection
with its use and the use of the community theatre by others and shall
receive all rents and revenues from said operations, except however, City
will pay for electricity. City will submit a statement for the payment
of such electricity costs within thirty (30) days of date of payment by
City and Harbor Playhouse shall promptly reimburse City its payment of
the stated expenses. Water, sanitary sewer, garbage collection, and telephone
services will be procured and paid for directly by Harbor Playhouse.
C. Harbor Playhouse may refuse the use of the community theatre
to any person, firm, or corporation, for any event which is deeMed to be
unsuitable by virtue of the limitations.of the design and outfitting of
the community theatre or by virtue of failure to meet the moral standards
of the community, but Harbor Playhouse shall promptly report any such refusal
to City.
5. Harbor Playhouse agrees to provide all building and equipment
maintenance, and janitorial service. City will provide maintenance of
grounds, exterior walkways, parking areas and driveways.
6. Harbor Playhouse agrees that alterations, additions, or
improvements to the community theatre building shall be made only after
written approval is granted by the City.
7. Harbor Playhouse agrees to keep and maintain, in a manner
acceptahle to the City's Director of Finance, adequate books and records
showing all receipts and disbursements, which shall be available for
examination by the Director of Finance or his designated representative
at any time, and to provide City with an annual report including, but
not limited to, a balance sheet and a complete statement of receipts
ard disbursements for the preceding year prepared by a certified public
accountant.
8. Harbor Playhouse shall have the right to provide concession
activities, including the sale of alcoholic beverages. Harbor Playhouse
shall prominently display a list of prices to be charged at each location

where concession items are sold, and such prices shall not exceed prices
charged for similar services under similar conditions elsewhere in the
City. Harbor Playhouse shall offer concession services to other users
of the community theatre on the same basis and at the same prices as for
Harbor Playhouse.
9. The breach of any of the conditions hereof by Harbor Playhouse
or the dissolution of said corporation, shall terminate this agreement
and subject the same to cancellation by City upon written notice.
10. Harbor Playhouse agrees to pay the costs of newspaper
publication of this Agreement and related ordinance as required by the
City Charter.

ADDITIONAL CHARGES: Harbor Playhouse personnel must operate stage lighting, sound and flying systems.
Alt additional charge will be made for technicians needed to operate the systems.
Other requirements of the renter may be subject to additional charges as agreed upon by the renter and Harbor
Playhouse. These include rental charges on scenery, props, costumes, and other special equipment.
It is a condition of the theatre lease with the City that no smoking, food or beverages will be allowed in
the auditorium. The renter agrees that smoking will not be permitted in the auditorium and that no one
will be allowed to carry food or beverages into the auditorium.
Renter is responsible for any and all damage to the Harbor Playhouse building and equipment, during
the period of the rental.
The Basic rental is paid in advance to reserve the date(s) and time of the rental. This agreement does not become
effective until this deposit is paid. In the event of a cancellation or change of date more than a week before the
rental, 90% of the deposit is refunded or applied to the new agreement. Within one week 75% is refunded or

We encourage the uSe of the Harbor Playhouse by other groups and will be happy towork with you In every way
we can.

The Harbor Playhouse has a very busy schedule as a community theatre and many rental dates are available only
when the renter can work in or around sets for our productions. In July and August, the special seating arrange-
ment for melodramas prevents the use of the stage in the conventional way.
We must require proof of all groups requesting the non-profit rates that they are incorporated not-for-profit in
Texas. A zerox copy of the organizations charter should be submitted when this form is returned and the deposit
paid. This requirement applies to all organizations other than governments and their departments that request B
or C rates.

CLASS C rentals are established for programs that are a service or a gift to the community and the Harbor Play-
house must interpret ". . . no admissions charges, collections or fund raising," very narrowly since we lose
Money on these rentals and so join in the service or gift to the community with the sponsoring group.
Specifically: •
1. You may not solicit contributions of any kind, before, during or after your program in the Harbor Playhouse
building.
2. YOU must admit everyone wishing to attend without cost or obligation to them and all your advertising and
notices of the meeting must clearly state that the program is open to everyone at no cost.
3. You must not sell anything during the rental period, nor permit anything to be sold in the building, except by
Harbor Playhouse personnel involved in the normal operations of the concessions stand.
The seating capacity of the auditorium is 476. Provisions can be made for a small number of wheelchairs, but
we do not allow other temporary seating in the auditorium.
Up to three microphones can be connected in outlets at the front of the stage to broadcast over our speaker
system. Our sound system can play tapes, cassettes and records into the auditorium and/or lobby.
Our stage lighting system is capable of very sophisticated stage lighting. You can talk over your requirements
q,with our technicians and they will tell you what we can do to fulfill your needs.
.Two follow spots are available in our beam position. These require technicians to run them, of course.
The main dimensions of the stage are: Proscenium width - 45 feet; Stage depth - 33 feet; Proscenium height - 18
feet 8 inches and Grid height - 45 feet. The clear wing space stage right is 12 feet (the flying system locking rail is
on this side). The clear wing space stage left is 15 feet plus a 30 foot extension into the shop area.

Harbor Playhouse by other
groups and will be happy to
work with you In every way
we can.
The Harbor Playhouse has a
very busy schedule as a con,
munity theatre and many
rental dales are evadable
- only when the renter can

our productions. In July and
August, the special seating
arrangement for melo-
dramas prevents the use of
the stage in the eonventional
way.
We must require proof of all
groups reciliesting the non-

be connected in outlets at the

play tapes, cassettes and
records into the auditorium

Our stage lighting system is
capable of very sophis-
ticated stage lighting. You
can talk over our require-
ments with our technicians
and they will tell you what

needs.
