AN ORDINANCE
AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH N. R. COX AND
ASSOCIATES FOR PROFESSIONAL SERVICES FOR A JOINT CITY -COUNTY
JAIL STUDY; APPROPRIATING $12,500; AND DECLARING AN
EMERGENCY.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
SECTION 1. That the City Manager be authorized to execute an
agreement with N. R. Cox and Associates for professional services for a Joint
City -County Jail Study, a substantial copy of which agreement is attached hereto
and made a part hereof marked Exhibit "A".
SECTION 2. That there is hereby appropriated $12,500 from the No. 266
Police Bond Fund.
SECTION 3. That upon written request of the Mayor or five Council
members, copy attached, to find and declare an emergency due to the need to take
immediate action to preserve and protect public property by expediting the
study of a joint City -County jail, such finding of an emergency is made and
declared requiring suspension of the Charter rule as to consideration and voting
upon ordinances or resolutions at three regular meetings so that this ordinance
is passed and shall take effect upon first reading as an emergency measure this
the 7th day of December, 1983.

CONTRACT FOR CONSULTING SERVICES
This agreement made this 7th day of December, 1983, between N.R. COX
ASSOCIATES, INCORPORATED, hereinafter referred to as the Consultant, and the
City of Corpus Christi and the County of Nueces, hereinafter referred to as the
Client.
The purpose of this Agreement is to state the terms and conditions
under which the Consultant will provide consulting services to the Client.
NOW, THEREFORE, in consideration of the mutual promises herein
contained, the parties hereto agree as follows:
Services Provided
1. The Consultant will provide the Consulting Services which are
described in detail in Exhibit A, which is attached hereto and made a part
hereof for all purposes.
Completion Time
2. The Consultant will furnish the completed work to the Client at
times to be mutually agreed on. Work schedules will be predicated on normal
working conditions and are subject to adjustment at any time in the -event of any
cause or causes beyond the control of the Consultant.
Property of Client
3. All plans, computer programs, written procedures, manuals, results
of research, accumulated data, work product, and/or other supporting items used
in the work performed for the Client, shall be the property of the Client,
provided that the compensation due the Consultant for the services involved in
formulating such programs, written procedures, manuals, results of research,
accumulated data, work produce, and/or other supporting items has been paid in
full by the Client.
Confidentiality
4. All information relating to the business of the Client, which is
confidential and which is clearly designated as such by Client, will be kept in
the strictest confidence by the Consultant and his employees. However, the
foregoing obligation does not apply to any data that have become publicly
available or that are rightfully obtained from or through third parties or which
either party hereto may be caused to divulge by Order of Court.
Compensation
5. The Client shall be billed $25,000 as follows: $8,500 upon
completion of Phase I; $8,500 upon completion of Phase II and $8,000 upon
presentation of the final written report as outlined in Exhibit A. One-half of

the Compensation shall be paid by the City of Corpus Christi and one-half of the
Compensation shall be paid by the County of Nueces.
Allotment of Time
6. Consultant may represent, perform consulting services for, and/or
be employed by such additional clients, persons or companies as Consultant, in
his sole discretion, sees fit.
Term of Agreement
7. The term of this Agreement shall commence on the 7th day of
December, 1983, and shall continue in full force and effect until the 29th day
of February, 1984.
8. Support Services: The Client shall provide work space for on-site
work to include desk and telephone access and copying services.
Cooperation
9. Consultant shall devote his best efforts to all work and
responsibilities set out in Exhibit A. Client shall cooperate fully with
Consultant in providing him with all data, information (written or oral),
reports, documents, and all records which may be reasonably -required by
Consultant. In addition, Client shall make available all persons necessary for
the performance of Consultant's services.
Miscellaneous Provisions
10. Texas Law to Apply: This Agreement shall be construed under and
in accordance with the laws of the State of Texas, and all obligations of the
parties created hereunder are performable in Corpus Christi, Texas, and at
project sites so designated by Client.
(a) Parties Bound: This A6reement shall be binding upon and
inure to the benefit of the parties hereto and their respective heirs,
executors, administrators, legal representatives, successors, and assigns where
permitted by this Agreement.
(b) Legal Construction: In case any one or more of the
provisions contained in this Agreement shall for any reason be held to be
invalid, illegal, or unenforceable in any respect, such invalidity, illegality,
or unenforceability shall not affect any other provision thereof and this
Agreement shall be construed as if such invalid, illegal, or unenforceable
provision had never been contained herein.
(c) Prior Agreements Superseded: This Agreement constitutes the
sole and only agreement of the parties hereto and supersedes any prior
understandings or written or oral agreements between the parties respecting the
subject matter.

(d) This Agreement shall be amended only in writing and signed
by both parties hereto, and may be terminated by either party upon notice in
writing 30 days in advance of the termination date.

EXHIBIT A
City/County Jail Consolidation Study
Corpus Christi/Nueces County, Texas
PURPOSE
The City/County Jail Consolidation Study shall be conducted to determine
the following:
1. Whether there is sufficient space in the County Jail for the
booking, holding and housing of both City and County prisoners,
and whether the County can handle the special needs of City
prisoners (45 percent of which are public intoxication offenses)
with its current facility.
2. If the current County Jail does not have sufficient space to
handle the City's prisoners, how much additional space will
be required, what is the cost of construction of the additional
space and what type of facility should be constructed to pro-
vide the additional space.
3. What will be the operational cost of a combined facility and
how should the cost be split among the City and County under
a contractual agreement.
4. Will additional personnel be required by the County to operate
a combined facility.
APPROACH
In performing the study, the consultant will perform a detailed inmate
population profile to project the number and class of inmate to be
detained in the future. The profile will also determine what propor-
tion of the inmate population may be eligible for alternative release
programs. The study will also investigate the feasibility of using
various release alternative programs and their costs, to hold down
the jail population and thus generate more jail space.
WORK PLAPI
The work will be conducted in three phases in coordination with and
under the supervision of the City/County Jail Consolidation Study
Committee. The Consultants will provide interim oral reports to
the Committee at the end of Phases I and II, and a formal presen-
tation and written report at the conclusion of Phase III. Additional
meetings with the Committee will be held, as necessary, to accomplish
the goals of the project. Each phase is outlined as follows:
Phase I:
Data Collection and Preliminary Analysis
During this phase, the data required for inmate popu-
lation projections and profiles will be collected
and computed. A preliminary analysis will be con-
ducted and a range of alternatives will be identi-
fied and explored with the City/County Jail Consoli-
dation Study Committee.
Phase II: Facility and Operations Analysis
The inmate profile and projections will be finalized
during this phase and specific alternatives identi-
fied by the Committee will be refined as to space
and cost requirements.
Phase III: Final Report and Presentation
Upon review and approval of the results of Phase II,
a draft report will be prepared for review by the
City/County Jail Consolidation Study Committee.
After review and comment, a final report will be
prepared and submitted in a formal presentation to
the clients.
