AUTHORIZING THE ASSIGNMENT OF THE AIRPORT FOOD CATERING
CONCESSION LEASE TO THE ESTATE OF MRS. CARRIE SPARKS
AND THE INCLUSION OF A CLAUSE IN THE LEASE FOR THE
ADMINISTRATORS OF HER ESTATE TO HAVE THE OPTION TO
ASSIGN IT TO ROYAL IN-FLITE CATERING OF SAN ANTONIO,
TEXAS.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
SECTION 1. That the City Manager is hereby authorized to execute
the assignment of the Airport Food Catering Concession Lease to the estate
of Mrs. Carrie Sparks, and the inclusion of a clause in the lease for the
administrators of her estate to have the option to assign it to Royal
In-Flite Catering of San Antonio, Texas, a substantial copy of which
assignment is attached hereto and made a part hereof, marked Exhibit "A".

ASSIGNMENT OF LEASE
KNOW ALL BY THESE PRESENTS:
This Agreement made by and between FIRST CITY BANK OF CORPUS
CHRISTI (formerly Corpus Christi Bank and Trust Company), Trustee,
hereinafter referred to as Assignor, and the ESTATE OF CARRIE SPARKS,
hereinafter called Assignee.
WITNESSETH:
WHEREAS, the Assignor herein, the Corpus Christi Bank and Trust
Company (now known as First City Bank of Corpus Christi), Trustee, by
agreement with the City of Corpus Christi, is the Lessee of certain lands
and lease sites, certain portions of which are designated for commercial
hangar and fixed base operations, all as shown on the Master Plan of Corpus
Christi International Airport on file in the office of the City Secretary
of the City of Corpus Christi, and as located within the site of Corpus
Christi International Airport, Nueces County, Texas; and
WHEREAS, the aforesaid Agreement between the Corpus Christi Bank
and Trust Company, Trustee, and the City of Corpus Christi, was duly and
legally approved by the qualified voters at an election held on August 29,
1959;
WHEREAS, the City of Corpus Christi proposed to maintain and
operate the Airport as a public airport and all uses incident thereto, for
the benefit of the public; and
WHEREAS, Assignor deems it advantageous to assign unto Assignee a
site on the Corpus Christi International Airport, as shown and described on
Exhibit "A" to Exhibit 1, is attached hereto and made a part hereof, as
more particularly described hereinafter, together with those privileges,
rights, uses and interests incident thereto, as hereinafter set out; and
WHEREAS, on July 14, 1960, Trustee as Lessee from the City,
assigned to James D. Sparks and Carrie Sparks a lease agreement, attached
hereto as Exhibit 1, for the purpose to engage in the food catering
business in certain portions of the terminal building designated for
catering facilities; and
WHEREAS, said Lease Agreement was later amended on August 1, 1980
by Ordinance No. 15471 passed and approved by the City Council on April 16,
1980 an extension of said Lease, attached hereto as Exhibit 2, for a term
of ten (10) years and expiring on July 13, 1990, and certain other
conditions;

WHEREAS, Assignee has continued to operate the airport food
catering concession since the death of Carrie Sparks in a satisfactory
manner;
WHEREAS, prior to her death Carrie Sparks had entered into an
agreement to sell her catering business to Wings In-Flite Services, Inc.,
d/b/a Royal In-Flite Catering Services (hereinafter called "Royal In-Flite
Catering Services") and had requested approval of the assignment of said
Lease to Royal;
WHEREAS, in order to avoid an interruption in the airport food
catering service, it appears advantageous to permit Assignee to continue to
operate the airport food catering concession and to assign said Lease to
Royal to operate the concession for the unexpired term of said lease;
THEREFORE, in consideration of the premises and for and in
consideration of the charges, fees, rentals, covenants and agreements
contained herein, the parties hereto do hereby agree as follows:
Assignee shall perform the obligations and be bound by the terms
of Exhibits 1 and 2, attached hereto and incorporated by reference herein
for all purposes, as if Carrie Sparks had continued as Assignee under these
agreements, except as modified below, to which modifications Assignee shall
be bound, unless otherwise provided:
A. Amend the first sentence of Article IV of Exhibit 1 by adding
at the end of said sentence, the following:
"Provided, however, that in the event this lease is
assigned to Royal In-Flite Catering Services, the
minimum monthly guaranteed rental shall be Seven
Hundred Fifty Dollars ($750.00) or six percent (6%) of
its gross income, as defined herein, whichever is
greater."
B. Amend Article III of Exhibit 1 by deleting the existing
provision and substituting therefor the following:
"The term of this assignment shall extend from July 3,
1985 until July 13, 1990, subject, however, to earlier
termination as herein provided."
C. Amend Section 5 of Article VIII of Exhibit 1 to delete the
first sentence thereof and substitute the following:
"It is expressly agreed that no contract, assignment,
lease or other agreement shall be entered into by
Assignor or the City of Corpus Christi with any other
person, firm, corporation, or partnership for space at
the Corpus Christi International Airport for a food

catering business, provided that said exclusive rights
granted to Assignee shall terminate upon the first to
occur of the following:
(1) expiration of the term of this assignment and
agreement,
(ii) the failure of Assignee to pay any monthly rental
within 30 days of its due date, or
(iii) the cessation of food catering services by
Assignee at Corpus Christi International Airport."
D. Delete paragraph A of Article IV of Exhibit 1 and substitute
therefor, the following:
"The term 'gross income,' as used herein, shall be
construed to mean, for all purposes hereof, the
aggregate amount of all sales made and services
performed for cash, or credit or otherwise to clients
on and off Corpus Christi International Airport
premises, of every kind, name and nature, regardless of
when or whether paid for or not, together with the
aggregate amount of all exchanges of goods, wares,
merchandise and services for like property, or
services, at the selling price thereof, as if the same
had been sold for cash or the fair and reasonable value
thereof, whichever is the greater. Provided, however,
that the term 'gross income' as used herein, shall not
be construed to include (1) any taxes (including sales
taxes and other similar taxes or impositions imposed on
or by reason of sales or charges) where billed to the
customer by Assignee as a separate item, or (ii) the
amount received for any items delievered or services
performed off the Corpus Christi International Airport
premises unless the Assigned Space described in Article
I was utilized in the preparation of said items or
services."
E. Delete Section 5 of Article IX of Exhibit 1 and substitute
therefor, the following:
"The written authority of the City of Corpus Christi
shall be obtained by Assignee prior to any sale,
assignment, transfer or sub -assignment of this
assignment and agreement; provided, however,
notwithstanding the foregoing, Assignee may, during the
term hereof, assign this lease to Wings In-Flite
Services, Inc. d/b/a Royal In-Flite Catering of San
Antonio, Texas ('Royal'), by giving 10 days advance

written notice to the Director of Aviation, Corpus
Christi International Airport, Route 2, Box 902, Corpus
Christi, Texas 78410, and providing a written statement
from Royal accepting said assignment and agreeing to be
bound by all terms of this assignment of lease. Upon
delivery of said written statement to the Director of
Aviation, Assignee shall be thereby released from any
further liability hereunder and Royal shall be treated
as Assignee hereunder."

ASSIGNINT 01' LEASE

The parties to this contract are Corpus Christi Bank S Trust
Company, Trustee, hereinafter referred to as Assignor, and Carrie Sparks,
hereinafter referred to as Assignee.
The parties hereby mutually covenant and agree to,eatend for a
period of approximately ten (10) years,.from the 1st day of, August., 1980
and ending on the 13th day of July, 1990, an assignment of lease between
the parties hereto executed on the 14th day of July, 1960, which Assignment
the City Manager of the City of -Corpus Christi was authorized to accept
and approve by Ordinance No. 5790, all the terma, conditions, covenants
and agreements of said Assignment of Lease to continue to inure to and to
bind the respective parties hereto for such extended term in all respects,
except as modified as follows:
1. Delete the name of James D. Sparks wherever appearing in said
Assignment of Lease.
2. Amend Article VIII, Section 1, to read:
"NOTICES. All notices to Assignor and the City of Corpus
Christi shall be deemed sufficient if in writing and mailed,
postage prepaid, addressed to the following:
Airport Manager
Route 2, Box 902
Corpus Christi, Texas 78410
Notices to Assignee shall be deemed sufficient if in writing
and mailed, postage prepaid, addressed to the following:
Carrie Sparks
5922 Del Starr
Corpus Christi. Texas 78413
or to such other address as may be designated in writing by
Assignee."
3. Amend Article VIII, Section 2, by deleting lines 11 through
17 of said Section 2, and inserting the following:
"Assignee further agrees to carry comprehensive general
liability insurance, which includes coverage for food

poisoning and food preparation in the amount of at least
three hundred thousand dollars ($300,000.00) for each
person per occurrence for bodily injury or death, and one
hundred thousand dollars ($100,000.00) for each occurrence
for property damage. All insurance shall be carried in a
responsible and reputable company. All policies shall
contain the following clause:
"It isunderstoodand agreed that the Airport Manager
of the City of Corpus Christi, Texas, will be notified
in the event of any renewal or cancellation of this
policy and that this policy will remain in full force
and effect until thirty (30) days after such notice is
given."
4. Amend Article IR by adding a new Section 6, toread as follows:
"6. In the event of Airport terminal building renovation,
remodeling, or redesign which would substantially preclude
Assignee from carrying on the food catering business, City
shall provide an adequate alternate space from which such
business can be effectively conducted." -"
5. Amend Article IR by adding a new Section 7, to read as follows:
"This assignment shall terminate in the event of Assignee's
death or disability which would render her incapable of
continuing to operate said business."
6. Add new Article R to read as follows:
"CIVIL RIGHTS. In exercising any of the leased rights or
privileges, Assignee shall not on the grounds of race, sex,
creed or national origin discriminate or permitdiscrimination
against any person or group of persons in any manner pro-
hibited by Part 21 of the Regulations of the Secretary of
Transportation. City hereby expressly retains the right to
take such action as the United States may direct to enforce
this nondiscrimination covenant. Assignee further assures that
it will undertake an affirmative action program as required by
14 CFR Part 152, Subpart E, to insure that no person shall on

ihe grounds of race, creed, color, national origin, or sex
be excluded from participating in any employment activities
covered in 14 CFR Part 152, Subpart E. The Assignee assures
that no person shall be excluded on these grounds from
participating'in or receiving the services or benefits of
any program or activity covered by this subpart. The
,...Assignee assures that itwlll require that its Covered sub -
organizations provide assurances to the Assignee that they
similarly will undertake affirmative action programs and
• that they will require assurances from their suborganizations,
as required by 14 CFR Part 152, Subpart E, to the same effect."
