A RESOLUTION
CONFIRMING THE APPOINTMENT BY THE CITY COUNCIL, PURSUANT TO
THE CITY CHARTER, ARTILEMcDOWELL AS CITY MANAGER; ANDIIIDECLARINGION AN EM1ERGENCY. OF A.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
TEXAS:
SECTION 1. That the appointment by the City Council of Craig A.
McDowell to the position of City Manager, effective July 1, 1986, according to
the terms and conditions as stated in the Letter of Agreement, a substantial
copy of which is attached hereto and made a part hereof, marked Exhibit "A,"
pursuant to the City Charter, Article III, Section 1, is hereby confirmed.
SECTION 2. That upon written request of the Mayor or five Council
members, copy attached, to find and declare an emergency due to the need for
efficient administration of City affairs by making the appointment as aforesaid,
such finding of an emergency is made and declared requiring suspension of the
Charter rule as to consideration and voting upon ordinances or resolutions at

For the reasons set forth in the emergency clause of the foregoing ordinance
or resolution, an emergency exists requiring suspension of the Charter rule
as to consideration and voting upon ordinances or resolutions at three
regular meetings; I/we, therefore, request that you suspend said Charter rule
and pass this ordinance or resolution finally on the date it is introduced,
or at the present meeting of the City Council.

Dear Mr. McDowell:
I am pleased to confirm our telephone conversation and formally offer
you a position as City Manager of the City of Corpus Christi. As agreed in
our telephone conversation, you will receive the following salary and
benefits with your acceptance of this position effective July 1, 1986:
(1) A beginning salary of $94,000, with a merit review at the end of
one year;
(2) Your first official day of employment with the City to be on or
about July 1, 1986, with a starting vacation leave of twenty (20)
days and twelve (12) days of sick leave; annual leave and sick
leave accrural will be at twenty (20) and twelve (12) days,
respectively, per year;
(3) A car allowance of $450 per month;
(4) Standard other city and managerial group benefits, including
medical insurance (the City pays all but one dollar ($1.00) of
employee coverage, and 50% of the cost of dependent coverage);
$100,000 term life insurance paid by the City with the option for
you to purchase at your cost an additional $50,000; and
participation in the Texas Municipal Retirement System. As
deferred compensation, you may contribute $7,500 from your salary
to the ICMA Deferred Compensation Program. Additionally, the
City will pay your dues in the International Association of City
Managers, Texas Municipal League, and the Texas City Management
Association;
(5) The City will pay all reasonable direct expenses associated with
your move from Arizona to Corpus Christi. It is understood that
this reimbursement will be refunded to the City if you resign
your position as City Manager within one year;

(6) Supplemental moving allowance for up to six months at $800 per
month;
(7) One paid house hunting trip for your spouse and potential visits
prior to reporting, based on Council need or desire for you to
meet with Mr. Briones and staff.
(8) As an additional part of your compensation for work performed for
the City of Corpus Christi, you will receive by your acceptance
of this agreement six (6) months termination pay at your monthly
salary at the time, should you be terminated by the City Council;
and
(9) The above reflects the salary and benefits to be paid to you but
does not constitute a contract of employment and the terms of
Article III, Section 1, Corpus Christi City Charter providing
that the City Manager may be employed for an indefinite term, but
may be removed at the will and pleasure of the Council by a
majority vote of the entire membership of the Council shall
prevail.
I believe the above accurately reflects our agreement as we discussed
it. Please do not hesitate to call me should you have any questions.
Please review this letter and if it is in accord with your understanding,
sign it at the indicated place and return it to me.
On behalf of the entire City Council and the citizens of the City of
Corpus Christi, we look forward to having you join the City of Corpus
Christi.
