WHEREAS, the Library has been performing computerized cataloging on the OCLC cataloging system since 1979; and WHEREAS, the computer tapes containing this data are available through its Texas supplier, AMIGOS Bibliographic Council, Inc.; and WHEREAS, the these computer tapes contain the information which appears in the card catalogs and will constitute the bibliographic database of the automated, integrated library system. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS SECTION 1. That there is hereby approved the purchase of computer tape service for the Corpus Christi Public Libraries from AMIGOS Bibliographic Council, Inc. SECTION 2. (AMIGOS) and the City of Corpus Christi, on behalf of Corpus Christi Public Libraries (Library) regarding the terms and conditions on which AMIGOS computer services and products will be provided to Corpus Christi Public Libraries. 1. The specifications for the services and products are delineated in Schedule I attached. Changes to the specifications are subject to the provisions of paragraph 2 below. Project target dates are given in Schedule II attached. AMIGOS reserves the right to reschedule this project for reasons including, but not limited to, the following: 1.1 Necessary input data and/or specifications do not arrive at AMIGOS on or before the date(s) indicated in Schedule II. 1.2 Failure of input data to meet the specifications contained in Schedule I. 1.3 Changes to specifications in Schedule I. 1.4 Failure to execute this agreement on or before the date specified in paragraph 13. 1.5 Events that may affect AMIGOS' computer facilities which are beyond AMIGOS' control. 2. The fees for the services and products are in accordance with Schedule III attached. FINAL CHARGES WILL BE BASED UPON THE ACTUAL NUMBER OF BIBLIOGRAPHIC RECORDS PROCESSED. Changes to specifications in Schedule I may be subject to a $100.00 fee per change -request in addition to programming and processing charges as appropriate. 1 of 10 - 5031 3. AMIGOS will establish a subcontract on behalf of Library with Blackwell North America (Blackwell) for authority control processing as provided in Schedules I and II. . 4. AMIGOS' liability for Blackwell's performance or non-performance under the terms of the subcontract shall be limited to the warranty provided to AMIGOS by Blackwell: The sole obligation and liability of Blackwell North America after shipment of any products to customers of AMIGOS or to AMIGOS shall be, at Blackwell's election, to refund the purchase price or portion thereof or to replace any products produced by it which contains errors. 5. AMIGOS WARRANTS AND REPRESENTS THAT LIBRARY DATA SHALL BE PROCESSED IN ACCORDANCE WITH MUTUALLY AGREED-UPON SPECIFICATIONS AS SET FORTH IN SCHEDULE I ATTACHED HERETO. AMIGOS DOES NOT WARRANT ITS SUITABILITY FOR ANY PARTICULAR LIBRARY USE OR HARDWARE OR SOFTWARE APPLICATION. NO OTHER WARRANTIES EXCEPT AS SPECIFICALLY PROVIDED HEREIN ARE IMPLIED. FURTHERMORE, AMIGOS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES WHICH MAY BE SUFFERED OR INCURRED BY THE LIBRARY AS A RESULT OF AMIGOS' PERFORMANCE OR NONPERFORMANCE OF ITS OBLIGATIONS HEREUNDER. 6. the Library agrees to report to AMIGOS within sixty (60) days after receipt of products for which processing has been completed under Schedule I, of any failure of the product to conform to specifications. Failure of the library to report problems within said warranty period shall absolve AMIGOS of further obligation and liability under the terms of this agreement. 7. AMIGOS agrees to use its reasonable best efforts to correct promptly all errors reported by the Library pursuant to 2 of 10 - 5031 paragraph 6, above. If, after reasonable best efforts, AMIGOS is unable to remedy such errors, it shall refund to the Library the purchase price or portion thereof, at AMIGOS' option. This shall be AMIGOS' sole obligation and liability after shipment of products to the Library. 8. The Library warrants and represents that it has the right to furnish data for the purposes contemplated by this Agreement and this processing by AMIGOS will not violate or infringe on the rights of any person. Furthermore, the Library agrees to indemnify and hold AMIGOS harmless from any claim arising out of a dispute that rights of anyone are violated or infringed upon by the processes of this Agreement. 9. AMIGOS WARRANTS THAT ALL REASONABLE SAFEGUARDS WILL BE EMPLOYED TO ENSURE THAT NO LOSS OF DATA CONTAINED ON THE TAPES IT MAINTAINS OCCURS. AMIGOS shall have no responsibility to recreate data in the event loss is due to natural disasters, fire, or other calamities that may affect AMIGOS' computer facilities. 10. The Library and AMIGOS agree that any questions or problems arising from the performance or nonperformance of this Agreement will be negotiated in good faith by both parties to their mutual satisfaction. 11. Douglas A. White, Project Leader, Computer Services, AMIGOS, is the designated AMIGOS contact person for this project. Karen Van Kirk, Head of Technical Services Department, is the designated Library contact person for this project. Project specifications may be established or modified only by mutual agreement of the above named persons and are subject to conditions set forth in paragraph 2, above. All such modifications shall be confirmed in writing by both contact persons. 3 of 10 - 5031 12. AMIGOS shall invoice the Library for services completed, in accordance with the project timetable set forth in Schedule II. Library agrees to pay AMIGOS within thirty (30) days of receipt of a properly executed invoice. 13. This Agreement is valid only if executed in writing by both parties on or before July 6, 1987. The Agreement shall become effective immediately upon the execution hereof and may be modified only by a writing signed by both parties. The Agreement may be terminated on 30 -day written notice by either party. Except as provided in paragraph 7 hereof, should the Library terminate the Agreement, it shall pay for services performed, products received, and liabilities incurred by AMIGOS with subcontractors on behalf of the Library, through the date of the termination and it shall have no further obligation under this Agreement. Title: Title: Executive Director Date: Date: June 17, 1987 6/17/87 11292 30000 F1145 4 of 10 - 5031 SCHEDULE I SPECIFICATIONS Extraction AMIGOS will extract Library's OCLC archival tape records for the period 781021 to 870620, from multi -institutional files resident at AMIGOS. Duplicate Record Resolution AMIGOS will process Library's extracted OCLC archival tape file to resolve duplicate occurrences of OCLC records, in accordance with the Functional Specifications for Duplicate Resolution (Attachment A). Special Selection After duplicate resolution has been completed, AMIGOS shall separate the data into two files, fiction and non-fiction. The data shall be selected for inclusion in the appropriate file as described below: 1. The contents of field 092 will be examined to determine into which file the record should be placed. Only one occurrence of field 092 shall be processed. If there are multiple 092 fields present in the record, the last occurrence shall be selected for processing. 2. The contents of field 092 shall be examined for any occurrence of a non -alphabetic character. Only those 092 fields containing a combination composed of solely A -Z, a -z, or + will be written to the fiction file. 3. Records which do not contain an 092 field, or do not contain a combination composed solely of A -Z, a -z, or + shall be written to the non-fiction file. Two tape copies of Library records will be produced. One copy will be sent•to the Dynix Corporation. The second copy will be forwarded to Blackwell North America for authority control processing. Authority Control Blackwell's authority control processing shall include name, series and subject headings, with automatic editing and a manual edit by Blackwell of all nonmatched headings. Blackwell will produce an edit list of name headings for fiction records, containing those headings which were changed as a result of linkage to a cross-reference in the LC authority record. The products will be tapes of bibliographic records in OCLC/MARC format with revised headings and the edit list. 5 of 10 - 5031 SCHEDULE I SPECIFICATIONS See "Authority Control Services", Attachment B, for a description of Blackwell North America's currently available services. Detailed specifications for authority control processing shall be mutually agreed upon by Blackwell and Library, with an informational copy provided to AMIGOS, not later than September 1, 1987. Upon completion of authority control processing, Blackwell shall deliver the tapes of bibliographic records with updated headings to Library. Bibliographic records with updated headings shall be delivered separately from those records unchanged by the processing. Supplemental File AMIGOS will extract Library's OCLC archival tape records for the period 870622 to 870912, from multi -institutional files resident at AMIGOS. AMIGOS will process these records to resolve duplicate occurrences of OCLC records within the Supplemental file, in accordance with the Functional Specifications for Duplicate Resolution (Attachment A).
