A RESOLUTION
AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH HARBOR
PLAYHOUSE, INC. FOR PURCHASE OF EQUIPMENT AND FIXTURES, FOR
AN IMPROVEMENT PROJECT TO SEAL THE EXTERIOR OF THE HARBOR
PLAYHOUSE BUILDING AGAINST MOISTURE PENETRATION, AND FOR THE
SCHEDULING OF CONVENTION ACTIVITIES IN THE HARBOR PLAYHOUSE
BUILDING; APPROPRIATING $129,476.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI,
SECTION 1. That the City Manager is authorized to execute an
agreement with Harbor Playhouse, Inc., a substantial copy of which is attached
hereto and marked Exhibit "A," for the purchase of equipment and fixtures, for
an improvement project to seal the exterior of the Harbor Playhouse building
against moisture penetration, and for the scheduling of convention activities in
the Harbor Playhouse building.
SECTION 2. That there is hereby appropriated $129,476 from the
Community Convention Facility Bond Fund.

AGREEMENT
WHEREAS, Harbor Playhouse, Inc. and the City of Corpus Christi,
Texas, hereinafter referred to as "City", did enter into a lease
agreement on August 13, 1982, which was approved by the City
Council by adoption of ordinance no. 17187 on August 11, 1982;
and
WHEREAS, said lease agreement provides that equipment including
fixtures furnished by Harbor Playhouse, Inc. or donated by others
in behalf of Harbor Playhouse, Inc. will remain the property of
Harbor Playhouse Inc. unless specifically donated to City; and
WHEREAS,• Harbor Playhouse, Inc. now desires to convey certain
equipment -to City and City agrees to pay Harbor Playhouse, Inc.-
the
ncathe estimated value of such equipment; and
WHEREAS, said lease agreement provides that the responsibility
for the maintenance and operation of the community theatre (now
known as the Harbor Playhouse) will be and remain with Harbor
Playhouse, Inc. and Harbor Playhouse, Inc will have priority in
scheduling of its productions and rehearsals; and
WHEREAS, City now desires to undertake certain exterior
maintenance of the building and Harbor Playhouse, Inc. now
desires to give priority to scheduling certain of City's
convention activities;
NOW, THEREFORE, City and Harbor Playhouse Inc. do hereby enter
into this agreement:
1. City agrees to purchase the following equipment and fixtures
in .the Harbor Playhouse building, as shown on the inventory
listings attached hereto and marked exhibit "A", from Harbor
Playhouse, Inc. for the sum of $109,476.00:
- The permanent seats in the main auditorium.
- The counterweight system, fire curtain, stage curtains and
track, and all lighting equipment in the main auditorium and
studio theatre.
- All sound equipment in the building.
- All lobby furniture and portable chairs.
- The ice maker and drink dispenser.

This purchase shall be contingent on the payment by Harbor
Playhouse, Inc. to City of $22,495.10 owed for past electricity
charges and rental charges. Harbor Playhouse, Inc. agrees to
continue to accept all responsibility for the maintenance of the
equipment and fixtures purchased by City for the duration of the
lease agreement, and to ensure that its volunteers are trained in
its safe use.
2. Harbor Playhouse, Inc. agrees that convention activities may
be scheduled in the Harbor Playhouse building by City's
convention center manager and that scheduling of conventions
shall be given priority over Harbor Playhouse, Inc. activities
provided that the following conditions are met:
- City shall give Harbor Playhouse, Inc. eighteen months
advance notice of any convention activity scheduled in'the
Harbor Playhouse. The parties may by mutually agreeing
schedule convention activities on shorter notice.
- City shall not schedule more than five conventions each
calendar year to use the Harbor Playhouse building. The
parties may by mutually agreeing schedule additional
convention activities.
Harbor Playhouse, Inc. shall charge conventions the standard
rental fee that is in effect at the time of scheduling, plus, any
out-of-pocket expenses such as special services of stagehands and
security personnel requested by the convention.
3. City agrees to undertake a maintenance project to seal the
exterior of the Harbor Playhouse building at an estimated cost of
$20,000.00. Such project will be completed within one year of the
effective date of this agreement. Harbor Playhouse, Inc. agrees
to continue to accept responsibility for maintenance of the
Harbor Playhouse building for the duration of the lease
agreement.

Dear Mr. Middendorf:
At best, it would be a guess to give a monetary value of the chairs you
have installed at the above referenced project. If you were to replace
the chairs with completely new units the cost would be in the neighbor—
hood of $100 each delivered and installed. However, the resale value
of used seating is often much less. We have received letters from
refurbishing companies and installers offering used seating from $6.95
to $15.00 per chair. Based on the above information, my best guess is
that the seating you have would not be valued at more than $20.00 per
chair.

After reviewing the equipment in your theatre, we have developed the
following appraisal for each area of equipment. With the appraisal,
there is a list of the equipment and some explanation regarding the
condition of the equipment and the appraisal.
1. Counterweight System
T—bar wall with artjors 8" on center. There are 36 single purchase set,
each with steel arbors and roller guides. Two '(2) arbors have been
dropped and consequently the arbor rods are bent. This is a very small
repair cost. The system is in an excellent condition and the value of
this equipment has increased over the years.

use and handling it receives. The' present equipment is difficult to
repair because parts are no longer available.

While this figure represents a value of approximately "20e on the
dollar," its only an estimate and guess.
There is no real hard and fast rule or even a reliable "Blue Book"
for pro audio equipment. If the city has an amortization schedule or
some other method of calculating a useful life, then possibly you could
adjust the figures accordingly.
If this information is not the format expected, please call me so
that I can communicate a more understandable letter to you.
