TO TCI CABLEVISION OF TEXAS, INC. WHEREAS, TCI Cablevision of Texas, Inc., is acquiring all the assets of Athena Cablevision of Corpus Christi, Inc., relating to the cable television system located in the City of Corpus Christi; and WHEREAS, upon closing of the acquisition, all right, title, and interest, of Athena Cablevision of Corpus Christi, Inc. in the franchise as granted by Ordinance No. 16133 dated March 11, 1981, shall be assigned to TCI Cablevision of Texas, Inc.; and WHEREAS, TCI Cablevision of Texas, Inc. is respectfully requesting that the City consent to such an assignment of the franchise to TCI Cablevision of Texas, Inc. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. Ladies and Gentlemen: This letter is to inform you that, pursuant to a corporate reorganization within Tele-Communications, Inc. ("TCI"), the assets of the cable television system serving Corpus Christi will be transferred from Athena Cablevision of Corpus Christi, Inc. to TCI Cablevision of Texas, Inc. Both cor- porations are subsidiaries of TCI. Upon closing, all the rights, title and interest of Athena Cablevision of Corpus Christi, Inc. in this cable television system, including the above agreement, will be transferred to, and all the duties and obligations thereof will be assumed by, TCI Cablevision of Texas, Inc. However, there will be no change in local management or operation of the cable television system. Should this internal restructuring require the execution of Consent or Assignment form, would you please inform us and send us a copy of the appropriate document. If requested, we will be happy to coordinate with your representatives in developing one. Otherwise, we would appreciate your in- dicating approval of the transfer of the rights and obliga- tions under the above agreement to TCI Cablevision of Texas, Inc. by signing, dating and returning one fully executed copy of this letter to my attention at the address above.
