AUTHORIZING RETAINING LEGAL COUNSEL, AUTHORIZING LEGAL
PROCEEDINGS TO VALIDATE A SERIES OF CERTIFICATES OF
OBLIGATION AUTHORIZED TO BE ISSUED BY THE CITY OF CORPUS
CHRISTI, TEXAS, AND OTHER MATTERS RELATING THERETO, AND
AUTHORIZING AND DIRECTING THE MAYOR, CITY MANAGER, AND SUCH
OTHER OFFICERS AND EMPLOYEES OF THE CITY OF CORPUS CHRISTI
AS ARE NECESSARY AND APPROPRIATE TO EXECUTE ALL DOCUMENTS,
AFFIDAVITS, AND OTHER PAPERS NECESSARY TO THE INSTITUTION
AND PURSUIT OF SUCH LEGAL PROCEEDINGS.
WHEREAS, the City of Corpus Christi (the "City") has determined it to
be necessary and appropriate at this time to issue certificates of obligation
styled "CITY OF CORPUS CHRISTI, TEXAS, COMBINATION TAX AND REVENUE CERTIFICATES
OF OBLIGATION, SERIES 1988 (TAX INCREMENT FINANCING ZONE PROJECT)" (the
"Certificates"); and
WHEREAS, a lawsuit has been filed to interfere with, delay, and thwart
the issuance of the Certificates; and
WHEREAS, pursuant to the laws of the State of Texas, the City may file
a bond validation suit to validate the Certificates and other matter related
thereto;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
CORPUS CHRISTI, TEXAS:
SECTION 1. That the City hereby retains the law firm of Fulbright &
Jaworski to represent it and said law firm is authorized and directed to take
all measures necessary to institute and pursue a bond validation suit validating
the Certificates and other matters relating thereto.
SECTION 2. That the Mayor, City Manager, and such other officers and
employees of the City as are necessary and appropriate are hereby authorized and
directed to execute all documents, affidavits, and other papers and do all
things necessary to effectuate the institution and pursuit of such bond
validation suit.
