HomeMy WebLinkAbout020318 RES - 05/17/1988A RESOLUTION AUTHORIZING THE EXECUTION OF A CONTRACT WITH THE VETERAN'S BAND OF CORPUS CHRISTI FOR THE CONVEYANCE OF TWO BUSES AND, PRIOR TO SAID CONVEYANCE, ACCEPTANCE BY THE CITY OF THE CONVEYANCE OF SAID BUSES FROM THE REGIONAL TRANSIT AUTHORITY. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. That the City Manager is hereby authorized to execute a contract with the Veteran's Band of Corpus Christi conveying to said organization two buses, terms of said contract being substantially and materially as set forth in the attached Exhibit A, and the City Manager is further authorized, prior to said conveyance, to accept conveyance of said buses to the City from the Corpus Christi Regional Transit Authority. ATTEST:--- jc."1/0„Le...c, City Secretary AYOR APPROVED: IX DAY OF 1 Ay , 19 $X HAL GEORGE, CITY ATTORNEY 206JB087.res THE CITY OF CORPUS CHRISTI, TEXAS 20318 MICROFILMED CONTRACT OF SALE STATE OF TEXAS KNOW ALL MEN BY THESE PRESENTS: COUNTY OF NUECES WHEREAS, the City of Corpus Christi ("City") owns two (2) buses donated to it by the Corpus Christi Regional Transit Authority, which the City desires be used for the benefit of the Community for primarily non-profit purposes in the public interest; and, WHEREAS, the Veterans's Band of Corpus Christi, Texas ("Band"), a non-profit organization formed to honor all American veterans, is a local Community organization which primarily performs free or non-profit concerts for the enrichment of the Community at patriotic events, Memorial services for veterans and other public performances; and, WHEREAS, the Band has need of the buses to transport its members and band equipment to their concerts; and WHEREAS, the City wants to convey the buses to the Band for use in transporting its members and band equipment to concerts which will enhance the Band's ability to serve public purposes including but not limited to promotion of patriotism, respect for our history, music, public recreation and culture; NOW, THEREFORE, the City covenants to grant, sell and convey all right, title and interest to the buses to the Band in consideration for the Band's covenant to use the buses during their useful life in transporting the Band and its equipment to local concerts for the citizens of the City, the majority of said concerts to be free or non-profit for the enrichment of the Community. I. The sale of the two buses, which are identified by Vehicle Identification Numbers on "Exhibit A" attached hereto and made a part hereof for all purposes, shall be on an "AS IS" basis. THE CITY MAKES NO WARRANTY THAT THE GOODS SOLD UNDER THIS AGREEMENT ARE FIT FOR ANY PARTICULAR PURPOSE. II. The City hereby transfers all title to, responsibility and liability for the buses to the Band. The City shall not provide insurance, maintenance, supervision, or upkeep for the buses. It is the Band's responsibility to provide all insurance required by law and all maintenance, supervision, and upkeep for the buses. 501AG042.con:b1 IN WITNESS WHEREOF, the parties have executed this Contract of Sale of buses for Band use, to be effective as of , 1988.
