HomeMy WebLinkAbout020711 ORD - 07/11/1989AN ORDINANCE AUTHORIZING THE EXECUTION OF AN INTERIM AGREEMENT WITH DOBBS HOUSES, INC., EFFECTIVE AUGUST 1, 1989, AND EXPIRING UPON COMMENCE- MENT OF THE LONG-TERM LEASE AGREEMENT FOR A TERMINAL NEWS AND GIFT CONCESSION; AND DECLARING AN EMERGENCY. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION 1. That the City Manager is hereby authorized to execute an interim agreement effective August 1, 1989, and expiring upon commencement of the long-term lease agreement with Dobbs Houses, Inc., for a Terminal News and Gift Concession, all as more fully set forth in Exhibit 1 attached hereto and made a part hereof, the bid of Dobbs Houses, Inc., being the most advantageous to the City of Corpus Christi. SECTION 2. TERMINAL NEWS AND GIFT SHOP SHORT-TERM CONCESSION AGREEMENT THIS DOBBS HOUSES, INC. TERMINAL NEWS AND GIFT SHOP SHORT TERM CONCESSION AGREEMENT (this "Short -Term Agreement") is entered into by and between the City of Corpus Christi, a municipal corporation having home rule powers under the laws of the State of Texas (the "City") and Dobbs Houses, Inc., a Delaware Corporation licensed to do business in Texas, (the "Concessionaire"); and WHEREAS, the City owns and operates the City of Corpus Christi International Airport, located at 1000 International Drive, Corpus Christi, Nueces County, Texas (the "Airport"); and WHEREAS, the Airport currently has an immediate vacancy for the provision of news and gift shop service and the necessity exists to provide such service to the public during the peak season of the summer months; and WHEREAS, Concessionaire desires to provide a news and gift shop service at the Airport for the use and benefit of passengers arriving at or departing from the Airport during this peak season prior to the execution and approval of a long-term agreement with the City; and NOW, THEREFORE, in consideration of the premises, and the charges, fees, rentals, covenants and agreements contained herein, the parties agree as follows: Article I CONCESSION PREMISES, PRIVILEGES, AND TERMS The "Concession Premises" covered herein shall be within the confines of the Corpus Christi International Airport, 1000 International Drive, Corpus Christi, Texas, as more fully described in the proposed Dobbs Houses, Inc. Terminal News and Gift Shop Concession Agreement, attached hereto and made a part hereof for all purposes as Exhibit 1 (the "Agreement"). All terms, representations, and covenants contained in the Agreement, including all attachments and specifically including location of the Concession Premises, shall govern this Short -Term Agreement. /ag/DOBBSHOU.KP 1 Article II LENGTH OF AGREEMENT This Short -Term Agreement shall expire no later than ten (10) months from the execution hereof or upon the effective date of the Agreement, whichever occurs sooner. In no event shall this Short -Term Agreement exceed ten (10) months duration from the date first written below and the City may exercise all rights pursuant to Article V (I) of the Agreement, incorporated herein by reference, for the termination of this Short -Term Agreement or to acquire repossession of the Concession Premises. Acceptance and approval of this Short -Term Agreement shall not be construed or deemed approval of the Agreement by the City, such decision and approval of the Agreement being within the sole discretion as provided by and subject to the Charter of the City of Corpus Christi and the laws of the State of Texas. IN WITNESS THEREOF, the parties have executed this Short -Term Agreement to be effective as of Aup�nct 1 , 1989.
