HomeMy WebLinkAbout020724 ORD - 07/25/1989AN ORDINANCE AUTHORIZING THE EXECUTION OF AN AMENDMENT TO THE PIER LEASE WITH THE CORPUS CHRISTI YACHT CLUB PROVIDING FOR A REPLACEMENT PIER. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS; SECTION 1. That the City Manager is hereby authorized to execute an amendment to the Pier Lease with the Corpus Christi Yacht Club providing for a replacement pier, all as more fully set forth in the amendment, a substantial copy of which is attached hereto and made a part hereof, marked Exhibit A. 26; 24 MICROFILMED AMENDMENT TO PIER LEASE BETWEEN THE CITY OF CORPUS CHRISTI AND CORPUS CHRISTI YACHT CLUB THE STATE OF TEXAS § § COUNTY OF NUFCES § KNOW ALL BY THESE PRESENTS: FOR AND IN CONSIDERATION of the undertakings, covenants and conditions herein expressed, the City of Corpus Christi, a municipal corporation and home rule city under the laws of Texas, hereinafter called "City," acting by and through its duly autho- rized City Manager, and the Corpus Christi Yacht Club, a Texas non-profit corporation, hereinafter called "Yacht Club," hereby amend that certain lease dated May 9, 1984, entitled "Pier Lease Between the City of Corpus Christi and Corpus Christi Yacht Club," hereinafter the "Lease," authorized by the Corpus Christi City Council in Ordinance No. 18198, on April 25, 1984. Section TT of the Lease is amended by adding a new para- graph C, as follows: C. The Yacht Club may replace the existing Pier "L" with a newly constructed replacement pier (the "Replacement Pier"). 1. Construction of the Replacement Pier shall be under- taken prior to thirty (30) days after the effective date of the ordinance authorizing this lease amendment, and shall be completed within six (6) months of commencement of construction. 2. Such Replacement Pier shall be constructed in accor- dance with the plans and specifications attached hereto 03/32A as Exhibit A which are hereby approved by City. Replacement shall include removal and disposal of the present structure. A copy of the building permit for such Replacement Pier is attached as Exhibit B. 3. Yacht Club shall be responsible for obtaining all necessary permits, and complying with all federal, state, and local laws and regulations; provided, how- ever, any application to the Corps of Engineers will be submitted to City for its approval prior to submission to the Corps, and the City will cooperate in the pro- cessing of such application whether made in the name of the City or Yacht Club. 4. Any changes in the plans and specifications in Exhibit A must be approved by the City Manager, or his designee. 5. Upon completion of said Replacement Pier in accordance with Exhibit A, City shall accept such improvements. The Yacht Club shall retain title and ownership to the Replacement Pier improvements until the full cost thereof (including the cost of money computed at the fixed rate of ten percent (10%) per annum) shall have been amortized either by credits upon rental owed to the City under the existing lease or a subsequent lease as contemplated by paragraph 7 below or by payments to Yacht Club by the City or other user of the Replacement Pier. -2- When such cost shall have been fully amortized, title and ownership of Replacement Pier improvements shall revert to and become the sole property of the City. The Replacement Pier shall become the property of the City, subject to any Lease, then in force in accord with paragraph 7 below. 6. In consideration of the Yacht Club's completion of the Replacement Pier L, Yacht Club shall receive a monthly credit on the rental established in paragraph B, in the amount of $3,953.30. 7. If the Lease shall be renewed, or a new lease made, by the parties covering the same property for an addi- tional term of five (5) years after expiration of this Lease, the credit established in subparagraph 6, above, shall be applied to the rental established under such renewed or new lease. If at the end of the term of this existing Lease, the City shall not have entered into a renewal lease or new lease with Yacht Club for an additional term of not less than five (5) years, then the City agrees (i) to lease the Replacement Pier L improvements from Yacht Club (with the right to sublease the Replacement Pier), and (ii) to pay to Yacht Club as rental a sum equal to $474,396.00 minus the total amount of credit on rental received by Yacht Club pursuant to paragraph 6 above, payable at the rate -3- of $3,953.30 per month until paid in full. Payment of such lease rentals by the City shall be secured by, and payable solely from, revenues of the marina, which shall be pledged by the City Council for said purpose, and shall never be payable from tax revenues. If the City defaults in the payment of the rental to Yacht Club described in the preceding sentence, Yacht Club may, at its option, accelerate such rental, which accelerated sum shall equal the remaining unamortized cost of the Replacement Pier and be immediately due and payable by City. Yacht Club shall have the right with respect to such accelerated sum to seek a judgment against the City in the amount of such sum, which judgment may be collected solely from revenues of the marina and not from tax revenues, and to collect and receive any use or rental fees paid by third parties for use of the Replacement Pier facilities until such time as a judgment against the City, if any, or the unamortized cost of the Replacement Pier is paid in full. The City shall retain control of the Replacement Pier, and revenues generated therefrom shall be used to pay the unamortized cost of the Replacement Pier or any judgment in favor of Yacht Club. 8.
