AGREEMENT WITH BAYFEST, INC. FOR THE PURPOSE OF HOLDING
A FESTIVAL AND RELATED ACTIVITIES IN CONNECTION WITH THE
BAYFEST CELEBRATION TO BE LOCATED ALONG SHORELINE
BOULEVARD BETWEEN IH -37 AND THE BAYFRONT SCIENCE PARK
DURING 1991, 1992, 1993, 1994, and 1995; SUBJECT TO ANNUAL
CONFIRMATION OF TEMPORARY STREET CLOSURES BY CITY
COUNCIL AND PROVIDING FOR PUBLICATION.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CORPUS
CHRISTI, TEXAS:
SECTION 1. That the City Manager is hereby authorized to execute a five
year agreement with Bayfest, Inc. for the purpose of holding a festival and related activities
in connection with the Bayfest celebration to be located along Shoreline Boulevard between
IH -37 and the Bayfront Science Park during 1991, 1992, 1993, 1994, and 1995 subject to
annual confirmation of temporary street closures by city council all as more fully set forth
in the lease agreement, a substantial copy of which is attached hereto as Exhibit A.
SECTION 2. Publication shall be made in the official publication of the City
of Corpus Christi as required by the City Charter of the City of Corpus Christi.

BAYFEST AGREEMENT
SNOW ALL PERSONS BY THESE PRESENTS:
THIS AGREEMENT made and entered into by and between the City of
Corpus Christi hereinafter called "City", and Bayfest, Inc., hereinafter
called "Bayfest".
1. Subject to the terms and upon performance of the conditions
hereinafter provided, City hereby grants to Bayfest, for the purpose of
holding a festival and related activities in connection with the Bayfest
Celebration, the privilege and license to use the
following dascribed City property:
The sidewalks, medians, seawall, along Shoreline
Boulevard between Interstate Highway 37 and the Bay-
front Arts and Science Park (excluding the Water
Garden) the five municipal parking lots adjacent to
Interstate 37 access roads, the barge dock and the
vacant city block bounded by Resaca, Fitzgerald,
Chaparral and Water Streets, said areas being more
fully described in Exhibit "A" attached hereto.
This contract does not include the Bayfront Plaza Convention Center or
parking lots adjacent to the Convention Center. The use of any of these
facilities will be covered under a separate agreement between Bayfest, Inc.
and Bayfront Plaza Convention Center.
Requests for additional area by Bayfest shall require prior written approv-
al from the City. It is understood and agreed that no concession stand,
rides or other apparatus connected with Bayfest shall be allowed to use the
grassed or shrubbed areas within the Bayfront Science Park without prior
written permission from the Convention Center Manager and the Director of
Park and Recreation. City may require written permission from other ten-
ants, i.e. Art Museum of South Texas, Harbor Playhouse, Corpus Christi
Museum.
2. Bayfest will pay the City within 60 days after the event ends
each year an amount equal to the actual cost incurred by the City or 4% of
gross revenue, whichever is greater. Four months prior to each festival
the City, acting through the Director of the Park and Recreation
Department, will submit to Bayfest an estimated statement of expenses for
the event.
The City shall invoice Bayfest for such costs within twenty
(20) days after the event each year, such invoice to breakdown the City
charges for setups/takedown, event clean up, street sweeping and repairs
categories. Upon reasonable request of Bayfest, the City will furnish
supporting accounts and accounting of such charges.

3. This agreement is for a terra of five (5) years,
commencing September 1991. Bayfest shall be entitled to non-exclusive
use (for pu poccs of set-up and take -noon) of the premises described
in paragraph 1 above for a period of fifteen (15) days (consecutive)
during each of the years 1991, 1992, 1993, 1994, and 1995, and to the
exclusive use of said premises for a period of three (3) days within
sudr fifteen (15) day period in each of such years, all set forth
during the month of either September or October, provided, however,
that by giving written notice of cancellation at least nine (9) months
prior to the first day of each fifteen (15) day use period, this
agreement shall terminate after such notice. The Director of the Park
and Recreation Department shall coordinate the exact dates of the
event for 1994 in 1992 and for 1995 in 1993 at least nine (9) months
prior to the event. The City shall retain that general use periods
for 1994 and 1995 on the City's Convention Center booking calendar.
Said use periods are more fully described in athibit "B" attadned
hereto.
4. Upon making application to and receiving ponicRion from
the City eadn year for the temporary closing of the street to traffic
in accordance with City ordinances, Bayfest shall be entitled to block
off Shoreline Boulevard northbound and southlxxmd North of 1R 37. A
portion of the east leg of Shoreline Boulevard shall be kept open for
continuous northbound traffic flow into the Invention Canter and Art
Museum up until the first day of Bayfest festivities. Otherwise,
Bayfest shall not obstruct or interfere with traffic upon Shoreline
Boulevard, either northbound or earthbound at all times. Bayfest
shall provide driveway aocess for trucks and emergency equipment to
the service entrance of the Convention Center and the Art Museum of
South Tours, and shall keep such driveways open and unoccupied by
structures or automotive eguipnen+ Upon confirmation of street closures
by the City Council, Bayfest shall also be entitled to block off (except to
local traffic) the sections of Hmghes, Resaca, Fitzgerald, Palo Alto, Power
2 and Belden Streets between Shoreline Boulevard) and North Water Street
for the purpose of placing support services and equipment associated with
the event, in accordance with a site use plan approved by the City Traffic
Engineer.
Bayfest shall provide the City Traffic Engineer its site
plan for the Bayfest festival, application for the requested street
closings, and proof of all affected property owners' approval of the
prroposed street closings not later then June 1st preceding the Bayfest
festival. Bayfest acknowledges that all street closures an a temporary
basis are subject to the requirements of City Ordinances, Sections 49-15 to
49-18, as may be amended, and shall require the City Oamcil to confirm
such closures. The decision to confirm the closure of sudr streets is
within the sole discretion of the City Council acting upon such application
at the time such application is submitted.
5. Payment will be made, as mentioned in paragraph 2, for the
following list of actual services provided by the City at each annual
event:
a. Provide street sanitation services, approximately six
(6) trash (brush) trucks and approximately eighty (80) trash
barrels for placement in designated areas in and
arani the Bayfest site. Bayfest will provide plastic trash
bags for the trash barrels.
b. Furnish, transport, and set up (and after the festival
remove) approximately 80 picnic tables to and from the
Bayfest site.
c. Transport Bayfest's personal property to and from
Bayfest's warehouse. Repave hay and sand from
designated Bayfest areas Dispose of used vendor
tickets.
6. Bayfest will also provide parking paccas for personnel
scheduled to work during the actual event.
7. Bayfest shall provide certain barricades, traffic signs and
uniforms cslrity personnel during set up, take down, and after festival
closes each night till it opens the next day. City shall provide
additional uniformed 04w-urity personnel in sufficient number, as determined
by the City's Chief of Police and Traffic Engineer for internal and
atonal crowd and traffic control during festival haus.
8. No less than two weeks prior to the event, Bayfest shall
furnish catprehensive general liability insurance protecting against
liability to the public. Such insurance shall have policy limits of at
least $500,000 for personal injury or death, $1,000,000 per occurrence, and
$100,000 property damage, and shall name the City of Carps Christi, Texas
as additional insured. Additional insurance in the form of an accident
policy for volunteers with limits of $5, 000 for death, disrobement a nt and
$2,500 for medical expenses will also be furnished by Bayfest. A
$1,000,000 aggregate liquor liability endorsement naming the City of Corpus
Christi as additional insured will be purchased by the vendor selling beer
at Bayfest. The Certificates of Insurance in the above amounts shall be
furnished and approved by City's Risk Manager two weeks prior to the use
period each year. Bayfest shall require all volunteers to sign and
maintain on file an accident waiver form. Form shall be approved by City.
City Manager reserves the right to increase the limits of insurance upon
two (2) nnnths written notice to Bayfest.
9. Bayfest shall fully indemnify, save and hold harmless the
City of Corpus Christi, its officers, employees, invitees, and agents
(hereinafter "the Indemnitees") against any and all liability, damage,
loss, claims, denards and actions of any nature whatsoever an account of
personal injuries (including, without limitation on the foregoing, workers'
compensation and death claims) , or property loss or damage of any kind
whatsoever, which arise out of or are in any Wanner erected with, or are
claimed to arise out of or be in any way connected with the planning,
preparation, construction, operation, or dismantling of its facilities,
equipment, orpremises used in connection with the Bayfest Fnestival, or its
activities, unless such injury, loss or damage shall be caused by the sole
negligence of the Indemnitees or any of them. Bayfest shall, at its own
encase, investigate all such claims and demands, attend to their
settlement or other disposition, defend all actions based thereon and pay
all charges of attorneys and all other costs and expenses of any kind
arising frau any such liability, damage, loss, claims, denands, and
actions
10. Bayfest, upon written notice of identified safety hazards by
the City's Risk Management Department, must comply in correcting the safety
hazard, within six hours.
11. Any damage to City property will be restored by Bayfest
within two days after the close of the event each year.
12. Any work which involves holes or other charges in the
pavement, curbs, sidewalks, or seawall, must be approved by City's
Director of Engineering Services, provided however that no such approval
Shall be given if such work will require subsequent repairs by the City.
13. Bayfest shall require all Bayfest vendors to obtain
appropriate permits, including permits frau the Alcdholic Beverage
Commission for the sale of alcohol and shall comply with all require -
mems of the City -County Health Department for the sale of foods and
the protection of the public welfare.
14. Bayfest shall require all vendors to routinely clean a
Bayfest designated zone adjacent to their respective booths. Cleaning
shall be done at least hourly during the event and immediately upon
closing.
15. The oonstnhctim work for displays shall be conducted
in accordance with City building codes and restrictions. Only upon
adequate assurance to the Director of Park and Recreation that all
damages resulting from such construction will be remedied by Bayfest
in accordance with paragraph 11 above, shall such construction be
permitted.
16. No paint or semi-permanent markings shall be permitted whidu
in any way obliterate or deface any pavement markings or signs heretofore
existing for the guidance of motor vehicles or pedestrians. Chalk type
markings may be used to pre -mark locations on the sidewalk or street
(Painted markings of any type will not be permitted).
17. City and Bayfest hereby agree that any disputes which
my arise between them concerning this agreement, such as determining
the amount of damage to City property occurring as a result of the
festival, shall be sutmitted for determination and resolution, first to the
Director of Park and Recreation, with a right to appeal to the City
Manager. The decision of the City Manager shall be final, unless that
decision is appealed to the City Council by giving written notice of appeal
to the City Secretary within ten (10) days after the written decision of
the City Manager has been sent to Bayfest. In the event of arch appeal,
the decision of the City Council shall be final.
18. Bayfest agrees to maintain such fire laches upon the
property herein described as maybe designated by City's Fire Chief.
19. Bayfest shall not assign this agreement nor sublease
the whole or any part of the demised premises or make any alteration
therein without the consent of the City first obtained in writing.
Any transfer shall require the approval of City Council.

20. Any failure on the part of Bayfest to perform any of the
covenants contained in this agreement, or any breach of any covenant or
condition herein contained on the part of Bayfest, shall entitle City to
forthwith terminate this agreement without notice or demand of any kind,
not withstanding any license issued by City and no forbearance by City of
any prior breach hereof by Bayfest shall be deemed a waiver by or
estoppel
against City. In caaa of any such termination City shall be entitled
retain any sums of money theretofore paid by Bayfest and such sums shall
inure to the benefit of City as a setoff against any debt or liability of
Bayfest to City otherwise accrued by breach hereof.
21. Bayfest acknowledges that the control and use of the public
streets is declared to be inalienable by the City and except for the use
privilege granted herein, this agreement does not confer any right, title,
or interest in the public property described herein. The use privilege
granted herein is subject to the approval of the City Council as required
by ordinance and the compliance by Bayfest with the terns and conditions
contained within this Agreement.
22. This Agreement shall not be construed or deemed by the
parties hereto as a partnership, joint venture, or such other relationship
which shall require the City to co-sponsor or incur any liability, expense,
or responsibility for the conduct of the Bayfest festival or associated
activities. Payments received from Bayfest by the City shall be compensa-
tion for provision of City services as described herein and for the right
of Bayfest to use public property for the limited purpose described herein.
23. Bayfest recognizes that the services provided by the City
pursuant to this Agreement are subject to the City's annual budget approval
and appropriation. The continuation of any contract after the close of any
fiscal year of the City, which fiscal year ends on July 31 of each year,
shall be subject to appropriations and budget approval. The City does not
represent that the expenditures required by the City for the
services required by this provision of
Agreement will be adopted by future City Coun-
cils, said determination being within the sole discretion of the City
Council at the time of adoption of each fiscal year budget.
