AUTHORIZING CITY MANAGER OR HIS DESIGNEE TO EXECUTE
A CONTRACTUAL AGREEMENT WITH THE TEXAS DEPARTMENT
OF TRANSPORTATION FOR THE INSTALLATION, OPERATION AND
MAINTENANCE OF TRAFFIC SIGNALS ON STATE HIGHWAYS
WITHIN THE CITY LIMITS OF CORPUS CHRISTI.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS
CHRISTI, TEXAS:
SECTION 1. That the City Manager or his Designee be authorized to execute a
contractual agreement with the Texas Department of Transportation for the installation,
operation and maintenance of traffic signals on State Highways within the city limits of
Corpus Christi, substantial copy of which is attached hereto and made a part hereof, marked
Exhibit "A".

AGREEMENT FOR STATE TO ASSUME
OPERATION AND MAINTENANCE OF
EXISTING FREEWAY SIGNALS IN
CITY OVER 50,000 POPULATION
This AGREEMENT dated this Day of 19_,
by and between the State of Texas, hereinafter called the "State",
Party of the First Part; and the City of Corpus Christi, Nueces County,
Texas, acting by and through its duly authorized officers under
Ordinance/Resolution, passed the day of ,19
hereinafter called the "City", Party of the Second Part, is made to
become effective when fully executed by both parties.
WITNESSETH
WHEREAS, there are highway traffic signals in place at the
locations shown on EXHIBIT 1, attached hereto and made a part hereof,
said highway traffic signals having been installed, by the City/or
State and now being operated and maintained by the City; and
WHEREAS, the State under the provisions of Title 43, Texas
Administrative Code, Section 25.5, has authority to install, operate
and maintain traffic signals on freeway type highways in all cities and
on other routes on cities of less than 50,000 population (latest
Federal Census); and
WHEREAS, the City is agreeable to the State assuming the
maintenance and operation of the highway traffic signals now in place
at the locations shown on EXHIBIT 1 and has authorized the continued
existence, use, operation, and maintenance of the highway traffic
signals by Ordinance/Resolution passed on the day of

AGREEMENT
NOW, therefore, in consideration of the premises and of the mutual
covenants and agreements of the parties hereto be by them respectively
kept and performed, as hereinafter set forth, it is agreed as follows:
1. The City will leave the highway traffic signals in place at the
locations shown on EXHIBIT 1.
2. The City will exercise no control whatsoever over the
operation, maintenance, use, or existence of highway traffic signals
without the written authority from the Texas Department of
Transportation.
3. Upon written request by the City and upon mutual agreement, the
State will make coordination changes at locations shown on EXHIBIT 1.
4. The State will operate and maintain the signals at their
expense and will pay all power costs for operating the signals.
5. The State shall have the authority to remove, install or make
changes in the design and operation of the highway traffic signals as
it may deem necessary and advisable to promote the safe, convenient,
and orderly movement of traffic.
6. Upon the request of the State the City may assist in the
emergency maintenance of the traffic signals. The City shall maintain a
log of all emergency calls attended in all such cases.
7. The State will return any and all City installed parts of said
highway traffic signal installations to the City should they be removed
by the State for any reason other than for State use with City approval
in an installation on a State or Federal numbered highway route at a
location within the City.
8. The State will retain ownership of all material furnished and

installed by the State.
9. The City will be responsible for the police enforcement
required for securing obedience to the highway traffic signals.
10. In the event the signal installations covered by this
agreement become unnecessary or are removed for any reason, this
Agreement shall terminate.
11. This agreement may be terminated by mutual agreement and
consent of both parties.
12. To the extent permitted by law, the City shall indemnify and
save harmless the State, its agents or employees, from all suits,
actions or claims and from all liability and damages for any and all
injuries or damages sustained by any person or property in consequence
of any neglect in the performance, or failure of performance of the
City, its agents and employees under this agreement.
13. The State will not incur any financial obligation to the City
as a result of this Agreement.
