APPROVING A RATE OF $ 8.90 .EOR THE BASIC CABLE SERVICE
TIER; AND PROVIDING FOR PUBLICATION OF NOTICE OF THE
CONTENTS OF THIS ORDINANCE (DISPOSITION ORDER) AS
REQUIRED UNDER SECTION 55-194 OF THE CODE OF ORDINANCES,
CITY OF CORPUS CHRISTI.
WHEREAS, the City of Corpus Christi, Texas (the "City") is the Grantor of a cable
television franchise under Ordinance No. 16133, passed on March 25, 1981, and which franchise
is currently held by TCI Cablevision of Texas, Inc., hereinafter referred to as "Grantee"; and
WHEREAS, in accordance with applicable provisions of the Cable Consumer Protection
and Competition Act of 1992 (hereinafter the "Cable Act") and rules adopted by the Federal
Communications Commission ("FCC"), the City has undertaken all appropriate procedural steps
to regulate the basic cable service tier; and
WHEREAS, in accordance with applicable FCC regulations, on or about October 4,
1993, the City filed FCC Form 328 -- Certification of Franchising Authority to Regulate Basic
Cable Service Rates and Initial Finding of Lack of Effective Competition -- with the FCC; and
WHEREAS, in accordance with applicable FCC regulations, on November 16, 1993, the
City passed a rate regulation ordinance (Ordinance No. 021802); and
WHEREAS, on November 18, 1993, the Grantee received a notification letter from the
City regarding FCC certification and the adoption of the rate regulation ordinance; and
WHEREAS, on March 13, 1995, the City received Grantee's FCC Form 1210. A copy
of this document is attached to this ordinance as Exhibit A; and
WHEREAS, Fredrikson & Byron, P.A. was asked to provide assistance to the City by
reviewing Grantee's FCC Form 1210; and
WHEREAS, on March 28, 1995, the City Council approved Resolution No. 022192,
which stated that the City would have a ninety (90) -day extension period to complete its review
of Grantee's FCC Form 1210; and
WHEREAS, pursuant to FCC regulations, on or about April 6, 1995, the City mailed and
telecopied a letter to Grantee notifying it of this extension period; and
WHEREAS, on April 12, 1995, Fredrikson and Byron, P.A. issued a final report
concerning Grantee's FCC Form 1210. A copy of this report is attached to this ordinance as

WHEREAS, on May 24, 1995, the Corpus Christi Cable Communications Commission
(the "Commission") conducted a meeting open to the public to ensure that all interested parties
had ample opportunity to present information to the City and to express their views concerning
Grantee's FCC Form 1210; and
WHEREAS, at the May 24, 1995 meeting, the Commission concurred in the
recommendation of Fredrikson & Byron that the City approve the basic cable service tier rate of
$ 8.90 and also recommended that the city council pass an ordinance to that effect; and
WHEREAS, based upon the May 24, 1995 Commission meeting and the final report from
Fredrikson & Byron, the City Council makes the conclusions and orders listed below.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF CORPUS CHRISTI, TEXAS:
SECTION 1. The rate of $ 8.90 to be charged by the Grantee for the basic cable service
tier will equal the maximum rate permitted under FCC rules. Thus, the rate is deemed reasonable
and will be approved as stated below.
SECTION 2. Based on the foregoing findings and conclusions, the City Council hereby
enters the following orders:
a. Grantee shall be permitted to charge a rate of $ 8.90 for the basic cable service
tier.
b. The City Council reserves the right to reconsider this ordinance if subsequent
amendments or modifications to the FCC rules and regulations require or permit
such reconsideration.
c. This ordinance shall constitute a disposition order under Section 55-194 of the
Code of Ordinances, City of Corpus Christi (the "Disposition Order") concerning
this FCC Form 1210 submission.
d. Notice of the contents of this ordinance (Disposition Order) shall be published
as required under Section 55-194 of the Code of Ordinances, City of Corpus
Christi.
SECTION 3. All exhibits referenced above are made a part of this ordinance as if set
forth herein.

Dear Mayor Rhodes:
The FCC allows cable operators to increase rates to reflect certain increases in external costs. This letter
serves to inform you of the specific reasons behind the upcoming adjustments. These changes are based on
federal guidelines set out to ensure that cable rates are both fair and reasonable.
As you may know, the 1992 Cable Act and the Federal Communications Commission created regulations
under which cable companies establish rates for certain services. On February 6, 1995, the FCC made
certain revisions to these rules that affect how cable operators adjust their permitted charge to reflect
increases in inflation. Therefore, rates will be adjusted to reflect the inflation associated with the period of
October 1, 1992 to June 30, 1994.
Accordingly, in next month's bill the new rate for basic service will increase by $0.42, due to the inflation
adjustment, resulting in a new monthly price of $ 8.83. The costs of programming for certain channels on
basic service has also increased $.07 since the rate for basic service was established at $8.41. Of this $.07,
$.03 was calculated in the Form 1210 filed with the City on September 30, 1994 (copy enclosed), and the
adjustment of the rate was deferred at that time. The remaining $.04 for increased programming costs has
occurred since that filing and is included in the attached Form 1210. The $.07 cumulative adjustment for
increased programming costs to a new rate of $8.90 for basic service is hereby submitted for the City's
review and approval, in accordance with the FCC's rate regulatory procedures.
Also in next month's bill. the charge for expanded basic service will increase to $13.83, an increase of
$0.56 from the current rate of $13.27. Of the $.56 adjustment, $.43 is due to the inflation adjustment and
S.13 of this adjustment is also due to the higher programming costs we must now pay to bring you many
of your favorite cable networks.
Pursuant to the Commission's requirements. customers will be notified 30 days prior to the date the
changes are reflected in their bills. 1 have enclosed a copy of this notification sent to our customers
conceming these adjustments.
We are committed to complying with the new rules and are doing all we can to make cable television

T his memo will serve to •document, in general terms, the steps and
methodologies behind 'the preparation of FCC Form 1210 for systems owned •
and/or managed by Tele-Communications, Inc. ('TCI') for the following filing
periods:
I. April 1. 1994 to March 31. 1995
2. July 1, 1994 to March 31, 1995
3. October 1. 1994 to March 31. 1995
4. January 1, 1995 to March 31, 1995

The Form 1210 computes the maximum permitted rates under the "Old Rules"
for all channels carried or originally launched under the 'Old Rules". The rate
increase on channels launched under the •Go Forward' rules is reflected in an
attachment to FCC Form 1210. Programming cost increases for channels
launched under the 'Go Forward' rules, where available, have been calculated
on a separate attachment to Form 1210.
Corrections to Form 1200/Form 1210:
In preparing the Form 1210s for certain systems, it was determined that
programming costs were calculated incorrectly in the systems' Form 1200s
and, possibly, prior Form 1210s. In addition, cable specific taxes and franchise
related costs not included in certain of the systems' Form 1200s have now been
determined and are included in the Form 1210s. Included with the systems'
Form 1210 filings (where applicable) are attachments that reconcile the
impact of these adjustments on the systems' provisional and full reduction
rates as well as the impact on the various lines in the systems' Form 1200s and
1210s. Where corrections have been made to Form 1200, Lines Al, A2, Bl la, and
B13 may not agree to the systems' Form 1200 as originally filed. Where
corrections have been made to prior Form 1210s, Lines Al, A2, B13, CI and C2
have been adjusted and may not agree to the systems' Form 1210 as originally
filed.
MODULE A • TRANSITION RATES AND FULL REDUCTION
RATES FROM PREVIOUS FILING OF FCC FORM 1200

Line Al Represents the transition rates per tier from Line 13 of the
reporting. unh's Form 1200, or Line F3 of the reporting unit's
• mon recently filed Form 1210.

For purposes, of TCFs Form 1210 calculations, a reporting unit• is
one or more franchises with the same basic and expanded basic
rates, the same channel line-up, the same franchise fee
itemization status and calculations, the same cable specific taxes,
and the same franchise related costs.
Line A2 Represents the full reduction rates per tier from Line J6 of the
reporting unit's Form 1200, or Line F6 of the reporting unit's
most recently filed Form 1210.
Where Form 1200 or a prior Form 1210 has been corrected, the corrected rates
for Lines Al and A2 are shown on an attachment to Form 1210.
MODULE B: CALCULATING CURRENT & NET EXTERNAL COSTS
Line Bla Represents the current monthly cost of programming that was
offered on each respective tier as of the date programming costs
were last calculated in the reporting nait's Form 1200 or
previously filed Form 1210, and was still offered on that tier at
March 31. 1995. For purposes of TCfs March 1995 Form 1210s, the
current monthly cost of programming represents the service's
January 1995 accrued cost multiplied by October 1994 subscribers.
Monthly programming costs are net of payments received from
programmers u consideration for carriage of their services (if
any) and include copyright fees for carriage of broadcast signals,
reduced by any indemnification received.
Line Blb Represents the current monthly cost of programming that was
moved from another tier since the date programming costs were
last calculated. For purposes of TGFs March 1995 Form 1210s, the
current monthly cost of programming represents the service's
January 1995 accrued cost multiplied by October 1994 subscribers.
Line Blc Represents the current monthly cost of programming services
that have been added to each tier by the reporting unit during
the filing period where the system in NOT electing the 'Go
Forward' rules for such new programming. Programming costs
for new services are accrued on the books and records of TCI in
the month that they are first offered, and are reflected on Line
Ble at the services' monthly accrued cost.

consent fees paid (if any).
Line B6 Represents taxes per tier imposed by state or local authorities on
transactions between the cable operator and cable subscribers
for the month of October 1994, the representative month closest
to March 1995 for which information is available. For purposes
of TGFs March 1995 Form 1210 filings, the figure entered on Line
B6 may be zero. As applicable taxes are imposed or increased, the

MODULE E: ADJUSTING FULL REDUCTION RATE FOR
INFLATION, CHANGES IN EXTERNAL COSTS
AND CHANNEL CHANGES
Line E5 Represents the inflation adjustment factor of '1.0215' where
inflation was not previously computed in a December 1994 Form
1210 filing. The inflation adjustment factor is for the period from
September 30, 1993 to June 30, 1994. Where inflation has
previously been computed in a December 1994 Form 1210 filing,
the inflation adjustment factor is '1.0000'.
As provided in the Ninth Order on Reconsideration, which was adopted by the
FCC on February 3, 1995, an inflation adjustment has been computed for
transition rate systems. Such adjustment is included as a separate attachment
to TCFs March 1995 Form 1210s where applicable.

As you know, the FCC released a new set of regulations in May which require cable systems to adjust their
rates according to a revised formula. TCI Cablevision of Texas, Inc. implemented those changes in July
and filed the required support by August 15. 1994. We hope you and our customers were pleased with the
changes that took place.
As you may have realized, we have made certain programming changes to bring our customers more
choices and better television viewing. To this end, we recently added TV!, FX and Americas Talking to
our line-up. Also, Mind Extended University went from Basic to Expanded Basic.
However, certain adjustments to costs associated with this new programming and other variables within the
external cost calculation have been incurred in the time between April 1, 1994 and September 30, 1994.
Specifically, our cost to bring subscribers many of their favorite channels has increased.
Accordingly, customer bills received within the next month will reflect an increase for Expanded Basic.
The new rate for Expanded Basic will go up by 50.93 for a total of 511.82.
These adjustments are based on federal guidelines set out to ensure that cable rates are both fair and
reasonable. As you may recall, cable rates have been frozen since April 1993, and these changes reflect
adjustments to one or more of the external cost categories adopted by the FCC.
Pursuant to the Commission's requirements. customers will be notified 30 days prior to the date the changes
are reflected in their bills. I have enclosed a copy of this notification sent to our customers concerning these
adjustments. You will receive a 1210 filing if there has been an adjustment to the basic service rate.
We are committed to complying with the new rules and are doing all we can to make cable television
programming and service even better. If you have questions regarding the calculation of these adjustments,
please feel free to call your local cable operator.

PREPARATION DOCUMENTATION
This memo will serve to document, in general terms, the steps and methodologies behind the
preparation of FCC Form 1210 for systems owned and/or managed by Tele-Communications, Inc.
("TCI") for the filing period from April 1, 1994 to September 30, 1994. Documentation will cover
only those lines requiring manual or computer input and not those lines that are calculated
mathematically or by obtaining information from another line.
Corrections to Form 1200:
In preparing the Form 1210s for certain systems, it was determined that programming costs were
calculated incorrectly in the systems' Form 1200s. In addition, cable specific taxes and franchise
related costs not included in certain of the systems' Form 1200s have now been determined and are
included in the Form 1210s. Included with the systems' Form 1210 filings (where applicable) are
attachments that reconcile the impact of these adjustments on the systems' provisional and full
reduction rates as well as the impact on the various lines in the systems' Form 1200s and 1210s.
The systems' September 1994 Form 1210s reflect these adjustments, and accordingly, Lines Al,
A2, B1 1 a and B13 may not agree to the systems' Form 1200 as originally filed.
MODULE A - TRANSITION RATES AND FULL REDUCTION RATES FROM
PREVIOUS FILING OF FCC FORM 1200 OR FCC FORM 1210
Line Al Represents the transition rates per tier from line J3 of the reporting unit's Form
1200.
For purposes of TCrs Form 1210 calculations, a reporting unit is one or more
franchises with the same basic and expanded basic rates, the same channel line-up,
the same franchise fee itemization status and calculations, the same cable specific
taxes, and the same franchise related costs.
Line A2 Represents the full reduction rates per tier from line J6 of the reporting unit's Form
1200.
Where Form 1200 has been corrected, the corrected rates for Lines Al and A2 are shown on an
attachment to Form 1210.
MODULE B: CALCULATING CURRENT & NET EXTERNAL COSTS
Line B la Represents the current monthly cost of programming that was offered on each
respective tier as of March 31, 1994, the date programming costs were last
calculated in the reporting unit's Form 1200, and was still offered on that tier at
September 30, 1994. For purposes of TCrs September 1994 Form 1210s, the
current monthly cost of programming represents actual costs for the month of June
1994, the representative month closest to September 1994 for which information is
available.
Monthly programming costs are net of payments received from programmers as
consideration for carriage of their services (if any), plus copyright fees for carriage
of broadcast signals, net of any indemnification.
Line B lb Represents the current monthly cost of programming that was moved from another
tier since March 31, 1994. For purposes of TCI's September 1994 Form 1210s,
the current monthly cost of programming represents actual costs for the month of
June 1994, the representative month closest to September 1994 for which
information is available.
Line B lc Represents the current monthly cost of programming services per tier that have been
added by the reporting unit between April 1, 1994, and September 30, 1994.
Programming costs for new services are accrued on the books and records of TCI
in the month that they are first offered, and are reflected on Line B lc at the services'
monthly accrued cost. The monthly accrued cost will be adjusted to actual in. the
reporting unit's next Form 1210.
Line Bld Represents the cost of programming services per tier shifted to other tiers since
March 31, 1994. For purposes of TCrs September 1994 Form 1210s, the current
monthly cost of programming represents actual costs for the month of June 1994,
the representative month closest to September 1994 for which information is
available. Such information is used for information collection and data verification
purposes only.
Line B le Represents the previous programming costs per tier associated with services that
have been eliminated from regulated channels since March 31, 1994. For purposes
of TCrs September 1994 Form 1210s, previous programming costs represent
actual costs for the month of March 1994 included in the calculation of Line B8 of
the reporting unit's Form 1200. Such information is used for information
collection and data verification purposes only.
Line B2 Represents the current total monthly amount of retransmission consent fees paid.
The amount entered on Line B2 will be zero in TCrs September 1994 Form 1210
filings since the filings are for a period before October 6, 1994.
Line B6 Represents taxes per tier imposed by state or local authorities on transactions
between the cable operator and cable subscribers for the month of June 1994, the
representative month closest to September 1994 for which information is available.
For purposes of TCrs September 1994 Form 1210 filings, the figure entered on
Line B6 may be zero. As applicable taxes are imposed or increased, the costs will
be analyzed and included in future Form 1210 filings.
Line B7 Represents franchise related costs per tier for the month of June 1994, the
representative month closest to September 1994 for which information is available.
For purposes of TCrs September 1994 Form 1210 filings, the figure entered on
Line B7 may be zero. As franchise related costs are imposed or increaseli, the costs
will be analyzed and included in future Form 1210 filings.
The amounts included in Line B6 and Line B7 have been allocated among the regulated tiers, the
equipment basket, and nonregulated service cost categories according to the FCC cost allocation
rules in 47 C.F.R. Section 76.924. For example, amounts paid to support PEG channels are
allocated to the tier on which the channel is carried.

amounts for Line B13 are shown on an attachment to Form 1210.
MODULE C: NON -EXTERNAL COST ADJUSTMENT
FOR CHANNEL CHANGES
Line C1 Represents the total number of regulated channels per tier offered to subscribers in
the reporting unit as of March 31, 1994, and equals the number of channels from
line Al of the reporting units Form 1200. Channel counts were obtained from
either channel line-up cards or other system generated reports.
Line C2 Represents the total number of regulated channels per tier offered to subscribers in
the reporting unit as of September 30, 1994. Channel counts were obtained from
either channel line-up cards or other system generated reports.
MODULE E: ADJUSTING FULL REDUCTION RATE FOR INFLATION,
CHANGES IN EXTERNAL COSTS AND CHANNEL CHANGES
Line E5 Represents the inflation adjustment factor. The factor of "1" has been used since
the final inflation adjustment factor for the quarter ended June 30, 1994 had not
been released at the time the September 1994 Form 1210s were completed.

Executive Summary
This Report is issued to advise you of our conclusions regarding the review of TCI Cablevision
of Texas' (TCI) FCC Form 1210 filing. The City of Corpus Christi (City) received the form on
March 13, 1995. The City had 30 days from the receipt of the form to issue a decision regarding
the rates proposed by TCI. A 90 day extension was permitted if the City needed more time to
make a decision. The City elected the 90 day extension, and the City now has until July 11,
1995 to make its decision.
Previously, the City had reviewed TCI's Form 1200 filing, which set rates for the basic service
tier. The rates approved by the City are the base for future rate changes. TCI may request rate
changes only to reflect inflation or changes in certain other costs. This request needs to be made
on a Form 1210. This Form can be filed on a quarterly basis, but needs to be filed at least
annually.
Our review of the form indicates that TCI's proposed rate increase for the basic service tier is
reasonable and allowed by FCC rules. We recommend that the City take no action with respect
to these Form 1210 filings. Under FCC rules, the City's non -action is tacit approval of TCI's
proposed rates.

An Overview of Cable Rate Regulation
Since issuing our Report to the City regarding TCI's initial maximum permitted
cable television rates submitted on Forms 393, 1200, or 1215, the Federal
Communications Commission (FCC) has issued complex new rules governing the
process for adjusting such rates. These rules are commonly referred to as the "going
forward rules."
The going forward rules govern adjustments made to both basic service tier (BST) rates
and expanded tier (cable programming services tier or CPST) rates. The rules also
created a CPST sub -tier called a New Product Tier (NPT). A different set of rules
applies to NPTs.
For the purpose of adjusting basic and expanded tier rates, the rates are broken down
into two components: (a) an external cost component and (b) the residual component.
External costs include: (i) state and local taxes applicable to cable television service;
(ii) franchise fees; (iii) franchise compliance costs; (iv)
retransmission/consent/copyright fees incurred for the carriage of certain broadcast
signals; (v) programming costs; (vi) FCC regulatory fees. The residual component
consists of everything else.
Cable operators may propose rate adjustments due to changes in external costs on a
quarterly basis. They are required to do so annually. FCC rules allow the cable
operator to adjust the residual component annually for inflationary increases and
quarterly to reflect adjustments for additions, deletions, substitutions, or other changes
in channel lineup. All of these changes are proposed by cable operators on FCC Form
1210. The franchising authority has the same authority in reviewing these changes as
they did with respect to the benchmark rates. For basic service tier rate changes, the
franchising authority must take action within thirty days of receipt of notice of the
Form 1210. The franchising authority may elect to extend the review period for an
additional 90 days if it notifies the cable operator within the initial 30 day review
period. For expanded tier rate adjustments, any subscriber may file a complaint with
the FCC contesting the reasonableness of the rate increase. Complaints must be filed
within 45 days of the date subscribers receive their first invoice implementing the new
rate adjustment. The franchising authority has no jurisdiction to review expanded tier
rates.

The FCC has set forth two methods by which rate adjustments can be implemented due to changes
in the channel lineup on basic or expanded tiers. Method I must be used for basic service tier
channel additions or deletions. Cable operators may elect between Method I and Method II for
changes to expanded tier channel lineups.
Under Method I, the FCC has devised a formula and a schedule dictating the amount that
cable rates can change each time a channel is added or deleted from a regulated tier.
The rate adjustment permitted according to the schedule is expressed in a per channei
amount and is added to the residual component of the tier. If Method I is elected,
cable operators will also adjust external costs in amount equal to 7.5% of the change in
programming expenses due to the channel addition or deletion.
Method II is commonly referred to as the "Operator's Cap." Under this method, cable
operators are allowed to adjust the residual component 20 cents per channel up to a
maximum of $1.20 per month per subscriber (a maximum of six channels). In
addition, cable operators are allowed until December 31, 1996 to pass through an
additional 30 cents for license fees and programming costs. This extra 30 cent increase
is commonly referred to as the "License Fee Reserve." If a cable operator elects to use ,
Method II for an expanded tier adjustment, it is not allowed the 7.5% mark-up on programming
expenses allowed under Method I.
A la carte programming technically falls in the category of expanded tier (CPST) programming.
However, the FCC has created a CPST sub -tier called a New Product Tier. A la carte
programming that qualifies as a NPT is unregulated. Rates for channels offered in discount
packages that do not qualify as NPTs are presumed reasonable if the component channels have
been continuously available on a per channel basis since April 1, 1993.

Our Review Process
In reviewing TCI's Form 1210s on behalf of the City, Fredrikson & Byron
mathematically verifies the steps necessary to complete the worksheets and
accompanying schedules of the forms. We also verify that information from
the previous Form 1210 filings was properly reflected in the current filings.
After verifying the calculations, we then verify that appropriate rate
information is used to calculate the maximum permitted rate for the basic
service tier. We also review whether all required additional information is
provided.
To perform the calculations described above, Fredrikson & Byron uses the
raw data that TCI supplies in its filings. Unless any of the data raises
suspicion and warrants further inquiry, Fredrikson & Byron assumes that the
data is accurate.
Fredrikson & Byron has not performed a review of TCI's books and records
to determine whether the information included in the Form 1210s is accurate.
Such review would require employees of Fredrikson & Byron, or a qualified
subcontractor, to inspect TCI's financial records to ensure that the entries on
the forms are accurately recorded.

Review of Rate Adjustments for the Basic Service Tier
TCPs Form 1210 filing shows an increase in external costs of $.05 per subscriber per
month. This increases the maximum permitted rate for the basic service tier by $.05.
In addition, recent FCC rules allow TCI to recover inflationary increases from
September 30, 1992 to June 30, 1994. This inflation adjustment increases the
maximum permitted rate for the basic service tier by an additional $.41
The net result of these two factors is a $.46 increase to the maximum permitted rate
for the basic service tier. The maximum permitted rate increases from $8.44 to $8.90.

Next Steps
Based on our review of the Form 1210, TCI's basic service tier rate of $8.90 is equal to the
maximum permitted rate. We recommend that the City accept the rate as proposed by TCI. You
do not have to take any formal action with regard to the rates proposed to approve the rates.
In the future, TCI may be filing additional Forms 1205 and 1210 to adjust its rates. As
discussed earlier, these Forms will be filed at least annually, bit may be filed quarterly.
