HomeMy WebLinkAbout023866 RES - 12/14/1999RESOLUTION AUTHORIZING THE CITY MANAGER OF THE CITY OF CORPUS CHRISTI TO EXECUTE THE CITY'S ACCEPTANCE AND AGREEMENT OF THE DEED AND ASSIGNMENT OF THE LAKE TEXANA PIPELINE PROJECT FROM THE NUECES RIVER AUTHORITY WHEREAS, the City of Corpus Christi ("the City") and the Nueces River Authority ("the Authority") entered into the Water Transmission Facilities Contract for the acquistion and construction of the Lake Texana Pipeline: and WHEREAS, pursuant to Section 2.09 of the Contract the Authority has delivered to the city the certificate of the Project Manager and the Project Engineer that the Project has been substantially completed and is ready to be placed in service; and WHEREAS, the Authority has conveyed the Project to the City by its Deed and Assignment. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS, THAT: SECTION 1. The City Manager of the City is hereby authorized to execute the City's acceptance and agreement of the Deed and Assignment from the Authority, a substantial copy of which is attached hereto as Exhibit A and incorporated herein for all purposes. Kinnison Betty Jean Longoria John Longoria Mark Scott 9JRB0500.099 023866 2 DEED AND ASSIGNMENT STATE OF TEXAS KNOW ALL PERSONS BY THESE PRESENTS: COUNTIES OF JACKSON, REFUGIO, SAN PATRICIO AND VICTORIA WHEREAS, the Nueces River Authority ("Authority") is a conservation and reclamation district and political subdivision of the State of Texas, created and existing pursuant to Article XVI, Section 59 of the Texas Constitution and the laws of the State of Texas, particularly Article 8280- 115, Tex. Water Code Aux. Laws, as amended (the "Authority Act"); and WHEREAS, pursuant to law, and particularly the Authority Act, Chapter 1371, Texas Government Code, as amended ("Chapter 13 71 "), and Chapter 791 ofthe Texas Government Code, as amended (the "Interlocal Cooperation Act"), particularly Section 791.026 thereof, the Authority, a "river authority" as such term is used in the Interlocal Cooperation Act and an "Issuer" as defined in Chapter 1371, is empowered to acquire and construct water supply facilities on behalf of a municipality and to convey such facilities to the municipality; and WHEREAS, the Authority Act and Chapter 1371 also authorize Authority to issue revenue bonds to finance such projects, payable solely from the revenues derived from payments to be made to the Authority by the municipality for the purpose of defraying the cost of financing, acquiring, and constructing the projects; and WHEREAS, pursuant to the provisions of the Interlocal Cooperation Act and the other laws of the State of Texas (the "State"), Authority and City of Corpus Christi, Texas ("City"), a municipality and a home -rule city under the laws of the State, entered into a Water Transmission Facilities Contract, dated as ofthe 12th day of November, 1996 (the "Water Transmission Facilities Contract") pursuant to which Authority agreed to finance, acquire, and construct a water supply delivery project consisting of a pipeline, booster pumps, other appurtenances, and necessary easements and other interests in land, including specifically and without limitation the Premises and the Personalty and Other Properties, as defined in paragraphs 1 and 2 below, and the items identified and described in Exhibit A attached hereto and incorporated herein by reference, together with all other property, property interests, rights, duties, obligations, responsibilities and liabilities of whatsoever kind or nature related to, involved in or associated with such project (collectively the 075:125109 Deed and Assignment 145.14 -1- 014.050699 "Project"), to be used by City to transport water from Lake Texana in Jackson County, Texas, to the City's water system, and under which City would acquire the Project from Authority and agree to make payments to or on behalf of Authority in amounts sufficient to meet all of Authority's obligations relating to bonds issued to finance the Project, including Authority's obligations under any credit agreements entered into by Authority in connection with the financing of the Project pursuant to Chapter 1371; and WHEREAS, the recitals and provisions of the Water Transmission Facilities Contract are incorporated herein by reference as if set forth in their entirety, and the capitalized terms in this Deed and Assignment that are not defined herein shall have the same meanings, and shall be defined as set forth in the Water Transmission Facilities Contract; and WHEREAS, City requested that Authority issue its revenue bonds (the "Bonds") pursuant to the Water Transmission Facilities Contract to finance the cost of the Project; and WHEREAS, the Authority issued its Water Supply Facilities Revenue Bonds (City of Corpus Christi Lake Texana Project), Series 1997 Bonds in the aggregate principal amount of $118,195,000 for the purpose of paying for the costs of the Project; and WHEREAS, the Bonds have been issued pursuant to a Trust Indenture (the "Indenture"), between the Authority as Grantor and Norwest Bank Texas, N.A., as Trustee (the "Trustee"), for the purpose of paying the costs of the Project; and WHEREAS, the principal of the Bonds and the interest thereon are payable from and secured by a first and superior lien on and pledge of the payments designated as "Bond Payments" (as defined in the Water Transmission Facilities Contract and the Indenture) to be made by City pursuant to the Water Transmission Facilities Contract in amounts sufficient to pay and redeem, and provide for the payment of, the principal of, premium, if any, and interest on the Bonds, when due, and the fees and expenses of the Trustee and paying agent for the Bonds, all as required by the Indenture; and WHEREAS, the Port of Corpus Christi Authority of Nueces County, Texas, as project manager (the "Project Manager") for the Project, on behalf of and in the name of Authority has acquired various easements, rights-of-way, and other interests in real property (the "Land Interests") and awarded certain professional services contracts relating to and necessary for the acquisition, construction, and operation of the Project; and WHEREAS, Authority, through the Project Manager acting on Authority's behalf, has acquired various Land Interests for assignment to City upon the date (the "Completion Date") of the 075:125109 Deed and Assignment 148.14 -2- 014.050699 substantial completion of the acquisition and construction of the Project pursuant to the terms of the Water Transmission Facilities Contract between the Authority and the City (the "Completion"); and WHEREAS, HDR Engineering, Inc., is the Project Engineer for the Project; and WHEREAS, the Project Manager by letter dated and effective as of November 22, 1999, gave the Authority Notice of Substantial Completion of the Project, as that term is defined in Sections 1.45 and 5.07, General Conditions, in the Project construction contract documents; and WHEREAS, as provided in Section 2.09(a) of the Water Transmission Facilities Contract the Authority and the Project Engineer shall prepare for delivery to the City a Project Substantial Completion Certificate stating that the Project is substantially complete and was in service as of the Completion Date for the Project, and such certificate has been prepared for delivery to the City as of the date of execution of this Deed and Assignment by the Authority; and WHEREAS, pursuant to Section 2.09(a) of the Water Transmission Facilities Contract, the Authority has also provided the City a complete list, including a legal description, of all real property or interest therein acquired in connection with the Project, and all permits, appurtenances, fixtures, personal property, or property of any description whatsoever acquired in connection with the Project (the "Project Description"), which list is attached hereto as Exhibit A, and the Project Description has been examined and verified by the City and shall be attached to the Water Transmission Facilities Contract as Exhibit B; and WHEREAS, on the Completion Date all of Authority's right, title, interest, duties, liabilities, responsibilities and obligations of every nature whatsoever in and to the Project automatically vested irrevocably in the City, and became part of the City's water system as defined in the Water Transmission Facilities Contract (the "City System"), in consideration of the agreement of the City to make, or cause to be made, payment of the Bonds and the performance by the City of the covenants, agreements, representations, and indemnities of the Water Transmission Facilities Contract, the Indenture and other documents executed in connection with the issuance of the Bonds (the "Bond Documents"); and WHEREAS, the Water Transmission Facilities Contract provides for the execution by Authority and delivery to City of a special warranty deed, which is this Deed and Assignment, conveying the Project to City, acknowledging that such sale, delivery, and vesting of title in City has occurred; and WHEREAS, upon conveyance by Authority to City of the Project, City shall succeed to all rights, interests, duties, liabilities, responsibilities and obligations of Authority in the contracts and 075:125109 Deed and Assignment 148.14 -3- 014.050699 agreements (the "Project Agreements") entered into by Authority pursuant to the Water Transmission Facilities Contract and Authority is to deliver to City an instrument or instruments assigning all of Authority's rights, interests, duties, liabilities, responsibilities and obligations in such contracts and agreements to City as described in Exhibit A; and WHEREAS, City became the owner of the Project on the Completion Date and the Authority has no right, title, or interest in, or responsibility, duties, liabilities or obligations with respect to the Project, and the City therefore owns and is responsible for the operation of the Project as part of the City System; and the City is solely responsible for all costs of operation, maintenance, repair, replacement, additions, improvements, and any other expenses of any kind associated with the Project prior to, as of and following the Completion Date; NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS THAT Nueces River Authority, a conservation and reclamation district and political subdivision of the State of Texas, created and existing pursuant to Article XVI, Section 59 of the Texas Constitution and the laws of the State of Texas, particularly Article 8280-115, Tex. Water Code Aux. Laws, as amended (together with its successors and assigns is herein called "Authority"), for and in consideration of the sum of Ten And No/100 Dollars ($10.00) cash, and other good and valuable consideration in hand paid to Authority by City, the receipt and sufficiency of which is hereby acknowledged, including the assumption by City of the obligation to pay, or cause to be paid, the Bonds and Bond Payments and the assumption of the obligation to perform the covenants, agreements, representations and indemnities of the Water Transmission Facilities Contract, the Indenture and the other Bond Documents, the Easements, and the Permits, Licenses, Contracts and Other Agreements of the Project, has GRANTED, SOLD, CONVEYED, and ASSIGNED and by these presents does hereby GRANT, SELL, CONVEY and ASSIGN unto The City of Corpus Christi, Texas, a municipality and a home -rule city under the laws of the State of Texas (together with its successors and assigns is herein called "City"), the Project (as defined above), which includes but is not limited to the Premises and the Personalty and Other Properties described in Paragraphs 1 and 2 below and the items identified and described in Exhibit A attached hereto and incorporated herein by reference, subject to the Qualifications set forth in Paragraph 3 below: 1. Premises. The following described Land Interests, Improvements thereto, and Rights and Appurtenances thereto (collectively the "Premises"), as described in Exhibit A: a. Land Interests. The land (the "Land"), easements ("Easements") and leasehold estates ("Leases"), and all other land, easements, leasehold estates and other interests in land, now or hereafter acquired by the Authority for the Project (collectively herein called the "Land 075:125109 Deed and Assignment 148.14 -4- 014.050699 Interests"). b. Improvements. The Authority's right, title and interest in any Project improvements located in, on, about, above, under or related to the Land Interests (herein called the "Improvements"). c. Rights and Appurtenances. The benefits, privileges, easements, tenements, hereditaments and appurtenances to the Land Interests or in anywise appertaining thereto (herein called the "Rights and Appurtenances"). 2. Personalty and Other Properties. The following described personalty and other properties incorporated in and pertaining to the Project (collectively the "Personalty and Other Properties"): a. Accessories. All fixtures, equipment, systems, machinery, furniture, furnishings, appliances, inventory, goods, building and construction materials, supplies, and articles of personal property, of every kind and character, now owned or hereafter acquired by the Authority for the Project, which are now or hereafter attached to or situated in, on, about, above or related to the Land Interests or the Improvements, or used in or necessary to the complete and proper planning, development, use, occupancy or operation thereof, or acquired (whether delivered to the Land Interests or stored elsewhere) for use or installation in or on the Land Interests or the Improvements, and all renewals and replacements of, substitutions for and additions to the foregoing (the properties referred to in this clause "a" being herein sometimes collectively called the "Accessories"); b. Permits, Licenses, Contracts and Other Agreements. All of the following: (i) plans and specifications for the Improvements; (ii) the Authority's rights under, and any liabilities for any breach by the Authority under, all commitments, insurance policies and other contracts and general intangibles (including but not limited to trademarks, trade names and symbols) related to the Project or the operation thereof; (iii) deposits, accounts, instruments, documents, notes and chattel paper arising from or by virtue of any transactions related to the Project; (iv) permits, licenses, franchises, certificates, development rights, commitments and rights for utilities, and other rights and privileges obtained in connection with the Project; 075:125109 Deed and Assignment 148.14 -5- 014.050699 (v) leases, rents, royalties, bonuses, issues, profits, revenues and other benefits of the Project; (vi) engineering, accounting, title, legal, contractual, and other technical or business data concerning the Project which are in the possession of the Authority or in which the Authority can otherwise assign its interest (all of the foregoing under this part "b" collectively called "Permits, Licenses, Contracts, and Other Agreements") including but not limited to those listed in Exhibit A hereto; and c. Proceeds. All of the following: (i) proceeds of or arising from the properties, rights, titles and interests referred to above in this Deed and Assignment, including but not limited to proceeds of any sale, lease or other disposition thereof, proceeds of each policy of insurance relating thereto, proceeds of the taking of such properties, rights, titles and interests or of any rights appurtenant thereto, including rights relating to change of grade of streets, curb cuts or other rights of access, by eminent domain or transfer in lieu thereof for public or quasi -public use under any law, and proceeds arising out of any damage thereto; and (ii) other interests of every kind and character which the Authority now has or hereafter acquires in, to or for the benefit of the properties, rights, titles and interests referred to above in this Deed and Assignment and all property used or useful in connection therewith, including but not limited to rights of ingress and egress and remainders, reversions and reversionary rights or interests. 3. Qualifications. This conveyance is made and accepted, however, subject to the following qualifications (the "Qualifications"): a. Exceptions. Any and all restrictive covenants, easements, mineral interests and other properties, rights, titles and interests, if any, held or owned by others, relating to the items identified and described in Exhibit A hereto (the "Property"), but only to the extent they are still in effect and are shown of record in Jackson, Refugio, San Patricio and Victoria Counties. b. Other Matters. Visible and apparent, but unrecorded easements, if any; rights of parties in possession, if any; prescriptive rights; encroachments or overlapping of improvements; and discrepancies, conflicts or shortages in area or boundary lines; and lack of or impaired access; all as related to the Property. c. Laws and Regulations. All laws and regulations affecting the Property, 075:125109 Deed and Assignment 148.14 -6- 014.050699 including zoning laws, platting laws, environmental laws and municipal and governmental ordinances and regulations, relating to the Property. d. "As Is". The Authority conveys the Project and the City accepts the Project "AS IS". OTHER THAN THE SPECIAL WARRANTY OF TITLE CONTAINED HEREIN, THE AUTHORITY MAKES NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, OR ARISING BY OPERATION OF LAW, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULARPURPOSE, OF THE PROJECT, OR ANY PART THEREOF. By acceptance hereof the City waives any and all such warranties, and acknowledges that in no event shall the Authority be liable for any consequential damages. Without limiting the generality of the foregoing, the conveyance of the Project is without any warranty relating to: (1) the condition of the Project or any element thereof, including, without limitation, warranties related to suitability, habitability, merchantability or fitness for a particular purpose; of the Project; (2) the nature or quality of construction, structural design and engineering (3) the quality of the labor and materials included in the Project; and (4) the soil conditions, drainage, utilities or other conditions existing at the Project with respect to any particular purpose, developmental potential or otherwise. f. Waiver. By acceptance hereof, City expressly waives, to the extent allowed by law, any claims under federal, state or other law that the City might otherwise have against the Authority relating to the condition of the Project; acknowledges that the City is relying solely upon the City's own physical inspection of the Project and not any statements, oral or written, which may have been made by the Authority or any of the Authority's agents, employees or contractors, in con- summating the conveyance of the Project; and waives and releases the Authority and the Authority's successors and assigns from any liability to the City and the City's successors and assigns, for the condition of the Project, known or unknown, present and future, including liabilities, if any, due to the existence, now or hereafter, of any hazardous materials or hazardous substances, on the Premises and due to the existence, now or hereafter, of a violation, if any, of any Laws and Regulations. g. Assumption of Obligations. By acceptance hereof, the City hereby accepts and assumes all of the rights, duties, obligations, responsibilities and liabilities of whatsoever kind or nature related to, involved in or associated with the Project. 075:125109 Deed and Assibmment 148.14 -7- 014.050699 h. Indemnity. The City agrees, to the extent allowed by law, to indemnify and hold the Authority and the Authority's successors and assigns harmless from all claims and liabilities of every kind, known or unknown, fixed or contingent, asserted against the Authority or the Authority's successors and assigns at any time prior to, as of, or after the date hereof, arising out of the ownership, construction, occupancy, operations, use and maintenance of the Project prior to, as of, or after the date hereof, including any such claims or liabilities arising out of the sole, joint or concurrent negligence (whether active or passive, gross negligence or strict liability) of the Authority or of the Authority's successors and assigns, whether from the maintenance or supervision of the Project, the activities on the Premises, the existence, now or hereafter, of hazardous materials or sub- stances on the Premises, or due to a violation, now or hereafter, of any environmental laws, rules, regulations or ordinances, or otherwise. (i) Reservation of Rights. Nothing herein is intended to nor shall it in any way be construed to waive or negate, or constitute a waiver or negation, by Authority or City, of any of the rights the Authority has with respect to the City's obligation during the term of the Water Transmission facilities Contract to pay or reimburse the Authority for the Authority's Overhead Expenses and Project Costs, as those terms are defined in the Water Transmission Facilities Contract, incurred or arising prior to, as of or after the date hereof. (j) Deed Solely for Benefit of Authority and City. This Deed and Assignment is solely for the benefit of the Authority and the Authority's successors and assigns and the City. No waiver or release herein of any right of the City against the Authority or the Authority's successors and assigns shall waive or release any right of the City or the Authority against any other party, including but not limited to any right of the Authority against any other party which is assigned to the City herein. TO HAVE AND TO HOLD the above described Project, together with all and singular the rights and appurtenances thereto in anywise belonging, unto the City, the City's successors and assigns, for- ever; and the Authority hereby binds the Authority, the Authority's successors and assigns, to warrant and forever defend all and singular the Project unto the City, the City's successors and assigns, against every person whomsoever lawfully claiming or to claim the same or any part thereof by, through or under the Authority, but not otherwise (the "special warranty of title"), subject to the terms, conditions and Qualifications referenced herein. EFFECTIVE as of this 22nd day of November, 1999 (the "Completion Date") and executed on the date of the acknowledgment of the respective parties executing this Deed.
