Eisenhower instituted and Presidents John F. Kennedy, Lyndon B. Johnson, Richard M. Nixon, Gerald Ford, Jimmy Carter, Ronald Reagan, George Bush, Bill Clinton, and George W. Bush encouraged the "People to People Program" of the United States and those of other countries; and WHEREAS, to implement this program the City of Corpus Christi among others, has been urged by Sister Cities International, to affiliate, as a sister city, with a city or cities of similar characteristics and mutual interest in another nation; and WHEREAS, it is the finding of the City Council of Corpus Christi that the City of Playa del Carmen, Mexico and the City of Corpus Christi, Texas are cities of similar characteristics including coastal location, economic development possibilities, including tourism and other mutual ties and have mutual interest; and WHEREAS, EAS, it is the finding of the City Council of the City of Corpus Christi that the peoples of Playa del Carmen and Corpus Christi cherish the tradition of freedom, hold the warmest mutual regards and deepest fraternal sentiment one to another, and aspire to permanent, widespread friendships; and WHEREAS, S, it is the finding of the City Council of the City of Corpus Christi that enduring friendship and goodwill will be best promoted between Corpus Christi and Playa del Carmen by establishment of a joint sister city affiliation. NOW, THEREFORE I E BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORPUS CHRISTI, TEXAS: SECTION I. On behalf of the City of Corpus Christi and the citizens of Corpus Christi, the City Council of Corpus Christi, with great pleasure hereby cordially invites the Government of the City of Playa del Carmen and the people of Playa del Carmen to become a Sister City of Corpus Christi and cultivate and maintain the visits, communications and exchanges that will build continuing goodwill, friendships and respect between peoples and their governments. SECTION 11. The City Manager is authorized to execute all documents necessary to establish a Sister City with Playa del Carmen Mexico. SECTION IV. MELODY COOPER EN SU CALIDAD DE CITY COUNCILWOMAN, QUIENES EN ADELANTE SE LES DENOMINARA "LAS PARTES". ESTANDO LAS PARTES DE ACUERDO EN SUJETARSE Y OBLIGARSE AL TENOR DE LAS SIGUIENTES DECLARACIONES Y CLAUSULAS: DECLARACIONES 1.- DECLARA EL H. AYUNTAMIENTO DE SOLIDARIDAD. 1.1.- Que es una entidad Piiblica con Personalidad Juridica y Patrimonio propios, de conformidad a lo establecido por el Articulo 115 de la Constituci6n Politica de los Estados Unidos Mexicanos y por los Articulos 126, 127, 128 de la Constituci6n Politica del Estado Libre y Soberano de Quintana Roo. 1.2.- De conformidad a lo dispuesto por el Articulo 90 Fracci6n XIV de la Ley de los Municipios y los diversos Articulos 16, 17 y 18 del Reglamento Interior de "EL H. AYUNTAMIENTO" ambos de la ciudad de Playa del Carmen, del Municipio de Solidaridad, Estado de Quintana Roo; el Presidente Municipal tiene la facultad de celebrar a nombre de "EL H. AYUNTAMIENTO" los convenios, contratos y demes actos juridicos que sean necesarios para el eficaz funcionamiento de la Administracion PGblica Municipal. 11.- DECLARA LA C. MELODY COOPER EN SU CALIDAD DE CITY COUNCILWOMAN DE CORPUS CHRISTI, TEXAS, U.S.A. Que la City Councilwoman of the City de Corpus Christi, Texas por las facultades reconocidas de las normas vigentes, cuenta con el poder por subscribir acuerdos de colaboraci6n con ciudades Estadounidenses y Extranjeras AUTORIZADOS PARA ESTABLECER LAS FACULTADES LEGALES DE LA 0 LAS PERSONAS PARA SUSCRIBIR EL DOCUMENTO. III.- DECLARAN AMBAS PARTES 111.1- CONSIDERANDO el interes en profundizar los lazos de amistad y cooperaci6n que unen a ambas Partes; AGREEMENT OF SISTER CITIES THE CITY OF PLAYA DEL CARMEN,IN THE COUNTY OF SOLIDARIDAD, STATE OF Q.R00, MEXICO, REPRESENTED BY THE CERTIFIED CITIZEN, EDUARDO ROMAN QUIAN ALCOCER, IN ITS CHARACTER OF MAYOR, FOR THE COUNTY OF SOLIDARIDAD, AND ON THE OTHER SIDE, THE CITY OF CORPUS CHRISTI, TEXAS, REPRESENTED IN THIS ACT BY MELODY COOPER IN HER CAPACITY OF CITY COUNCILWOMAN BOTH WHOM WILL BE CALLED "THE PARTIES", TO THIS AGREEMENT WHEREBY THE PARTIES AGREE TO THE FOLLOWING STATEMENTS AND CLAUSES: STATEMENTS I. -THE SOLIDARIDAD COUNTY HEREBY DECLARES: 1.1.- That it is a Public entity with Legal Personality and own Patrimony, as hereby established by the Article 115 of the Political Constitution of the United States of Mexico, and by the Articles 126, 127, 128 of the Political Constitution of the Free State and Sovereign of Quintana Roo. 1.2.- Of conformity to its arrangement by the Article 90 Fraction XIV of the County Laws and the diverse Articles 16, 17 and 18 of the Interior Regulation of "THE H. CITY COUNCIL",City of Playa del Carmen, both of the County of Solidaridad, State of Quintana Roo; theCounty has the faculty to celebrate to name of "THE H. CITY COUNCIL" the covenants, contracts and other legal acts that be necessary for the efficient operation of the County Public Administration. 11. -MELODY COOPER, hereby acting as CITY COUNCILWOMAN OF THE CITY OF CORPUS CHRISTI, TEXAS, U.S.A.: That the City Councilwoman of the City of Corpus Christi, Texas by the authorities recognized herein, will act as within her power,in subscribing agreements of contribution with Foreign and American Cities. EACH PARTY IS AUTHORIZED TO EXECUTE THIS DOCUMENT. 111.- BOTH PARTIES DECLARE: 111.1- EACH PARTY WILL CONSIDER the interest in deepening the ties of friendship and cooperation that joins both Parties; III.2.-EACH PARTY WILL RECOGNIZE that the international cooperation is one of the factors that impacts favorably in the solution of problems that affect its respective communities; III.2.-RECONOCIENDO que la cooperaci6n internacional es uno de los factores que incide favorablemente en la solution de problemas que afectan a sus respectivas comunidades; III.3.-MANIFESTANDO su decision de profundizar sus relaciones de colaboraci6n a traves de un marco juridico adecuado; 111.4.- CONVENCIDAS de la importancia de establecer mecanismos que contribuyan al desarrollo y fortalecimiento del marco de cooperaci6n bilateral, asi como de la necesidad de ejecutar proyectos y acciones que tengan efectiva incidencia en el avance econ6mico y social de las Partes; CLAUSULAS PRIMERA.- "Del Objetivo".- El presente Acuerdo tiene como objetivo formalizer el hermanamiento entre la ciudad de Playa del Carmen, Municipio de Solidaridad, Quintana Roo, Mexico, y la Ciudad de Corpus Christi, Texas, U.S.A. para entablar lazos de amistad y cooperaci6n entre ambas partes. SEGUNDA.- "Areas de cooperaci6n".- Para alcanzar el objetivo del presente Acuerdo, las Partes se comprometen a desarrollar acciones de cooperaci6n especialmente dirigidas, pero no limitadas a las siguientes areas: a) Comercio, inversiones y negocios. Promotion de encuentros empresariales y gubernamentales para incentivar el intercambio econ6mico y el desarrollo de negocios; b) Culture. Promotion y difusi6n de las expresiones culturales y tradiciones regionales; c) Turismo; d) Desarrollo municipal; e) Recursos humanos; f) Education; g) Ciencia y tecnologia; h) Ambiente; i) Seguridad; J) Cualquier otra area de cooperaci6n que las Partes convengan. TERCERA.- "Modalidades de cooperaci6n".- Las Partes acuerdan que las acciones de cooperaci6n a que se refiere el presente Acuerdo se Ilevaran a cabo a traves de las modalidades siguientes: a) Promocicn y difusi6n; b) Intercambio de misiones empresariales; c) Intercambio de information, documentation y materiales; d) Organization de ferias, seminarios y congresos; e) Estudios e investigaciones conjuntas; f) Intercambio de tecnicos, especialistas y profesionales; g) Formation y capacitation de recursos humanos; h) Intercambio cultural, deportivo y artistico; 111.3.- EACH PARTY STATES its decision to deepen its relations of contribution through an governmental framework; 111.4.- EACH PARTY IS CONVINCED of the importance to establish mechanisms that will contribute to the development and strengthening of the framework of mutual cooperation, as well as of the need to execute projects and actions that will have positive influence in the social and economic advance of the both Parties; CLAUSES FIRST. -'The Objective".- The present Agreement has as an objective, to finalize the joining of both, city of Playa del Carmen, Solidaridad County, Quintana Roo, Mexico, and the City of Corpus Christi, Texas, U.S,A, as "SISTER CITIES" and to begin ties of friendship and cooperation among both parties. SECOND.- "Areas of cooperation".- To reach the objective of the present Agreement, the Parties agree to develop actions of cooperation especially directed, but not limited to the following areas: a) Commerce, investments and businesses. Promotion of governmental and business encounters to encourage the economic exchange and business development; b) Culture. Promotion and expansion of the cultural expressions and regional traditions; c) Tourism; d) Municipal Development; e) Human Resources; f) Education; g) Science and technology; h) Environment; i) Public Safety; J) Any another area of cooperation that both Parties agree upon. THIRD.- "Forms of cooperation".- The Parties agree that in the actions of cooperation that this document refers to, will be carry out in the following manner: a) Promotion and dissemination of information b) Exchange of business missions; c) Exchange of information, documentation and printed informational material; d) Organizing of fairs, seminars and conventions; e) Studies of, and joint investigations; f)Exchange of technicians, specialists and professional; g)The formation and training of human resources; h) Artistic, sports, and cultural Exchange; i) Organizing of seminars, workshops, symposiums and conferences; and j) Any other subject that the Parties agree upon. I) Organization de seminarios, talleres, simposios y conferencias; y j) Cualquier otra modalidad que las Partes convengan. CUARTA.- "Competencia".- Las Partes se comprometen a Ilevar a cabo las modalidades de cooperaci6n a que se refiere el Articulo III del presente Acuerdo, con absoluto respeto a sus respectivas competencias, normativas y directives politico-econ6micas de su respectivo Gobierno. QUINTA.- "Programas Operativos Anuales".- Para la consecuci6n de los objetivos del presente Acuerdo, las Partes convienen en formular, previa consulta, Programas Operativos Anuales (POA's), los que una vez formalizados formaran parte integrante del presente Acuerdo Los POA's se integraran con los proyectos o actividades especificos, debiendo precisar para cada uno los aspectos siguientes: a) Objetivos y actividades a desarrollar; b) Calendario de trabajo; c) Perfil, mimero y estadia del personal asignado; d) Responsabilidad de cada Parte; e) Asignacibn de recursos humanos, materiales y financieros; f) Mecanismo de evaluation; y g) Cualquier otra information que se considere necesaria. La operation de este Acuerdo no estara condicionada a que las Partes firmantes establezcan proyectos en todas las modalidades de cooperaci6n, ni estaran obligadas a colaborar en aquellas actividades respecto de las cuales exista prohibition interna o bien derivada de una ley, normativa institutional o costumbre. Las Partes se reuniran de manera anual a fin de evaluar los aspectos derivados de la aplicacian del presente Acuerdo y proponer nuevas directrices para el desarrollo de proyectos de interes mutuo. Las Partes elaboraran informes sobre el desarrollo y logros alcanzados con base en el presente Acuerdo y lo comunicaran a su respectiva Cancilleria, asi como a las instancias bilaterales que fijen de comOn acuerdo. Ambas Partes se comprometen a formular el primer Programa Operativo, dentro de los cien (100) dias siguientes a la fecha de firma del presente Acuerdo. SEXTA.- "Propuestas adicionales de colaboracion".- No obstante la formulation del Programa Operativo Anual a FOURTH.- The Parties agree to carry out the forms of cooperation that it refers to in the Article III of the present Agreement, with absolute respect to its respective authorities, regulatory and political - economic guidelines of its respective Governments. FIFTH.- "Annual Operating Programs".- For the attainment of the objectives of the present Agreement, the Parties agree to formulate, subject to consultation, Annual Operating Programs (POA' s), that once finalized, will form an important part of the present Agreement The POA' s will be integrated with the projects or specified activities, should there be the need for, each one the following aspects: a) Objective and development of activities; b) Work calendar; c) Profile, number and stay length of the personnel assigned; d) Responsibility of each Party; e) Allocation of financial and material issues, and human resources; f) Mechanism of evaluation; and g) Any another information that may be considered necessary. The operation of this Agreement will not be conditioned to either signing party to: establish projects in all the forms of cooperation, neither party will be obliged to collaborate in those activities which may refer to, or where, internal prohibitions exist or where prohibited by law, regulation or custom. The Parties will meet in an annual way in order to evaluate the results of the application of the present Agreement and to propose new guidelines for mutual interests, projects and developments. The Parties will provide reports, on the development and achievements reached, based on the present Agreement, and they will communicate this information to their respective governments, as well as to the other party to this Agreement. Both Parties agree to formulate and provide the first, Operation Program, within the following sixty (60) days, after the signing date of the present Agreement. SIXTH.- "Proposed additional contributions". - Notwithstanding the forming of the Annual Operating Program hereby referred to in this present Agreement, each Party will be able to formulate proposals of contribution that arise in the course of the orchestration of cooperation of activities. SEVENTH.- "Supervision and coordination".- In order to include an adequate mechanism of supervision and que se refiere el presente Acuerdo, cada Parte podra forrfnular propuestas de colaboraci6n que surjan en el trarlscurso de la instrumentaci6n de las actividades de coo peraci6n. sEPTIMA.- "Mecanismo de supervision y coordinaci6n".- Con el fin de contar con un adecuado mecanismo de supervision y coordinaci6n de las actividades que se realicen al amparo del presente gcuerdo, asi como para asegurar las mejores condiciones para su ejecuci6n, se establecera un Grupo de Trabajo integrado por representantes de ambas pa rtes. El Grupo de Trabajo se reunira con la periodicidad y en el Iugar que acuerden las Partes, a fin de evaluar los aspectos derivados de la aplicaci6n del presente Acuerdo y tendra a su cargo las funciones siguientes: a) Adoptar las decisiones necesarias, a fin de cumplir con los objetivos del presente Acuerdo b) Identificar las areas de inter6s comOn para elaborar y formular los proyectos especificos de cooperaci6n; c) Orientar, organizar y formular las recomendaciones pertinentes para la ejecuci6n de las actividades del presente Acuerdo; d) Recibir, reviser y aprobar en su caso los informes sobre avances de las areas de cooperaci6n del p resente Acuerdo; y e) Cualquier otra funci6n que las Partes convengan. OCTAVA.- Financiamiento Las Partes financiaran las actividades a que se refiere el presente Acuerdo con los recursos asignados en sus respectivos presupuestos, de conformidad con la disponibilidad de los mismos y lo dispuesto por su legislaci6n. Cada Parte sufragara los gastos relacionados con su participaci6n, excepto en el caso de que puedan utilizarse mecanismos de financiamiento alternos para actividades especificas, segun se considere apropiado. NOVENA.- Informacibn, material y equipo protegido Las Partes acuerdan que la informaci6n, material y equipo protegido y clasificado por razones de seguridad nacional o de las relaciones exteriores de cualquiera de las Partes, de conformidad con su legislaci6n nacional, no sera objeto de transferencia en el marco del presente Acuerdo. Si en el curso de las actividades de cooperaci6n emprendidas con base en este Acuerdo, se identifica informaci6n, material y equipo que requiera o pudiera requerir protecci6n y clasificaci6n, las Partes lo informaran a las autoridades competentes y coordination of the activities that will be carried out and covered by the present Agreement, as well as to assure the best manner of conditions for its execution, a Working Group composed by representatives of both Parties will be established. The Working Group will meet with the frequency and in the place agreed by both Parties, in order to evaluate the results of the application of the present Agreement and will be responsible for the following functions: a) to adopt the necessary decisions, in order to comply with the objectives of the present Agreement; b) to identify the areas of common interest, to devise and to formulate the specific projects of cooperation; c) to guide, organize and to formulate the pertinent recommendations for the execution of the activities of the present Agreement; d) to receive, to review and to approve if applicable, the reports on advances of the areas of cooperation of the present Agreement; and e) Any other function that the Parties agree upon. EIGHTH.- Financing The Parties will finance the activities which are hereby referred to, in this present Agreement, with the resources assigned to, in its respective budgets, according to the availability of the same, and arranged by its legislation. Each Party will cover the expenses related to its participation, except in the case that other financial resources may be utilized to provie alternative financing for specific activities, as considered appropriate. NINETH.- Information, material and confidentiality The Parties agree that, information and or material classified by reasons of national security or by the foreign affairs department of either of the Parties, according to its laws, will not be subject to transfer in the framework of the present Agreement. If in the course of activities for cooperation undertaken based on this Agreement, information is identified by the disclosing Party as being confidential, that requires or could require protection and confidential classification, then the disclosing Party will inform this to the competent authorities of the other Party, and the Parties will establish in writing, the appropriate measures to follow. The transfer of information and material not protected nor classified, will be done according to the applicable Federal, State, or Local laws or national legislation and should be properly identified, as well as authority for its use or subsequent transfer. If any of the Parties considers it necessary, the proper measures will be put into effect, to prevent the unauthorized transfer or estableceran por escrito, las medidas conducentes. La transferencia de information, material y equipo no protegido ni clasificado, pero cuya exportation este controlada por alguna de las Partes, se hare de conformidad con la legislaci6n nacional aplicable y debera estar debidamente identificada, asi como su use o transferencia posterior. Si cualquiera de las Partes lo considera necesario, se instrumentaran las medidas necesarias para prevenir la transferencia o retransferencia no autorizada del mismo. DECIMA.- Instrumentos internacionales La cooperaci6n a que se refiere el presente Acuerdo no afectara los derechos y las obligaciones que las Partes hayan adquirido en virtud de otros instrumentos internacionales. DECIMA PRIMERA.- Propiedad intelectual Si como resultado de las acciones de cooperaci6n desarrolladas de conformidad con el presente Acuerdo se generan productos de valor comercial y/o derechos de propiedad intelectual, estos se regiran por la legislaci6n nacional aplicable en la materia, asi como por las Convenciones internacionales que sean vinculantes para ambas Partes. DECIMA SEGUNDA.- Personal designado El personal comisionado por Cada una de las Partes para la ejecucien de las actividades de cooperaci6n al amparo del presente Acuerdo continuara bajo la direction y dependencia de la institution a la que pertenezca, por lo que no se crearan relaciones de caracter laboral con la otra Parte, a la que en ningiin caso se le considerara como patron sustituto. Las Partes realizaran las gestiones necesarias ante las autoridades competentes a fin de que se otorguen todas las facilidades necesarias para la entrada y salida de los participantes que en forma official intervengan en los proyectos de cooperaci6n que se deriven del presente Acuerdo. Estos participantes se someteran a las disposiciones migratorias, fiscales, aduaneras, sanitarias y de seguridad nacional vigentes en el pais receptor y no podran dedicarse a ninguna actividad ajena a sus funciones sin la previa autorizaci6n de las autoridades competentes en la materia. Las Partes promoveran que su personal participante en las acciones de cooperaci6n cuente con seguro medico, de danos personales y de vide, a efecto de que de resultar un siniestro resultante del desarrollo de las actividades de cooperaci6n del presente Acuerdo, que amerite reparation del dano o indemnizaci6n, esta sea cubierta por la institution de seguros correspondiente. re -transfer of the same. TENTH.- International Issues The cooperation referred to, in the present Agreement, will not affect the rights and the obligations that the Parties have acquired by virtue of other international instruments. ELEVENTH.- Copyright If as a result of the actions of cooperation developed, according to the present Agreement, products of commercial value are generated, and/or rights of copyright, these will be governed by the applicable national legislation in that matter, as well as by the international Conventions that it binds both Parties. TWELFTH.- Assigned Personnel The personnel commissioned by each one of the Parties for the execution of the activities of cooperation covered by the present Agreement, will continue under the direction and employment of the party by which it is employed, therefore, no employer- employee relations will be created with the other Party.. The Parties will proceed with the necessary arrangements before the competent authorities in order that they be offered all the necessary permits for the entrance and exit of the participants, so that in an official form, they may participate in the projects of cooperation that may derive from the present Agreement. These participants will be subject to the health, customs, fiscal, immigration and national security authorities in force in the receiver country, and they will not be able to dedicate themselves to any other activity, unauthorized by their Sister City functions, without being subject to authorization of the competent authorities in the matter. Each Party provides its employees with the option for the employee to purchase health insurance coverage through annual open enrollment. Each Party will reimburse the other Party for any property damage caused solely by the Party's employee and caused to the other Party, which arises out of the employee's performance under this Agreement. THIRTEENTH.- Controversies Solution Any disagreement regarding the interpretation or application of the present document, will be resolved by the Parties by mutual consent. DECIMA TERCERA.- Solucion de controversies Cualquier diferencia o divergencia derivada de la interpretacibn o aplicaci8n del presente Instrumento sera resuelta por las Partes de comun acuerdo. DECIMA CUARTA.- Disposiciones finales El presente Acuerdo podra ser modificado por mutuo consentimiento de las Partes, formalizado a traves de comunicaciones escritas, en las que se especifique la fecha de su entrada en vigor. Firmado en la ciudad de Playa del Carmen, Quintana Roo, Mexico el 11 de julio del dos mil ocho, en cuatro ejemplares originales en idioma espanol e ingles, siendo ambos textos igualmente autenticos. FOURTEENTH.- Final Dispositions The present Agreement will be able to be modified by mutual written consent of the Parties, finalized through communications in writing, in which the date of its effectiveness is specified. Signed in the City of, Playa del Carmen, Quintana Roo, Mexico, on July 11st, 2008 in four original copies in Spanish and English language, being both likewise authentic texts. C.
