CATHODIC PROTECTION
The City of Corpus Christi, Texas, hereinafter called "City" and V & A Consulting
Engineers, Inc. hereinafter called "Consultant", hereby agree as follows:
I. SCOPE OF PROGRAM
The Consultant will provide Corrosion Engineering Construction Support Services for the
Southside Transmission Main Project, Phases 4 and 4A.
II. SCOPE OF SERVICES
The Consultant hereby agrees to perform services outlined below for purposes of this
contract. The summary of these tasks and services is as follows:
Construction Phase
Construction phase services will include those services attached as Exhibit A.
III. ORDER OF SERVICES
The Consultant agrees to begin work upon receipt of the executed contract and Notice to
Proceed.
IV.
FEE
Fee for Basic Services Authorized. The City will pay the Consultant a time
and materials not to exceed total fee $49,900.00 for providing services
specified in Section II and Exhibit A. The fee will be full and total
compensation for services and for all expenses incurred in performing these
services. Consultant will submit monthly statements for basic services
rendered. The statement will be based upon the Consultant's record of total
services actually completed at the time of billing. The basis of the billing will
be the rates as set forth in Exhibit A. City will make prompt monthly
payments in response to Consultant's monthly statements. It is agreed that
the rates set forth in Exhibit A will be renegotiated for services provided after
January 1,2006. The change in rates and any increase in the notto exceed
total fee will be evidenced in writing as an amendment to this agreement.

qe, with or without cause, terminate this contract upon seven days
written notice to the Consultant at the address specified below.
If termination occurs prior to the final completion of all work contemplated by this contract,
the Consultant will be paid compensation due for the services actually rendered up to the
date of termination in accordance with the above-described schedule of fees and in
proportion to the amount of work done on such stages or phases as have been authorized.
VII. ASSIGNABILITY
The Consultant will not assign, transfer or delegate any of its obligations or duties under
this contract to any other person without the prior written consent of the City, except for
routine duties delegated to personnel of the Consultant's staff. No part of the Consultant's
fee may be assigned in advance of receipt by the Consultant without written consent of the
City. The City will not pay the fees of expert or technical assistance and consultants unless
such employment, including the rate of compensation, has been approved in writing by the
city.
IX. DISCLOSURE OF INTEREST
In compliance with City of Corpus Christi Ordinance No. 17112, the Consultant agrees to
complete the City of Corpus Christi Disclosure of Interests form attached as Exhibit "C".
X. CHANGES
The City Engineer or his designee may, at any time, modify the scope of the contract, or
authorize additional tasks or services be undertaken provided that no increase in the total
authorized fees or expenses will be required. Any modification of the scope, tasks or
services requiring an increase in the authorized fee or expenses will be evidenced in
writing as an amendment to this contract.
Xl. AMENDMENTS
Amendments to this contract as to the scope of services, period of performance,
compensation, or any other mutually agreeable change, will be by amendment, executed in
writing by duly authorized representatives of the City and Consultant.
Xll. GOVERNING LAW
This contract is made and delivered in the State of Texas, and shall be construed and
enforced in accordance with the laws thereof.

Dear Mr. Stowers,
Per your request, the following is our letter proposal mad detailed scope of work for the subject
sen'ices. V&A Consulting Enganeers ('V&_A) will make a totai of four trips to thc project site in
accordance with the scope of work below.
SCOPE OF WORK
Ta~k Description
Create Anode Hole Resistance Log - Record electric log of each anode hole as one anode is
lowered in 5 foot increments at each deep anode well location in accordance with Section
3.01F of Specification Section 13111. Submft test data in accordance with speo. fication.
Verification of Install. tion of Anodes, Task 2, will be conducted concurrently with this task.
The estimate for this task is based on installation of anodes for all anode wells being
conducted on successive days.
Verify Installation of Anodes Provide construction observation of installation of all anodes
at each deep anode well location. Provide brief letter regarding observation of anode
installation in accordance with Sections 3.01G and 3.01F of Specification Section 13111.
Creation of Anode Hole Resistance Logs, Task 1, will be conducted concurrently with this
task. The estimate [or this task is based on installation of anodes for all anode wells being
conducted on successive days.

Adjust Rectifiers - Veri~, that rectifier is capable of operating at 15211 rated load in accordance
with Section 3.02E of Specification Scction 13111. Provide bhef letter regard/rig rectifier
Conduct Installation Testing of Cathodic Protection System - Conduct Installation Testing
of Cathodic Protection System in accordance with Secuon 3.06 of Specification Secuon
13111. The Contractor must complete all work prior to the installation testing. Prior to
energizing the cathodic protection system, record native pipe-to-soil potential data at each
test Icad of ever3' test stadon. Native test data obtained during this testing will satisfy the
requirement of Section 3 06 of Specification Section 09961 as well as part of the reqmrement
of Section 3.06 of SpecificaUon Secuon 13111. Energtze cathodic protection system and
adjust the rectifiers. Measure pipe-to-soil potential data at all foreign pipeline test stations.
If required, coordinate xvith owners nf foreign pipelines to conduct cooperative testing.
Coordination with foreign pipeline owners will consist of contacting thc foreign pipeline
owners by telephone. Up to 4 hours will be spent w/th coordination. Foreign pipeline
owners w/ll be notified of the date scheduled for "on" and "instant off'' potential testing.
Foreign p~pellne owncrs may elect to attend the "on" and "instant off'' tesnng for the
purpose of cooperam, e testing.
Following the initial energizafion and testing, V&A will allow the pipe to polarize for a
rnmimum of 30 days. After the 30 day minimum polarization period, V&A will remm to the
project site to conduct "on" and "instant off,' potential testing at each test lead of every test
station. The rectifiers will be readjusted, if req~dzed. V&A will proxdde a test data report
including tabulation of all test data and a letter report regarding the test data and
conformance with NACE criteria.
5. Conduct Training Semhaar - V&A will send a Corrosion Engineer to provide a one day
training senfinar for up to 20 attendees. The serninar will include a discussion of test
methods and procedures. A l/st of required equipment as well as all forms to document
electrical continuity testing, electrical isolation testing and casing electrical isolation testing
will be provided, Specific methodology and procedures for recording and submitttng data
will be discussed. Demonstration of required testing will be included as part of the seminar
to ensure understanding of seminar participants.
6, Review Electrical Continuity Testing Data The Contractor will perform electrical
continuity testing of 20,950 Iix, ear feet of 42-inch ~ametcr piping and 13,950 linear feet of
the 30 inch diameter piping in accordance with Section 3.01E of Specification Secdon
16061. Electrical continuity tesUng will be perfomaed prior to backfilling. The Contractor
will tabulate and submit all electrical confinmry test data to V&A for review on a weekly
basis, The construction will be completed by May 1, 2005. V&A will provide up to 4 hours
per week for thts task. If review of weekly data requires more than 76 hours the City of
Corpus Christi will be notified via emall and no additional work will be started without
written authorization and additional funding from the Cit3,. V&A will provide a weekly email
transnmtal to Urban Engineering regarding review and approval of the weekly electrical
continuity test data within two working days of receiving the test chta. The ernall transm/ttal
will state whether the submitted test data is acceptable in accordance with the contract
specifications.

Review Electrical Isolation Testing Data - Thc Contractor will perform electrical isolation
testing in accordance with Section 3 02C of Specification Section 16061 at five locations.
The effectiveness o fall insulating joints will bc measured using a Gas Electronics Model 601
insulating ioint tester. The Contractor wili tabulate and submit ali electrical isolation test data
to V&A for review V&A will provide up to 24 hours for this task. If review of electrical
isolation data requires more than 24 hours the City of Corpus Christi will be notified via
emac[ and no additional work wz!l be started without written authorization and additional
funding from the City. V&A wig provide an email transnfirtal to Urban Engineering
regarding review and approval of thc electrical isolation test data within two working days of
receiving the test data. The emafl transmittal will state whether the submitted test data is
acceptable in accordance with the contract specifications
Review Casing Electrical Isolation Testing Data Conduct casing electrical isolation testing
in accordance with Section 3.02C of Specification Section 16061 at seven locations to
determine that the casings have been electrically isolated from the pipelLne. The Contractor
will tabulate and submit all casing electrical isolauon test data to V&A for review V&A will
prnvide up to 24 hours for tins task. If review of casing electrical isolation data requixcs
more than 24 hours the CiD' of Corpus Christi will be notified via email and no additional
work will be started without written authorization and additional ftmding from the City.
V&A ',viii provide an emali transmittal to Urban Engineering regarding review and approval
of fire casing electrical isolation test data within two working days of receiving the test data.
The email transnfirtal will state whether thc submitted test data is acceptable m accordance
with the contract specifications
Wc propose to complete this work on a trine and rnatcrials basis at a total cost not to exceed $49,900.
EsUrnatcd costs for the above project scope are itemized in the attached Resource Allocation Estimate
The~se costs represent our best esnmates at this time and may change subject to future developments
during the project. It is possible that some of the esffmated manpower requirements for specific task
items tray increase while others may not require the entire anticipated effort. This provides us a greater
degree of confidence in the overall project estimate, rather than in any given particu]ar task.
If unforeseen circumstances should arise which indicate that more time is required, we xvould provide a
written estimate of additional required time and cost. We will not proceed with work beyond thc not
to exceed figure without a written authorization from yom office. Charges to this project will be made
for actual time spent on the project and will be charged as per fl,e attached Fee Schedule. We request
that you carefully review tiffs proposal to assure that we fully understand the scope of the work. Our
Fee Schedule will be adjusted in January 2006. Fees will be adjusted at that time and a new Fee
Schedule will be sent. Charges on the rcn~ander of the project will be based on the new schedule.
We are prepared to begin xvork on your proicct npon receiving written approval, a Notice to Proceed,
or purchase order from your office.
