STATEMENT OF WORK FOR
Mythics' Oracle Consulting and Peoplesoft Professional Services
Presented to the City of Corpus Christi, TX
This Statement of Work (hereinafter referred to as "SOW") dated January 23rd, 2005 ("SOW Effective Date") is entered into
by and between the City of Corpus Christi (hereinafter referred to as "Client"), and Mythics, Inc. (hereinafter referred to as
"Mythics").
Mythics shall provide Client with prot'essional services, on a time and materials (not to exceed) basis as defined below.
Article I. Description of Services
Mythics' Oracle Consulting and Peopleso~t Proi'essional Services will assist with the migration services [rom the HP/UX
environment to the Dell/Linux/RAC environment and provide Peoplesoft support services. The approximate anticipated
period oi: performance for this effort is February through July 2005.
Section 1.01 Oracle Consultin~ Services
Mythics shall perform the following Scope of Services -
Detailed Design Activities:
· Identify Detailed Task List
· Assignment of roles beb. veen City Staff, Dell Professional Services, and Oracle Consulting
· Identify Integration Risk
· Risk Mitigation Planning
· Finalization of Project Timeline

Article III Terms and Conditions
Section 2.01 Exl~ense agreement
· Travel and Expense costs are included in the hourly rate per each labor category.
· The services specified above are provided on a time and materials ("T&M") basis: that is, customer shall pay
Mythics for all of the time spent performing such services, plus materials, taxes and expenses.
· The fee estimate for labor performed and travel and out of pocket expenses is $209,117. This estimate does
not include taxes.
· Mythics will invoice the customer for actual time spent performing the services, plus materials, taxes and
expenses, provided, however, that the combined total of the invoices (excluding taxes) shall not exceed the
combined total of the estimated amount specified above.
· Client will not be invoiced [or any services not provided.
Section 2.02 Client Obligations
Client acknowledges that timely provision of and access to office accommodations, facilities, equipment, assistance,
cooperation, complete and accurate ini~ormation and data from your oh"icers, agents, and employees, and suitably
con~gured computer products (collectively, "cooperation") are essential to the peifformance of any services as set forth in
this exhibit. Mythics' Oracle Consulting and Peoplesoft Professional Services will not be responsible for any deficiency in
performing services if such deficiency results from your failure to provide full cooperation. Client is responsible for
obtaining any consents required for Mythics' Oracle Consulting and Peoplesoft Professional Services to perform services
under this Statement of Work, and to allow Mythics' Oracle Consulting and Pecplesoi:t Professional Services to post, at
any site at which services are performed, any documents necessary for Mythics' Oracle Consulting and Peoplesoft
Professional Services to provide services in compliance with the law, Clienl acknowledges that Mythics' Oracle
Consulting Services and Peoplesoft Professional Services' ability to perform the services and any estimate related
depends upon the following project assumptions and your fulfillment of the following obligations:
· Ensure that the on site resource provided by Mythics has reasonable access to your personnel as needed,
and that the client team members participate as required.
· Provide input and information as requested.
· Ensure the availability and reliability of the hardware, operating system, and supporting equipment for the

duration of the project.
· Provide adequate systems support.
· Designate an Executive Sponsor with decision-making authority, who will review issues and make timely
decisions on your behalf, and be responsible for the effort from your perspective.
· To ensure that the following resources are made available to the consultant: work area, access to the
required equipment (network, passwords, etc), printers, security badges, access levels and approved guides
where relevant, outbound analog phone lines, telephones and access to normal office facilities such as
photocopiers, FAX machines, work rooms, whiteboards, etc.
· Maintain the properly configured hardware/operating system platform to support the services.
· Obtain licenses under separate contract for any necessary Oracle programs before the commencement of
services.
· Maintain Software Updates and Product Support for the Oracle programs under separate contract throughout
the term of the services.
· Provide Mythics' Oracle Consulting staff with full access to the relevant functional, technical and business
resources with adequate skills and knowledge to support the performance of services.
· During the first six days of the effort, Mythics' Oracle Consulting will be performing a detailed analysis of the
environment and access to key personnel and staff of the City of Corpus Christi is of primary importance
during this timeframe. A key representative with detailed business and technical knowledge of each
application in this migration will be required for one full day each.
· Mythics' Oracle Consulting is not responsible for the Installation of the Redhat Linux operating system on the
Dell pla[form or the installation of RAC on the Database Servers. Dell will be performing those functions and
will be certifying that the environment is functionally operational at the time of cutover to Oracle Corporation.
· Mythics' Oracle Consulting is providing these services to The City of Corpus Christi for the migration of one
primary environment. This includes one of the following:
o Production Environment
o Development Environment
o Test Environment
· Mythics' Oracle Consulting will not perform upgrades of any applications during the migration project. The City
of Corpus Christi may consult Oracle Consulting to provide assistance outside this scope of work to locate
experts that will upgrade the applications quickly to the proposed versions prior to the migration.
Section 2.03 Responsibilities of both parties
· This project is a mutual partnership. The success of the project depends on the mutual co-operation of both
Client and MYTHICS. Both parties should always act in agreement towards meeting the defined project
objectives and managing scope.
Section 2.04 Liability and Governln~ Law
· This Statement of Work is governed by the terms and conditions of the State of Texas Department of
Information Resources Volume Pricing Contract (DIR-VPC 03-18) dated 2003.
· The failure of either party to take action as a result of a breach of this agreement by the other party shall
constitute neither a waiver of the particular breach involved nor a waiver of either party's right to enforce any
or all provisions of [his agreement through any remedy granted by law or this agreement.
Section 2.05 Ri;ihts in Work Product
Upon final payment, any computer program, cede and materials developed by MY-I'HICS in the course of
performance under this Work Order and which have specific applicability such as industry-specific forms and
industry related algorithms or calculation methods ("Client Developments"), shall be owned by Client.
However, Client grants to MYTHICS a perpetual, non-exclusive, full paid-up and non-cancelable right and
license to use, copy, modify and prepare derivative works [hereof.

· Work product developed hereunder other than specific new developments (the "General Developments") shall
be owned by MYq-HICS. Upon final payment, Client shall have a perpetual, nontransferable, non-exclusive
paid-up right and license to use, copy, modify and prepare derivative works of the General Developments.
Client's rights in the General Developments shall be for purposes of Client's internal business and the
business of any party affiliated with Client (by ownership or by contract) and, to the extent any Other
Developments contains MYTHICS Confidential Information, shall be subject to the confidentiality provisions of
the Agreement. The Client Developments and General Developments are collectively referred to as the
"Deliverables." Except as otherwise set forth herein, all other intellectual property rights in the Deliverables
remain in and/or are assigned to MYTHICS. The par[les will cooperate with each other and execute such
other documents as may be reasonably deemed necessary to achieve the objectives of this Section.
· Subject to the ownership provisions hereof and the confidentiality provisions of the Agreement, in no event
shall MYTHICS be precluded from developing for itself, or for others, materials which are competitive with the
specific Other Developments, irrespective of their similarity thereto. In addition, Subject to the ownership
provisions hereof and the confidentiality provisions of the Agreement, MY-I'HICS shall be free to use its
general knowledge, skills and experience, and any ideas, concepts, know-how, and techniques within the
scope or its practice that are used in the course of providing the Services.
· Upon delivery, MYTHICS and Client shall mutually identify any programming code and materials considered
Client Developments.
Section 2.06 Segmentation
Client acknowledges that the services acquired hereunder were bid by Mythics' Oracle Consulting and
Peoplesoft Professional Services separately from any Oracle program licenses. Client understands that client
have the right to acquire services without acquiring any Oracle program licenses, and that you have the right
to acquire the services and any Oracle program licenses separately.
Section 2.07 Change Control Process
Any request for any change in services must be in writing; this includes requests for changes in project plans,
scope, specifications, schedule, designs, requirements, service deliverables, software environment or any
other aspect of your order. Mythics' Oracle Consulting and Peoplesoft Professional Services shall not be
obligated to perform tasks related to changes in time, scope, cost, or contractual obligations until client and
Mythics' Oracle Consulting and Peoplesoft Professional Services agree in writing to the proposed change in
an amendment to this Statement of Work.

Article III. Payment Terms
Mythics shall Invoice Client on the following project milestones: 1.5 months after work has commenced, 3.5
months after work has commenced, and 5.5 months after work has commenced. Mythlcs' shall invoice the
customer in 3 installments, and 3 installments only. The Client agrees to pay all invoices in full within 30 days of
invoicing and agrees to pay an additional 1% per month for each month that an invoice remains unpaid, starting
30 days after receipt of the Invoice.
