Omega shall provide services fally described in Exhibit A (Co~us Christi Police Department Proposal, January 14, 2005) for the CrimeView® Web Basic Package, which is alIached hereto and incorporated in fall herein by reference. Omega shall retain the fight to perform work fix oflaers during the terms of this Agreement. 1.2 Conduct of Services. Client agrees to provide working space and facilities, and any other services and materials Omega or its personnel may reasonably request in order to perform the work assigned m them. Atl work shall be performed in a workmanlike and professional manner by employees or subcont~tors of Omega having a level of skill in the area commensurme with the requirements of the scope of work to be performed. Omega shall make sure its employees or subconn'actor~ at all t~mes observe security and safety policies &Client_ 13 Method or Performing Services. The parties acknowledge and agree that Client shall have no right to control the manner, means, or method by which Omega performs the services called for by this Agreement. Rather, Client shall be entitled only to direct Omega with respect to the elements of services to be performed by Omega and the results to be derived by Client. Client can review and assess the performance Omega services for the limited purposes of assuring that such services have been performed and confuming that such results were salisfactory. Sect ion 2 TERM OF AGREEMENT 2.1 Term. This Agreement shall commence on the date set forth above, and unless modified by mutual agreement of the panics or terminated earlier pursuant to the terms &this Agreement, shall continue until the earlier of (1) fl~: satisfactory completion of the services set forth in Exhibit A; or (2) February l, 2006. 2_2 Termination. This Agreement may be terminated by either party upon sixty (60) days prior writ/en notice, if the other party breaches any term hereof and the breaching party fails to cure such breach within the 60-day period; provided that, notwithslanding the foregoing, the cure period for any failure &Client to pay fees and charges due hereunder shall be thirty (30) days from the date of receipt by Client of notice of delinquency. 2-3 Return Client Property. Upon termination of this Agreement for any reason, Omega shall promptly return te Client all copies of any Client data, records, or materials of whatever nature or kind, including all materials incorporating the proprietary information of Client. Omega shall also furnish to Client all wcnk in progress or portions thereof, including all incomplete work. The Omega Group 2005-069 02/22/05 M2005-066 ~qec tion 3 FEES, EXPENSES, AND PAYMENT 3.1 Fees. In consideration oftbe services to be performed by Omega, Omega shall be entitled to compensation in the total anmunt of $36,995. There is a I% penalty for payments not received within thirty (30) days ofinvoiee. The payment schedule consists of four payments and are due as follows: · Thirty percent (30%) $11,098.50 of the total amount due upon execution of this Agreement. · Thirty percent (30%) $11,098.50 of the total amount due upon delivery of so,ware. · Thirty percent (30%) $11,098.50 of the total amount due upon completion of on-site installation and Iraining. · Ten percent (10%) $ 3,699.50 of the total amount due upon final acceptance. (30 days aRer installation) 3.2 Additional Work. The fees and charges for any follow-on or additional work not described in Exhibit A shall be performed at Omega's curcent hourly rates. Section 4 RELATIONSHIP BETWEEN OMEGA AND CLIENT 4.1 Independent Contractor Statns. The parties are and shall be independent conlractors to one another, and nothing herein shall be deemed to cause this Agreement to create an agency, partnership, or joint venl~re belween the parties. Nothing in this Agreement shall be interpreted or consmied as creating or establishing the relationship of employer and employee between Client and either Omega or any employee or agent of Omega. 4.2 Nousolicitation. During the term of this Agreement and for a period of six (6) months after the expiration or termination of this Agreement, for any reason whatsoever, the parties covenant and agree not to hire or engage or attempt to hire or engage employees of the other party, except threugh advertisements directed to the general public or as expressly pre-approved by the other party. 4.3 Confidentiality. The parties agree not to disclose to any third party any proprietary information disclose~ to it by the other party without the prior written consent of such disclosing party. The parties further agree to take the same care with the proprietary information as it does with its own, but in no event with less than a reasonable degree of care. This obligation of the parties shall survive beyond the effective termination date of this Alo'eement. These reslrictions shall not be conslmed to apply to (1) informa~oo genaratly available to tbe public; (2) information released by either party generally without restriction; (3) information independently developed or acquired by either party or its pe~ounel without reliance in any way on other protected information of the other party; (4) information approved for the use and disclosure of either party or its personnel withou~ restriction. 4.4 Indemnification. Omega shall defend, indemnify and hold Client harmless from and against any and all liabilities, losses, damages, fines, judg~nents, claims, suits, actions and expenses (including, but not limited to, attorneys' fees and costs) arising out of or relating to personal injury or death to persons, including Omega's employees, conlractors, and agents or damage to personal or real property, including Client's properly, arising out of or in connection wi~ Omega's negligent performance of this Agreement. Client agrees to give Omega prompt notice of any such claim, demand, or action and shall, to the extent Client is not adversely affected, cooperate fiilly with Omega in defense and settlement of said claim, demand, or action. 4_5 DISCLAIMER OF WARRANTY. Except as expressly provided in this agreemeni; Omega does not make any warranty, express or implied, with respect to the services rendered by its personnel or the results obtained fi.om their work, including, without limimlion~ any implied warranty of merchantability or fitness for a particular purpose 2 4.6 LIMITATION OF LIABILITY. OMEGA'S CUMULATIVE LIABILTY UNDER OR FOR BREACH OF FHIS AGREEMENT SHALL BE LIMITED TO THE FEES PAID BY CLIENT TO OMEGA. OMEGA SHALL HAVE NO LIABILITY FOR LOSS OF DATA OR DOCUMENTATION, IT BEING UNDERSTOOD THAT CLIENT IS RESPONSIBLE FOR BACKUP PRECAUTIONS. IN NO EVENT SHALL OMEGA BE LIABLE FOR ANY LOSS OF PROFITS, ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY CLAIMS OR DEMANDS BROUGHT AGAINST CLIENT, EVEN IF OMEGA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS OR DEMANDS. OMEGA SHALL NOT BE LIABLE TO CLIENT FOR ANY FAILURE OR DELAY CAUSED BY EVENTS BEYOND OMEGA'S CONTROL, INCLUDING, WITHOUT LIMITATION, CLIEN~US FAILURE TO FURNISH NECESSARY INFORMATION; SABOTAGE; FAILURE OR DEI~AYS IN TRANSPORTATION OR COMMUNICATION; FAILURES OR SUBSTITUTIONS OF EQUIPMENT; LABOR DISPUTES; ACCIDENTS; SHORTAGES OF LABOR, FUEL, RAW MATERIALS OR EQUIPMENT; OR TECHNICAL FAILURES. THIS LIMITATION UPON DAMAGES AND CLAIMS IS INTENDED TO APPLY WITHOUT REGARD TO WHETHER OTHER PROVISIONS OF THIS AGREEMENT HAVE BEEN BREACHED OR HAVE PROVEN INEFFECTIVE. Section 5 MISCELLANEOUS 5_1 Governing Law_ This Agreeracnt shall be governed and construed in all respects in accordance with the Paws of the State of Texas as they apply to a contract executed, delivered, end performed solely in such State. 5.2 Insurance. To the extent that Omega's pemonnel may perform work al. Client's premises, Omega shall mainlain comprehensive general liability insurance, including broad £orm property damage coverage, with limits of at least $1 million combined single limit for personal injury and property damage for each occurrence. Upon the request of Clienl, Omega shall provide Client with evidence satisfactory to Client of such insurance. 5.3 Remedies. All remedies available to either party for one or more breaches by the other party are end shall he deemed cumulative end may be exercised separately or concurrently without waiver of any other remedies. The failure of either party to act in the event of a breach of this Agreement by the other shall not be deemed a waiver of such breach or a waiver of furore breaches, unless such waiver shall be in writing and signed by the party against whora enforcement is sought. 5.4 Notices. Any notices to be given hereunder by either parly to the other may be effected either by email, personal delivery in writing or by first class mail Mailed notices shall be addressed as listed below, but each party may chenge such address by writlen notice in accordance with this paragraph. Notices delivered personally will be deemed communicated as of actual receipt. Mailed notices will he deemed corm'nunicaled as of two days after mailing. This Agreement supersedes any and all agreements, either oral or writlen, between the parties with respect to the rendering of services by Omega for Client and contains all the covernanB and agreements between the parties with respect to the rendering of such services in any manner whaLsoeverr. Each party to this agreement acknowledges that no representations, thducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, that are not embodied herein, and that no other agreement, statement, or promise not contained in this agreement shall be valid or binding. Any modification of this agreement will be effective only if it is in writing signed by the pa~y to be charged. 5.6 Severability. If any of thc provisions of this Agreement are ruled illegal, invalid or unenforceable by a court of competent jurisdiction under any applicable statute or rule of law, they shall, to that extent, be deemed omittec[, and the remainder of this Agreement shall continue to be in full force and effect. No waiver of any breach nf any provision of this Agreement shall constitute a waiver of any other broach of the same or any other provision hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party. 5.7 Headings. The section headings used herein arc for reference only, and shall not limit or control any term or provision o£this Agreement or the interpretation or construction hereof. The Omega Group has developed CrimeViewx Web, an easy-to-use browser based crime analysis interface to access your crime report and person databases in a GIS. CrimeView Web is an intemet map server that allows staff throughout the department to access crime data through your existing internal network (intranet). With one site license, multiple users can simultaneously create maps and repons. Taking a regional approach, multiple agencies can share the same CrimeView Web installation to allow for a more comprehensive view of regional crime trends and issues. CrimeView Web runs within a browser at any coinputer on the intranet, eliminating the need for data or mapping soft~are to be installed at individual workstations. The easy-to-use query tools will help to further develop the crime analysis skills and experience of your department as well as reduce the time required for analysis compared to conventional techniques. This proposal describes the features of CrimeView Web, including the requirements for installation at the Corpus Christi Police Department (CCPDL Texas. This will enable staff to use crime query and reporting tools throughout the department over an existing internal network (intranet). All appropriate department staff can have access to crime data and mapping quickly, without having to overload the crime analysis staff with simpler and repetinve quelT and mapping requests. Del~artmental Access to Crime Data The WhatWhere4Vhen interface, easy-to-use query tools, reports, and map layout make effective crime queries and mapping a simple procedure department-wide. Through frequent use of CrimeView Web, your staffs knowledge of your crime, person (e.g., parolees, sex offenders, etc.), and GIS data will rapidly grow. DATA REQUIREMENTS CCPD geography and crime data must be in place and available from the current crime mapping GIS application tbr CrimeView Web to access in ESRI compatible data layer format(s). Data layers formats that can be incorporated into CrimeView Web include ArcVie~ shape files, ArcSDE layers and aerial photos, he sources of these data may be from CrimeViex~ applications in either the ArcGIS environment or older ArcView GIS applications (ArcView 3.x). Typical data layers used in CrimeView Web applications might include CAD calls for service, RMS incidents, arrests, arrestees, parolees, field interviews, probationers, and sex offenders. While these are the same data sets one would find in a desktop crime mapping application, due to the audience and queD' speed considerations less fields andJor records may be provided in CrimeView Web. For example, regarding data width the web application might not include foreign key fields or more obscure fields unnecessary to crime mapping. Regarding record limitations, which incident types and how many months of data to include are important considerations. ]~_ese content issues play an important part in application design with respect to query speed and usability. CCPD Responsibilities: · Provide data layers from existing crime mapping system in ESRI and ArcIMS compatible formats. 4 CrimeView® Web Version Proposal January 14, 2005 TRAINING Although CrimeView Web features an easy user interface to enable quick and cost-effective analysis of crime-specific data, the underlying spatial data structures and internet map serving technology can be complex. Therefnre, The Omega Group recorm-nends appropriate training in GIS. ArclMS, and CrimeView Web for application administrators in order for the users to fully benefit from the products. GIS Training The Omega Group recommends that all personnel administrating CrimeView Web attend the Introduction to ArcGIS I training course or possess comparable GIS experience belbre receiving CdmeView Web training. At least one person, preferably the primao' system administrator, should have a solid understanding of GIS. G1S training for this purpose is not available directly from Omega but can be taken from ESRI or from approved training centers at the following web address: httl~://wwx~ .esri.cmrfftrainin~/index.html. ArclMS Training ]t~e Omega Group recommends that all personnel administrating CrimeView Web attend the ArclMS Administration training course before receiving CrimeView Web training. At least one person, preferably the primary system administrator, should have a solid understanding of ArclMS. CrimeView Web Training In order to best utilize the CrimeView Web application, The Omega Group recommends various levels of training for applicmion administrators. The Omega Group will provide CrimeView Web training for two (2) adminislrators as part of the Standard Package. The training includes one (1) day for installation, and one (1) day of extensive training in setup and use of the CrimeView Web application. This training will enable administrators to effectively train others on using CrimeView® Web. The Omega Group can provide training for other staff members for an additional fee. CrimeView® Web Version Proposal January 14, 2005 Customizine CrimeView Web Though CrimeView Web utilizes ESRI's ArclMS. which is provided out-of-the-box with a set of map tools. CrimeView Web only utilizes a specific set of tools that allox~ for the functionaliU' discussed in this document. Additional ArclMS tool sets ~nay be made available with prior approval by The Omega Group and should be identified prior to installation and training of CrimeView Web. CCPD Responsibilities: · All CCPD personnel administrating CrimeView Web should attend the Introduction to ArcGIS I training course or possess comparable GIS experience before receiving CrimeView Web training. · All CCPD persom~el administrating ChmeView Web attend the ArclMS Administration training course before receiving CrimeView Web training. Omega's Responsibilities: · Provide CrimeView Web training for application administrators. E. INSTALLATION Software Installation CCPD is required to appropriately install and register all ESRI software prior to the arrival of The Omega Group's Project Manager on-site. The Project Manager will be responsible for installing CrimeView Web software on-site and assisting CCPD with in-house testing during the training and installation phase. The services outlined in this proposal include one (1) day of installation of the CrimeView Web application set up for CCPD. There may be cases where the Omega project manager will have the opportunity to conduct a remote installation of CrimeView Web before coming on-site. One advantage for this is to allow CCPD to test and review the product before the Omega on-site training. More importantly, this will allow the project manager to spend more time configuring and testing during the on-site visit. This remote installation time is not in lieu of on-site tilne and all on-site time planned for installation, configuration, testing, and training ~ill be devoted to configuration, testing, and training. In order to detemfine that the installation of CrimeView~ Web is correct and complete, CCPD should plan on a period of I 5 to 30 days tbr extensive in-house testing before rolling the product out to department staff. During this period, The Omega Group Project Manager will (remotely) assist in any appropriate configuration and trouble shooting efforts. 6 CrimeView® Web Version Proposal January 14, 2005 Software Environment CrimeView Web only supports Microsoft Windows 2000 Server or Advanced Server and liS Web Server 5.0 or greater. Client computers running Microsoft Intemet Explorer 5.5 or greater are fully tested and supported. CCPD Responsibilities: · Install and register all ESRI software prior to the arrival of The Omega Group's Project Manager on-site. · Conduct at least two weeks of extensive in-house testing before rolling the product out to department stafi~ Omega's Responsibilities: · Install CrimeView Web. · Configure and Test CrimeView Web. · Remotely assist CCPD xvith in-house CrimeView Web testing for up to thirty (30) days after on-site installation. CrimeView® Web Version Proposal J .uary 14, 2005 PRICING The CrimeView~; Web Application requires ESRI's ArclMS 4x or higher. The Corpus Christi Police Department will provide ArclMS. or ma3' purchase it from The Omega Group for an additional fee. As an additional service The Omega Group will rcconfigurc the CrimeView® and CrimeView® Web applications when the CAD/RMS system is upgraded in 2005. CrimeView~ Web Standard Package The price of the CrimeView~ Web Standard Package is 5;36,995. This package includes the following products and services: Softv~are: · 1 licensed copy of CrimeView~ Web (for a single CPU server with dual processors). Services: · Project Management · Creating Data Import Profiles Installation, Trainm~ and Travel: · CrimeVie~v® Web Installation - one (1) day · CrimeView® Web Training one (1) day for two (2) administrators Travel for The Omega Group staff member to provide installation and training (1 persoWl trip) · One year of the CrimeView:~ Web Customer Support Package (see F.3.) CrimeView® Upgrade Services: · Collection of new data · Preparation ofnewprofiles · Updating repons · Geocoding fixes · Updating Saved Queries · Setting up for auto import & testing Note: The CfimeView~ upgrades will be installed via remote internet access. If on-site service becomes necessao' there will be an addition charge. 8 Cr. imeView® Web Ver s!_on__ Proposal JanuaO' 14, 2005 GoToMvPC The Omega Group uses ExpertCity's GoToMyPC as a way to provide remote support in an efficient and effective manner. The Omega Group is an authorized reseller of GoToMyPC. Customer Support Package and Upgrades l'he Customer Support Package begins after the training and installation of the application. This includes toll free technical support during business hours, minor software upgrades, and discounts on new software versions for one (1) year. Customer Support Technical and customer support phone hours are from 8:30am to 5:30pm Pacific Time, Monday through Friday. Where the client permits, remote access will be available during the same hours. Omega will make ever)' effort to resolve issues at the time of the call from the client. Depending on the scope of the technical issue, resolution may take time The Omega Group defines technical/customer support as follows: · Support begins the day following the last day of product installation/training and lasts for one calendar year. · For thc first thirty (30) days of support following the last day of product installation/training the Omega project manger will assist with minor changes and trouble shooting of the installed application to make sure that eveD~thing is working smoothly and correctly. Such support might include changes to the data import profiles (or scripts); saved queries, map symbolization, report edits, and other similar application changes specific to CnmeVie~ Web. This initial thirty (30) day period may include remote support using GoToMyPC or other appropriate connectivity technologies. · After this initial thirty (30) day period, technical/customer support will only include support in the use of CrimeView Web and advice on setup and maintenance of the application, data, a. nd ArclMS. · Other more significan! support requirements, such as re-installation of ArclMS and/or CrimeView Web, reconfiguration of map service(s), resymbolization, on-site support, or any troubleshooting of problems due to ad hoc changing of Omega Group recommended ArclMS and/or CrimeView Web settings by the client or its representatives, will most probably require additional costs. CrimeView® Web_Vf_r_si__o,n Proposal. ~-- January 14, 2005 Uogrades The Omega Group is dedicated to improving its products and typically provides upgrades once per year. These upgrades will both enhance the usability of the software as x~ell as add additional functionality, especially in the area of analysis tasks. Upgrades can be either minor revisions or new versions with significant changes. The Customer Support Package can be renewed annually for $3,995 with ESRI's ArclMS, or $2.495 withoul ArclMS. ArclMS Maintenance from ESRI is also included for one (1) year, with technical support for one (1) CPU. Additional CPU Maintenance on ArclMS is $1,000 per CPU. The Maintenance includes updates and standard technical support. Access to technical support is limited to one authorized contact per CPU license.
