Staples, Suite 230, Corpus Chdsti, Nueces County, Texas 78411, (.au'chltect/Englne~- - NE), hereby agree as follows: 1 SCOPE OF PROJECT Stm~ O'verlm~ {Prolect No. 62901 - Eight (8) street locations thro~hout the City have existing pavement In average to poor condition. The Improvernen[s will c~msist of hot-mix- asphalt-concrete (HMAC) oveday, valve and manhole adjustments, and pavement markings. The designated street locations are: 1 Williams Drive: Everhart Road to South Staples Street 2 McArdle Road: Holmes Drive to Whitaker Drive 3 Golllhar Road: South Staples Street to AJrllne Road 4 Whitecap Boulevard: Bonasse Court to SPID (Park Road 22) 5 Baldwin Boulevard: Cros=-~u3w~ Expressway to Soul~ Staples Street 6. Ayem Street: Home Road to Watson Sbuet 7 Calallen Drive: Highway 77 to West Redbird Lane 8 West Redbird Lane: Calallen Drive to I.H. 37 2 SCOPE OF SERVICES The A/E hereby agrees, at its own expense, to perform profussional services necessary to review and prepare plans, sp~.,ifica~ns, and bid and contract documents. In addl'don, NE will provide monthly status updates (project progress or deley~, gantt c~arts pme~ w~ monthly Invoices) and provide con'mact admin~u[ion m~,,ices, as dem~'lbed In Exhibit "A" and "A-l", to complete the Project. Exhibit 'A-I' provides supplemerdal de~riptlon of services to Exhibit 'A" and is not intended to supersede services described In F_xhlbtt '^'. Work will not begin on Additional Services until requested by the NE (provide breakdown of co~ta, schedules), ~nd wHt*u~n authorization is provided by the Director of Englrmedng Services. NE services will be "Services for Con=i~uctJon Projects"- (Basic Services for Construction Projects') which am shown and am in accordance with 'Professional Engineering Services- A Guide to the Selection and Negofia'd(m Process, 1993' a Joint pu~ication of the Consulting Engineers Council of Texas and Texas Society of ProfessionaJ Engineers. Pag~ 1~3 ORDER OF SERVICES The A/E agrees to begin work on those authorb~d Basic Services for this contract upon receipt of the Nol~e to Proceed fi'om the DIm~.~r of Engineadng Servicae. Work will not begin on any phase or any Additional Services until requested in writing by the A/E and written authorization is provided by the Director of Engineering Services. The anticipated schedule of the preliminary phase, design phase, bid phase, and construction phase Is show~ on Exhibit "A". This schedule is not to be inclusive of all additional time that may be required for review by the City staff and may be amended by or with the concurrence of the Director of Engincc,'ing Services. The Director of Er~glneedng Services may direct the A/E to undertake additional services or tasks pmvidad that no increase in fee is required. Services or tesks requiring an Increase of fee will be mutually agreed and evidenced in writing as an amendment to this NE shall notify the City of Corpus Chdstl within three (3) days of notice If tesks requested requires an additional fee. 4 MANDATORY REQUIREMENTS A/E agrees to the mandatory contract and Insurance requirements as set forth In Exhibit 5 FEE The City will pay the A/E a fee, as dsecribed in F_xhll~t "A", for providing services authorized. Monthly invoices will be submlttad in accordance with Exhibit =D' and shall include monthly updates. 6 TEI:;~IINATION OF CONTRACT The City may, at any time, with or without cause, terminate this co.b.ct upon seven days writtea no'dce to the A/E at the address of record. In thb event, the NE will be compens~,d for Its services on ell stages authorized based upon NE and City's estimate of the proportion of the to~al services actually comple~xl at the time of termination. 7 LOCAL PARTICIPATION The City Council's sta~d policy is that City expenditures on conb'ac~ for professional services be of maximum benefit to the local ec~womy. The A/E agrees that at least 75% of the work described heroin will be performed by a labor force residing within the Corpus Christi Metropolitan Statistical Area (MSA). Additionally, no more than 25% of the work described herein will be performed by a labor force residing outside the Corpus Christi Metropolitan Statistical Area (MSA). OWNERSHIP OF DOCUMENTS All documents including contract documents (Hans and specifications), record drawings, contractor's field data, and submittal data will be the sole property of the City, may not be used again by the NE wt~out the express written consent of the Director of Engineering Services However, the NE may use standard details that are not specific to this project. The City agrees that any modification of the plans will be evidenced oo the I~ans, and be s~gned and sealed by a p[ufessiorual engineer pdor to re-use of modified plans. 10. DISCLOSURE OF INTEREST NE furfl'u~ agrees, in compliance with City of Corpus Christi Ordinance No. 17112, to complete, es part of this contract, the Disclosure of Interests form attached he~ek~ es Exhibit "C". Basic Services will include ff~e foflowtng in addition to those Items show~ on Exhibit "A-1" Taak List. 1. Preliminary Phase. The ArchitectJEngineer-A/E will: It is the Intent of the Preliminary Phase to provide a study and report of project scope with economic and technical evaluation of alternativee, and upon approval, proceed in a Design Memorandum which includes Preliminary designs, drawings, and w~"u~,n descrip'don of the project. This report shall include: a. Provide scope of soil investigations, borings, and latx:,~'uxy testing. (The City Engineering Services Depafb,,ent will provide necessary soil Investigation and tearing under one or more separate cor,[,,,cts). b. Confer with the City staff regarding the design parameters of the Project The Engineer will participate In a minimum of l~ree (3)formal meetings with City staff, provide agenda and pu~ for each formal rneetlng; document and distribute meeting minutes and mee~ng report within seven (7) worldng days of the meeting. Review and investigation of available records, archives, and pertinent da~a related to the Project including takirtg photographs of tile Project site, list of potential problems and possible conflicts, I~ent of design, and improvements required, and confo..anco to relevant Master Plan(s). 3. Identify results of site field investigation Including site findings, existing conditions, potential right of way/easemerffs, and pmbeble Project design solutions; (which am common to municipalities). 4. Provide a presentation of pertinent factors, sketches, designs, ~ sections, and pamme~m which will or may Impact the design, Including engineering design basis, preliminary lay~Jt sketches, Ide,;;;'~=atJon of needed additional services, pr"iimlnary details of construction of critical element, identification of needed permits, Identification of specifications to be used, identification of quality and quantity of mated-Is of construction, and other fac~,m required for a professional design ICONSTRUCT,~RILITY). 5. Advise of envimnme,~i site evaluations and archeology reports that are needed for the Project (Environmental Issues and archeological services to be an Additional Service). 6. Identify and analyze requirements of governmental aufl'~'ltlas having jurisdiction to approve design of the Project and permitting, environmental, historical, construction, and geotechnlc"i Issues; and 7. Confer, dlsc~ss, and meet wtth City operating department(s) and Engineering Services staff to produce a cohesive, well-defined pmposad scope of design, probable cost estimates(s) and design altemaflves. 8. Upon approval ofthe preliminary phaea, designated by receMng authorization to proceed, the A/E will: a. Study, verify, and implement Design Memorandum recommendations including construction ~:luencing, connections to the existing factlltlea, and restoration of property and Incorpora~ theae plans Ink~ the coneb'uctlon plans. Development of the construction sequencing will be coordinated with the City Operating Department(s) and Engineering Services staff. b. Prepare one (1) set of Co~slTuctlon Bid and Cor, buct Documents in City format (using Ctty Standards as applicable) for each phase, IncJudlng Contract agreement forms, general provteio~s and special provleior~ ra~ice to bidders, insurance requireme.[., bond requimme,~, and preparation of other contTact and bid mlatad items; specifications and drawings to fix and describe, one bid for each phase, the size and charach~r of the e. Ll, u Project; description of materials to be utilized; and such other essentials as may be necessary for construction and cost analysis. c. Provide assistance ide. Furnish one (1) copy of the pre-final plans to the City staff for review and approval purposes with estimates of probable conatruclJon co~. The Consultant NE and Sub-consultant NE shall submit a letter declaring that all englnearlng dlsclpllnea of all phases of the submittals have been checked, reviewed, and am complete prior to submission, and include signature of all disciplines Including but not limited to structural, civil, mechanical, electrical, etc. i. Prepare, mvtew and provide copies of the con'aact for execution ~ rte City and the contractor. 4. Construction Phase. The A/E will perform corrbact admlniatratlon to Include the following: a. Participate In pre-cone'auc~n meeting conference and provide a recommended agenda for critical construction acavifies and eterne,;,, impacted the project. b. Review for conformance to contract docume~bs, shop and worldng dn~w~gs, materials and other submittals. c. Review field and laborato~ tests. d. Provide interpretations and clarifications of the contract documents for the cont]'actor and authorize required changes, which do not affect the co~-~[~ctor's price and are not co~-~hury to the general t.ixsf~st of the City under the contzact. e. Make regular visits to the site of the Project to confer with the City project inspector and conb-aC'u.~r to observe the general progress and quality of w~:~'k, and to determine, in general, if the work ia being done In accordance with the coni~,,ct documents. This will not be confused w;i~ the project observation or continuous monitoring of the progress of construclJon. f. Designate an individual to have responsibility, authority, and control for coordinating activities for the consbuctJon phase. b. Prepare appllcatlons/estirnates for payments to contzactor. c. Additional Servlc~ (ALLOWANCE) This sectlo~ defines the scope (and ALLOWANCE) for compensation for addltkmal services ~ may be included as part of this co,buct, but the NE will not begin work cm this ~::tlon without specific w~'d~n approval by the Dlractor of Engineering Services. Fees for Additional Services are an allowance for potential services to be provided and will be neg~lated by the Dire~k~r of Engineering Services as required. Provide a project representative (PR) to provide full time construction inspection. A. Through such additional observations of Contraca~s work In progress and field checks of materials and equipment by the PR and assistants, the A/E shall endeavor to provide further protection for the CITY against defects and def'miencles In the Work. B. The duties and responsibilities of the PR ara described es follows: 1. General: PR will act as directed by and under bhe 8upervtslon of NE, and will confer with A/E regarding PR's actions. PR's dealings In matters pertaining to the Contractor's work in progress shall In general be with NE and C,~a~ur, keeping the CITY advtsed as necessary. 2. Conference and Meetings: Attend meetings with Contractor, 8uch as pre-construction conferences, progress meetings, Job conferences and other project-related meetings as required by the City, and prepare and circulate copies of minutes thereof. 3. Liaison: a. Serve as liaison ~ Contractor, worldng principally b~roflgh Contractor's superintendent and assist in undemtandrng the Intent of the ConlTact Docume~[~. F~oe6o~lO b. PR shall communicate wiU~ CITY with the knowtedge of and under the direction of A/E 4. Interpretation of Contract Documents: Report when clarifications and interpretations of the Contract Documents am needed and transmit to Cone'actor clarifications and interpretations as issued. 5. Shop Drawings and Samples: a. Receive Samples, which am fumiahed at the Site by Conbac~r, and notify of availability of Samples for examination. b. Record date of receipt of Samples and approved Shop Drawings. c. Advise Cont~ctor of the commencement of any portion of the Work requiring a Shop Drawtng or Sample submittal for which PR believes that the submittal has not been approved. 6. Review of Work and Rejection of De;active Work: a. Conduct on-Site observations of Co.b-~ur's work In progress to assist A/E In determining if the Work is in general proceeding in accordance with the Cc.~buct Documents. b. Report whenever PR belleves that any part of Contractofs work ln progress wtll not produce a completed Project that confo..s to the Co.buct Documents or wtll prejudice the Integrity of the dselgn concept of the compleE~cl Project, or has been damaged, or does not meet the requimmen~ of any inspection, test or approval required to be made; and advise City and A/E of that part of work in progress that PR believes sho~JId be corrected or rejected or should be uncovered for observation, or requires special te~ng, inspection or approval. c. Observe whether Con'=a~.~ has af,anged for Inspections required by Laws and Regulations, including but not limited to those to be performed by public agencies having jurisdiction over the Work. 7. Records: a. Maintain orderly files for con~spondence, reports of Job conferences, reproductions of original Contract Docume,,;= including all Change Orders, Field Orders, Work Change Directives, Addenda, additional Drawings issued subsequent to the Contract, A/E's clarifications and Interpretations of the submittals received from and delivered to Contractor, and other Project related documents. b. Prepare a daily report utilizing approved City format, recording Corrb'actor's hours on the Site, weather condi'dons, data relative to questions of Change Orders, Field Orders, Work Change Directives. or changed conditions, Site visitors, daily acUvffies, decisions, observations in generaJ, and specific observations In more detail as in the case of observing test procedures; end send copies to A/E and the City. F~g~ ? of 10 8. Reports: a. Fumish periodic reports as required of progress of ~ Work and of Contractor's compliance w~th the progmaa schedule and schedule of Shop Drawing and Sample submittals. b. Report immediately to b~e CITY and A/E the occurrence of any Site accidents, any H-~rdous Environmental Conditions, emergencies, or acts of God endangering the Work, and property damaged by tim or other causes. c. Provide project pho~ report on CD-ROM at the rate of a minimum of two photographs per day, including an adequate amount of photograph documentation of utility confllct~. 9. Completion: a. Beforethe issue of Certificate of Complefion, submlttoContreca3r a list of observed Items requiring comple'don or correction. b. Participate In a final inspection in the company of NE, the CITY, and Contractor and prepare a final list of Items to be completed or c. Observe whether all items on final list have been compie{ad or cern'acted and make recommendations concerning acceptance and issuance of the Notice of Acceptability of the Work. Warranty Pha~e. Provide a maintenance guaranty Inspection toward ~ end of the one-year period after acceptance of the Project. Note de;'ects requiring co~b-~tur action to maintain, repair, fix, restore, patch, o~ replace Improvement under the maintenance guarentyterms of the contract. Document the condition and prepare a report for the City staff of the locations and conditions requiring action, with its recommendation for the method or action to best correct defective conditions and submit to City Staff. Complete the Inspection and prepare the report no later than sixty (60) days prior to the end of the maintenance guaranty period. Public II~l~tir~.
