CONTRACT FOR PROFESSIONAL SERVICES

hereby agree as follows:
1. SCOPE OF PROJECT (Wooldrldge Road Pha~e 1 - Staple. Street to AJrllne Road,

Reconsl~ction of two-lane rural type roadway to a four-lane urban collector with curb & gu'd~,
sidewalks, driveways, lighting, and drainage. The proposed ak~rm sewer watem outfall atthe
Mary Carroll Channel where the channel crosses Wooidridge is part of this Phase 2 project.
Drainage storm sewer to outfall (from Airline to Rodd Field) along Wooldridge (Phase 2) should
be completed during Phase I consl~uction. Twin Umber pole bansrnission line parallels
north ROW on its own easement.

2. SCOPE OF SERVICES
The A/E hereby agrees, at its own expense, to perform Professional Services necasasry to review
and prepare plans, specifications, and bid and conbact documents. In addition, NE w~l provide
morrthly status updates (project progress or delays, gantt charts presented wi{J, rnor~ly Invokes)
and provide con. ct adminislTation services, as dascrlbed in Exhibit "A" and "A-I', to ccxrtpiele
the Project. Exhibit 'A-I' provides supplemental description of services to Exhibit 'A' and does
not intended to supersede se~vicas described in Exhibit 'A'. Work will not begin on Additional
Services until requested by the NE (provide breakdown of cosLs, schedules), an~l written
authorb'~don is provided by the Director of Engineering Services.
AJE services will be "Services for Construction Projects'- (Basic Services for Cormbuctlon
Projects') which am shown and am in accordance with 'Professional Engineering Servtcee- A
Guide to the Selection and Negotiation P~s, 1993' a joint publication of the Consulting
Enginear's Council of Texas and Texas Society of P~ofussional Englneem. For pu~ of this
contract, certain services listed in this publication as Additional Service~ will be considered as
Bas.; Services.
3. ORDER OF SERVICES
The A/E agrees to begin work on those authorized Basic Services for this conbuct upon receipt of
the Notice to Proceed from the Director of Engineering Services. Work wil not begin (m any
phase or any Additional Services until requested in writing by the NE and w~'~u~t authorization Is
prov~led by the Director of Englnccring Services. The anticipated schedule of the pmllmlnmy
phase, design phase, bid phase, and cons[[uctJon phase is shown on Exhlbit"A". ThIs schedule
is not to be inclusive of all additional time that may be required for review by the City ~[u;~ and may
be amended by or with the concurrence of the Director of Engineering Services.
The Director of Engineering Services may direct the NE to undertake additional sen~k~es or tasks
provided that no increase in fee is required. Services or tasks requiring an Increase of fee wll be
mutually agreed and evidenced in writing as an amendment to thIs contract. NE shall no,fy the
City of Corpus Christi within three (3) days of notice if tasks requested requires an additional fee.
4. MANDATORY REQUIREMENTS
NE agrees to the mandatory conb'act and insurance requirements as set forth In F. xhlbit 'B'.
5. FEE
The City will pay the NE a fee, as described In Exhibit "A", for providing services auttmrtzed.
Monthty invoices will be submitted in accordance with Exhibit *'D'.
6. TERMINATION OF CONTRACT
The City may, at any time, with or without cause, terminate thIs cenbact upon seven days
notice to the NE at the address of record. In this eveat, the A/E w~l be compensated for Ils
services on all stages authorized based upon NE and City's e~dmate of the proportion o~the total
services actually completed at the time of termination.
7. LOCAL PARTICIPATION
The City Council's stated policy Is that City expenditures on cor~[mcts for profesakx-al services be
of maximum benefit to the local economy. The NE agr~ that at ka~t 75% of tt~ work
described herein will be performed by a labor force rm~lding wiUdn the Corpus Christi Metmlx~rem
Stabstlcal Area (MSA). Addl'donally, no more than 25% of It~ work described herein w/Il be
performed by a labor force rending outside the Corpus Christi Mebupolitan Statistical Area (MBA.)
8 ASSIGNABILITY
The NE will not assign, tmn~;'ur or delegate any of its obligations or duties in thla co.bm:t to any
other person without the prior written consent of the City, except for routine duties de~d~d to
personnel of ~ A/E staff. If the AJE is a partna'ship, then in ~ event of the termination of the
parl~ership, this cc.,b..ct will Inure to the Individual benefit of such parl~er or peru aa the City
may designate. No pert of the NE fee may be assigned in advance of recelp~ by the NE without
written consent of the C~.

The City will not pay the fees of expert or technical assis[ance and consultant~ unlea~ suc~
employment, including the rate of compensation, has bccn approved in writing by the City.
g. OWNERSHIP OF DOCUMENTS
All docurne,,l~ including contract documei~ (plans and specifications), record drawtnga,
contractor's field data, and submittal data will be ~ sole property of the City, may not be used
again by the A/E without the express written consent of the Direc~r of Englnaerlng Servtcea.
However, the A/E may use s[andard details that are not spectflc to this project. The City agrees
that any modification of the plans will be evidenced on the plane, and be algnad and seaJed bye
professional engineer prior to re-use of modeled plans.
10. DISCLOSURE OF INTEREST
A/E further agrees, in compliance with City of Corpus Christi Ordinance No. 17112, to complete,
as part of this contract, the Disclosure of Intere~ form affached he~o~u a8 Exhl~ 'C=.

1. Preliminary Phase. The Architect/Engineer-A/E will:

jurisdiction to approve design of the Project and permitting,
environmental, h~,~rlcal, cons'o'uctlon, and geotechnlcal Issues; and
meet with pertinent authorities.
7) Co.[er, discuss, and meet with City operating depafl.,eet(s) and
Engineering Services ~',-~ to produce a cohesive, well-defined pmpoesd
scope of design, probable cost estima~,s(s) and design alternatives.
8) Provide a letter stating that the A/E and Sub-censultant Engineers have
checked and reviewed the design memorandum prior to submlasloe.
9) Furnish one (1) copy of the interim plans (6~,) (Phaae II Only) (plans
only-identify needed specifications) to the City staff for Clt~'I'xDOT
review and approval purposes with estimates of probable construction
costs. Identify distribution list for plans and bid documents to all affected
utilities including City and all other affected entities. Req,,Ir~l with the

City staff will provide one set only of the following Information (aa applicable):
a. Record drawings, record Infc,,,aflon of extetlng factlltlea, and utilities (as
available fi'om City Engineering files).
b. The preliminary budget, specifying the funds avelial~e for construction;
c. Aerial photography for the Project ama.

e. A copy of existing studies and plans. (as aveiable from City Engineering
files).

2. Design Phase. Upon approval of the prellrnlnery phase, designated by receMng
authortzatlon to proceed, the NE will:
a. Study, verify, and Implement Design Memorandum mcommerxJa'done

restoration of property and Incorporate theea plans Into the con~buctlon
plans. Development of the corm6uctJon sequencing wtll be coordrrtab~cl wtth

b. Prepare one (1) set of Consl~uctlon Bid and Contzact Documents for each
phase (total of two (2)) In City format (using City Standards aa applicable),
conditions, notice to biddem, inslzuction to blddem, InmJrance, bond
requirements, and preparation of other c~-~buct and bid rela~ecl Items;
specifications and drawings to fix and describe, for one bid each phase, the
size and character of the entJm Project deacrlptlon of materials to be utilzecl;
and such o~er essentials as may be necessary for co~=buctlon and coat
analysis.
c. Provide assistance identify testing, handling and disposal of any hazardous
ma~erlals and/or contaminated soils that may be discovered during
construction (to be included under additional services).
d. Prepare final quantities and estimates of probable coats wtth the
recommended co~~ schedule. The ccx~structJon scheclule wll provide
a phased approach to better back progress and payg'mnta.
e. Provide one (1) copy of pre-final plans and bid documents to the City ~=;T for
review and approval purposes wi;;, re~laed estimates of probable costs.

(hard copy and electronic) of final plans and co,;~uct documents suitable for
reproduction (In City Format)and said bid docurne~,~ henceforth becorne the
sole property and ownemhlp of the City of Corpus Christi.
j. The City agrees that any modifications ofl~e submitted final plans (for other
uses by the City) will be evidenced on fl~e plans and be signed and seaJed by
a professional eng~c.~ prior to re-use of modified plans.
k. Prepare and submit monthly status reports by the ;;[',h of each mo,[h with

I. Provide a Storm Water Pollution Prevention Plan.
The City staff will:
a. Designate an Indlvk:lual to have responeibalty, authority, and control for

b. Provide the budget for the Project specifying bhe funds available for the

3. Bid Phase. The A/E will:
a. Participate in the pre-bid conference and provide a rec~mrnend~ agenda
for critical conslnJctlon activffie~ and ~ Impacted the project.
b. Assist the City In solicitation of bids by Identification of prospective blddem,
and review of bids by solicited Interests.
c. Review all pre-bid questions and subrnlesion~ concerning ~e bid docurnen'~
and prepare, In the City's format, for the Engineering Services' aplxoval, any
addenda or ol~er revisions necessary to info,~ co, buctom of approved
changes prior to bidding.
d. Attend bid opening, analyze bids, evaluate, prepare bid tabuLa'don, and make

h. Revtsw construction "md-line' drawings, prepare record drawt~ of rite
Project as consl~'uctad (from the 'red-line' drawings, Inspection, and the
co~-,bactor provided plans) and deliver to the Engineering Servicee a
reproducible set and electronic file (AutoCAD r. 14 or later) of the record

drawings. All drawings will be CADD draw~ using dwg format In AutoCAD,
and graphics data will be in dxf format with each layer being provided In a
separate file. Attribute data will be provided In ASCII format In tabular form.
All electronic data will be compatible w~ the City GIS system.
The City staff will:

This section defines the scope (and ALLOWANCE) for compensation for eddltlonaJ
services that may be included as part of this co~[bact, but the NE will not begin work on
this 8ectlon without specific w[itt~,n aplxoval by the Director of Engineering Set,cea.
Fees for Additional Services am an allowance for pu-,entlal services to be provkled and
will be negotiated by the Director of Engineering Servtces es required. The NE wil,
with w,;~,n ault~odzatlon by the Director of Engineering Services, do the following:
1. Permi~n., Fumish the City all englnearing data and documentation necessary for
all required permits. The A/E will prepare this docurn~,o~ for ali required
signatures. The A/E will prepare and submit all permits aa applicable to the
appropriate local, state, and federal authorities, Including, but not limited to:
a. Union Pacific Railroad, Missoud Pacific Railroad, or any other railroad operating
in the area

ROW plats and dsecriptlons for the City's use in the acquisition procees. Ail work

P~u;'~sional Surveyors' Manual of Practice for I-nd Surveying In the State of
Texas. Ninth Edition. Ail work must be tied to and conform ~ b~te City's Global
Positioning System (GPS) control network and comply w~h all TxDOT requirements

conform wi[h the City's Global Positioning System (GPS) control network and
comply with Category 6, Condition I specifications of the Texas Society of
Pru;usslonal Surveyor~' Manual of Practice for I nnd Surveying in the State of
Texas, Ninth Edition. Include reference to a minimum of two (2) found boundary
monuments from the project ama.
Envire~mental ~
a. Provide environmental site evaluations and Archeology Refior~ that are needed
for the Project.
b. Identify and develop a scope of work for any testing, handling and disposal of
hnTnrdous materials and/or co.[uminated soils that may be discovered during
cons[ruction.
c. Provide environmental services mquired by Texas Deperlment of Tranapodat~on

A. Conduct on-Site observations of Contractor's work In program to
assist A/E in determining if the Work is in general proceecllng In
accordance with the Contract Documents.
B. Report whenever PR believes that any part of Co,,hector's work In

Existing Subsurface Utility Data'. The proposed subsurface ut~lty ~
will be as follows:
1. Excavation - The survey scope includes working with a subsurface utility
excavator to perfo,f,, Quality Level A invesUga'don of underground utlirdes In
specified areas through the project limit using vacuum excavation. (Quality
Level A involves the use of nondestructive digging equipment at critical
poi~s to determine the horizontal and vertical position of underground
uUIItles, as well as the type, size, condrdon, ma~lal, and other
characteristics.) Utilities located at this quality level will be phyatcaly ~
