TERMS AND CONDmONS TO AGREEMENT
ARTICLE 1. SERVICES: "LAB' will:
1.1
Provide only those sarvicas requested by "CITY ENGINEER" ~ in the
opinion of"LAB", lie within the technical or profesalonal areas of expeftlsa of
"LAB" and which "LAB" ia adequately staffed and equipped to perform.
1.2
Perform technical saMcas under the general direction of a licensed engineer
and in sub~an'dal accordance ~ the basic requirements o~lf~e appropriate
standards of the American Society for Testing and Matorlab, where
applicable, or other standards designated In writing by the "CITY
ENGINEER'.
1.3
Promptly submit formal reports of tasta, Inspections and services performed
indicating, where applicable, compliance wi~ the PROJECT apsdE, alk)ne or
other contract docume~[~. Such reports must be cemplete and factual, citing
the testa performed, methods employed, values obtained, and parl~ of the
structure of THE PROJECT ama subJecta~ to any tseflng.
1.4
Utilize tearing equipment which has been calibrated according to applicable
standards and. upon request, submit to the "CITY ENGINEER', or his
authorized representative, documan;,-[;on of suc~ calibration.
Secure reprase~'m[ive samples of those matedaia that ~ City's Contzactor
p~ to uae which require tasting, together w~ relevant data concerning
such rna~eriaia including the point of origin and supplier.
1.5
C,o~sider reports to be confidential, and distribute reports o~ly to thcee
persons, organiza'done or agencies specifically daslgnated In writing by the
"CITY ENGINEER".
1.6
Retain records relating to sarvlcea performed for "CITY' for a period of two
years following aubmiaaion of any reports, during which period the records
will be made available to the 'CITY' at all maaonabie tlmas.

Pay salarie~, wages, expenaas, social sac~Jrity taxes, federal and state
unemployment taxes, and any other similar payroll taxse mlatf~g to the
services.

"CITY" and "LAB" agree that "LAB" will be on-site to perfo.,, Inspections for

that the final services provided by "LAB' will not relieve the PROJECT
Conb-actur of his responsibillflaa for performing the work In accordance ~
THE PROJECT plans and a~. For the purlxmaa of this
AGREEMENT, the word "inspection" is used to nmen periodic obeervatlon of
the work and the corxluctlng of tests by "LAB" aa specified In rite
AGREEMENT. Continuous mo~itorlng by "LAB" or its subconbactm~ does
not mean that "LAB" is approving placement of matm'lais. Inspecl:~ is not
and should not be construed to be a warranty by "LAB" to the "CITY' or any
other party
Samples collected or tasted by"LAB" remain Um property of the "CITY"while
in the cuM:ody of b~e "LAB". "LAB" will re;"in the semplaa for a berlod of 80
Following the retention period, "LAB" wil dispose of non-hazardotm mplaa,
and ~e~Jm hazardous, acutely toxic, or radioactive semplaa and ~amplse

STANDARD OF CARE AND WARRANTY

AGREEMENT or any reports. "LAB" will not be responsible for Ute

"CITY" and "LAB" agree that, in accordance with the genemJly accep~
co~l]'uctlon practice, the PROJECT[]S general contractor will be m31ely and
completely responsible for worldng condltiorm on THE PROJECT, Including
safety of all persons and property dudng the perfornmnce of the work, and
for compliance with all municipal, state, and federal laws, tulsa and
regulations, Including OSHA. The duty Of"LAB" in provkllng sef~tce~ is not,
therefore, to Inctude any review of, or raaponsiblllty for, the adequacy of the
PROJECT'S germml contractor's safety measures In, on, or near THE
PROJECT site.

"LAB" will submit progres~ Invoices to "CITY ENGINEER" monthly and final
invoice upon completion of se~cea. Each invoice ta due and payable by
"CITY' within 30 days of receipt and approval to pay by the City Engineer.
EXTENT OF AGREEMENT
This AGREEMENT, including Exhibit "A" and theee terms and condlfloea,
represents the entire AGRFFMENT between "CITY' and 'LAB' and
supemede~ all pdor negotle~n, representa'do~ or agreemem, written or
oral. Thia AGREEMENT may be amended only by a written ir~trument
aigned by duly authoriz~l repmental~e of'CITY" and "LAB". ITchy conflict
occurs between these terms and conditlona and this AGREEMENT, these
terms and condifior~ am controlling.
In the event that any one or more of ~ provtslons contained In this
AGREEMENT am for any maso~ held Invalid, Illegal or ur~-~fc, ueeble In any
respect, the remaining terms will be in full effect and this AGREEMENT will
in this AGREEMENT. No waiver of any default will be a waiver of any future
default.
Neither party will a~sign thia AGREEMENT without the ~
approval of the other, but "LAB' may ~bcontmct laboratory procedurea
"LAB' deems necessary to meet the obligations of tibia AGREEMENT.
