AGREEMENT
rhis Agreement entered into on the date of its execution as set forth below by and
between the City of (orpus Christi. f'exas (the "City") and the Gulf Coast Strategic
Highway Coalition (the "Coalition"):
WITNESSETH:
WHEREAS. one of the major income producing activities which contribute to the
Corpus Christi Bay Area economy and the City sales tax base is the presence of the Port
of Corpus Christi. a strategic deployment port for the Department of Defense; and
WHEREAS. the existence of better highway and railroad infrastructure to add to
the competitiveness of the Port of Corpus Christi and area manufacturing and distribution
compames:
~OW THEREFOR!. for and in consideration of the mutual covenants and
conditions herein contained. the City and the Coalition agree as follows:

\. fhe Coalition will obtain professional representation to conduct a strategic
planning and briefing program on the above mentioned issues.
B. fhe Coalition will supervise such professional representation and insure
compliance with all necessary registrations and reporting requirements to
appropriate governmental agencies.
The Coal ition will prepare briefing materials and conduct briefings in
Austin, Texas. Washington, D.C. and elsewhere as to the value of these
proposed infrastructure improvements.

-, Compensation. The City agrees to pay the Coalition the sum of $10,000.00 for
the purpose of providing the services outlined above in connection with the strategic
planning and briefing program.
Term. The term of this Agreement shall be for twelve (12) months, expiring
December 31. 2006.

-l- Costs and Fxpenses. rhe Coalition shall be responsible for all costs and
expenses associated with the strategic planning and briefing program. The City shall be
under no obligation tu provide any additional funding or incur any other costs or
expenses in connection with the program other than the fixed sum provided in this
Agreement. rhe Coalition shall have no authority to bind the City to any contract,
obligatIOn or any other liability absent the City's expressed, written consent. The
Coalitiun agrees that !lone of the funds provided by the City shall be used for the
purcha'ie of alcoholic beverages
"', Obligation I.imited. rhis Agreement shall be limited solely to the strategic
planning and briefing program as described above. No obligation, whether expressed or
impl1ed. shall exist for funding any future programs or efforts by the Coalition in
subsequent years
h Independent Contractor Relationship. At all times during the term of this
Agreement, the Coalition shall be an independent contractor to the City and the Coalition
shall not in any event be deemed an employee, partner. joint venturer or other
representative of the ('ity. The Coalition shall remain solely responsible for the
supervision and performance of any employees, contractors or volunteers in completing
its obligation under this Agreement
.., Governing laws This Agreement shall be governed by and construed in
accordance with the laws of the State of Texas, and it shall be performable in Nueces
County Texas.
X Notices. All notices, requests or other communications related to this
Agreement shall be made in writing and may be given by: (a) depositing same in the
United States Mail, postage prepaid, certified, return receipt requested, addressed as set
forth in this paragraph: or (b) delivering the same to the party to be notified. Notice
given in accordance with (a) hereof shall be effective upon deposit in the United States
mail The notice addresses of the parties shalL until changed as provided herein, be as

9. Lawful Service. The parties mutually agree that the services provided under
this Agreement are lawfully authorized services which the City is purchasing from the
Coalition.

10. I:"'ntire Agreemenf. This wntmg embodies the entire agreement and
understanding between the parties hereto. and there are no other agreements or
understanding. whethei oral or wTitten, with reference to the subject matter of this
Agreement that are not merged herein and superseded hereby,
