'\iueces County Texas, hereinafter called DeveloperIOv,ner' WHEREAS. Developer/Owner in compliance with the City's Platting Ordinance, proposes 10 recurd the plat Bri~hton Park Baptist Church, Lot L now described as 7 06 acres ofland dut of Lots 22 and 23 Section 20 of the Flour Bluff and Encinal Farm and Garden Tracts as recorded in Vol /\ P:tge ,-l1-43, being same 706 acres as described in volume 1834, page x24 olthe ofticlal recc'rds of Nueces Count\', hereinafter called "Development", Exhibit L WHEREAS. the ()evt~loper/Owner has a plat approved by the Planning Commission, on \iovember i (), 2005 and has not initiated the required construction of water line I nfrasl ructure in accordance with City approved construction plans and specifications; WHEREAS the Cit) has approved reimbursement appropriations to Developer/Owner of $47 1.-l628 for the extension of a 12-inch water line per Ordinance 026423 and $10,635.41 for the extensIOn of a ~-inch water Ime per Ordinance 026424. If the Developer fails to cure the det~lUlt after receipt of the notice and opportunity to cure, the Citv Engineer may transfer any monies received and interest earned to the appropnate fund oflhe City to complete the 12-inch and 8-inch water lines. Webb & Herbert Fondren AMOUNT: $57.781.69 EXPIRATION: December 16, 2006 Gentlemen: We hereby establish our irrevocable letter of credit ("Irrevocable Letter of Credit") in favor of the City of Corpus Christi ("Beneficiary") for the account of Brighton Park Baptist Church, acting by and through its members: T. O. Webb & Herbert rondren ("Customer"), authorizing Beneficiary to draw on First Commerce Bank, Corpus Christi, Texas ("Issuer") the amount of Fifty Seven Thousand Seven Hundred Eighty One and 69/100 Dollars ($57,781.69), under Beneficiary's draft bearing the clause "Drawn under First Commerce Bank, Irrevocable Letter of Credit No. 2005-03 dated December 16, 2005 and accompanied by all of the following documents ("Documents"): (1) The original of this Letter of Credit; and (2) The sworn affidavit of the City of Corpus Christi's, City Manager, or his designee, stating the authority of the affiant to make the affidavit on behalf of Beneficiary and further stating as follows: "That DEVELOPER, has not installed the required improvements or vacated the plat of DEVELOPMENT as required by its Deferral Agreement with the City of Corpus Christi within the time period allowed" This Irrevocable Letter of Credit guarantees the obligations of the Customer to the BenefiCiary as provided in the Deferral Agreement. Partial drawings are not permitted under this Irrevocable Letter of Credit. This Irrevocable Letter of Credit is not transferable. Issuer hereby agrees with Beneficiary that upon presentment on or before 5 o'clock p,m" Corpus Christi, Texas, local time no later than December 16, 2006, II EXhibi~~ '. that drafts drawn under and in compliance with the terms of this Irrevocable Letter of Credit Issuer will duly honor this Irrevocable Letter of Credit. This Irrevocable Letter of Credit is guaranteed for one year from date of issuance, it must be automatically extended for additional periods of one year, and at one year intervals thereafter, until December 16,2006, unless, at least 90 days prior to December 16, 2006, Beneficiary's City Manager notifies Issuer in writing by Certified Mail at the above address that Beneficiary has elected not to renew. Issuer shall send notice of the automatic extension to the City's Director of Engineering Services thirty (30) days prior to expiration of the then current Irrevocable Letter of Credit. Failure to receive the automatic extension or a substitute Irrevocable Letter of Credit 30 days prior to expiration of the then current Irrevocable Letter of Credit constitutes a default upon which the then current Irrevocable Letter of Credit may be called in its entirety, even though not stated above as a specific event of default. This Irrevocable Letter of Credit sets forth in full the terms of our undertaking and such undertakinq must not in any way be modified. amended, or amplified by reference to any document, instrument or agreement referred to herein or in which this Irrevocable Letter of Credit is referred to or to which this Irrevocable Letter of Credit relates, and any such reference is not deemed to incorporate herein by reference any document, instrument, or agreement Issuer is not a party to, or bound by the terms of any agreement between Beneficiary and Customer.
