Texas (the "City") and the Transportation Task Force of the (orpus Christi Chamber of Commerce (the ""Task Force"); WITNESSETH: WHEREAS. one of the major income producing activities which contribute to the Corpus Christi Bay Area economy and the City sales tax base is the presence of the Port of Corpus Christi, a major generator of economic activity for the region; and WHEREAS. the existem:e of better highway and railroad infrastructure add to the competitiveness of the Port of Corpus Christi and the region's manufacturing and distribution companies: WHEREAS. the Texas Transportation Commission is seeking to improve transportation linkage bdween Corpus Christi and lJ .S.lMexico border crossings; \lOW THEREfORE. for and in consideration of the mutual covenants and conditions herein contained. the City and the Task Force agree as follows: Services 10 h( Provided \ The Task Force will obtain professional representation to conduct a strategic planning and briefing program on the above mentioned issues. f~ The I ask Force will supervise such professional representation and insure compliance with all necessary registrations and reporting requirements to appropriate governmental agencies. The Task Force will prepare briefing materials and conduct briefings in Austin, Texas. Washington, D.C. and elsewhere as to the value of these proposed mfrastructure improvements. The City agrees to pay the Task Force the sum of$18,240.00 For the purpose of providing the services outlined above in connection with the strategic planning and briefing program. Term. The City shall be under no obligation tl> provide any additional funding or incur any other costs or expenses in connection with the program other than the fixed sum provided in this Agreement. rhe Task Force shall have no authority to bind the City to any contract, obligation or any other liability absent the City's expressed, \\-Titlen consent. The Task Force agrees that none ()f the funds provided by the City shall be used for the purchase of alcoholic beverages .; ()bligation J.imited. This Agreement shall be limited solely to the strategic planning and brieting program as described above, No obligation, whether expressed or implied. shall exist for funding any future programs or efforts by the Task Force in subsequent years, h lndependem Contractor Relationship. At all times during the term of this Agreement, the Task Force shall be an independent contractor to the City and the Task Force shall not in any event be deemed an employee, partner, joint venturer or other representative of the <ity. The Task Force shall remain solely responsible for the supervlsion and performance of any employees. contractors or volunteers in completing its ohligation under this Agreement. ., (;overning Law,\.
