GIFT AGREEMENT
BETWEEN
THE CITY OF CORPUS CHRISTI
AND THE
CORPUS CHRISTI PUBLIC LIBRARY FOUNDATION, INC.
LIBRARY TECHNOLOGY
This agreement ("AgreemenC) is made by and between the City of Corpus Christi
("City"), a home--rule municipal corporation organized under the laws of the State of
Texas. and the Corpus Christi Public Library Foundation, Inc. ("Foundation"), an
incorporated 501 (c) e) organilation which solely exists to benefit the City's public
librari C~
For and in conSideration of the cO\enants, undertakings, and consideration stated in this
Agreement the parties mutually agree as follows:
(1) The City accepts a gift ("Gift"") from the Foundation an amount not to exceed
'521,650, whIch will be solely and exclusively for the purchase of a digital library
package for the library as selected by the library staff and other technology.
(2)-\11 interest that accrues on the (TIft will be used solely for this project or related
expenses.
(3 ) Any portion of the Gift not disbursed by the City within two years from the date of
this Agreement will be reimbursed to the Foundation.
(4) I'hls Agreement cannot be assIgned, modified, or amended unless both parties
mutually consent to the assignment. moditication, or amendment. Additionally, any
assignment, modification, or amendment must be made in writing and executed by
representatives nf each party
(5) rhis Agreement will be mterpreted in accordance with the laws of the State of Texas.
